O aumento verificado nos últimos anos em fusões e aquisições (F&A) resulta da opção dos gestores para fazer face ao aumento da pressão competitiva e ou à necessidade de crescimento rápido. A literatura sobre os efeitos dos processos de F&A é diversificada e as conclusões são contraditórias. Neste trabalho pretendemos verificar se o processo de F&A se traduz na criação de valor para o acionista da empresa adquirente. Como métrica de avaliação utilizamos o método de análise dos fluxos de caixa atualizados ou o Discounted Cash-Flow (DCF). Para o efeito efetuamos um estudo de caso que vai incidir sobre uma empresa seguradora portuguesa – A Lusitania Companhia de Seguros, S.A. – que recentemente adquiriu, por fusão por incorporação, a Real Seguros, S.A. Efetuamos uma análise de natureza quantitativa através dos dados do relatório e contas e encontramos evidência de que o desempenho diminuiu após a transação.

Images have gained a never before seen importance. Technological changes have given the Information Society extraordinary means to capture, treat and transmit images, wheter your own or those of others, with or without a commercial purpose, with no boundaries of time or country, without “any kind of eraser”. From the several different ways natural persons may engage in image processing with no commercial purpose, the cases of sharing pictures through social networks and video surveillance assume particular relevance. Consequently there are growing legitimate concerns with the protection of one's image, since its processing may sometimes generate situations of privacy invasion or put at risk other fundamental rights. With this in mind, the present thesis arises from the question: what are the existent legal instruments in Portuguese Law that enable citizens to protect themselves from the abusive usage of their own pictures, whether because that image have been captured by a smartphone or some video surveillance camera, whether because it was massively shared through a blog or some social network? There is no question the one's right to not having his or her image used in an abusive way is protected by the Portuguese constitution, through the article 26th CRP, as well as personally right, under the article 79th of the Civil Code, and finally through criminal law, articles 192nd and 193rd of the Criminal Code. The question arises in the personal data protection context, considering that one's picture, given certain conditions, is personal data. Both the Directive 95/46/CE dated from 1995 as well as the LPD from 1998 are applicable to the processing of personal data, but both exclude situations of natural persons doing so in the pursuit of activities strictly personal or family-related. These laws demand complex procedures to natural persons, such as the preemptive formal authorisation request to the Data Protection National Commission. Failing to do so a natural person may result in the application of fines as high as €2.500,00 or even criminal charges. Consequently, the present thesis aims to study if the image processing with no commercial purposes by a natural person in the context of social networks or through video surveillance belongs to the domain of the existent personal data protection law. To that effect, it was made general considerations regarding the concept of video surveillance, what is its regimen, in a way that it may be distinguishable from Steve Mann's definition of sousveillance, and what are the associated obligations in order to better understand the concept's essence. The application of the existent laws on personal data protection to images processing by natural persons has been analysed taking into account the Directive 95/46/CE, the LPD and the General Regulation. From this analysis it is concluded that the regimen from 1995 to 1998 is out of touch with reality creating an absence of legal shielding in the personal data protection law, a flaw that doesn't exist because compensated by the right to image as a right to personality, that anyway reveals the inability of the Portuguese legislator to face the new technological challenges. It is urgent to legislate. A contrary interpretation will evidence the unconstitutionality of several rules on the LPD due to the obligations natural persons are bound to that violate the right to the freedom of speech and information, which would be inadequate and disproportionate. Considering the recently approved General Regulation and in the case it becomes the final version, the use for natural person of video surveillance of private spaces, Google Glass (in public and private places) and other similar gadgets used to recreational purposes, as well as social networks are subject to its regulation only if the images are shared without limits or existing commercial purposes. Video surveillance of public spaces in all situations is subject to General Regulation provisions.

Control of a public company can be obtained through several ways, of which the tender offer and the merger are only two. We attempt to understand what are the risks involved in the appearance of a control position. Such underlying risks justify the rationality of the mandatory bid rule, as well as the consequences of said rule. Finally, we attempt to understand if the interests of the minority shareholders are duly defended in the case of control being acquired through merger, since that is the understanding of the legislator.

Les espaces politiques infranationaux définissent et prennent en charge un nombre croissant de problèmes publics. Quelle est la capacité des acteurs et institutions locales à faire émerger une action publique autonome ? Assiste-t-on à la fin d'un cycle ou à une nouvelle transformation des relations entre l'Etat et le local ? Quelles sont les limites de la capacité du politique à organiser les territoires ? Les collectivités locales favorisent-elles de nouvelles impulsions démocratiques ? Cette volonté de croiser les regards - disciplinaires, géographiques et générationnels - permet aux auteurs de souligner l'étendue du travail de construction de la comparabilité en sciences sociales. L'enjeu scientifique n'est plus de trancher entre centralisation et décentralisation mais bien de développer des outils et des cadres d'analyse heuristiques pour penser les effets des nouvelles interdépendances. L'ouvrage nous invite aussi à poser différemment la question sensible du rapport des individus à l'Etat et au pouvoir politique dans chaque contexte local , à questionner les ressorts démocratiques de l'action publique au coeur de chaque métropole et de chaque région.

The Lincoln County Historical Council began meeting December 17,1960 under the advisement of the Publicity, Planning and Development Committee of Lincoln County. The group was composed of three members appointed from each of the four existing historical societies: one member appointed from the executive of the Women’s Institute, one member from Lincoln County Council, the Deputy-Clerk and Treasurer of the County and a member from the Niagara Editorial Bureau. The Welland County Historical Council was soon formed after this along the same lines. In the early 1960’s the Lincoln and Welland County historical councils began work on an inventory of historic buildings with the intent to emphasize the historical significance of this area. The information gathered by volunteers and a professional photographer and an architect was used to present a “brief” to the federal government in 1962 and the provincial government in 1963. This brief, An Area of Historical Interest in the Counties of Lincoln and Welland, Ontario was published in 1962 and revised and distributed to schools and libraries in the area in 1965. The Ontario Buildings Inventory Project became a provincial initiative spearheaded by the Department of Public Records and Archives, a branch of the Department of Tourism and Information, ca. 1966. Volunteers collected and photographed buildings of historical interest in Lincoln and Welland counties. This information was recorded on standardized survey forms for every township in the Niagara region. Niagara Regional Historical Council was created with the merger of Lincoln County Historical Council and Welland County Historical Council, at the time of the formation of Niagara Regional Government in 1970. The first meeting of the new council was held January 1970.

In 1873 George Barnes, Andrew Skinner, James Skinner, John Young Reid, Charles Robert Murray, George Magan, Thomas Barnes and Robert Duncan applied for, and received a charter for a commercial winery which would be called The Ontario Grape Growing and Wine Manufacturing Company Limited. It opened in 1894 and became known as Barnes Wines Limited. In 1973 the company completed a merger with Reckitt and Coleman (Canada) Limited. The winery operated until 1988 and was located on the banks of the old Welland Canal in St. Catharines, Ontario. The company produced a complete line of table wines, dessert wines, sherries, ports, and both crackling and sparkling wines. Barnes Wines called itself “Canada’s oldest winery” at the time of the printing of this flyer.

This thesis examines the impact of a corporate name change on stock price and trading volume of Canadian companies around the announcement date, the approval date, and the adoption date over the time period from 1997 to 2011. Name changes are classified into six categories: major and minor, structural and pure, diversified and focused, accompanied with a change in ticker symbol and without a change in ticker symbol, “Gold” name addition and deletion, and different reasons for name changes (e.g., merger and acquisition, change of structure, change of strategy, and better image). The thesis uses the standard event study methodology to perform abnormal return and trading volume analyses. In addition, regression analysis is employed to examine which type of a name change has the largest impact on cumulative abnormal returns. Sample stocks exhibit a significant positive abnormal return one-day prior to the approval day and one day after the adoption date. Around the approval date we observe significant abnormal returns for stocks with a structural name change. On the day after the adoption date we document abnormal returns for stocks with major, minor, structural, pure, focused, and ticker symbol name changes. If a merger or acquisition is the reason for a name change, companies tend to experience a significant positive abnormal return one-day before the approval date and on the adoption date. If a change of structure is the reason for a name change, companies exhibit a significant positive abnormal return on the approval date and a significant negative abnormal return on the adoption date. In case of a change of strategy as the reason for a name change, companies show a significant negative abnormal return around the approval date and a significant positive abnormal return around the adoption date.

In this thesis we study the properties of two large dynamic networks, the competition network of advertisers on the Google and Bing search engines and the dynamic network of friend relationships among avatars in the massively multiplayer online game (MMOG) Planetside 2. We are particularly interested in removal patterns in these networks. Our main finding is that in both of these networks the nodes which are most commonly removed are minor near isolated nodes. We also investigate the process of merging of two large networks using data captured during the merger of servers of Planetside 2. We found that the original network structures do not really merge but rather they get gradually replaced by newcomers not associated with the original structures. In the final part of the thesis we investigate the concept of motifs in the Barabási-Albert random graph. We establish some bounds on the number of motifs in this graph.

It is often thought that a tariff reduction, by opening up the domestic market to foreign firms, should lessen the need for a policy aimed at discouraging domestic mergers. This implicitly assumes that the tariff in question is sufficiently high to prevent foreign firms from selling in the domestic market. However, not all tariffs are prohibitive, so that foreign firms may be present in the domestic market before it is abolished. Furthermore, even if the tariff is prohibitive, a merger of domestic firms may render it nonprohibitive, thus inviting foreign firms to penetrate the domestic market. In this paper, we show, using a simple example, that in the latter two cases, abolishing the tariff may in fact make the domestic merger more profitable. Hence, trade liberalization will not necessarily reduce the profitability of domestic mergers.

Le cancer est considéré comme l’une des principales causes de morbidité et de mortalité et, en Espagne, représente à lui seul 25% du taux de mortalité globale. Lorsqu’une personne et sa famille font l’expérience de traverser la phase avancée du cancer, celles-ci vivent un grand choc émotionnel où les souffrances physique, psychique et spirituelle peuvent être présentes. L’information donnée par les professionnels de la santé aux membres de la famille, incluant la personne atteinte, en ce qui concerne le diagnostic et le pronostic du cancer est maintenant plus fréquente dans le contexte méditerranéen. Il n'est pas clair, toutefois, comment cette nouvelle approche est vécue par les familles. C’est pourquoi, le but de cette recherche qualitative de type phénoménologique est d’explorer la signification de l’expérience de familles dont l’un des membres est atteint d’un cancer terminal, alors que tous connaissent le pronostic de la maladie. Les résultats obtenus reposent sur l’analyse en profondeur d’entrevues réalisées auprès de quatre couples. L’analyse des données, à l’aide de la méthode phénoménologique de Giorgi (1997), fait émerger deux thèmes centraux caractérisant la signification de cette expérience de la phase palliative de cancer, alors que l’information sur le mauvais pronostic est connue tant par la personne atteinte que sa famille. Le premier thème central est celui de vivre intensément la perte de la vie rêvée et comporte le vécu suite au choc du pronostic fatal, le fait de vivre constamment des sentiments et des émotions liés à différentes pertes telles que la tristesse, la frustration, l’inquiétude et l’incertitude, et l’espoir de ne pas souffrir. Le deuxième thème central qui ressort est le développement de stratégies par les couples participants afin de rendre leur vie plus supportable. Ces stratégies sont les suivantes : accueillir l’information et le soutien professionnel, retrouver une certaine normalité dans la vie quotidienne, profiter de la vie, recevoir l’aide de la famille et des amis, maintenir une communication cognitive et instrumentale ouverte, se protéger au niveau émotionnel et envisager l’avenir sans la personne aimée. Tous ces éléments, dans le contexte individuel de vie de chaque famille transforment chacun de ces vécus en une expérience unique qui doit être comprise et respectée comme telle par tous les professionnels de la santé impliqués. Les connaissances développées par cette recherche permettront aux infirmières de mieux comprendre l’expérience de la phase palliative du cancer pour des couples dont le diagnostic et le pronostic fatal sont connus par tous, ceci afin d’améliorer leur qualité des soins. Afin de poursuivre le développement du savoir infirmier, il est recommandé de poursuivre des études afin d’explorer plus en profondeur la communication au sein des couples.

Cette étude qui s’inscrit dans la perspective de l’action située, vise à comprendre le phénomène de (re)construction des communautés de pratique (CoPs) en contexte de fusion hospitalière. La recherche repose sur un devis d’étude de cas longitudinale qui combine plusieurs sources de données : documentaires, d’entretiens semi-directifs et d’observations de terrain. La stratégie d’analyse combine deux méthodes : l’une processuelle, permettant un ordonnancement temporel de récits d’événements et d'activités qui ont contribué à situer l’action dans le temps; l’autre selon l’approche de la théorisation ancrée, a permis la comparaison des données par leur regroupement systématique en catégories et sous catégories, tout au long de la collecte des données. La démarche de recherche processuelle adoptée, nous a conduit à révéler la dynamique de construction d’une communauté de pratique (CoP) à partir des caractéristiques inter reliées, identifiées dans la littérature et qui font référence à un engagement mutuel, une entreprise commune et un répertoire partagé. Ainsi, nos analyses montrent que le domaine d’action qui vient délimiter les points de convergence des participants, constitue le dénominateur commun de la pratique de la communauté qui met à jour des savoirs tacites et explicites qui s’échangent et se développent dans le temps. Cette pratique partagée, éminemment sociale, génère des connaissances et des règles négociées et entretenues par les membres dans le cadre de leurs rencontres. Nos analyses révèlent également que le processus d’évolution d’une communauté de pratique, s’inscrit dans une trajectoire d’apprentissages continue où se combinent de façon dynamique, des temps de participation intense, propices à la construction progressive d’une compréhension commune et négociée du domaine d’action (participation) et des temps de mise en forme de ces représentations (réification). Ici, la dialectique participation/réification qui se donne à voir, révèle un véritable travail d’organisation où la construction du sens à donner à l’action s’instruit à l’aune d’une régulation sociale omniprésente. Toutefois, le résultat de la régulation sociale, n’implique pas de facto, la rencontre d’une régulation conjointe. Plutôt, nos résultats mettent à jour un ensemble de régulations, tantôt concurrentes, tantôt en équilibre en regard du contexte dans lequel sont placés les acteurs. Enfin, nos résultats sur la dynamique de (re)construction des communautés de pratique en contexte de fusion, permettent d’appréhender le changement organisationnel non plus sous ses seuls aspects stratégiques et en direction des équipes dirigeantes, mais également sous l’angle des capacités d’acteurs « ordinaires » à l’initier dans une perspective continue et située.
