In Portugal, about 20% of full-time workers are employed under a fixed-term contract. Using a rich longitudinal matched employer-employee dataset for Portugal, with more than 20 million observations and covering the 2002-2012 period, we confirm the common idea that fixed-term contracts are not desirable when compared to permanent ones, by estimating a conditional wage gap of -1.7 log points. Then, we evaluate the sources of that wage penalty by combining a three way high-dimensional fixed effects model with the decomposition of Gelbach (2014), in which the three dimensions considered are the worker’s unobserved ability, the firm’s compensation wage policy and the job title effect. It is shown that the average worker with a fixed-term contract is less productive than his/her permanent counterparts, explaining -3.92 log points of the FTC wage penalty. Additionally, the sorting of workers into lower-paid job titles is also responsible for -0.59 log points of the wage gap. Surprisingly, we found that the allocation of workers among firms mitigates the existing wage penalty (in 4.23 log points), as fixed-term workers are concentrated into firms with a more generous compensation policy. Finally, following Figueiredo et al. (2014), we further control for the worker-firm match characteristics and reach the conclusion that fixed-term employment relationships have an overrepresentation of low quality worker-firm matches, explaining 0.65 log points of the FTC wage penalty.

International businesses bring with them additional negotiation complexities and extra risks, thus calling for negotiation integrative solutions and additional legal protection. The recent economic crisis forced, companies, including SMEs, to look for international markets and face these additional complexities and issues. In the search for a practical and simplified solution, to serve less sophisticated companies, this paper brings insights from the negotiation literature to a specific legal issue. Specifically, I investigate the negotiation and use of contingent agreements as a tool for facilitating the negotiation process and managing risk in international deals. Looking into an international sale of goods from Portugal to Brazil, this paper proposes the structuring of two contingent contracts related to two category of products in order to demonstrate the potential benefits of some of its relevant features, specifically the creation of incentives and identification and allocation of future risks. In general, the structuring of contingent agreements is likely to provide positive results in mitigating the issues of lack of trust and dealing with the additional risks derived from international deals, therefore facilitating and improving the overall quality of the deal.

RESUMO O Problema. A natureza, diversidade e perigosidade dos resíduos hospitalares (RH) exige procedimentos específicos na sua gestão. A sua produção depende do número de unidades de prestação de cuidados de saúde (upcs), tipo de cuidados prestados, número de doentes observados, práticas dos profissionais e dos órgãos de gestão das upcs, inovação tecnológica, entre outros. A gestão integrada de RH tem evoluído qualitativamente nos últimos anos. Existe uma carência de informação sobre os quantitativos de RH produzidos nas upcs e na prestação de cuidados domiciliários, em Portugal. Por outro lado, os Serviços de Saúde Pública, abrangendo o poder de Autoridade de Saúde, intervêm na gestão do risco para a saúde e o ambiente associado à produção de RH, necessitando de indicadores para a sua monitorização. O quadro legal de um país nesta matéria estabelece a estratégia de gestão destes resíduos, a qual é condicionada pela classificação e definição de RH por si adoptadas. Objectivos e Metodologias. O presente estudo pretende: quantificar a produção de RH resultantes da prestação de cuidados de saúde, em seres humanos e animais nas upcs, do sistema público e privado, desenvolvendo um estudo longitudinal, onde se quantifica esta produção nos Hospitais, Centros de Saúde, Clínicas Médicas e Dentárias, Lares para Idosos, Postos Médicos de Empresas, Centros de Hemodiálise e Clínicas Veterinárias do Concelho da Amadora, e se compara esta produção em dois anos consecutivos; analisar as consequências do exercício do poder de Autoridade de Saúde na gestão integrada de RH pelas upcs; quantificar a produção média de RH, por acto prestado, nos cuidados domiciliários e, com um estudo analítico transversal, relacionar essa produção média com as características dos doentes e dos tratamentos efectuados; proceder à análise comparativa das definições e classificações de RH em países da União Europeia, através de um estudo de revisão da legislação nesta matéria em quatro países, incluindo Portugal. Resultados e Conclusões. Obtém-se a produção média de RH, por Grupos I+II, III e IV: nos Hospitais, por cama.dia, considerando a taxa de ocupação; por consulta, nos Centros de Saúde, Clínicas Médicas e Dentárias e Postos Médicos de Empresas; por cama.ano, nos Lares para Idosos, considerando a sua taxa de ocupação; e por ano, nas Clínicas de Hemodiálise e Veterinárias. Verifica-se que a actuação da Autoridade de Saúde, produz nas upcs uma diferença estatisticamente significativa no aumento das contratualizações destas com os operadores de tratamento de RH. Quantifica-se o peso médio de resíduos dos Grupos III e IV produzido por acto prestado nos tratamentos domiciliários e relaciona-se esta variável dependente com as características dos doentes e dos tratamentos efectuados. Comparam-se os distintos critérios utilizados na elaboração das definições e classificações destes resíduos inscritas na legislação da Alemanha, Reino Unido, Espanha e Portugal. Recomendações. Apresentam-se linhas de investigação futura e propõe-se uma reflexão sobre eventuais alterações de aspectos específicos no quadro legal português e nos planos de gestão integrada de RH, em Portugal. ABSTRACT The problem: The nature, diversity and hazardousness of hospital wastes (HW) requires specific procedures in its management. Its production depends on the number and patterns of healthcare services, number of patients, professional and administration practices and technologic innovations, among others. Integrated management of HW has been developping, in the scope of quality, for the past few years. There is a lack of information about the amount of HW produced in healthcare units and in the domiciliary visits, in Portugal. On the other hand, the Public Health Services, embracing the Health Authority’s power, play a very important role in managing the risk of HW production to public and environmental health. They need to use some indicators in its monitorization. In a country, rules and regulations define hospital waste management policies, which are confined by the addopted classification and definition of HW. Goals and Methods: This research study aims to quantify the production of HW as a result of healthcare services in human beings and animals, public service and private one. Through a longitudinal study, this production is quantified in Hospitals, Health Centers, Medical and Dental Clinics, Residential Centers for old people, Companies Medical Centers and Veterinary and Haemodyalisis Clinics in Amadora’s Council, comparing this production in two consecutive years. This study also focus the consequences of the Health Authority’s role in the healthcare services integrated management of HW. The middle production of HW in the domiciliary treatments is also quantified and, with a transversal analytic study, its association with patients and treatments’ characteristics is enhanced. Finally, the definitions and classifications in the European Union Countries are compared through a study that revises this matter’s legislation in four countries, including Portugal. Results and Conclusions: We get the middle production of Groups I+II, III and IV: HW: in Hospitals, by bed.day, bearing the occupation rate; by consultation, in Health Centers, Medical and Dental Clinics and Companies Medical Centers; by bed.year in Residential Centers for old people, considering their occupation rate; by year, in Veterinary and Haemodyalisis Clinics. We verify that the Health Authority’s role produces a significative statistical difference in the rise of the contracts between healthcare services and HW operators. We quantify the Groups III and IV’s wastes middle weight, produced by each medical treatment in domiciliary visits and relate this dependent variable with patients and treatments’ characteristics. We compare the different criteria used in the making of definitions and classifications of these wastes registered in German, United Kingdom, Spain and Portugal’s laws. Recommendations: Lines of further investigation are explaned. We also tender a reflexion about potential changes in rules, in regulations and in the integrated plans for managing hospital wastes in Portugal. RÉSUMÉ Le Problème. La gestion des déchets d'activités hospitalières (DAH) et de soins de santé (DSS) exige des procédures spécifiques en raison de leur nature, diversité et dangerosité. Leur production dépend, parmi d’autres, du nombre d’unités de soins de santé (USS), du type de soins administrés, du nombre de malades observés, des pratiques des professionnels et des organes de gestion des USS, de l’innovation technologique. La gestion intégrée des DAH et des DSS subit une évolution qualitative dans les dernières années. Il existe un déficit d’information sur les quantitatifs de DAH et de DSS provenant des USS et de la prestation de soins domiciliaires, au Portugal. D’autre part les Services de Santé Publique, y compris le pouvoir de l’Autorité de Santé, qui interviennent dans la gestion du risque pour la santé et pour l’environnement associé à la production de DAH et de DSS, ont besoin d’indicateurs pour leur surveillance. Dans cette matière le cadre légal établit la stratégie de gestion de ces déchets, laquelle est conditionnée par la classification et par la définition des DAH et des DSS adoptées par le pays. Objectifs et Méthodologie. Cet étude prétend: quantifier la production de DAH et de DSS provenant de la prestation de soins de santé, en êtres humains et animaux dans les USS du système public et privé. À travers un étude longitudinal, on quantifie cette production dans les Hôpitaux, Centres de Santé, Cliniques Médicales et Dentaires, Maisons de Repos pour personnes âgées, Cabinets Médicaux d’ Entreprises, Centres d’Hémodialyse et Cliniques Vétérinaires du municipe d’ Amadora, en comparant cette production en deux ans consécutifs; analyser les conséquences de l’exercice du pouvoir de l’Autorité de Santé dans la gestion intégrée des DAH et des DSS par les USS; quantifier la production moyenne de DAH et de DSS dans la prestation de soins domiciliaires et, avec un étude analytique transversal, rapporter cette production moyenne avec les caractéristiques des malades et des soins administrés; procéder à l’ analyse comparative des définitions et classifications des DAH et des DSS dans des pays de l’Union Européenne, à travers un étude de révision de la législation relative à cette matière dans quatre pays, Portugal y compris. Résultats et Conclusions. On obtient la production moyenne de DAH et des DSS, par Classes I+II, III et IV: dans les hôpitaux, par lit.jour, en considérant le taux d’occupation; par consultation, dans les Centres de Santé, Cliniques Médicales et Dentaires et Cabinets Médicaux d’ Entreprises par lit.an dans les Maisons de Repos pour personnes âgées en considérant le taux d’occupation; et par an, dans les Cliniques d’Hémodialyse et Vétérinaires. On constate que l’actuation de l’Autorité de Santé produit dans les USS une différence statistiquement significative dans l’accroissement de leurs contractualisations avec les opérateurs de traitement de DAH et de DSS. On quantifie le poids moyen des déchets des Classes III et IV produit par acte de prestation de soins à domicile et on rapporte cette variable dépendante avec les caractéristiques des malades et des soins administrés. To study the macroeconomic effects of unconventional monetary policy across the different countries of the eurozone, I develop an identification scheme to disentangle conventional from non-conventional policy shocks, using futures contracts on overnight interest rates and the size of the European Central Bank balance sheet. Setting these shocks as endogenous variables in a structural vector autoregressive (SVAR) model, along with the CPI and the employment rate, estimated impulse response functions of policy to macroeconomic variables are studied. I find that unconventional policy shocks generated mixed effects in inflation but had a positive impact on employment, with the exception of Portugal, Spain, Greece and Italy where the employment response is close to zero or negative. The heterogeneity that characterizes the responses shows that the monetary policy measures taken in recent years were not sufficient to stabilize the economies of the eurozone countries under more severe economic conditions.

This dissertation aims to analyze the right of withdrawal and its implications on distance and off-premises contracts, due to the importance of these contracts in our society. Our main goal is, first of all, to explain the meaning and characteristics of both distance and off-premises contracts and the reason why a right of withdrawal is granted. Secondly, we intend to explain all of the relevant aspects related to this right, such as its legal concept and main characteristics, the origin and evolution of the right of withdrawal on both European and Portuguese legislation, its implications in the contracting parties and, finally, a brief analysis of the applicable law. In a nutshell, the right of withdrawal allows the consumer to withdraw from a distance or off-premises contract, unilaterally, without having to indicate any motive to justify the decision, after a cooling-off period of 14 calendar days. In these two types of contracts such right exists due to the reasons or circumstances that lead to the conclusion of the contract.

In Consumer Law there is a special concern to protect the consumer, who is the weaker party in the legal relationship. With this thesis we intend to show that the professional sometimes needs protection against abusive conducts from consumers. The thesis describes the different categories of abuse of rights and explains some types of consumer contracts. After examining some of the consumer’s rights, we list some situations where the consumer acts frequently with abuse of rights, by analyzing judicial decisions. We conclude that it is not possible which conducts may involve an abuse of right in an abstract manner. Only by analyzing every case and its characteristics individually can one decide where there is an abuse of right.

The scope of the following study is to present an alternative and preventive dispute resolution method known as Dispute Resolution Board. The Dispute Resolution Board mechanism is included in construction contracts to support project participants in avoiding and resolving disputes. Over the years the construction industry dealt with the resolution of claims and disputes through several methods. One of the most successful and lasting is the Dispute Resolution Board. A Dispute Resolution Board is a board of impartial professionals formed at the start of the project to follow construction progress, prevent arising disputes, and assist in the resolution of disputes during the project. When a dispute arises the Board meets with the parties to settle this dispute. The recommendation of this Board is non-binding for the parties. In Portugal there is no experience with this form of conciliation.

This paper studies the impact of the Brazilian anticorruption legislation, PL 6826/2010, on stock returns. I show that, around the law approval date, the greater the link between the corporate and political worlds, the worse is the companies’ performance. Companies awarded with public contracts in 2012 suffer more with the new legislation approval. Firms with above median contract values have 2.9% lower returns than its peers. The negative effect is more pronounced for bigger and more complex entities, associated with higher levels of Corporate Responsibility and Governance and not subject to the US FCPA.

The existence of competition policy forces companies to adjust their behaviour. This is also costly. Using a database from a company on contracts, I will try to estimate if a specific competition policy disposition, supply contracts cannot be longer than 60 months, has costs for the coffee suppliers operating in the Portuguese “on-trade” coffee market. The estimation method used in this paper will be OLS. The results suggest that limiting the duration of exclusivity contracts to 60 months can be harmful to the coffee suppliers and it can even seriously affect the market functioning. Key

This dissertation aims to study the loyalty clauses present in most of the long lasting service contracts. We introduce its main features and the consequences that arise from breaching of contract. We analyze the presence of loyalty periods in the Portuguese legislation. In this sense, we discuss Decree-Law 446/85, Law 24/96, Decree-Law 57/2008 and Decree-Law 56/2010. The loyalty period is the minimum period of time for which the contract should be maintained. In most cases, when this obligation is not fulfilled a penalty clause is set, intending to push the weaker party to comply with the contract or sanction it when the party fails to do so. We conclude that the contractual relationship where there is a loyalty period is usually an unbalanced relationship because it only protects the interest of one party. The penalty clause should not be admitted between parties with unequal bargaining powers. The contractual imbalance is not limited to consumer contracts.

We have witnessed in recent years, an obvious effort by the competent European institutions, towards the harmonization of general law applicable to all Member States (MS's). Many developments have been registered in several areas of law, a europeanization process that aims to add value to cross-border transactions and, consequently, the internal market and european trade. This trend manifests itself in general to the private law level, and particularly in contract law. The extension of the field in which market participants - whether professionals or consumers - can act, must imperatively be articulated with a consequent wider protection. After all, the consumer is also a leading European purposes and its level should not be called into question for the sake of promoting trade. The link between the positions of two opposing parties, professionals and consumers, requires commitment and work reinforced by the institutions but only on that basis is consistent legislative production. The proposed Regulation on a Common European Sales Law of the sale, the European Commission, set focus to European contract law and raises questions about the relevance and necessity of such uniformity. An instrument for purposes of harmonization of European contract law, that can be applied to all cross-border consumer contracts, similar in all MS's certainly bring many benefits. However, its applicability and usefulness would depend on the level of protection that would provide, compared to the existing national rights. Would an optional instrument ensure the designs of a common law? Moreover, would a binding instrument be the best alternative in that sense? Keywords:

The scope of the present work is to study the legal protection conferred upon the consumer in Angola, especially as regards electronic communication agreements. Its purpose is to promote consumers’ rights and contribute to its defence given the relatively privileged position of professionals in their relationship with consumers. With this in mind, we have made a description of the Consumer Law in Angola based on the Angolan Constitution (as the law that establishes the fundamental rights and guarantees of citizens) and on the Consumer’s Defence Law, which, as the basic law regarding consumers’ rights, provides the framework for this dissertation. We have analysed several aspects relating to consumer relationships, starting from its concept and rights of consumers and covering the legal and contractual mechanisms put in place for their protection. We have also analysed the Advertising Law with a view to better understand consumer’s rights before advertising campaigns carried out by professionals whilst promoting their goods and services and, additionally, to understand the duties and principles that shall be complied with in such campaigns with the purpose to protect the rights and interests of consumers. From a criminal point of view, we have briefly covered the crimes against consumers provided for in the Penal Code and the Law of Infractions against the Economy. In the second part of this work, we have summarised the institutions that protect the rights and interests of consumers, which include the Public Prosecutor Office, the National Institute for the Defence of the Consumers and the Consumers’ Associations. The third and last part of this work covers electronic communications agreements. Given the fact that there is no specific legislation in this matter, our analysis was based on the Civil Code – specifically the part relating to contracts – the Law on General Contractual Terms and Conditions and the Consumer’s Defence Law. We have analysed the formation of contracts, compliance and consumers’ rights resulting from contract breach. We further have appealed to the Angolan legislator to legislate certain aspects of consumer relationships, especially those where breach of consumers’ rights are blatant and facilitated by the lack of specific laws addressing such cases.
