Why do firms pay dividends? To answer this question, we use a hand-collected data set of companies traded on the London stock market between 1825 and 1870. As tax rates were effectively zero, the capital market was unregulated, and there were no institutional stockholders, we can rule out these potential determinants ex ante. We find that, even though they were legal, share repurchases were not used by firms to return cash to shareholders. Instead, our evidence provides support for the information–communication explanation for dividends, while providing little support for agency, illiquidity, catering, or behavioral explanations. © The Authors 2013. Globalisation has led to a shift in world order with the rise of the corporate non-state actor. This rise has led to an assumption that Multi-National Corporations (MNCs) must assume responsibilities beyond profit maximisation for shareholders. With the rise of the MNC as a corporate non-state actor there have been discussions around the role of business with regard to human rights.

This article looks at the case of oil extraction in Nigeria. Focussing on the historical dependency of Nigeria and the evolution of the state into a resource-dependent country, it looks at the limitations of existing human rights obligations as they relate to business. This article proposes that corporate social responsibility (CSR) policies of MNCs can act as a preliminary stage in the quest for wider human rights protections. It is in motivating MNCs to design and implement effective CSR policies in dependent states like Nigeria, that the challenge lies.

During the recent decade, the world has witnessed the rapid growth of MNEs from emerging economies. Their increasing participation in cross-border mergers and acquisitions has raised great attention in the extant literature. This study evaluates the value creation from these cross-border transactions from two representative emerging countries, namely China and India, and determines factors that result in the different performance of these international acquisition activities. Cross-border acquisitions conducted by these countries’ companies indeed lead to significant shareholder wealth creation. Furthermore, Indian shareholders are more likely to benefit from deals in small cultural distance countries, while Chinese investors gain from the cross-border expansion of manufacturing companies. Location also affects the performance of cross-border acquisitions, with acquisitions into developed countries generating higher returns to shareholders. Our sample consists of 203 Indian and 63 Chinese cross-border deals over the period 2000–2010 and our results hold after controlling for various deal-level and firm-level characteristics.

RESUMO - Pretende-se com este projecto fazer uma reflexão sobre a problemática dos modelos de governação na gestão pública de hospitais e sobre a forma de incrementar a capacidade estratégica da gestão, contextualizando a governação dos hospitais num quadro mais amplo e comunitário, integrando os interesses e expectativas dos diversos interessados no funcionamento dos hospitais públicos. Sinteticamente, a questão fundamental de investigação é: Como conseguirá o sistema de governação de um hospital público incorporar os interesses de todos os seus stakeholders e shareholders? A resposta a esta questão integra duas fases, uma primeira dedicada ao estudo de um novo modelo de configuração para o órgão de governação de topo do hospital público e uma segunda fase dedicada à construção de um questionário para discussão e validação do modelo proposto através da técnica Delphi. A metodologia utilizada passou pela condução prévia de entrevistas exploratórias a informadores privilegiados e pela divisão do projecto em duas partes – uma primeira parte de enquadramento que segue a metodologia clássica da revisão bibliográfica e uma segunda parte prática que segue a metodologia Delphi, precedida de um levantamento das questões críticas para integrar no questionário que servirá de base à discussão dos peritos. Como resultado, o actual modelo pareceu-nos dificultar a consideração das expectativas e dos interesses dos proprietários/accionistas e dos stakeholders em geral do hospital público, concluindo-se pela necessidade de um novo modelo que estabeleça, inequivocamente, os papéis e as funções inerentes ao órgão de governação, garantindo a internalização da perspectiva de todos os interessados. -------------------------------ABSTRACT - The objective of this project is to reflect on the problematic of models of governance in the public management of hospitals and on the means for incrementing strategic management capacity. It does so by contextualizing the governance of public hospitals on a more ample community–wide scale, integrating the interests and expectations of different parties. The main research question is: how can the system of governance of a public hospital incorporate the interests of all its stakeholders and shareholders? The answer to this question involves two phases, one dedicated to the study of the configuration of the top-level governing body of the public hospital and, a second, dedicated to the construction of a questionnaire for discussion and validation of the proposed model by means of a Delphi technique. The methodology involved, first of all, exploratory interviews with key- informants and by the structuring of the project in two parts – the first, dedicated to contextualization by means of a standard literature review and the second, essentially practical by means of the Delphi technique, preceded by the raising of critical questions that integrate the questionnaire that will form the basis of expert discussion. The present model of public hospital governance appears to limit the possibility of integrating the expectations and interests of stakeholders and owner/shareholders. O aumento verificado nos últimos anos em fusões e aquisições (F&A) resulta da opção dos gestores para fazer face ao aumento da pressão competitiva e ou à necessidade de crescimento rápido. A literatura sobre os efeitos dos processos de F&A é diversificada e as conclusões são contraditórias. Neste trabalho pretendemos verificar se o processo de F&A se traduz na criação de valor para o acionista da empresa adquirente. Como métrica de avaliação utilizamos o método de análise dos fluxos de caixa atualizados ou o Discounted Cash-Flow (DCF). Para o efeito efetuamos um estudo de caso que vai incidir sobre uma empresa seguradora portuguesa – A Lusitania Companhia de Seguros, S.A. – que recentemente adquiriu, por fusão por incorporação, a Real Seguros, S.A. Efetuamos uma análise de natureza quantitativa através dos dados do relatório e contas e encontramos evidência de que o desempenho diminuiu após a transação.

The paper studies what drives firms to voluntary delist from capital markets and what differs in firms’ behavior and fundamentals between public-to-private transactions and M&A deals with listed corporations. Moreover, I study the relationship between ownership percentage in controlling shareholders’ hands and cumulative returns around the delisting public announcement. I perform my tests both for the Italian and the US markets and I compare the findings to better understand how the phenomenon works in these different institutional environments. Consistent with my expectations, I find that the likelihood of delisting is mainly related to size, underperformance and undervaluation, while shareholders are more rewarded when their companies are involved in PTP transactions than in M&As with public firms.

Legislation introduced in the U.S. in 2002/2003 significantly changed board composition of public firms by imposing a 50% independent directors’ ratio. Research on the effect of independent directors is not consensual, implying that this exogenous shock is a unique opportunity to study their importance. This study answers the question of whether or not independent directors can effectively mitigate agency conflicts between shareholders and the management, having a positive impact on the choice of successful R&D projects. We find that an increase of board independence has a positive impact on patent counts. Hence, the results support that independent directors truly spur innovation and risk taking.

This case study – and accompanying teaching note – briefly describes the history of the Espírito Santo family, a banking dynasty who led one of Portugal’s leading economic and financial groups, along with its “crown jewel”, Banco Espírito Santo. It chronicles how the corporate governance issues at BES allowed the family to exploit the bank, its shareholders and its customers, so as to support its unprofitable non-financial businesses. This left the bank in a poor financial situation, which deteriorated beyond control, leaving regulators – whose actions are also analysed here – with no alternative, amidst a severe liquidity crisis, but to apply a resolution measure, pinning large losses on junior bondholders and shareholders before recapitalising the bank.

For some years, researchers could not find a clear effect of capital adequacy on the risk profile of banks, as shareholders could increase the riskiness of the assets (qualitative effect), crowding-out the effect of reduced leverage (volume effect). Some shareholders might have the will to increase the riskiness of the assets, but they may lack the power to do so. Considering only ”powerful” shareholders, definitive conclusions were drawn but with constant ownership profile. In this paper I investigate whether there is a significant change in the type of shareholders in response to regulatory capital shocks and, if so, will the banking system be in the hands of more “desired” shareholders. I find that ownership profile responds to a regulatory shock, changing the risk appetite of the ruling power at the bank. I find more banks and the government in the ownership of undercapitalised banks and much less institutional shareholders and free float. I claim that these new shareholders may not the desired ones, given the objective of the regulatory change, as they are associated with a preference for more leverage. One possible explanation for this crowding-out effect is that regulators are trying to contain idiosyncratic risk (more linked to the riskiness of the assets) with a rule that contains systematic risk (capital adequacy). This has a distorting effect on ownership. Another insight can be drawn from the tests: supervisors should be aware of significant ownership movements that cause the crowding-out.

In February 2015, when Econet Wireless Zimbabwe Limited, EWZL, the market leader of the telecommunications sector in Zimbabwe, published the financial results, the management team was worried about the shareholders’ reaction. With over 60% market share in its core business (the voice and SMS market), it has achieved remarkable results due to the great diversification strategy. However, the share price was continuously falling due to exogenous factors that were pressuring margins and threatening future sustainability of the company. EWZL was highly exposed to Zimbabwe’s specific risks and regulatory policies. This case explores both the business environment surrounding the company and the strategic decisions necessary to fight against the economic and political challenges. Students will step into Econet’s obstacles by analyzing the strategies and diagnosing the multiple risk factors affecting the profitability of the firm. Furthermore, they will have to compute the valuation of the firm, facing several challenges of a developing country.
