Even though the term corporate inversion has been heard globally for decades, it has only become more prevalent in the United States during the past two years. This case study examines two United States companies that recently had very high profile and public corporate inversion experiences. Complicated tax laws and high tax rales have long eroded the ability of United States companies to remain competitive on a global scale. During the past two years, tax reform has been elevated to the Presidential and Congressional levei. Because these reform efforts have stalled, however, and in the constant search for ways to become more competitive and profitable, United States dorniciled companies have begun to more aggressively explore corporate inversion. This case study of Walgreens Alliance Boots and Mylan N.V., is undertaken because while the reasons to pursue a corporate inversion for both companies were very similar and done during the same time period, the internai process and final outcome were dramatically different. The other dynamic studied is the role both internai and externai politics had on these two cornpanies and how they influenced the decisions made by the executives. Lastly, the Obama Administration continues to threaten so called "corporate America" to remain in the country through regulatory pressure, but this has not stopped companies frorn pursing corporate inversions. Legislatively, attempts at corporate tax reform, another way to encourage Untied States companies to remain, have also failed. I will not try to determine i f a corporate inversion is the right path for a company to take. I am examining how the rise o f the practice o f corporate inversions has been elevated in boardroorns, on Wall Street, in Congress and at the White House during the past two years.

We report results on the optimal \choice of technique" in a model originally formulated by Robinson, Solow and Srinivasan (henceforth, the RSS model) and further discussed by Okishio and Stiglitz. By viewing this vintage-capital model without discounting as a speci c instance of the general theory of intertemporal resource allocation associated with Brock, Gale and McKenzie, we resolve longstanding conjectures in the form of theorems on the existence and price support of optimal paths, and of conditions suÆcient for the optimality of a policy rst identi ed by Stiglitz. We dispose of the necessity of these conditions in surprisingly simple examples of economies in which (i) an optimal path is periodic, (ii) a path following Stiglitz' policy is bad, and (iii) there is optimal investment in di erent vintages at di erent times. The developed democracies only have results or crystallise, when the exercise of the government policies has two dimensions: the first one, is the dimension of the government decisions making: in which, the governor accomplishes the priorities and orientations submitted to the population by electoral decisions. Then the second dimension, is the functionality of the State: capable to transform policies into convergent actions for accomplishment of the negotiated results. The consolidation of the democracy and the consequent increase of the social demand by decisions and public and government lawsuits, able to generate results that attend collectively the different levels of the society and able to aggregate and articulate additional values to their interests, imposes to the public sector administration, great challenges of public policies. Nowadays, the indispensable condition to guarantee a minimum governmental benchmark, it to overcome these challenges, in the plan of the public administration, demanded for the promotion of the economic development, in the democratic scope, to reach the politician-institutional values of the society. However, It is undeniable, the universality of the challenges of public administration that consequently, are the effects of modern administrative systems. To attempt the best result, the mast satisfy the attributes of speed, flexibility, integration and innovation, amongst others. The diffusion of guided doctrines of public management by results is reflecting in the institutionalization of new types of bureaucratic activities and amongst this context, it is distinguished as a basic importance of what we call Performance Audit. This work intends to describe how the control organs and especially the Accounts Court of the Union, the sensitive demands of the society, and attending to new constitutional order, they are structuring itself to face the new organizational and institutional challenges, in consequence of the gradual redefinition of your task, more and more liable uncertainties, current of the intimate nature of the performance audit, in development, face the traditional audit, which characterizes them in general. Therefore, the main goal of this these, is the analysis of the organizational challenges and consequently ,the lawsuits changes of the organizational structures faced in general by the Brazilian¿s Accounts Courts, which we believe, will help to elaborate paths of propulsive evaluating and restrictive elements to the innovations that are intended to introduce the systems of necessary control in the evaluation of government programs.

This study apprehends the living experiences of the RFFSA employees who still remain in the organization until its final moments of existence. In order to comprehend and analyze these experiences to generate knowledge related to personnel relationships in critical management realities as it is the case in a process of organizational liquidation. Due to the fact that the case study focus on a railroad enterprise, the presence of which is inherent to the history of the nation, social implications related to that liquidation process were investigated under cultural concepts, new organization context, added to a phenomenological approach. Through the consideration of that philosophical dimension of the relationships which constituted the object of this study, the railroader being could be more broadly understood. The employed methods include bibliographic and documental research to describe the organization and to reinforce sources for a deeper study of the railroad employee¿s culture and values. The posture assumed in that investigation was participation with the subjects including the researcher. Some characteristics were extracted out of questionnaires and interviews as a means of answering questions which would not come out trough numbers. What emerges as a fundamental learning in the conclusions can be summarized as follows: the understanding of an organization as a slice detached from society, is a deviation from human relevance paths, since implications of human actions in leabenswelt are ignored and their impacts are not considered concrete. That especial learning which the case study helped to clarify and which is an alert to liquidators and employees, independently of hierarchy, is not limited to liquidation processes. The phenomenon which shows itself in that strategic category of management is that its deviation from human relevance appears in higher dramaticism.

A introdução dos computadores pessoais no ambiente de trabalho provocou uma verdadeira revolução. Como tal, os rumos a serem tomados pelas organizações, tanto na administração de seus negócios, quanto no gerenciamento de seus recursos, nem sempre se mostraram claros. O presente trabalho contempla duas vertentes: a primei~a, prende-se à preocupação com os fundamentos teóricos da Informática, razão pela qual a Cibernética e a Tecnologia da Informação foram estudadas, como forma de se garantir os efeitos desejados da nova tecnologia; a segunda, a preocupação com o elemento humano e suas relações com as tarefas, com o computador, com o mercado de trabalho e suas expectativas. Os dados revelados pela pesquisa de campo realizada pode e deve abrir outras perspectivas de investigação, com o intuito de se maximizar a utilização dos computadores em prol de um aumento da qualidade gerencial das organizações.

Esta dissertação enfoca as implicações práticas da trajetória de acumulação de competências tecnológicas para o aprimoramento de indicadores de performance operacional. Esse relacionamento é examinado na Gradiente Eletrônica S/A durante período de 1970 a 2000. Baseada em um estudo de caso individual, esta dissertação fundamenta-se em evidências empíricas, qualitativas e quantitativas, coletadas por meio de entrevistas, observação direta e documentos internos da empresa em estudo. O exame da acumulação de competências tecnológicas é feito através de uma estrutura descritiva existente na literatura, porém adaptada especificamente para a indústria de eletroeletrônicos de consumo. O exame do aprimoramento de performance é baseado num conjunto de indicadores operacionais, típicos da indústria de eletroeletrônicos. A aplicação de estruturas descritivas, para examinar as implicações da acumulação de competências tecnológicas sobre o aprimoramento de performance operacional, em empresas de eletro-eletrônicos, ainda é escassa, principalmente no nível intra firma e em economias de industrialização recente, como no Brasil. Em termos de evidência empírica, a dissertação mostra que a acumulação de competências tecnológicas evoluiu de maneira irregular, lenta, não linear e, alguns níveis, foram acumulados de forma incompleta. As evidências sugerem, ainda, que a acumulação de competências tecnológicas influenciou positivamente o aprimoramento de onze indicadores de desempenho. Contudo, os níveis desenvolvidos não foram suficientes para aprimorar, ou mesmo sustentar, outros dois indicadores de performance. Alinhando-se a recentes estudos na literatura de empresas de economias emergentes (ex.: Figueiredo, 2001), as evidências desta dissertação sugerem que a maneira e a velocidade com que a empresa acumula suas competências tecnológicas, joga um papel chave no aprimoramento de seus indicadores de performance técnica. Por conseguinte, isto pode gerar beneficios para a performance financeira, como por exemplo, a margem operacional líquida. Não obstante, a experiência da Gradiente sugere que, outros fatores, internos e externos à empresa, podem obscurecer ou mesmo minar as contribuições da acumulação de competências tecnológicas.

This dissertation has as objective builds institutional sceneries capable to describe possible future paths they be traveled it by the Centrais Elétricas Brasileiras S.A. - Eletrobrás. Guided for the field of the managerial strategies, the author adopted the PROSPEX method, by Eduardo Marques (2003), and the obtained results pointed three main sceneries: spotlight, light and lamp. To these sceneries, the theory of the strategic business area (SBA) was applied, what allowed to detect new businesses for Eletrobrás.

This dissertation is concerned with the implications of the learning processes for the technological capability accumulation at the firm level. This relationship was examined in Kvaerner Pulping over the period from 1980 to 2000. The firm is located in Curitiba/PR and supplies equipment and complete plants (capital goods) for pulp mills. In other words, based on an individual case study, this dissertation examines how the learning processes influence the building and accumulation of technological capability. The accumulation of technological capabilities is crucial for the survival and the competitive performance of the firms. An analytical framework already available in the literature was used to describe the paths (way and speed) of technological capability accumulation in the firm studied. However, the framework was adapted specifically for the capital goods industry for the pulp & paper sector. The paths of technological capability accumulation are analysed for three different technological functions: ¿engineering activities and project management¿, ¿operational processes and practices¿ and ¿process equipment¿. The learning mechanisms were examined in the light of four key features: variety, intensity, functioning and interaction. During the 1980s and 1990s the firm accumulated different levels of technological capability in the technological functions studied. It was only when the firm started to coordinate systematically the efforts to acquire and convert the knowledge from the individual to the organizational level, at the mid 1990s, that the accumulation of technological capability was accelerated. By the end of this decade the firm was able to accumulate innovative capabilities in all the functions analysed. Similarly to previous studies that investigated other types of firms, the conclusion of this dissertation suggests that the way and rate by which the firm accumulates technological capability can be explained by the learning process and its key features over time.

This dissertation aims at examining empirical evidences obtained in the light of taxonomies and strategies for measuring firms technological capabilities and innovation in the context of developing countries, motivated by the fact that debates and studies directed to innovation has been intensified, for the last thirty years, by the recognition of its vital and growing importance to the technological, economic, competitive and industrial development of firms and countries. Two main tendencies can be identified on this debate. At one side, it¿s the literature related to the developed countries logic, whose companies are, in majority, positioned at the technological frontier, characterized by the domain of innovative advanced capabilities, directed to its sustaining, deepening and renewal. At the other side, there are the perspectives directed to the developing countries reality, where there is a prevalence of companies with deficiency of resources, still in process of accumulating basic and intermediate technological capabilities, with characteristics and technological development trajectories distinct or even reverse from those of developing countries. From this last tradition of studies, the measuring approaches based in C&T indicators and in types and levels of technological capabilities stand out. The first offers a macro level, aggregated perspective, through the analysis of a representative sample of firms, seeking to the generation of internationally comparable data, without addressing the intraorganizational specificities and nuances of the paths of technological accumulation developed by the firms, using, mostly, R&D statistics, patents, individual qualifications, indicators that carry their own limitations. On the other hand, studies that examine types and levels of technological capabilities are scarce, usually directed to a small sample of firms and/or industrial sectors. Therefore, in the light of the focus and potentialities of each of the perspectives, this scenario exposes a lack of studies that examine, in a parallel and complementary way, both types of strategies, seeking to offer more realistic, consistent and concrete information about the technological reality of developing countries. In order to close this gap, this dissertation examines (i) strategies of innovation measurement in the contexts of developing countries based on traditional approaches and C&T indicators, represented by four innovation surveys - ECIB, PINTEC, PAEP and EAI, and, (ii) from the perspective of technological capabilities as an intrinsic resource of the firm, the development of which occurs in a cumulative way and based on learning, presents and extracts generalizations of empirical applications of a metric that identifies types and levels of technological capabilities, through a dynamic and intra-firm perspective. The exam of the empirical evidences of the two approaches showed what each one of the metrics are capable to offer and the way they can contribute to the generation of information that reflect the technological development of specific industrial sectors in developing countries. In spite of the fact that the focus, objective, perspective, inclusion, scope and lens used are substantially distinct, generating, on a side, an aggregated view, and of other, an intra-sector, intra-organizational and specific view, the results suggest that the use of one doesn't implicate discarding or abdicating the other. On the contrary, using both in a complementary way means the generation of more complete, rich and relevant evidences and analysis that offer a realistic notion of the industrial development and contribute in a more direct way to the design of corporate strategies and government policies, including those directed to the macro level aspects just as those more specific and focused, designed to increment and foment firms in-house innovative efforts.

The aim of this research was to detect how strategy changes took place in a successful organization. This was an unique case study focused on O BOTICÁRIO, a cosmetic and perfumery company in the state of Paraná, Brazil. Some information (from primary data) was obtained through interviewing members of the retail development department. Extra information was taken from articles about the company and interviews with members of the board of directors published in newspapers and magazines. The analysis was carried out in an explanatory-descriptive way, with a qualitative approach. The data, other than serving to characterize the company, was used for a number of purposes. They were: to introduce information about strategy changes in the company; to identify factors that gave rise to these changes; to identify the effects of these changes on the organization; to classify the strategy changes. The data revealed that the company is highly receptive to changes. Amongst the factors that caused strategy changes the following two factors stand out: the flexibility that the company presents in adapting to environmental variations and, overall, the interdependency that exists between changes. Confirming the systemic character of organizations, it was found that the changes lead to new changes. When qualifying the strategy changes, it was discovered that the incremental changes were more related to process evolution, i.e., comprehending transformations directly related to the activities to which the changes are associated with. The discontinuous changes, on the contrary, involved transformations throughout the whole company. Of all the changes that were analyzed only two were considered to be truly strategy revolutions. This confirms the idea that organizations usually choose to search for established strategic paths. The strategy changes analyzed produced a resistance level. This resistance was directly proportional to the level of discontinuance that the change had. It was verified, however, that all changes were considered beneficial to the company. The study concludes that other factors are also responsible for the fast expansion of the company. The most important of these are: the constant lauching of new products; the identification of the company with environmental issues; the policy towards employees; the strong marketing strategy; the quality of its products; the excellence on its services; the treatment of consumers; the use of franchise shops; the training provided to all the franchise network and as well as to the employees; and the seek to hire the best professionals to supervise its services. However, it can¿t be omitted that particular cause of O BOTICÁRIO¿s success is the intuition and the feeling of its President.

This dissertation is concerned with the implications of the learning process on the technological capabilities accumulation. This relationship was examined at the Electrolux do Brasil S/A ¿ Guabirotuba Unity ¿ in Curitiba/PR, over the period of 1980 to 2000. The Brazilian factory products White Goods destined to the Brazilian market as well as to exportation. The Swedish group Electrolux, to which the Brazilian factory belongs to, produces and sell goods to more then 150 countries. Regardless their importance, studies on the accumulation of technological capabilities and the underlying learning process are still scarce in Brazil, especially those focusing on the eletrodomestics products, and more specifically on the refrigerators and freezers industry. Based on a case study in the Electrolux do Brasil S/A, from 1980 to 2000, this investigation examined the influence of the learning process in the paths of the technological capabilities accumulation in the firm. The learning processes were analyzed in the light of the analytical framework proposed by Figueiredo (2001). This framework consists in four key features: variety, intensity, functioning and interaction. The technological capabilities accumulation were studied considering two technological functions: Process and Production Organization Activities and Products Activities. The evidences to classify and describe the paths of technological capabilities accumulation as well as to analyse the learning were mainly qualitative. This investigation joins other previous studies, in which there was noticed that the learning process have great involvement on technical changes, playing a relevant role on the technological capabilities of a company. Based on the investigation done and on the practical utilization of the analytical structure proposed by Figueiredo (2001), we infer that the way and the speed of technological capabilities accumulation are related to how the various learning processes were used by the company. One implied that, in levels from one to six, the studied company cumulated capabilities to level (5). Regarding technological competence, it approached industrialized countries firms, which present level (6), advanced.

Alguns autores têm chamado a atenção para a importância da administração cambial nos processos de desenvolvimento econômico no que vem sendo conhecido como um ¿development approach¿ para taxas de câmbio. O nível do câmbio real teria forte impacto na acumulação de capital na medida em que afetaria as trajetórias de consumo, investimento e poupança agregados de uma economia via definição do nível do salário real. O setor de bens comercializáveis não tradicional estimulado por um câmbio competitivo destacar-se-ia pelo seu dinamismo e potencial de inovações tecnológicas, contribuindo para aumentos de produtividade necessários ao processo de desenvolvimento econômico. Estímulos ao setor de exportações contribuiriam também para a redução da vulnerabilidade a crises externas. Inúmeros estudos têm destacado a ocorrência de crises no balanço de pagamentos por problemas de sobrevalorização cambial ou desalinhamento. Com o objetivo de contribuir para essa discussão, o trabalho a ser apresentado trata das relações existentes entre nível do câmbio real e o processo de desenvolvimento econômico. Tem como objetivo mais específico analisar a hipótese de que haveria uma relação negativa entre nível do câmbio real e taxas de crescimento per capita. Câmbios reais relativamente desvalorizados seriam benéficos para processos de desenvolvimento econômico enquanto que níveis excessivos de apreciação cambial seriam nocivos.
