The deal value of private equity merger and takeover activity has achieved unprecedented growth in the last couple of years, in Australia and globally. Private equity deals are not a new feature of the market; however, such deals have been subject to increased academic, professional and policy interest. This study examines the particular features of 15 major deals involving listed company "targets" and provides evidence – based on a comparison with a benchmark sample – to demonstrate the role that private equity plays in the market for corporate control. The objective of this study was to assess the friendliness of private equity bids. Based on the indicia compiled, lower bid premiums, the presence of break fees and the intention to retain senior management are compellingly different for private equity bids than for the comparative sample of bids. Using these several characteristics of "friendliness", the authors show that private equity deals are generally friendly in nature, consistent with industry rhetoric, but perhaps inconsistent with the popular belief that private equity bidders are the "barbarians at the gate".

Objective: The present study investigated the foot health of the Kaimanawa feral horse population and tested the hypotheses that horses would have a large range of foot morphology and that the incidence of foot abnormality would be significantly high. Procedures: Abnormality was defined as a variation from what the two veterinarian assessors considered as optimal morphology and which was considered to impact negatively on the structure and/or function of the foot. Fifteen morphometric variables were measured on four calibrated photographic views of all four feet of 20 adult Kaimanawa feral horses. Four morphometric variables were measured from the lateromedial radiographs of the left forefoot of each horse. In addition, the study identified the incidence of gross abnormality observed on the photographs and radiographs of all 80 feet. Results: There was a large variation between horses in the morphometric dimensions, indicating an inconsistent foot type. Mean hoof variables were outside the normal range recommended by veterinarians and hoof care providers; 35% of all feet had a long toe conformation and 15% had a mediolateral imbalance. Abnormalities included lateral (85% of horses) and dorsal (90% of horses) wall flares, presence of laminar rings (80% of horses) and bull-nose tip of the distal phalanx (75% of horses). Both hypotheses were therefore accepted. Conclusions: The Kaimanawa feral horse population demonstrated a broad range of foot abnormalities and we propose that one reason for the questionable foot health and conformation is lack of abrasive wearing by the environment. In comparison with other feral horse populations in Australia and America there may be less pressure on the natural selection of the foot of the Kaimanawa horses by the forgiving environment of the Kaimanawa Ranges. Contrary to popular belief, the feral horse foot type should not be used as an ideal model for the domestic horse foot.

Embobied Object, Material Family. Late-Medieval Wood Sculptures Depicting Saint Anne with the Virgin and Child in Finland Saint Anne, the mother of the Virgin Mary, was one of the most popular saints in Western Europe in the late Middle Ages. She was often depicted with two other figures, the Virgin and the Christ Child (Anna Selbdritt). The dissertation examines the polychrome wood sculptures showing this motif, with a special focus on those remaining in Finland. It investigates the meanings these sculptures had to their observers in the fifteenth-century Finland. The study sheds light to important material heritage which is little known and offers new insights into the cult and imagery of the holy grandmother. Methodologically the study is based on iconology and post-formalist art history, and it appropriates concepts such as spatiality, sanctity, corporeality, and gender. Taking a comparative approach it knits together larger tendencies and local people and incidents. By conflating methodological domains it renews the ways how fragmentary wood sculptures, lacking documentary written sources, can be contextually interpreted and comprehended. The sculptures are analyzed from three angles. Firstly, the study explores the sculptures by focusing on their materiality and facture, which is to consider them as records of their own making. The analysis provides new information concerning the quantity, location, and current condition of the sculptures and it also elucidates problems regarding attribution, dating, display, and craftsmanship. The book presents the results of the empirical study of 45 Saint Anne groups; these works are individually described in the large Appendix. Secondly, the works are contextualized to the specific historical conditions in which they were observed. The study discusses closely the circumstances in the Turku Cathedral around the shrine of Saint Anne, the popular belief, and the piety of individual persons. The sculptures, deemed as the embodiments of the holy characters, interacted with the devotees. Thirdly, the works are examined within the wider theological and ideological currents of the era centered on the body and Incarnation. Saint Anne with the Virgin and Child motif demonstrated the Carnal Trinity, the motherly side of the Holy Trinity. The dissertation argues that Saint Anne was interpreted as the female counterpart or, in a mythical sense, wife of God. Furthermore, the Child s implicit, simultaneous presence as a suffering or dead man imbues the sculptures with a sense of the Passion, thus associating them with the pietà and the Mater dolorosa motifs. The naked Christ Child underlines him as the offering and, eventually, the Eucharistic wafer. The study suggests that the sculptures mediate continuity and the bloodline between the generations by the intertwined and repeated gestures, clothing and positions of the portrayed figures. Regardless of the ostensible homeliness of the sculptures, so readily reiterated by earlier scholars, these sculptures represented creation and birth through the carnal yet holy mothers.

Macroscopic strain was hitherto considered a necessary corollary of deformation twinning in coarse-grained metals. Recently, twinning has been found to be a preeminent deformation mechanism in nanocrystalline face-centered-cubic (fcc) metals with medium-to-high stacking fault energies. Here we report a surprising discovery that the vast majority of deformation twins in nanocrystalline Al, Ni, and Cu, contrary to popular belief, yield zero net macroscopic strain. We propose a new twinning mechanism, random activation of partials, to explain this unusual phenomenon. The random activation of partials mechanism appears to be the most plausible mechanism and may be unique to nanocrystalline fcc metals with implications for their deformation behavior and mechanical properties.

To make a comprehensive evaluation of organ-specific out-of-field doses using Monte Carlo (MC) simulations for different breast cancer irradiation techniques and to compare results with a commercial treatment planning system (TPS). Three breast radiotherapy techniques using 6MV tangential photon beams were compared: (a) 2DRT (open rectangular fields), (b) 3DCRT (conformal wedged fields), and (c) hybrid IMRT (open conformal+modulated fields). Over 35 organs were contoured in a whole-body CT scan and organ-specific dose distributions were determined with MC and the TPS. Large differences in out-of-field doses were observed between MC and TPS calculations, even for organs close to the target volume such as the heart, the lungs and the contralateral breast (up to 70% difference). MC simulations showed that a large fraction of the out-of-field dose comes from the out-of-field head scatter fluence (>40%) which is not adequately modeled by the TPS. Based on MC simulations, the 3DCRT technique using external wedges yielded significantly higher doses (up to a factor 4-5 in the pelvis) than the 2DRT and the hybrid IMRT techniques which yielded similar out-of-field doses. In sharp contrast to popular belief, the IMRT technique investigated here does not increase the out-of-field dose compared to conventional techniques and may offer the most optimal plan. The 3DCRT technique with external wedges yields the largest out-of-field doses. For accurate out-of-field dose assessment, a commercial TPS should not be used, even for organs near the target volume (contralateral breast, lungs, heart).

Dans le cadre d’une sociologie des organisations portant sur les liens entre organisations télévisuelles et environnement, la présente thèse a pour objectif de cerner les modalités du développement récent de la télévision au Québec en le comparant à celui de la Belgique francophone et de la Suisse. Une telle comparaison repose sur un principe méthodologique simple: on cerne d’autant mieux la réalité que l’on étudie si on peut la comparer à une réalité équivalente d’autres sociétés. En s’appuyant sur des théories de développement organisationnel reliées au courant néo-fonctionnaliste et en adaptant des « histoires de cas » d’études organisationnelles à la réalité télévisuelle des années 90 et 2000, le chercheur a mis au point une grille de classification des données permettant d’étudier les composantes du développement de la télévision dans trois « petites » sociétés industrialisées. Dans un premier temps, il a pu constater une augmentation très importante du nombre de chaînes de télévision par rapport à ce qu’il était dans les années 50 à 70, le tout encadré par les autorités réglementaires en place. Par la suite, dans chacune de ces trois sociétés et sur une période de vingt-cinq ans, il a pu préciser les interactions et échanges entre organisations télévisuelles et environnement lesquels ont été, selon les cas, harmonieux, difficiles, voire même conflictuels. Après avoir comparé les modalités d’une telle augmentation entre les trois sociétés, le chercheur a pu constater une convergence de surface. On note bien quelques similitudes entre les trois sociétés, mais, surtout, chacune d’entre elles est restée sur son quant-à-soi. En Suisse, l’importance accordée au consensus social a favorisé un développement équilibré de l’augmentation des chaines. En Belgique, pays aux divisions profondes constamment réaffirmées, les oppositions ont permis, malgré tout, l’édification d’un ensemble audiovisuel relativement stable. Au Québec, avec une augmentation exponentielle du nombre de chaines, on a assisté à un véritable surdéveloppement de la télévision encouragé et planifié par les autorités gouvernementales canadiennes en réaction à un supposé envahissement culturel américain. Le CRTC, la régie des ondes canadiennes, a pesé de tout son poids pour favoriser l’augmentation du contenu canadien et de la production locale. Par ailleurs, cette augmentation s’est faite avec des ressources limitées. On en fait trop avec trop peu. C’est ce qui permettrait d’expliquer la baisse de qualité de la télévision québécoise contemporaine. Comme élément de solution aux problèmes que la télévision québécoise connait présentement, il faudrait considérer cette dernière pour ce qu’elle est véritablement: une petite télévision dans un univers industriellement hautement développé. Si une telle conception est très bien acceptée aussi bien en Belgique qu’en Suisse, elle ne l’est pas au Québec

La présente étude s’imbrique dans une recherche plus large, réalisée par Damant, Oxman-Martinez, Lapierre, Tutty, Ursel, Jampton et Thiara (CRSH, 2009) ayant comme titre « Mothering in the context of domestic violence in Canada and the United Kingdom: A focus on Aboriginal, Black and Minority Ethnic women ». Dans le cadre de la présente recherche, nous effectuerons une analyse secondaire de certaines entrevues effectuées dans le cadre de la recherche de Damant et al., nous penchant plus spécifiquement sur la violence post-séparation, vécue par ces femmes. Nous baserons l’analyse des données sur sept de leurs entrevues semi-structurées. La sélection de ces sept entrevues a été effectuée par la chercheure principale. Bien qu’aucune question n’explorait le thème de la violence conjugale post-séparation, certaines femmes ont quand même abordé celui-ci. Nous en ferons état dans la présente recherche.

In a global context of climate change and energy transition, Quebec seems to be privileged, producing a large amount of cheap hydroelectricity. But aside from the established popular belief that Quebec’s energy is abundant, clean and inexpensive, Quebec’s energy future is still precarious. Within a few decades, Quebec will have to import a significant amount of electricity at a higher price than it actually produces it; the cheap exploitable hydro resources will not only get scarcer if not nonexistent; and the national hydroelectric ``cultural`` heritage even seems to quell the development of alternative energies, letting few space for local innovation coming from municipalities. While in many countries, municipalities are recognised as key figures in the energy sector, here, in Quebec, their role in the national energy system seems marginal. As main actors responsible for territorial planning, it seams that municipalities could play a more important role on Quebec’s energy scene. So they can densify their territory, develop active and collective solutions to transportation issues, they can adopt exemplary energetic habits, they can produce their own energy with wind, solar or even district heating systems. District heating and heat networks being less well know and documented in Quebec, the present study aims at explaining their low penetration level in the Quebec energy landscape. The study also attempts to understand what are the main hurdles to the implementation of district heating in Quebec’s particular energetic context. Finally, the research tries to open a discussion on the motives that could incite municipalities to adopt district heating as an energy alternative. Based on some twenty interviews with key actors of the energy and municipal sectors, the findings give some indications that the low penetration level of district heating in the Quebec municipalities could explain itself in part by : the low priced hydroelectricity, the presence of a comfortable, sufficient and pervasive Hydro-Quebec(er) culture, and also by organizational dynamic and a certain political inertia which limit the appropriation of an energy competence by local governments. In turn, the study shows that district heating solutions are more likely to develop in contexts in which : there are minimum urban or energy density levels; the development of district heating coincides with the local or regional economic structure; and where exist a mobilising local leader or local visions from a community in favor of the implementation of alternative energy systems.

Podeu escriure el text directament o arrossegar-lo des d'un altre document En los últimos años el fenómeno de las bandas callejeras integradas por jóvenes latinoamericanos ha atraído la atención de los medios de comunicación y de diferentes grupos políticos. Colectivos de estos jóvenes con frecuencia acaban siendo descritos como "bandas" y presentados como grupos altamente delictivos que tienen como propósito perturbar la paz pública. Esta investigación, llevada a cabo en Cataluña, desmitifica muchos tópicos difundidos dentro de la población. Se muestra que las bandas callejeras de origen latinoamericano no son grupos delictivos. La participación de sus miembros en la delincuencia constituye una parte menor de entre todas sus actividades. Son grupos que carecen de una estructura fuerte y de organización jerárquica suficiente para que puedan ser catalogados como organizaciones criminales. Tales grupos, además, no mantienen relaciones de carácter instrumental con sus homólogos en los países de América Latina y no han sido implantadas por voluntad de estos.

Although much literature on construction procurement is based on personal experiences, there is little data available to undertake realistic comparison between regions or from one year to another. A survey was undertaken in the UK to examine the feasibility of developing a replicable survey technique that will enable longitudinal studies and international comparisons. The survey showed that a majority felt traditional procurement methods were inappropriate. However, traditional general contracting is still the most common form of procurement. There was strong agreement that economic muscle compels weaker contracting parties to accept onerous contractual terms. There is no relationship between the size of a project and its procurement method, contrary to popular belief. The findings indicate that wider surveys would generate useful data about attitudes.

An international survey of clients, consultants and contractors produced wide-ranging data on the views of users of the FIDIC form of contract. The purpose of the survey was to elicit views on a range of issues, prior to revising the model form, to ensure that the contract drafters produce a form that is satisfactory for its users. Those questions that focus upon the role of the engineer have been subjected to detailed statistical analysis. The analysis shows that, contrary to popular belief, the views of contract users from common law jurisdictions do not differ from those in civil code jurisdictions. The engineer’s role is not generally perceived as neutral in the contractual relationships between clients and contractors. Contractors would prefer someone other than the engineer to be the first-line settler of disputes in contracts.

Two sources of bias arise in conventional loss predictions in the wake of natural disasters. One source of bias stems from neglect of accounting for animal genetic resource loss. A second source of bias stems from failure to identify, in addition to the direct effects of such loss, the indirect effects arising from implications impacting animal-human interactions. We argue that, in some contexts, the magnitude of bias imputed by neglecting animal genetic resource stocks is substantial. We show, in addition, and contrary to popular belief, that the biases attributable to losses in distinct genetic resource stocks are very likely to be the same. We derive the formal equivalence across the distinct resource stocks by deriving an envelope result in a model that forms the mainstay of enquiry in subsistence farming and we validate the theory, empirically, in a World-Society-for-the-Protection-of-Animals application

This paper considers whether there were periodically collapsing rational speculative bubbles in commodity prices over a 40-year period from the late 1960s. We apply a switching regression approach to a broad range of commodities using two different measures of fundamental values—estimated from convenience yields and from a set of macroeconomic factors believed to affect commodity demand. We find reliable evidence for bubbles only among crude oil and feeder cattle, showing the popular belief that the extreme price movements observed in commodity markets were caused by pure speculation to be unsustainable

A Brazilian Traction, Light and Power Company ("Light"), formada por empreendedores canadenses em 1899, operou por 80 anos praticamente toda a infraestrutura (bondes, luz, telefones, gás) do eixo Rio-São Paulo. A empresa passou por vários ciclos políticos, desde sua fundação até sua estatização em 1979. Durante este período de 80 anos, a infra-estrutura nacional, inicialmente privada, foi gradativamente passando para as mãos do Estado. O setor voltaria a ser privado a partir dos anos 90, configurando o ciclo privado-público-privado, similar ao ocorrido nos países mais desenvolvidos. A Light, símbolo maior do capital estrangeiro até os anos 50, foi inicialmente bem recebida no país, posto que seu desenvolvimento era simbiótico, causa e conseqüência, ao desenvolvimento industrial. Dos anos 20 em diante, crescem os debates econômicos ou ideológicos quanto ao papel do capital privado estrangeiro no desenvolvimento nacional, vis-a-vis a opção do setor público como ator principal. Sempre permaneceu sob névoa quais teriam sido os lucros da Light no Brasil, e se esses seriam excessivos, acima do razoável. Outra questão recorrente se refere até que ponto os congelamentos de tarifas teriam contribuido para a crise de oferta de infra-estrutura. Através de um trabalho de pesquisa em fontes primárias, esta dissertação procura reconstituir a história da Light, sob um foco de Taxa de Retorno sob o capital investido. Foi reconstruída a história financeira da Light no Brasil, a partir da qual calculou-se, para vários períodos e para os seus 80 anos de vida, os retornos obtidos pelos acionistas da empresa. A partir dos resultados obtidos, e utilizando-se de benchmarks comparativos, foi possível mostrar que: i) ao contrário da crença vigente à época, o retorno obtido pelo maior investidor estrangeiro no setor de infra-estrutura do Brasil do Séc. XX, se mostrou bem abaixo do mínimo aceitável, e ii) o represamento de tarifas, por várias décadas, foi de fato determinante para o subdesenvolvimento do setor de infra-estrutura no Brasil.
