This project is composed by a Case Study regarding Tagus’ takeover offer for Brisa. The case study describes each player involved in the operation: the target company – Brisa, the acquirers – José de Mello and Arcus; as well as the circumstances surrounding the takeover, with a description of the takeover itself and the conflict between the acquirers and Abertis. Associated to the case, there is a group of six question and their respective answers, regarding the motive of the takeover, the price per share, what should be the positions of Brisa’s shareholders regarding the takeover and the reason Brisa’s share price declined after the success of the operation.

We investigate the impact of cross-delisting on firms’ financial constraints and investment sensitivities. We find that firms that cross-delisted from a U.S. stock exchange face stronger post-delisting financial constraints than their cross-listed counterparts, as measured by investment-to-cash flow sensitivity. Following a delisting, the sensitivity of investment-to-cash flow increases significantly and firms also tend to save more cash out of cash flows. Moreover, this increase appears to be primarily driven by informational frictions that constrain access to external financing. We document that information asymmetry problems are stronger for firms from countries with weaker shareholders protection and for firms from less developed capital markets.

The building sector is one of the Europeâ s main energy consumer, making buildings an important target for a wiser energy use, improving indoor comfort conditions and reducing the energy consumption. To achieve the European Union targets for energy consumption and carbon reductions it is crucial to act in new, but also in existing buildings, which constitute the majority of the building stock. In existing buildings, the significant improvement of their efficiency requires important investments. Therefore, costs are a major concern in the decision making process and the analysis of the cost effectiveness of the interventions is an important path in the guidance for the selection of the different renovation scenarios. The Portuguese thermal legislation considers the simple payback method for the calculations of the time for the return of the investment. However, this method does not take into consideration inflation, cash flows and cost of capital, as well as the future costs of energy and the building elements lifetime as it happens in a life cycle cost analysis. In order to understand the impact of the economic analysis method used in the choice of the renovation measures, a case study has been analysed using simple payback calculations and life cycle costs analysis. Overall results show that less far-reaching renovation measures are indicated when using the simple payback calculations which may be leading to solutions less cost-effective in a long run perspective.

Many firms around the world are managed and partially owned by entrepreneurs. These entrepreneurs hold under diversified portfolios and, therefore, bear idiosyncratic risk in addition to systematic risk. To compensate the additional risk borne, they extract private benefits. In this paper, we analyse how an entrepreneur's overconfidence affects the market performance of the firm, through the channel of private benefits. We show that two dimensions of overconfidence, namely overestimation of future cash-flows and underestimation of idiosyncratic risk (called miscalibration), have opposite effects on the private benefits extracted by the entrepreneur. As a consequence, firms managed and partially owned by overconfident entrepreneurs can deliver overperformance or underperformance, depending on the prevalence of overestimation or miscalibration of the beliefs of the entrepreneur.

We present a standard model of financial innovation, in which intermediaries engineer securities with cash flows that investors seek, but modify two assumptions. First, investors (and possibly intermediaries) neglect certain unlikely risks. Second, investors demand securities with safe cash flows. Financial intermediaries cater to these preferences and beliefs by engineering securities perceived to be safe but exposed to neglected risks. Because the risks are neglected, security issuance is excessive. As investors eventually recognize these risks, they fly back to safety of traditional securities and markets become fragile, even without leverage, precisely because the volume of new claims is excessive.

Os fluxos gerados pela economia de Cabo Verde, desde sempre, foram insuficientes para financiar o seu desenvolvimento, devido aos constrangimentos relativas à falta de recursos naturais, ao défice da balança comercial e à dimensão e fragmentação do território. Neste sentido, o capital estrangeiro surge como um recurso estratégico no desenvolvimento de CV, sendo um instrumento chave para colmatar alguns défices da economia cabo-verdiana. Logo a relevância do estudo proposto, que parte da questão: “Os incentivos e o ambiente oferecidos por CV têm sido suficientemente eficientes para atrair o IDE ou os números poderiam estar melhores?” Na sequência da revisão teórica e da literatura, a fim de obter a resposta à pergunta da pesquisa, analisamos os incentivos e o ambiente oferecidos aos investidores externos, através de instrumentos empreendidos pelo Governo de CV e analisamos a evolução dos fluxos do IDE no país, com especial atenção ao período 2000-2006, a partir de dados estatísticos. A análise posterior – percepção dos investidores externos em CV – deu lugar a um estudo qualitativo, a partir de um inquérito efectuado à uma amostragem probabilística de dez investidores externos, elegidos a partir de critérios fundamentados. Como resultado, observamos que os instrumentos empreendidos pelo Governo na atracção do IDE têm mais de dez anos de existência, não coincidindo com os maiores picos de IDE em CV ocorridos nos dois últimos anos. Observamos, ainda, que, de uma forma geral, os investidores externos privilegiam o mercado cabo-verdiano pela estabilidade política e económica. Por outro lado, apontam grandes constrangimentos a nível de infra-estrutura, ligações marítimas internas e aéreo para o exterior. As formalidades administrativas foram, também, objecto de avaliação negativa por parte dos investidores inquiridos. Posto isto, concluímos que, de uma forma geral, os instrumentos de atracção ao IDE em CV não são suficientemente eficazes para atender às necessidades dos investidores externos. Isto demonstra que há um interessante terreno a ser explorado. The cash flows generated Cape Verde’s economy, so far, have been insufficient to finance its development, due to constraints concerning the lack of natural resources, the trade balance deficit and the geographical distribution and dimension of the territory. In this context, foreign capital appears as a strategic resource for Cape Verde’s development. Foreign investment is a significant instrument to overcome some shortfalls of the cape-verdean economy. Therefore the relevance of this study which is based on the question: "The incentives offered by CV and the environment have been effective enough to attract FDI or the numbers could be better?" Following the literature and theoretical review, in order to get the answer to the research question, we have analyzed the stimulus and environment provided to foreign investors through instruments launched by the Government. We have analysed the evolution of FDI´s flows into the country, with particular focus on the period 2000 - 2006, from statistical data. The subsequent analysis - the perception of foreign investors in CV - produced a qualitative survey study, conduced on a sampling of ten foreign investors, selected from founded criterions. As a result, we observed that the instruments undertaken by the Government in attracting FDI are over than ten years old and the higher FDI peak took place during the two last years. It was noticed that foreign investors choose the cape-verdean market because of its politic and economic stability. On the other hand, foreign investors show great constraints in terms of infrastructure, internal maritime connection and international flight connections. The administrative formalities are also subject of a negative evaluation by the investors surveyed. We have eventually figured out that the attraction instruments for FDI in CV are not effective enough for the needs of foreign investors. This demonstrates that there is a interesting ground to be explored.

O presente trabalho tem como objectivo, o estudo de caso sobre investimento hoteleiro em Cabo Verde, no qual avaliaremos os investimentos com base no método Discount Cash Flow (DCF), bem como a metodologia de opções reais. O estudo centra-se nos investimentos realizados pelo grupo RIU Hotels and Resorts, grande grupo hoteleiro com presença internacional, que tem investido continuadamente com grande sucesso em Cabo Verde. Assim, sendo, para além de uma descrição e enquadramento do sector hoteleiro na Ilha de Sal, este estudo foca-se igualmente na análise dos vários projectos concretizados pelo grupo RIU. Este trabalho está estruturado em cinco capítulos para além de incluir a presente introdução e a conclusão. Os dois métodos de avaliação apresentados neste trabalho são ambos fundamentais para avaliação de investimentos, mas apesar de o método mais tradicional, o DCF ser bem aceite, a abordagem de opções reais é igualmente uma mais-valia na análise de projectos continuados, complexos e bem identificados num determinado sector – neste caso o sector hoteleiro. Na avaliação de sector hoteleiro, o método de DCF isoladamente pode não ser o mais apropriado ao estar algo limitado no tratamento da flexibilidade para modificar as decisões ao longo do tempo. Em investimentos estratégicos, cujo valor depende crucialmente da evolução de variáveis-chave, a metodologia de opções reais permite mais facilmente analisar em que medida a flexibilidade de um projecto pode trazer valor a um cenário-base. No contexto mundial, em virtude da complexidade da economia, da expansão e competitividade dos mercados, verifica-se uma crescente necessidade das empresas em buscarem instrumentos que as auxiliem no planeamento e controle de seus recursos para que estes sejam usados de maneira adequada, a fim de salvaguardar a actividade empresarial e alcançar o objectivo almejado pela empresa. O sucesso empresarial demanda cada vez mais o uso de práticas financeiras apropriadas. A realidade aponta para gestores sedentos de informações relevantes que irão auxiliar o seu processo decisório. Assim sendo, o trabalho ora intitulado: A Importância do Fluxo de Caixa, e o paradigma da utilidade foi elaborado através de pesquisa bibliográfica e exploratória sobre o assunto em questão, tendo como base artigos, livros e dissertações. O seu objectivo principal é enfatizar a importância do demonstrativo de Fluxo de Caixa como ferramenta para os gestores obterem eficiência na administração financeira da sua entidade. Para tanto, iniciamos com uma resenha histórica do mapa em estudo. Num segundo momento fazemos um enquadramento teórico onde referimos ao conceito de fluxo de caixa, seus objectivos, as suas normas legais nacionais e internacionais, e a presença da demonstração de fluxo de caixa no mercado Cabo-verdiano antes de 2009. Em seguida temos a metodologia de elaboração do mapa, onde fazemos referências ao aspecto conceptual, aos métodos de elaboração o método directo e indirecto, as vantagens e desvantagens sem deixar de lado o paradigma da utilidade do mapa. Finalizando, apresentamos uma parte prática onde o objectivo é expressar em números tudo o que foi divulgado teoricamente. In the global context, along with the virtue of the economic complexity, from the expansion and the competition of the markets, there is an essential increase of the companies looking forward for instruments that will assist them in planning and control the resources so that these would be used in the most adequate way, in a way to guaranty company’s activity and to accomplish the objectives intended by the company. Company’s success requires more and more the use of appropriated financial practice. The reality demonstrates managers eager for relevant information that will support his/her process of decision. So therefore the work entitled “The Importance of Cash Flow” and its paradigm of utility was elaborated according to the bibliographic and exploratory research about the topic in question, having as support articles, books and dissertations. Its main objective is to emphasize the importance of the Cash Flow Statement as an instrument for the managers to obtain efficiency in the financial management of its corporation. For that, we start with an historical review of the statement in study. Secondly we make a theoretical approach where we reflect on the Cash Flow, its objectives, its national and international official standards and the statement of Cash Flows in Cape Verdean market before 2009. After that, there is the methodology of the design of the statement, where we refer to the conceptual aspects, the direct and indirect methods of design, the advantages and disadvantages without letting out the paradigm of utility of the statement. Finally, we present a practical case illustrating in numbers the whole thing that was presented theoretically.

O presente trabalho tem como objectivo evidenciar a importancia da demonstração dos fluxos de caixa como instrumento de planeamento financeiro e de tomada de decisão. As informações fornecida pela demonstração dos fluxos de caixa serão de grande utilidade para a Administração, pois permitem compreender a alocação dos meios financeiros da entidade o que ajudará no planeamento financeiro e na tomada de decisões económico-financeiras. A demonstração dos fluxos de caixa como peça contabilística permite a Administração verificar a consistência dos planos projectados e estimar as exigências financeiras da entidade. O trabalho inclui uma abordagem teórica seguido de um estudo de caso. Na abordagem teórica, fez-se a apresentação das principais teorias e conceitos sobre o tema. O estudo de caso incidiu sobre uma empresa nacional, a Enacol, em que analisou-se a demonstração do fluxo de caixa dos ultimos três anos, bem como os indicadores económicos e financeiros possibilitando a análise da situação financeira da empresa. Foi também utilizada a entrevista a pessoas ligadas a área de contabilidade numa empresa. Os resultados obtidos mostram que a demonstração dos fluxos de caixa é um importante instrumento no planeamento financeiro e na tomada de decisões para a continuidade dos negócios das empresas. This paper aims to highlight the importance of the statement of cash flows as a tool for financial planning and decision making. All the information provided by the statement of cash flows will be very useful for the Administration, because they allow them to understand the allocation of the financial resources of the entity which will be a support in financial planning and decisionmaking in economic and financial areas. Being part of accounting, the statement of cash flows allows the Administration to verify the consistency of the projected plans and estimate the organization financial requirements. The following work includes a theoretical approach followed by a case study. Within the theoretical approach was made a presentation of the main theories and concepts on the subject while the case study focused on a national company, Enacol, in which we analyzed the statement of cash flows for the last three years, as well as the economic and financial indicators enabling the analysis of the financial situation of the company. It was also used an interview used for people connected to a company in the accounting field. Therefore, the results show that the statement of cash flows is an important tool in financial planning and decision making for the continuity of companies businesses.

Tutkimus tarkastelee vaihtoehtoisia termiinisuojaustrategioita metsäteollisuuden alan tulosyksikössä. Jälkitestauksen tarkoituksena on arvioida vaihtoehtoisten strategioiden tuloksellisuutta suojata case-yrityksen kassavirtoja seuraavan kolmen arviointikriteerin avulla: yksittäisten vieraan valuutan määräisten kassavirtojen vaihtelu; koko vieraan valuutan määräisen kassavirran vaihtelu; suojausvoitot ja -tappiot. Tutkimuksen teoreettinen viitekehys tarkastelee yrityksen päätöksentekoa, valuuttariskien suojausprosessia sekä esittelee yrityksen vaihtoehtoisia suojausstrategioita. Tutkimuksen empiirinen aineisto pohjautuu case- yrityksen historiallisiin myyntilukuihin ja on kerätty yrityksen tietojärjestelmästä. Muu tutkimuksessa käytetty dataon kerätty eri tietokannoista. Tutkimuksen tulokset osoittavat, että suojaaminen vähentää kassavirtojen vaihtelua. Suojaamisen taloudelliset tulokset ovat kuitenkin erittäin riippuvaisia valitusta suojausstrategiasta, joka voi johtaa merkittäviin suojausvoittoihin, mutta yhtä hyvin myos merkittäviin tappioihin. Johdon näkemykset ja riskitoleranssi määrittelevät mitä strategiaa yrityksessä tullaan viime kädessä noudattamaan.

Tämän Pro gradu-tutkielman tavoitteena olirakentaa esiymmärrys sosiaalisen pääoman roolista ja mittaamisesta uuden teknologian start-up yrityksissä. Pääasiallisena tarkoituksena tässä tutkimuksessa olilöytää sosiaalisen pääoman ja start-up yrityksen tuloksellisuuden välille yhdistävä tekijä. Tutkimuksen empiirinen aineisto kerättiin pääasiallisesti kuuden OKO Venture Capitalin sijoitusportfolioon sisältyvien case-yritysten kvalitatiivisten teemahaastatteluiden sekä kvantitatiivisten kyselylomakkeiden avulla. Kvalitatiivisten haastatteluiden tulosten perusteella sosiaalisen pääoman ja tuloksellisuuden välille löytyi yhdistävä tekijä, jota käytettiin myöhemmin hyväksi kvantitatiivisessa kyselylomakkeessa. Tämän tutkielman tulokset osoittivat, että startegisen päätöksenteon kautta sosiaalinen pääoma vaikuttaa osittain start-up yritysten tuloksellisuuteen. Manageriaalisesti tärkempi löydös tässä tutkimuksessa oli kuitenkin se, että sosiaalista pääomaa voidaan käyttää hyväksi ennustettaessa uuden teknologian start-up yritysten tulevaisuuden kassavirtoja.

Diplomityössä tutkitaan sähkön ja lämmön yhteistuotannon kannattavuutta Turengin nykyisen lämmöntuotannon yhteydessä. Tavoitteena on löytää taloudellisesti kilpailukykyiset tuotantovaihtoehdot Turengin energiahuollon kehittämisessä. Ensimmäisenä tarkasteltarkastellaan voimalaitoksen nykyiseen tuotantolaitteistoon kuuluvan vastapainehöyryturbiinin käyttöönoton mahdollisuuksia. Tämän jälkeen suoritetaan kannattavuuslaskelmat neljälle vaihtoehtoiselle investointitapaukselle. Voimalaitosinvestoinnit kohdistuvat kaasumoottori- ja kaasuturbiinivoimalaitoksiin, joilla tuotetaan sähköä, kaukolämpöä ja eräissä tapauksissa myös prosessihöyryä. Voimalaitosten nettosähkötehot ovat neljästä yhdeksään megawattia. Voimalaitosyksiköiden energiantuotanto määritetään Turengin lämpökuormien perusteella. Tuotannon määrityksessä apuna käytetään WinTEHO –ohjelmistoa, johon luodaan tarvittavat energiatiedostot. Kannattavuuslaskelmat suoritetaan vertaamalla investointivaihtoehtojen aiheuttamia vuotuisia kassavirtoja nykyisen tuotannon mukaisiin kassavirtoihin. Kassavirtalaskelmasta saadaan kullekin vaihtoehdolle nettonykyarvo, sisäinen korko ja takaisinmaksuaika. Tarkastelun tuloksena saatiin, että voimalaitosvaihtoehdoista kannattavin on investointi yhteen kaasumoottoriin, jolla tuotetaan sähkön lisäksi vain kaukolämpöä. Alhaisilla sähkön hinnoilla kaasuturbiinivaihtoehdot ovat suunnilleen yhtä kannattavia. Investointien nykyarvo valitulla korkokannalla on positiivinen, kun sähkön markkinahinnan keskiarvo tuotantokaudella ylittää likimain tason 130 mk/MWh. Nykyisillä markkinahinnoilla investoinnit eivät ole kannattavia. Investoiminen uuteen kaasumoottoriin tai -turbiiniin osoittautui kannattavammaksi kuin sähkön tuotannon aloittaminen laitoksen nykyisellä höyryturbiinilla. Merkittävin syy tähän oli höyryturbiinituotannon korkeat henkilöstökustannukset. Tehty selvitys tukee vallitsevaa käsitystä, että nykytekniikalla sähkön ja lämmön yhteistuotanto on taloudellisesti kilpailukykyistä myös pienessä kokoluokassa.

ABSTRACT The citriculture consists in several environmental risks, as weather changes and pests, and also consists in considerable financial risk, mainly due to the period ofreturn on the initial investment. This study was motivated by the need to assess the risks of a business activity such as citriculture. Our objective was to build a stochastic simulation model to achieve the economic and financial analysis of an orange producer in the Midwest region of the state of Sao Paulo, under conditions of uncertainty. The parameters used were the Net Present Value (NPV), the Modified Internal Rate of Return(MIRR), and the Discounted Payback. To evaluate the risk conditions we built a probabilistic model of pseudorandom numbers generated with Monte Carlo method. The results showed that the activity analyzed provides a risk of 42.8% to reach a NPV negative; however, the yield assessed by MIRR was 7.7%, higher than the yield from the reapplication of the positive cash flows. The financial investment pays itself after the fourteenth year of activity.
