¿Una cosa que no cumple o cumple imperfectamente con su función es la cosa prometida en el contrato o es una cosa distinta ¿La función que debe cumplir una cosa hace parte de su definición contractualDe estas preguntas que, a primera vista, pueden parecer eminentemente teóricas se desprenden consecuencias prácticas de gran importancia: ¿Puede el comprador servirse de la acción por incumplimiento de la obligación de entrega o, más bien, debe reclamar por vicios ocultos o, incluso, solicitar la nulidad por error en las calidades sustanciales de la cosa ¿Y qué decir de la posibilidad de recurrir a las garantías especiales (como la garantía por buen funcionamiento) ¿O a las acciones propias del derecho al consumoSi se tiene en cuenta que estas diferentes vías le ofrecen al demandante plazos de prescripción diversos que en Colombia van desde seis meses hasta diez años y dan lugar a pretensiones distintas, todo abogado litigante para no mencionar a los académicos- se verá en la inminente necesidad de preguntarse sobre las definiciones funcionales de las cosas contractuales y sobre la delimitación del campo de aplicación de las distintas acciones del comprador insatisfecho. Éste es precisamente el objetivo que persigue y, sin duda, alcanza el autor en su libro.

The Liberal Constitutionalism emerged from the late eighteenth century, a period of major revolutions (French and American), fruit of the struggle for libertarian rights. Although the time of the first written constitutions, these were linked to mere political letters, did not provide for fundamental human rights, as it is, so only on the state organization, structure of powers, division of powers of the state and some relations between state and individuals. There was a clear division between the civil codes and constitutions, those governing private relations and acted as barriers to non-state intervention. After the Second World War, the constitutions are no longer Letters political order to establish how the human person, in order to enshrine the fundamental rights, the primacy of constitutional principles and take their normative function against ordinary legislator. Constitutional evolution gave the name of contemporary constitutionalism, based on repersonalization or despatrimonialização of Private Law, ceasing the separation of legislative civil codes and constitutions, in favor of the protection of fundamental rights of the human person. And this tendency to the Brazilian Federal Constitution of 1988 brought higher ground the dignity of the human person, the epicenter axiological legal to govern private relations, including family law. The constitutionalization of family law motivates the adoption of desjudicialização family issues, so as to respect the direio intimacy, privacy, private autonomy and access to justice. Conflictual family relationships require special treatment, given the diversity and dynamism of their new compositions. The break in the family relationship is guided in varied feelings among its members in order to hinder an end harmonic. Thus, the judiciary, through performances impositive, not to honor the power of decision of the parties, as also on the structural problems faced to operate on these cases, the environment is not the most appropriate to offer answers to the end of family quarrels. Situation that causes future demands on the dissatisfaction of the parties with the result. Before the development of the Family Law comes the need to adopt legal institutions, which monitor the socio-cultural, and that promote an effective assistance to people involved in this kind of conflict. In obedience to the private autonomy, before manifestations of volunteers involved in family mediation, among autocompositivos instruments of conflict resolution, is indicated as the most shaped the treatment of family quarrels. Remaining, then the state a minimal intervention to prevent excessive intrusion into private life and personal privacy

O presente estudo objetiva traçar um panorama atual sobre a responsabilidade subsidiária dos sócios nas hipóteses em que, em fase de execução no processo do trabalho, os bens da pessoa jurídica sejam insuficientes para satisfação dos créditos. A matéria propriamente dita nada tem de nova, remontando aos primeiros decretos que regulamentavam as sociedades por quotas de responsabilidade limitada, passando pelo Código Civil de 1916 e de 2002. Todavia, o estudo procurará demonstrar que, aos poucos, foi sendo abandonada a exigência de comprovação dos amplos poderes de mando e gestão do sócio, ou seu exercício abusivo, assim como foi aumentando simultaneamente a preocupação com a figura dos ex-sócios, objeto de investigação especial no presente trabalho. O artigo sustentará a tese de que essa maior liberdade na interpretação da responsabilidade de sócios e ex-sócios se deve, sobretudo, (a) à promiscuidade patrimonial verificada entre pessoas jurídicas e pessoas naturais, na sociedade brasileira, (b) às altíssimas taxas de encerramento das pessoas jurídicas logo no primeiro ou no segundo ano de existência e (c) à elevada rotatividade de sócios nos estatutos da empresa.

A tanulmány az európai magánjogi jogegységesítésnek a piaci versenyképességre gyakorolt esetleges hatásait vizsgálja összehasonlító-jogi és piaci érvek mentén. Arra keres választ, hogy az európai uniós tagállami jogi sajátosságok a szerződésen kívüli felelősség területén mennyire hatnak piacra-jutási korlátként, mennyire valósak ezek versenytorzító hatásai, illetve milyen mértékben működik a jogszabályverseny ezen a területen, használhatják-e a magánjogi felelősségi rendszert befektetés és kereskedelemösztönző eszközként a tagállamok. Ezek függvényében tesz ajánlásokat arra vonatkozóan, hogy üzleti szempontok mentén mennyire érdemes az európai lágy jog (DCFR) mércéi alapján átalakítani a nemzeti jogot, vagy inkább megmaradni a nemzeti értékek mentén, ha az előnyös a közép-kelet európai térségben, valamint az Európai Unióban zajló nemzeti jogfejlődési folyamatokhoz képest. E kérdéskör annál is inkább aktuális mert térségünk több országa, köztük Magyarország is polgári törvénykönyve reformján dolgozik. _________ The paper discusses along comparative law and market considerations the effects of European unification of private law via soft law instruments (DCFR) on Member States’ competitiveness. The research debates the potential effects of tort liability as market entry obstacle due to legal diversty at national level, the effects of legal diversity on the level playing field Internal Market wide and the role of regulatory competition in tort liability as market generating incentive in hands of Member States. Based on its findings the paper warns on the pitfalls of using the DCFR as model for reforming national civil codes in the Member States. The topic of research is justified by the ongoing civil law reform projects in the Central-Eastern European Member States of the EU, including Hungary.

A number of historians of twentieth-century Latin America have identified ways that national labor laws, civil codes, social welfare programs, and business practices contributed to a gendered division of society that subordinated women to men in national economic development, household management, and familial relations. Few scholars, however, have critically explored women's roles as consumers and housewives in these intertwined realms. This work examines the Brazilian case after the Second World War, arguing that economic policies and business practices associated with “developmentalism” [Portuguese: desenvolvimentismo] created openings for women to engage in debates about national progress and transnational standards of modernity. While acknowledging that an asymmetry of gender relations persisted, the study demonstrates that urban women expanded their agency in this period, especially over areas of economic and family life deemed "domestic." This dissertation examines periodicals, consumer research statistics, public opinion surveys, personal interviews, corporate archives, the archives of key women’s organizations, and government officials’ records to identify the role that women and household economies played in Brazilian developmentalism between 1945 and 1975. Its principal argument is that business and political elites attempted to define gender roles for adult urban women as housewives and mothers, linking their management of the household to familial well-being and national modernization. In turn, Brazilian women deployed these idealized roles in public to advance their own economic interests, especially in the management of household finances and consumption, as well as to expand legal rights for married women, and increase women’s participation in the workforce. As the market for women's labor expanded with continued industrialization, these efforts defined a more active role for women in the economy and in debates about the trajectory of national development policies.
