A longitudinal qualitative study was conducted with CEOs of 12 fundraising organisations across Australia to answer the question - how mights a change in the CEO's fundraising knowledge improve fundraising activity and outcomes for their organisation? The CEOs along with the inaugural Australian Grantmaker of the Year, Caitriona Fay from Perpetual and lead researcher Dr Wendy Scaife travelled to San Antonio, Texas, USA to attend the annual Association of Fundraising Professionals (AFP) conference in March 2014. Participants identified five main success factors for such group learning initiatives about fundraising: - Getting away from the day to day business of running the organisation - Informal, social time to debrief and get to know others - Diversity of organisations whereby no one was in direct competition to others - Commitment, openness and willingness of individuals to participate - Group facilitation This research has been supported by the Perpetual Foundation – Trustees Endowment, The Edward Corbould Charitable Trust, and the Samuel and Eileen Gluyas Charitable Trust under the management of Perpetual Trustee Company Ltd.

A assistência ortodôntica, que de forma incipiente, já se fazia presente no SUS, foi revigorada com a criação dos Centros de Especialidades Odontológicas (CEOs) pela Política Nacional de Saúde Bucal (PNSB), lançada em 2004. No entanto, as informações acerca dos dados dessa assistência ainda permaneciam desconhecidas. Surgiram então as questões: onde se localizam os centros que englobam esse tipo de atenção? Como se desenvolve a prática ortodôntica nesses locais? Quais são os problemas presentes neste processo? Neste sentido, a descoberta de respostas a essas perguntas, constituiu-se no objeto desta tese. Investigar a localização dos CEOs e outros centros de saúde bucal de todo o país que prestam serviços ortodônticos; lançar um olhar sobre a Saúde Pública dos municípios que os sediam; observar o modus operandi dessas ações ortodônticas. Em seguida, em um exercício prospectivo, discutir os caminhos para incrementá-las tornando-as mais efetivas. Através das Coordenações Estaduais de Saúde Bucal (CESBs), foram localizados todos os serviços ortodônticos públicos do país; em seguida solicitou-se junto aos gestores e/ou gerentes dos mesmos informações relativas ao que acontece em termos de programação ortodôntica intramuros. Foram detectados 42 serviços públicos de Ortodontia presentes em 39 municípios de todo o Brasil. Os dados obtidos referentes ao atendimento ortodôntico foram analisados e mostraram problemas na ordem de recursos humanos, de financiamento, de triagem e referência além da ausência de um protocolo clínico abrangente, norteador dessas ações. Apontou-se assim na direção de se discutir nova idéias acerca dessas questões. A Ortodontia definitivamente está em pauta no SUS e, por ser uma experiência um tanto quanto incipiente, carece de alguns ajustes. Ajustes esses discutidos em um protocolo de conduta adaptável à realidade de cada município. Neste protocolo são apontados elementos indicadores de uma maior eficácia técnica e uma maior viabilidade política e financeira no processo de aproximação Ortodontia -SUS.

This thesis is a case study on Corporate Governance and Business Ethics, using the Portuguese Corporate Law as a general setting. The thesis was conducted in Portugal with illustrations on past cases under the Business Judgment Rule of the State of Delaware, U.SA along with illustrations on current cases in Portugal under the Portuguese Judicial setting, along with a comparative analysis between both. A debate is being considered among scholars and executives; a debate on best practices within corporate governance and corporate law, associated with recent discoveries of unlawful investments that lead to the bankruptcy of leading institutions and an aggravation of the crisis in Portugal. The study aimed at learning possible reasons and causes for the current situation of the country’s corporations along with attempts to discover the best way to move forward. From the interviews and analysis conducted, this paper concluded that the corporate governance structure and legal frameworks in Portugal were not the sole influencers behind the actions and decisions of Corporate Executives, nor were they the main triggers for the recent corporate mishaps. But it is rather a combination of different factors that played a significant role, such as cultural and ethical aspects, individual personalities, and others all of which created gray areas beyond the legal structure, which in turn accelerated and aggravated the corporate governance crisis in the country.

We argue in this paper that executives can only impact firm outcomes if they have influence over crucial decisions. Based on this idea we develop and test a hypothesis about how CEOs’ power to influence decisions will affect firm performance: since managers’ opinions may differ, firms whose CEOs have more decision-making power should experience more variability in firm performance. Thus performance depends on the interaction between executive characteristics and organizational variables. By focusing on this interaction we are able to use firm-level characteristics to test predictions that are related to unobservable managerial characteristics. Using such firmlevel characteristics of the Executive Office we develop a proxy for the CEO’s power to influence decisions and provide evidence consistent with our hypothesis. Firm performance (measured by Tobin’s Q, stock returns and ROA) is significantly more variable for firms with greater values of our proxy for CEO influence power. The results are robust across various tests designed to detect differences in variability.

Is it good or bad for senior executives to have strong interpersonal ties to the CEO? We argue that a strong relationship with the CEO raises the likelihood that a top manager stays in office or makes an upward career move when the CEO leaves office voluntarily. At the same time, such interpersonal ties also reinforce the negative spillover effects of a dismissal of the CEO on the career prospects of the manager concerned. Our empirical analysis lends support to both arguments. We contribute to managerial succession research by underlining the ambivalence of interpersonal ties within top management teams.

In this dissertation, I first suggest an extension of the managerial rents model and more specifically the managerial skills typology that it offers. Building on research in international business, I propose adding country-specific skills (CSS) to this typology in addition to firm-specific, industry-specific, and generic skills. I define CSS as managers' abilities that are applicable and specific to a particular national institutional context. Such skills are distinct from the other three types identified and are likely to influence managers' performance and the performance of their firms. So if CSS are distinct skills, what are the implications for strategy and international business research? In an attempt to respond to this question, I conduct two empirical essays in which I examine the implications of this refinement of the typology of managerial skills for CEO selection and firms' mergers and acquisitions (M&A;) strategy. In the first empirical essay, I puzzle at the fact that although CSS constitute a barrier to high-level executive mobility across countries, there have been a growing number of foreign-born CEOs being appointed across the globe. Why are these individuals being selected for the post of CEO? Using information on the appointment of foreign-born and national CEOs from 2005 to 2010 among global 500 companies, I show that internationalization pressures help explain their selection and that two types of firms are likely to appoint foreign leaders: highly internationalized firms and firms that are likely to internationalize. In the second empirical essay, I examine the strategic implications of country-specific skills. Employing the same sample as the one used in the first empirical essay, I demonstrate that given that their mindset is likely to be less focused on firms' home market, foreign-born CEOs may be prone to institute more changes in firms' cross-border M&A; strategy than their domestic counterparts. I also theorize on the moderating influence of CEOs' insiderness.
