La prolifération des acteurs non étatiques, favorisée par la mondialisation, est un phénomène marquant de notre histoire contemporaine. Rassemblés sous le vocable de « société civile », ils ont contribué à créer un foisonnement de normes sur le plan international allant, pour certains commentateurs, jusqu’à concurrencer l’État sur sa capacité de dire le droit. Parmi ces acteurs privés, les organisations non gouvernementales (ONG) et les entreprises multinationales jouent un rôle prépondérant. Notre imaginaire collectif oppose cependant trop souvent l’ONG, symbole du désintéressement, à la multinationale assoiffée de profit. Le présent mémoire vise à relativiser ce constat manichéen et simplificateur. En analysant, dans une perspective de droit international, les moyens d’action des ONG et des multinationales, on se rend compte que les passerelles entre les deux « mondes » sont en réalité nombreuses. ONG et multinationales se retrouvent d’ailleurs dans leur aspiration commune à être reconnues formellement sur la scène internationale. L’opportunité d’une reconnaissance juridique de la société civile sera discutée.

L’essor économique se fait au gré de l’environnement et du développement social de la population. Le concept de « développement durable » a été discuté pour la première fois lors du Sommet de la terre à Rio de Janeiro (Brésil) en 1992. Ce concept consiste à concilier la protection de l’environnement et la croissance économique. La compagnie minière canadienne Osisko met en œuvre le projet aurifère « Canadian Malartic » au Québec. Ce projet suscite des controverses au sein de la population locale. En effet, elle craigne des effets néfastes de cette exploitation d’or sur leur environnement et leur bien-être. Analogiquement, le gouvernement malagasy a accordé l’exploitation du site Ambatovy pour l’extraction des minerais de nickel et de cobalt à des firmes multinationales. Ce site minier est situé au cœur de la forêt humide du versant Est de Madagascar, qui figure dans la liste du patrimoine naturel mondial en péril selon l’Organisation des Nations Unies pour l’Éducation, la Science et la Culture (UNESCO). Les gouvernements québécois et malagasy veulent harmoniser les règles juridiques de la protection environnementale avec celles de l’exploitation des ressources naturelles pour accomplir leurs « développements durables ». Pour ce faire, ils devraient favoriser la prise de décision décentralisée et la collaboration de toutes les parties intéressées, surtout lors de l’examen de l’évaluation environnementale des projets miniers. Ils devraient s’assurer aussi de l’application des engagements social et environnemental des entreprises minières durant l’exploitation. Enfin, ces gouvernements devraient renforcer l’exigence de l’assainissement des sites miniers à la fin de l’exploitation minière.

Este trabajo recopila literatura académica relevante sobre estrategias de entrada y metodologías para la toma de decisión sobre la contratación de servicios de Outsourcing para el caso de empresas que planean expandirse hacia mercados extranjeros. La manera en que una empresa planifica su entrada a un mercado extranjero, y realiza la consideración y evaluación de información relevante y el diseño de la estrategia, determina el éxito o no de la misma. De otro lado, las metodologías consideradas se concentran en el nivel estratégico de la pirámide organizacional. Se parte de métodos simples para llegar a aquellos basados en la Teoría de Decisión Multicriterio, tanto individuales como híbridos. Finalmente, se presenta la Dinámica de Sistemas como herramienta valiosa en el proceso, por cuanto puede combinarse con métodos multicriterio.

Higher productivity of multinational firms and exporters has been widely documented in the literature, but the sources of this heterogeneity are still a black box. Using an original dataset on Italian firms, we show that higher total factor productivity of international firms can be to some extent explained by higher R&D intensity and managerial capabilities. However, our results suggest that heterogeneity is more in the slope than in the constant of the production function. In particular, allowing international firms to have different return to labour and capital inputs, we are able to account for their entire productivity premium. This has implications for both labour and capital market reforms.

Some authors have shown the need of understanding the technological structuring process in contemporary firms. From this perspective, the software industry is a very important element because it provides products and services directly to many organizations from many fields. In this case, the Brazilian software industry has some peculiarities that distinguish it from other industries located in developed countries, which makes its understanding even more relevant. There is evidence that local firms take different strategies and structural configurations to enter into a market naturally dominated by large multinational firms. Therefore, this study aims to understand not only the structural configurations assumed by domestic firms but also the dynamic and the process that lead to these different configurations. To do so, this PhD dissertation investigates the institutional environment, its entities and the isomorphic movements, by employing an exploratory, descriptive and explanatory multiple cases study. Eight software development companies from the Recife's information technology Cluster were visited. Also, a form was applied and an interview with one of the main firm s professional was conducted. Although the study is predominantly qualitative, part of the data was analyzed through charts and graphs, providing a companies and environment overview that was very useful to analysis done through the interviews interpretation. As a result, it was realized that companies are structured around hybrids business models from two ideal types of software development companies, which are: software factory and technology-based company. Regarding the development process, it was found that there is a balanced distribution between the traditional and agile development paradigm. Among the traditional methodologies, the Rational Unified Process (RUP) is predominant. The Scrum is the most used methodology among the organizations based on the Agile Manifesto's principles. Regarding the structuring process, each institutional entity acts in such way that generates different isomorphic pressure. Emphasis was given to entities such as customers, research agencies, clusters, market-leading businesses, public universities, incubators, software industry organizations, technology vendors, development tool suppliers and manager s school and background because they relate themselves in a close way with the software firms. About this relationship, a dual and bilateral influence was found. Finally, the structuring level of the organizational field has been also identified as low, which gives a chance to organizational actors of acting independently

This paper examines an industry-level model developed to analyze the impact of affiliates of multinational firms (MNFs) on the host country's revealed comparative advantages (RCAs), which predicts that the referred impact is given by both technology service and industry orientation. Based on Brazilian manufacturing industries during the import-substitution industrialization, panel data estimates show that MNFs negatively affected RCA, which is explained by location advantages in industries presenting comparative disadvantages, as reinforced by a location model. Two other important results are: (i) import protection had a stronger anti-export effect on multinationals than on national firms; (ii) MNFs were concentrated in industries with lower world-export growth.

O objetivo principal deste artigo é analisar as características básicas da evolução recente do processo de inovação tecnológica na indústria automobilística. A hipótese de trabalho é que estariam ocorrendo mudanças na intensidade do processo de inovação técnica nessa indústria. O ponto de partida é a observação de que, nos últimos anos, tem havido na indústria automotiva - provavelmente em decorrência da intensificação da concorrência setorial e de uma maior oportunidade tecnológica - tanto uma ampliação dos gastos em P&D quanto uma crescente incorporação da microeletrônica (nos produtos e nos processos produtivos). Finalmente, são feitas também algumas considerações procurando relacionar os resultados obtidos neste artigo com a discussão do processo de de-maturity (rejuvenescimento) industrial, proposto por Abernathy e outros autores.

Fazemos uma releitura dos estudos empíricos sobre empresas multinacionais (EMNs) e comércio exterior no Brasil a partir dos modelos teóricos e empíricos de comércio internacional com firmas multinacionais. Percebe-se que aqueles estudos não examinam como características econômicas do país (Brasil) condicionaram a emergência e tipo das EMNs e, assim, seus respectivos impactos sobre comércio exterior. Conseguem isolar, nas análises de impacto comercial, evidências dos serviços tecnológicos das estrangeiras, relativamente às domésticas do mesmo setor, mas não examinam se essas firmas se concentraram ou não em atividades com vantagens comparativas no país, o que seria crucial para determinar seu impacto comercial comparativo.

From a theoretical foundation favorable to industrial policies, this paper intends to show the main policies followed by Ireland since the 1950s, with a special emphasis on those directed to Science, Technology and Innovation (S,T&I), FDI and high tech sectors, like software and biotechnology. We compare these policies with those used in Brazil, in a similar period, in order to have some hints for virtual transformations of current Brazilian policies. We conclude that the compromise of the State with the direction of the development and the continu-ity of industrial policies is very important to a solid building of comparative advantages in technologically dynamic sectors.

Using the relational dyad as unit of analysis this study examines the effects of perceived influence and friendship ties on the formation and maintenance of cooperative relationships between corporate top executives. Specifically, it is argued that perceived influence as well as friendship ties between any two managers will enhance the likelihood that these managers collaborate with each other. Additionally, a negative interaction effect between perceived influence and friendship on cooperation is proposed. The empirical analyses draw on network data that have been collected among all members of the top two organizational levels for the strategy-making process in two multinational firms headquartered in Germany. Applying logistic regression based on QAP the empirical results support our hypotheses on the direct effects between perceived influence, friendship ties, and cooperative relationships in both companies. In addition, we find at least partial support for our assumption that perceived influence and friendship interact negatively with respect to their effect on cooperation. Seemingly, perceived influence is partially substituted by managerial friendship ties.

El objetivo de este trabajo es analizar las relaciones de cooperación y conflicto entre una compañía minera y las comunidades, los Nuevos Movimientos Sociales y los tres niveles de gobierno involucrados. La compañía Minera inició operaciones para una mina a cielo abierto de oro y plata con el apoyo de los gobiernos locales, estatales y federal. Los habitantes de estas comunidades apoyados por grupos ambientalistas y Organizaciones No Gubernamentales argumentan que el proyecto contamina las Fuentes de agua fresca además de perturbar el medio ambiente y la ecología de la región. La metodología empleada consistió en un análisis histórico social para determinar, en un estudio exploratorio, las principales variables económicas, políticas, legales, sociales y culturales que inciden en el caso, sobre todo después de la firma del Tratado de Libre Comercio de América del Norte. Los hallazgos de esta investigación contribuyen a explicar las relaciones de cooperación y conflicto entre las empresas multinacionales que operan en las comunidades, a analizar el rol del gobierno en sus tres niveles y de los nuevos movimientos sociales en la conformación de las economías locales bajo procesos de integración económica regional. Los resultados también son de relevancia por sus contribuciones para el entendimiento de procesos de responsabilidad social corporativa de las empresas transnacionales y los procesos de contestación y acción colectiva de los nuevos movimientos sociales en el desarrollo económico y ambiental de las comunidades locales.

Análisis semiótico del afiche Identidad Corporativa de la serie No Logos o Multinacionales, del diseñador Ricardo Colombano, realizado en el año 2005 como integrante del Grupo Grapo. Estudio sintáctico, semántico y pragmático que permite conocer cómo el autor usa el lenguaje del Diseño Gráfico, con un fuerte mensaje de liberación e independencia, para convencer a sus lectores de lo contrario que venden las empresas multinacionales en sus anuncios publicitarios.

An E15 Initiative think piece: Investment incentives rank among the most important policy instruments governments employ to influence the locational decisions of multinational firms. In the wake of the recent increase in locational competition and the growing impact of investment incentives and support measures for state-owned enterprises (SOEs), the need for enhanced disciplines on investment incentives has gained political and academic salience. This think piece explores the evolution of investment incentives from a development and rule-making perspective. It summarises the existing literature and examines current practices and recent trends in FDI flows and the use of various investment incentives. This is followed by a discussion of the reasons for the observed stalemate in attempts at disciplinary rule-making. The paper concludes by putting forth recommendations for data gathering and transparency that could further the move toward improved global governance founded on the increasing complementarities of trade, investment, and competition law and policy as the core pillars of a more open, inclusive, and just world economy.
