Corporations practice company acquisitions in order to create shareholder’s value. During the last few decades, the companies in emerging markets have become active in the acquisition business. During the last decade, large and significant acquisitions have occurred especially in automotive industry. While domestic markets have become too competitive and companies are lacking required capabilities, they seek possibilities to expand into Western markets by attaining valuable assets through acquisitions of developed country corporations. This study discusses the issues and characteristics of these acquisitions through case studies. The purpose of this study was to identify the acquisition motives and strategies for post-transaction brand and product integration as well as analyze the effect of the motives to the integration strategy. The cases chosen for the research were Chinese Geely acquiring Swedish Volvo in 2010 and Indian Tata Motors buying British Jaguar Land Rover in 2008. The main topics were chosen according to their significance for companies in automotive industry as well as those are most visible parts for consumers. The study is based on qualitative case study methods, analyzing secondary data from academic papers and news articles as well as companies’ own announcements e.g. stock exchange and press releases. The study finds that the companies in the cases mainly possessed asset-seeking and market-seeking motives. In addition, the findings refer to rather minimal post-acquisition brand and product integration strategies. Mainly the parent companies left the target company autonomous to make their own business strategies and decisions. The most noticeable integrations were in the product development and production processes. Through restructuring the product architectures, the companies were able to share components and technology between product families and brands, which results in cutting down costs and in increase of profitability and efficiency. In the Geely- Volvo case, the strategy focused more on component sharing and product development know-how, whereas in Tata Motors-Jaguar Land Rover case, the main actions were to cut down costs through component sharing and combine production and distribution networks especially in Asian markets. However, it was evident that in both cases the integration and technology sharing were executed cautiously to prevent on harming the valuable image of the luxury brand. This study has concluded that the asset-seeking motives have significant influence on the posttransaction brand and model line-up integration strategies. By taking a cautious approach in acquiring assets, such as luxury brand, the companies in the cases have implemented a successful post-acquisition strategy and managed to create value for the shareholders at least in short-term. Yritykset harjoittavat yritysostoja luodakseen osakkeenomistajille lisäarvoa. Viimeisten muutamien vuosikymmenien aikana yritykset kehittyvissä maissa ovat myös aktivoituneet yritysostoissa. Viimeisen vuosikymmenen aikana erityisesti autoteollisuudessa on esiintynyt suuria ja merkittäviä yritysostoja. Koska kilpailu kotimaan markkinoilla on kiristynyt ja yritykset ovat vailla vaadittavia valmiuksia, ne etsivät mahdollisuuksiaan laajentaa länsimaisiin markkinoihin hankkimalla arvokkaita etuja kehittyneiden maiden yrityksistä yritysostojen avulla. Tämä tutkimus pohtii näiden yritysostojen olennaisia kysymyksiä ja ominaisuuksia casetutkimuksien kautta. Tutkimuksen tarkoitus oli tunnistaa sekä yritysostojen motiiveja ja brändi- ja mallisto-integraation strategioita että analysoida kyseisten motiivien vaikutusta integraatiostrategiaan. Tapaus-tutkimuksiksi valittiin kiinalaisen Geelyn yritysosto ruotsalaisesta Volvosta vuonna 2010 ja intialaisen Tata Motorsin yritysosto englantilaisesta Jaguar Land Roverista vuonna 2008. Tutkimus on kvalitatiivinen case-tutkimus ja siinä analysoidaan toissijaista tietoa sekä akateemisten ja uutisartikkeleiden että yritysten omien ilmoitusten, kuten pörssi- ja lehdistötiedotteiden, kautta. Tutkimuksen tulokset osoittavat, että tutkittujen yritysten toiminnat perustuivat motiiveihin, joita ajoivat etujen and uusien markkinoiden tarve. Sen lisäksi tutkimustulokset osoittivat, että yritysoston jälkeinen brändi- ja mallisto-integraatio pidettiin minimaalisena. Pääasiallisesti kohdeyrityksille jätettiin autonomia tehdä omat liikkeenjohdolliset päätökset yritysstrategioihin liittyen. Huomattavimmat integraatiot koskivat tuotekehityksellisiä ja tuotannollisia prosesseja. Kehittämällä uudelleen tuotearkkitehtuureja, yritykset pystyivät jakamaan komponentteja ja teknologiaa tuoteperheiden ja brändien välillä. Tämä mahdollisti kustannusleikkauksia sekä kannattavuuden ja tehokkuuden parantamista. Geely-Volvo –tapauksessa integraatiostrategia keskittyi komponenttien jakamiseen yhteisten tuotearkkitehtuurien avulla ja tuotekehityksen ammattitaitoon, kun taas Tata Motors-JLR –tapauksessa päätoiminnat olivat kustannuksien leikkaus sekä tuotannon ja jakeluverkoston yhdistäminen erityisesti Aasian maissa. Yhteistä yrityskaupoissa oli, että brändi- ja mallisto-integraatio sekä teknologian jakaminen suoritettiin varoen ehkäistäkseen arvokkaiden luksus-brändien tuotekuvan vahingoittamista. Tutkimuksen lopputulokset osoittavat, että yrityskaupan motiiveilla on huomattava vaikutus brändija mallisto-integraation strategiaan. Toteuttamalla varovaista lähestymistapaa luksus-brändin hankinnassa ja integraatiossa, yritykset ovat onnistuneet luomaan lisäarvoa osakkeenomistajille vähintään lyhyellä aikavälillä.

The purpose of this thesis was to study change management and find out how the theory applies to practise with the help of studying an organizational change process. The goal was to investigate the different ways of the change management and how those could be utilized in practise. The purpose was also to see what kind of tools and information packages for change management the company involved has developed and taken in to use and check if these could have been utilized in the change process studied in this thesis. This thesis was established by studying the theory of change management and interviewing the people involved in the organizational change and the stakeholders. The questions were formed in line with the change management theory. The main theory used was John P. Kotter’s Eight Steps of Change. The study revealed valuable details about change processes in real life and concrete improvement ideas were recognized from the interviews. Overall the people were quite happy with the outcome of the change process. There were also some failures identified in this change process. Most probably those can be avoided in the future if people planning the change are familiar with the company’s new information packages and tools for change management. Change management is a complex area that is still today quite often forgotten by companies. Effective change management can give a huge competitive advantage for a company. Acknowledging that change process is always complex and not easy is already a good step forward in handling change processes. All changes need change management and understanding the way people react on change. A good and efficient change management is the key to make the change process smooth and easier for the people involved.

The escalation in the number of mergers and acquisition transactions involving emerging market firms is a relatively recent phenomenon; as a consequence academic research in such topic is rather limited. The purpose of this research study was to discuss the possible reasons that led the acquisition failure of an emerging multinational firm and an Indonesian player. Extensive theoretical research was performed and it had been achieved, based on this, the finding of a framework that facilitated to understand the way in which the concepts of cultural distances and relate liabilities of foreignness in the process of acquisitions of foreign companies in emerging markets. The theoretical background collects literature related to acquisitions, models of cultural studies between nations and liabilities of foreignness. It has been generated a variety of frameworks that aid to understand the way that the institutional distance and cultural factors together with the concept of liabilities of foreignness can affect the process of market entry of an emerging multinational company to the extent that the best way to stop losing money is to abandon the project. The empirical research consisted of selective semi-structured interviews and an extensive research in available public data on the chosen study case of this research. There were several factors that were identified as the cause of the failure in the market entry of a Mexican multinational firm in Indonesia. The weakness shown by the local government authorities was used by the local community leaders who rioted because of discomfort. These groups were the ones who made the government submit to the extent that the agreements reached at the beginning of the deal were either canceled or modified in a way that favored always the local community. The contributions of this study fall into the knowledge field of emerging multinational firms and market entry process.

The purpose of this thesis is to find out how outbound logistics process can be improved by reducing unnecessary waste in a globally dispersed make-to-order (MTO) supply chain. The research problem was addressed by a multinational corporation that aims to find a solution for reducing unnecessary waste in their outbound logistics process. The focus is on customized products that are delivered via sea transportation. Theoretical framework for improving outbound logistics processes in globally dispersed MTO supply chain was created based on business process management, Porter’s value chain theory, value stream mapping and current reality tree. The empirical research was conducted by using constructive approach due to its ability to research a practical problem and to improve the existing practices. The data was collected from ten semi-structured interviews and three non-participant observations. By analysing the data and applying the theoretical framework, five types of waste were detected in the process that were seen to derive from six root causes. Practical solution was constructed to reduce the waste in the process by combining the existing literature with the ideas raising from empirical data. The results of this thesis suggest that a MNC with a globally dispersed MTO supply chain can improve its outbound logistics process by applying activities that enhance internal and external integration, collaboration and coordination, and increase predictability of the process. This research has practical relevance both for the case company as well as for other MNCs with globally dispersed MTO supply chains that aim to improve their outbound logistics processes. This research contributes to the BPM and CRA research by providing an evidence for their applicability in the new context.

This study critically analyzes the historical role and influence of multinational drug cotpOrations and multinational corporations in general; the u.s. government and the Canadian state in negotiating the global recognition ofIntellectual Property Rights (IPR) under GATT/NAFTA. This process began in 1969 when the Liberal government, in response to high prices for brand-name drugs amended the Patent Act to introduce compulsory licensing by reducing monopoly protection from 20 to seven years. Although the financial position ofthe multinational drug industry was not affected, it campaigned vigorously to change the 1969 legislation. In 1987, the Patent Act was amended to extend protection to 10 years as a condition for free trade talks with the u.s. Nonetheless, the drug industry was not satisfied and accused Canada of providing a bad example to other nations. Therefore, it continued to campaign for global recognition ofIPR laws under GATT. Following the conclusion of the GATTI Trade-Related aspects of Intellectual Property Rights agreement (TRIPS) in 1991, the multinational drug industry and the American government, to the surprise of many, were still not satisfied and sought to implement harsher conditions under NAFTA. The Progressive Conservative government readily agreed without any objections or consideration for the social consequences. As a result, Bill C-91 was introduced. It abandoned compulsory licenses and was made retroactive from December 21, 1991. It is the contention of this thesis that the economic survival of multinational corporations on a global scale depends on the role and functions of the modem state. Similarly, the existence of the state depends on the ideological-political and socioeconomic assistance it gives to multinational corporations on a national and international scale. This dialectical relation of the state and multinational corporations is explored in our theoretical and historical analysis of their role in public policy.

Le Conseil de sécurité est l’organe principal du système onusien chargé du maintien de la paix et de la sécurité internationales. Face à une situation illégale, il ne peut donc l’ignorer et s’en désintéresser. Cependant, la perpétration d’un acte à la légalité controversée par l’un ou plusieurs de ses membres permanents peut nous laisser entendre que l’organe politique onusien aura des difficultés à remplir son rôle. Les membres permanents vont tenter d’instrumentaliser le Conseil de sécurité afin de diminuer l’illégalité de la situation. Ceci pose avec acuité le problème du contrôle de son activité en matière de maintien de la paix. L’accomplissement d’un acte illégal par un ou plusieurs membres permanents du Conseil de sécurité nécessite alors de réfléchir à des moyens d’ordre juridique pour limiter son pouvoir. Cette réflexion s’avère particulièrement pressante lorsque le Conseil est confronté à une occupation de guerre impliquant ses membres permanents ou, lorsqu’il crée ou autorise des opérations de paix de grandes envergures suite à un conflit armé impliquant ses membres permanents. Afin de limiter les prérogatives du Conseil de sécurité, le régime juridique de l’occupation tel qu’énoncé par le Règlement de La Haye (IV) de 1907 et la IVe Convention de Genève de 1949 devrait être appliquer par l’organe politique onusien lorsqu’il intervient dans une situation d’occupation de guerre impliquant ses membres permanents. L’objectif est d’éviter qu’il n’attribue aux puissances occupantes des missions qui dépassent le cadre juridique imposé par le droit des conflits armés. L’autorisation, par le Conseil de sécurité d’opérations de paix, telles qu’une administration civile transitoire ou une force multinationale avec un mandat de la paix avec recours à la force armée, suite à un conflit armé impliquant ses propres membres permanents, ouvre le débat sur leur réglementation. Alors, il sera proposé une interprétation progressiste de la définition de l’occupation telle qu’énoncée par le Règlement de La Haye (IV) de 1907 et la IVe Convention de Genève de 1949 afin d’y intégrer ces nouvelles formes d’occupations pacifiques, présentant de grandes similitudes avec les occupations de guerre. Ainsi, le régime juridique de l’occupation pourra leur être appliqué.

Depuis plus de cinquante ans, les puissances occidentales ont créé toutes sortes de réseaux militaires internationaux, afin de renforcer leurs liens et harmoniser leurs techniques, leurs équipements et leurs façons de faire. Jusqu’à ce jour, ces regroupements sont demeurés largement ignorés de la discipline des relations internationales. Or, la mondialisation des échanges et l’essor des technologies de l’information ont ouvert les processus politiques à de nouveaux acteurs, y compris en matière de sécurité, jetant un éclairage nouveau sur le rôle, la mission et les responsabilités que les États délèguent à ces réseaux. En menant une analyse approfondie d’un réseau militaire, le Multinational Interoperability Council, cette recherche a pour objectifs de définir les réseaux militaires internationaux en tant que catégorie d’analyse des relations internationales, de documenter empiriquement leur fonctionnement et de mieux comprendre leur rôle dans le champ de la sécurité internationale. Pour ce faire, la démarche propose de recourir à l’appareil conceptuel de l’institutionnalisme relationnel, de la théorie des champs et du tournant pratiques en relations internationales. Cette combinaison permet d’aborder les dimensions institutionnelle, cognitive et pratique de l’action collective au sein du réseau étudié. L’analyse nous apprend que, malgré une influence limitée, le MIC produit une identité, des capacités, des préférences et des effets qui lui sont propres. Les acteurs du MIC ont eux-mêmes généré certaines conditions de son institutionnalisation, et sont parvenus à faire du réseau, d’abord conçu comme une structure d’échanges d’informations, un acteur intentionnel du champ de la sécurité internationale. Le MIC ne peut agir de façon autonome, sans contrôle des États. Cependant, les relations établies entre les militaires qui y participent leur offrent des capacités – le capital social, politique et d’expertise – dont ils ne disposeraient pas autrement, et qu’ils peuvent mobiliser dans leurs interactions avec les autres acteurs du champ.

Democratic deliberation is an aspiration that, in the most favorable conditions, remains difficult to achieve. In divided or multinational societies, the requirements of democratic theory appear particularly daunting. This essay surveys the Canadian debate about democratization and constitutional politics to better understand the significance of democratic deliberation in a concrete case, when principles are evoked in a context where institutions, interests, identities and power also matter. The article proposes to think of deliberation and power politics as closely intertwined and, in fact impossible to separate. Even in the best conditions, multinational deliberations always remain imperfect exercises in practical reason.

La Misión de Estabilización de las Naciones Unidas en Haití -MINUSTAHes la primera intervención en la historia de las operaciones de paz en la cual la participación latinoamericana fue fruto de una concertación política de los gobiernos de la región. El desafío de la operación de paz es por un lado, la reconstrucción de un Estado, y por otro, demostrar la capacidad de los países latinoamericanos para manejar este tipo de conflictos.En el presente trabajo se analizan las operaciones para el mantenimiento de la paz de las Naciones Unidas en Haití,1 se evalúan las capacidades, los recursos y mecanismos políticos que disponen los organismos multilaterales y los gobiernos para manejar y responder a dicho conflicto en forma efectiva.Este trabajo no tiene la finalidad de investigar los eventos que han determinado la intervención de 2004, más bien la finalidad del presente trabajo es analizar las intervenciones de las operaciones para el mantenimiento de la paz de las Naciones Unidas en Haití, la Misión de las Naciones Unidas en Haití (UNMIH), de septiembre de 1993 a junio de 1996; la Misión de Apoyo de las Naciones Unidas en Haití (UNSMIH), de julio de 1996 a julio de 1997; la Misión de Transición de las Naciones Unidas en Haití (UNTMIH), de agosto a noviembre de 1997, y la Misión de Policía Civil de las Naciones Unidas en Haití (MIPONUH), de diciembre de 1997 a marzo de 2000; intervención de la Fuerza Interina Multinacional (FIM) entre marzo y junio de 2004, y particularmente la Misión de Estabilización de las Naciones Unidas en Haití (MINUSTAH) que reemplazó la anterior y que a la fecha continúa en Haití.-----The MINUSTAH mission is the first intervention in the history of peace operations where the Latin American involvement resulted from a political agreement among the region governments. The peace operation challenge is, on the one hand, the reconstruction of a State and, on the other hand, demonstrating the ability of Latin American countries for handling this type of conflicts.This paper analyzes UN peacekeeping operations in Haiti,2 evaluates the abilities, the resources, and the political mechanisms available to multilateral bodies and governments for handling and addressing such conflict on an effective way. The purpose of this paper is not investigating the events that determined the intervention in 2004. Rather, its purpose is to analyze the interventions of the UN peacekeeping operations in Haiti, –UN Mission in Haiti (UNMIH), from September 1993 to June 1996; UN Support Mission in Haiti (UNSMIH), from July 1996 to July 1997; UN Transition Mission in Haiti (UNTMIH), from August to November 1997; and UN Civilian Police Mission in Haiti (MIPONUH), from December 1997 to March 2000;– the intervention of the Multinational Force (MNF) between March and June 2004, and particularly the United Nations Stabilization Mission in Haiti (MINUSTAH) that replaced the latter and remains in Haiti.
