As business increasingly operates on a global basis, courts are called upon more often to adjudicate insolvency cases with international connections. The financial collapse of Lehman Brothers Holding Inc (‘Lehman Holdings’) provides a recent example where courts across many jurisdictions were called upon to determine issues arising from a multistate insolvent enterprise. Lehman Holdings filed for Chapter 11 bankruptcy protection in the United States on 15 September 2008. Lehman Brothers was the fourth largest investment bank in America and the largest company ever to file for bankruptcy in the United States. However the effects of its collapse were felt worldwide, including within Australia.

A View into the World of Kitchen: Development and retention of a leading position in the market of kitchen interiors - a case study of 20 years. This study focuses on the development of a kitchen interiors company, presently called Novart Inc., into the leading company of the industry from 1980´s to the present. The objective of the study is to describe the effects of strategic choices, the decisions of the management and the owner´s direction and control to the build up and the retaining of the leading position in the market. From theory point of view, strategic choices refer to com-pany purchases as corporate-level strategies, and business and marketing strategies. The empirical research was carried out in two phases and it is based on various company documents and records, and on the intensive interviews of seven key executives in the company. An abductive research design was utilized. The company gained the leading position in the kitchen market in Finland by company purchases, and the company has been able to retain the position. Firstly the goal was to expand to retail market and, secondly, the company has maintained the balance of supply and demand by closing the purchased production units when needed. The simultaneous use of these two strategic goals is a kind of a new observation, and the strategy may be suitable only for market leaders. During the latter part of the research period the strategy of com-pany purchases has been abandoned and the leading position in the market has been main-tained by developing systematically business and marketing capability. In the business and marketing strategies the distribution channels and the brands have been emphasized. During the research period the company has almost totally abandoned the long distribution channels and started to use its own channels built and named after the main brands. These are A la Carte, Parma and Petra. At the moment, in the beginning of the 21st century, a new distribution channel, the concept of the Kitchen World, is being built in addition to the channels mentioned above. The management´s decision making and the implementation the decisions have been well-considered. The executives emphasized the valuing of the importance of the decisions dif-ferently except the two decisions named the most important ones, i.e., the decisions to start own production of the raw material and to concentrate the business only to one company. The executive staff has also succeeded in managing crisis and threats of bankruptcy, and the company has been managed profitable. During all the four terms of ownership: Puolimatka Corporation, the Hankkija/Novera Corporation, the ownership period of the "bank", and the Nobia Corporate the ownership direction and control has been somewhat different. All the owners have paid attention to economic issues. The direction of cash flows and investments was at its strongest during the Hankkija/Novera term. For the last owner Nobia the production and marketing of the kitchen interiors has been the core business, which thus has strengthened the business and marketing capabilities of the target company of this research. A common denominator during all the four terms of ownership has been owners' trust gained by the professional skills of the management of the target company. This has lead to greater independence of the management of the company and less owners´ direction. This thesis addresses audience engagement challenges during professional mainstream ballet and contemporary dance company performances by examining spectator-dancer relationships. Focusing on the open rehearsal as an audience engagement tool, this project presents a new line of enquiry in dance reception studies. The findings signify that open rehearsal attendance can contribute to more meaningful and enjoyable performance experiences for audience members by opening up the possibility of different relationships with dancers.

Corporate social responsibility (CSR) is no longer only an issue of companies but a concern shared by e.g. the European Union, the International Labour Organization, labour market organizations and many others. This thesis examines what kind of voluntary corporate social responsibility exceeding the minimum level set in the legislation can be expected from the Finnish companies. The research was based on the interviews of some representatives of Finnish companies and of external stakeholders. Earlier Finnish empirical research on the topic has solely analysed the stakeholder thinking and the ethics of the views of the company representatives. The views of the external stakeholders brought ht up a much more versatile perspective on the voluntary corporate social responsibility of the companies. That is the particular surplus value of this research. This research, founded on stakeholder thinking, evaluated what kind of starting points and ideas on responsibility the views of the representatives of the companies and the external stakeholders were based on the voluntary social responsibility. Furthermore, the research also investigated how their views about the corporate social responsibility indicated the benefits achieved on the cooperative actions with different partners - for example companies, communities and public administration. To fulfil the aims of the research, the following questions were used as part tasks in mapping the basic foundations and starting points expressed by the representatives of the companies and the external stakeholders: 1) How do laws, directions concerning social responsibility of companies, and opinions and demands of the stakeholders guide and affect the voluntary corporate social responsibility? 2) How can companies assume voluntary corporate social responsibility in addition to their core functions and without compromising their profitability, and how does, for example, the tightening competition affect the possibility of taking responsibility? 3) What kind of ethic and moral foundations is the corporate social responsibility based on? 4) What kind of roles can companies have in securing and promoting the well-being of citizens in Finland and on the global market as one subsystem of the society? The views on the voluntary corporate social responsibility of nine big companies, one medium-sized company and one small company, all considered responsible pioneer companies, were studied with surveys and half-structured theme interviews between 2003 and 2004. The research proceeded as a theory-bounded study. The empirical material and the previous stakeholder thinking theories (Takala 2000b, Vehkaperä 2003) guided the thesis and worked abductively in interplay with each other during the research process. (Tuomi, Sarajärvi 2002.) The aims and the methods of the research and the themes of the interviews were defined on the basis of that information. The aims of the research were surveyed qualitatively with the strategy of a multiple case study. Representatives from nine big peer companies and nine external stakeholders were interviewed with half-structured themes between 2004 and 2005. The external stakeholders and the peer companies were chosen with the "thinking" of theoretical replication by Yin, according to which the views of the representatives of those groups would differ from those of the pioneer companies and also from those of each others. The multiple case study supports analysing the internal cohesion of the views of different groups and comparing their differences, and it supports theoretical evaluation and theory-building as well. (Yin 2003.) Another reason for choosing the external stakeholders was their known cooperation with companies. The spoken argumentations of the company and stakeholder representatives on the voluntary social responsibility of the companies were analysed and interpreted in the first place with an analytic discourse analysis, and the argumentations were classified allusively into the stakeholder discourses in three of the part tasks. In the discourse analysis, argumentations of the speech is seen to be intervowen with cultural meanings. (Jokinen, Juhila 1999.) The views of the representatives of the pioneer companies and the external stakeholders were more stakeholder-orientated than the views of the representatives of the peer companies. For the most part, the voluntary corporate social responsibility was seemingly targeted on single, small cooperation projects of the companies and external stakeholders. The pioneer companies had more of those projects, and they were participating in the projects more actively than the peer companies were. The significant result in this research was the notion that, in particular, the representatives of the pioneer companies and external stakeholders did not consider employing and paying taxes to be enough of reciprocal corporate social responsibility. However, they still wanted to preserve the Finnish welfare model, and the interviewees did not wish major changes in the present legislation or the social agreements. According to this study, the voluntary corporate social responsibility is motivated by ethical utilitarianism which varied from very narrow to very wide in relation to benefits achieved by companies and stakeholders (Velasquez 2002, Lagerspetz 2004). Compared with the peer companies, more of the representatives of the pioneer companies and of external stakeholders estimated that companies in their decision-making and operations considered not only the advantages and the benefits of the owners and other internal stakeholders, but also those of the external stakeholders and of the whole society. However, all interviewees expressed more or less strongly that the economic responsibility guides the voluntary responsible actions of the companies in the first place. This kind of utilitarian foundation of behaviour appeared from this research was named as business-orientated company moral. This thesis also presents a new voluntary corporate social responsibility model with four variables on the stakeholder discourses and their distinctive characteristics. The utilitarian motivation of a company s behaviour on their operations has been criticized on the grounds that the end justifies the means. It has also been stated that it is impossible to evaluate the benefits of the utilitarian type of actions to the individuals and the society. It is expected however that companies for their part promote the material and immaterial well-being of the individuals on the global, national and local markets. The expectations are so strong that if companies do not take into account the ethical and moral values, they can possibly suffer significant financial losses. All stakeholders, especially consumers, can with their own choices promote the responsible behaviour of the companies. The ProFacil model is a generic process model defined as a framework model showing the links between the facilities management process and the building end user’s business process. The purpose of using the model is to support more detailed process modelling. The model has been developed using the IDEF0 modelling method. The ProFacil model describes business activities from the generalized point of view as management-, support-, and core processes and their relations. The model defines basic activities in the provision of a facility. Examples of these activities are “operate facilities”, “provide new facilities”, “provide re-build facilities”, “provide maintained facilities” and “perform dispose of facilities”. These are all generic activities providing a basis for a further specialisation of company specific FM activities and their tasks. A facilitator can establish a specialized process model using the ProFacil model and interacting with company experts to describe their companys specific processes. These modelling seminars or interviews will be done in an informal way, supported by the high-level process model as a common reference.

Aims: The recent conversations about disappearing family meals, mental problems of the youngsters and family meals´ protective effect on youngsters problems have been the base of this study. The main aim of this study is to find out, what kind of position family meals do have in the youngsters´lives. Study questions are: 1. What kind of conceptions youngsters have of family meals? 2. What kind of hands-on experience youngsters have about family meals? 3. How youngsters feel family meals on a emotional level? a. Are meals positive moments with the family or do they just limit timetables? b. Do the youngsters need family meals if they do not have those in their families? Why? Why not? Methods: The data was collected using stimulated recall -interviews and basic themed interviews. The data was collected from thirteen 8th graders from Pirkanmaa and Kanta-Häme. The interviews were analyzed with the qualitative content analysis. Results and conclusion: The youngsters´ consepts of the meals and the family meals were quite traditional, assuming that those are warm, varied and eaten with company. The situation of the family meals was good and those were eaten nearly every day in the most of the families. The youngsters thought that the family meals were important social moments with the family and they were able to talk about important things with the family during the meals. They also felt that the daily eating rythm was good and they did not felt that the meals would have been somehow restrictive. Even so that the pupils felt the family meals were important, the pupil whose family did not eat family meals did not long those meals. He felt that he was able to share his thoughts and experiences also in other ways. It is important that youngsters have this channel of communication.

El contenido del presente artículo surge de la necesidad de reconstruir los recorridos y continuos desplazamientos que fueron forjando el itinerario intelectual de Michel de Certeau a fin de poder captar el “estilo” de sus propias “prácticas intelectuales”. Siguiendo a Luce Giard, distinguimos tres etapas de duración desigual, en el itinerario de Michel de Certeau: 1) el tiempo de los cimientos, consagrado a la historia de la espiritualidad y de la Compañía hasta 1968; 2) el tiempo de sacudida y ampliación de su proyecto intelectual entre 1968 y 1974; 3) el tiempo de plenitud entre 1975 y el fin de 1985. Nos centramos, en esta ocasión, en la presentación de las dos primeras etapas, dejando para posteriores desarrollos la tercera etapa. Cerramos el artículo con la discusión en torno a la pertinencia del título ciertamente provocador del artículo de E. Roudinesco: “Michel de Certeau, iconoclasta esclarecido”.

A recuperação de fábricas falidas pelos próprios trabalhadores, que assumem de alguma maneira os meios de produção e retomam as atividades da empresa, é um fenômeno que se tornou recorrente no Brasil a partir década de 90, no contexto de abertura do mercado e crise econômica. Esta investigação parte da experiência da FACIT, em Juiz de Fora/MG, considerando-a no decorrer de sua história, antes e depois da autogestão, em busca dos significados atribuídos pelos trabalhadores à experiência que vivenciaram e suas trajetórias profissionais e de grupo. A compreensão dessa experiência referencia-se na história mais geral do trabalho e de suas transformações no capitalismo contemporâneo, bem como das experiências de autogestão e autonomia dos trabalhadores no interior desse modo de produção. Considera-se o trabalho categoria central na estruturação das trajetórias e identidade dos trabalhadores, sendo a iniciativa de retomarem a produção de empresas falidas uma saída que se impôs com a crise da sociedade salarial, enquanto tentativa de conquista coletiva dos meios de vida. Nesta nova situação, quando se veem proprietários das instalações e reiniciam a produção sem os antigos patrões ou seus representantes imediatos, os trabalhadores trazem consigo suas trajetórias pretéritas forjadas no reino da heterogestão, dificultando a compreensão precisa do que representa a autogestão da empresa. Habituados ao chão-da-fábrica, lugar que até então podiam ocupar na divisão do trabalho da empresa, encontram-se frente à tarefa de assumirem também a gestão da empresa. Entre o chão e a gestão da fábrica, uma nova trajetória se ensaia, com suas contradições e ambiguidades.

El presente trabajo se centra en la realización de un Plan Estratégico para la Editorial Pentagon, empresa establecida y que actúa en el mercado de los Países Bajos. La empresa realizó un plan previamente, por lo que en algunos aspectos se realizan aportaciones a dicho plan. Se lleva a cabo un análisis de la situación actual de la empresa, y la evolución sufrida por la misma y la del sector, con el fin de poder determinar los aspectos que la empresa está trabajando de forma adecuada o, los que por el contrario, no está explotando o gestionando de una forma eficiente o que le permita alcanzar sus objetivos. Se analizan en profundidad los factores determinantes del sector de actuación de la empresa, para posteriormente poder fijar unos objetivos y estrategias a seguir por parte de la misma para poder enfrentarse de la mejor forma a dicho entorno.

O presente trabalho tem por objetivo analisar uma das diversas alterações decorrentes da contrarreforma do Estado brasileiro que tem incidido diretamente sobre o campo das políticas sociais: a adoção dos modelos privatizantes de gestão. A despeito do acirramento da questão social e consequente aumento da demanda por serviços sociais, o Estado tem caminhado numa via oposta. Focaliza as políticas sociais, precariza os serviços já existentes e drena recursos da seguridade social para sustentação das altas taxas de juros e pagamento da dívida pública. Somado a isso, para possibilitar a criação de novos espaços lucrativos, o Estado tem reeditado repetidamente diferentes instrumentos de privatização das políticas sociais as Organizações Sociais, as Organizações da Sociedade Civil de Interesse Público, as Fundações Estatais de Direito Privado e a Empresa Brasileira de Serviços Hospitalares processando-se, desta forma, um duplo favorecimento do capital na apropriação do fundo público. Desse modo, conferimos especial destaque às Organizações Sociais, instrumento privilegiado da operacionalização da modernização da gestão da rede de serviços da atual gestão municipal da política de saúde carioca. Buscamos analisar as tendências da alocação dos recursos orçamentários da saúde no Rio de Janeiro (Função Saúde e Fundo Municipal), os contratos de gestão a fim de captar os processos de privatização, focalização e mercantilização da saúde, no período de 2009-2010. Nesse contexto, revelou-se uma profunda falta de transparência nos gastos públicos com a política de saúde carioca que perpassa os recursos destinados ao Fundo Municipal de Saúde, mas também se expressa nos inúmeros repasses financeiros muitas vezes elevados e sem justificativas palpáveis destinados às Organizações Sociais. Desse modo, a efetivação das ações e serviços do Sistema Único de Saúde (SUS) fica relegada ao segundo plano e põe-se na ordem do dia o favorecimento do capital através de uma apropriação cada vez maior do fundo público.

Trata-se de estudo sobre a responsabilidade dos pais em caso de ato ilícito cometido pelo filho menor. Nos termos do artigo 932, I, do atual Código Civil brasileiro, os pais respondem pelos atos dos filhos que estiverem sob sua autoridade e em sua companhia. Nesse sentido, intenta-se esclarecer conceitos como paternidade, autoridade e companhia a fim de melhor compreender o alcance da norma. O exercício da autoridade parental e a garantia da vítima serão apresentados como fundamentos do dever dos pais de reparar os danos causados por seus filhos. Partindo-se desses fundamentos, busca-se também nova abordagem do instituto do poder familiar, levando em consideração a mudança na concepção das famílias nos últimos anos. O desempenho da autoridade por outras figuras, como os avós e os padrastos, permitem reflexões em torno da responsabilidade sobre os menores que estão sob seus cuidados, principalmente no que pertine ao dever de reparar os danos causados. Acerca do fenômeno da responsabilidade civil, atenta-se para a grande preocupação com a vítima, merecedora de indenização pelos prejuízos sofridos. A possibilidade de atingir o patrimônio de terceiros, independente da caracterização da culpa, sinaliza a garantia dada ao ofendido. A mesma importância merece o interesse do menor, seja no que diz respeito ao seu patrimônio, seja em suas relações existenciais. Em razão disso, o estudo também aborda o ato ilícito cometido por menores, partindo de uma releitura do regime das capacidades, a fim de considerar a análise da conduta culposa do ofensor a partir do seu possível discernimento. Os princípios constitucionais como melhor interesse da criança e do adolescente, dignidade da pessoa humana, solidariedade, igualdade e paternidade responsável figuram como diretrizes à compreensão do tema.

A presente dissertação busca analisar os aspectos subjacentes à emergência de um novo paradigma no que tange à inovação: open innovation (ou inovação aberta). Tendo em vista que o estudo comporta a necessidade de conceituação, importa observar que atualmente o conhecimento se mostra difundido entre inúmeras fontes. Sendo assim, a ideia de uma estrutura totalmente vertical e autossuficiente de pesquisa e desenvolvimento, inerente aos modelos fulcrados no paradigma anterior (closed innovation ou inovação fechada), vem dando lugar à crença de que ideias valiosas podem surgir tanto internamente quanto externamente, da mesma maneira que as inovações resultantes das atividades empresariais podem chegar ao mercado por caminhos internos e externos. Essa abordagem atribui grande relevância ao intercâmbio de conhecimento e à perspectiva colaborativa, destacando como principal vantagem a diminuição dos custos com pesquisa e desenvolvimento. Dentre os vários pontos de distinção entre os referidos paradigmas encontra-se a função a ser desempenhada pela propriedade intelectual. Por conseguinte, o objetivo desta dissertação consiste em investigar como a propriedade intelectual funciona dentro da lógica pela qual se orienta a inovação aberta, isto é, se ela impede o fluxo de conhecimento entre os diversos agentes do mercado envolvendo tecnologia ou, ao contrário, se a proteção formal desses ativos intangíveis é o elemento que permite tal intercâmbio. Nesses termos, busca-se demonstrar que as sociedades empresárias adotantes desse modelo aberto abordam a questão da titularidade de direitos de propriedade intelectual como ponto crucial à consecução de práticas baseadas em inovação aberta, as quais se instrumentalizam a partir de contratos formais. Importa observar que, através de uma metodologia científica de análise de conteúdo, toda a investigação em curso se perfaz tendo em conta a empresa enquanto conceito dinâmico dentro do contexto da manifestação do mercado como um fenômeno poliédrico, o qual, em se tratando de temas como propriedade intelectual, será orientado para a inovação. Desta feita, a conclusão da pesquisa indica que os direitos da propriedade intelectual são importantes ativos em uma lógica de open innovation, pois esta não advoga a extinção da propriedade intelectual, mas a flexibilização de sua exploração.

Reports of high mortality resulting from the impoundment of crabs (Callinectes sapidus) during the preshedding period, to produce soft crabs, have been current in Maryland and Virginia for many years. The death rate of crabs on floats has been estimated by certain of the operators to run as high as 86% at Cape Charles, and to figures nearly as high at Crisfield and elsewhere during one season of the year. A study of this mortality and the factors influencing it have been in progress at the Chesapeake Biological Laboratory for two seasons.

Vibrio vulnificus is a gram-negative pathogenic bacterium endemic to coastal waters worldwide, and a leading cause of seafood related mortality. Because of human health concerns, understanding the ecology of the species and potentially predicting its distribution is of great importance. We evaluated and applied a previously published qPCR assay to water samples (n = 235) collected from the main-stem of the Chesapeake Bay (2007 – 2008) by Maryland and Virginia State water quality monitoring programs. Results confirmed strong relationships between the likelihood of Vibrio vulnificus presence and both temperature and salinity that were used to develop a logistic regression model. The habitat model demonstrated a high degree of concordance (93%), and robustness as subsequent bootstrapping (n=1000) did not change model output (P > 0.05). We forced this empirical habitat model with temperature and salinity predictions generated by a regional hydrodynamic modeling system to demonstrate its utility in future pathogen forecasting efforts in the Chesapeake Bay.

Describes a study that set out to evaluate the performance impact of a SAP R3 implementation. The SAP system was implemented by a major multinational business in four of its European plants. Qualitative and quantitative data were collected over a two-year period, through surveys and interviews with systems users and by accessing company records. While users were able to identify the operational benefits of SAP, they were still doubtful at the end of the evaluation process whether the system had resulted in any significant positive financial benefits for the business. Two themes related to this observation are explored. First the time lag between operational improvements and subsequent financial impact. Second the importance of learning as a means of reducing the time lag. Learning in this context is a multi-dimensional concept and covers learning how to use the system, learning how to improve the system and learning how to improve the implementation process.
