Die Offenlegung von Management-Transaktionen: Stand der schweizerischen Regelung im internationalen Kontext

Für die an der SWX kotierten Unternehmen besteht seit dem 1. Juli 2005 die Pflicht, Transaktionen in Bezug auf Beteiligungsrechte des Emittenten, welche Angehörige von dessen Management durchführen, der SWX anzuzeigen. In einem ersten Schritt wird die Bedeutung dieser spezifischen Offenlegungspflicht im Zusammenhang sonstiger Ad-hoc-Publizitätspflichten sowie im weiteren Kontext von Corporate Governance erörtert; anschliessend werden Geltungsgrund und normative Reichweite der schweizerischen Regelung vor dem Hintergrund vergleichbarer Regelungen im europäischen Ausland und in den USA analysiert. Abschliessend wird kritisch hinterfragt, ob sich die Verpflichtung zur Offenlegung von Director's Dealings tatsächlich durch die Signal- oder Indikatorfunktion rechtfertigen lässt.

Eidgenössische Volksinitiative "gegen die Abzockerei" sowie Revision des Obligationenrechts als indirekter Gegenvorschlag; Aspekte im internationalen Quervergleich

Am 3. März 2013 stimmen Volk und Stände über die Volksinitiative "gegen die Abzockerei" ab. Kürzlich erstellte der Autor ein rechtsvergleichendes Gutachten, das diese Volksinitiative und den indirekten Gegenvorschlag des Parlaments in einen internationalen Kontext setzt und mit verschiedenen ausländischen Ordnungen vergleicht: Europäische Union, Deutschland, Österreich, Grossbritannien sowie USA. Während der parlamentarische Gegenvorschlag in etwa dem internationalen Standard entspricht und wohl noch etwas weiter geht, kommt die Studie zum Schluss, dass die "Abzocker"-Initiative globale Skurrilitäten enthält und dass ein nationaler Alleingang zu einem Standortnachteil für die Schweiz führen könnte.

Entwicklungslinien deutscher Verkehrspolitik im 19. und 20. Jahrhundert

Die Verkehrspolitik seit dem Kaiserreich verfolgte immer auch verkehrsfremde Ziele militär-, sozial- und regionalpolitischer Art, was die Kohärenz der verkehrspolitischen Strategien häufig einschränkte. Prägend für die Verkehrspolitik im engeren Sinn war neben einem meistens infrastrukturlastigen Politikansatz das als grundsätzlich konfliktiv wahrgenommene Verhältnis von Schiene und Straße. Obwohl im internationalen Vergleich das starke Engagement des Staates im Zeichen der Daseinsvorsorge auffällt, kann von einem eigentlichen deutschen Sonderweg keine Rede sein.

Polarisierung als Strategie. Die Polarisierung des Schweizer Parteiensystems im internationalen Vergleich

Im letzten Beitrag erweitern Klaus Armingeon und Sarah Engler die Perspektive und analysieren die Polarisierung des Schweizer Parteiensystems im internationalen Vergleich. Ausgangspunkt ihres Kapitels ist die Erkenntnis, dass in kaum einem anderen europäischen Land die programmatischen Positionen der grossen Parteien so weit voneinander entfernt sind wie in der Schweiz. Während schon andere Studien die Parteipolarisierung in der Schweiz untersucht haben (Brändle 1 999; Hug und Schulz 2007; Ladner et al. 2010), nehmen Armingeon und Engler erstmalig einen direkten Vergleich der Parteipolarisierung und der Bevölkerungspolarisierung aus einer international komparativen Perspektive unter Einbezug der Schweiz vor. Konkret befassen sie sich mit der Frage, wie die programmatische Polarisierung der Schweizer Parteien mit der ideologischen Polarisierung der Gesamtwählerschaft und der Polarisierung der einzelnen Parteiwählerschaften in den drei zentralen Dimensionen des politisch en Wettbewerbs zusammenhängt (d.h. wenn es um mehr oder weniger Staatseingriffe in die Wirtschaft, um libertäre oder konservativ-autoritäre Werte sowie um den Grad der internationalen Öffnung des Landes geht). Im Falle der Konfliktlinie «Öffnung vs. Schliessung» weisen Armingeon und Engler darauf hin, dass sich die Parteienpolarisierung in der Schweiz nicht etwa auf ein hohes Niveau der Fremdenfeindlichkeit oder eine starke Polarisierung der Gesamtwählerschaft zurückführen lässt. Vielmehr zeigen sie, dass es den Parteien umso besser gelingt, ihre Zielwählerschaften in einer Dimension anzusprechen, je stärker sie sich programmatisch polarisieren. Diese Sortierungsleistung geht somit auf eine strategische Entscheidung der Parteien zurück, sich in einer Dimension des politischen Wettbewerbs zu profilieren und damit optimal ihr Wählerpotenzial auszuschöpfen. Dabei ist es der SVP am besten gelungen, den Konflikt zwischen Öffnung und Schliessung zielgruppengerecht zu thematisieren und zu ihrem Kernprogramm zu machen. Damit werden vor allem all jene Wähler von der Volkspartei angesprochen, die sich durch Globalisierung, Europäisierung und Migrationsströme besonders bedroht fühlen. In diesem Sinne ist die SVP gemäss Armingeon und Engler Schweizer Meisterin im Heraussortieren ihrer Wählerschaft aus einer insgesamt ziemlich homogenen Wählerschaft.

Untersuchungen zur Fachsprache der Ökologie und des Umweltschutzes im Deutschen und Finnischen : Bezeichnungsvarianten unter einem geschichtlichen, lexikographischen, morphologischen und linguistisch-pragmatischen Aspekt

The work integrates research in the language and terminology of various fields with lexicography, etymology, semantics, word formation, and pragmatics. Additionally, examination of German and Finnish provides the work with perspective of contrastive linguistics and the translation of texts in specialized fields. The work is an attempt to chart the language, vocabulary, different textual types, and essential communication-connected features of this special field. The study is primary concerned with internal communication within the field of ecology, but it also provides a comparison of the public discussion of environmental issues in Germany and Finland. The work attempts to use textual signs to provide a picture of the literary communication used on the different vertical levels in the central text types within the field. The dictionaries in the fields of environmental issues and ecology for the individual text types are examined primarily from the perspective of their quantity and diversity. One central point of the work is to clarify and collect all of the dictionaries in the field that have been compiled thus far in which German and/or Finnish ware included. Ecology and environmental protection are closely linked not only to each other but also to many other scientific fields. Consequently, the language of the environmental field has acquired an abundance of influences and vocabulary from the language of the special fields close to it as well as from that of politics and various areas of public administration. The work also demonstrates how the popularization of environmental terminology often leads to semantic distortion. Traditionally, scientific texts have used the smallest number of expressions, the purpose of which is to appeal to or influence the behavior of the text recipient. Particularly in Germany, those who support or oppose measures to protect the environment have long been making concerted efforts to represent their own views in the language that they use. When discussing controversial issues competing designations for the same referent or concept are used in accordance with the interest group to which the speaker belongs. One of the objectives of the study is to sensitize recipients of texts to notice the euphemistic expressions that occur in German and Finnish texts dealing with issues that are sensitive from the standpoint of environmental policy. One particular feature of the field is the wealth and large number of variants designating the same entry or concept. The terminological doublets formed by words of foreign origin and their German or Finnish language equivalents are quite typical of the field. Methods of corpus linguistics are used to determine the reasons for the large number of variant designations as well as their functionality.

Die Fangmengen an Nordseegarnelen und fischereilicher Aufwand im europäischen Vergleich - Langzeitserien und saisonale Übersicht

Among other tasks the “Working Group on Crangon Fisheries and Life Cycle” of the “International Council for the Exploration of the Sea” collects data on landings and effort in the North Sea brown shrimp fisheries by country. Landings per unit effort data are calculated and all are compared on basis of long-term series as well as on seasonal basis. The development for each country is described and compared for the year 2001 to the ten-year average from 1992 to 2001 were possible, as some data are missing especially for the Netherlands. While the Dutch and British fleets increased their landings substantially in 2001 compared to the previous years, Danish,German and Belgian fishermen had reduced landings. There are regional differences in fishing pattern between the countries, especially Denmark versus the rest of Europe. Effort measures remain incomparable between the countries, and fluctuations in landings per unit effort data seem to be in a normal biological range, giving no reason for concern at present for the situation of brown shrimp stocks in the North Sea. An improvement of the data basis is required and possibly achievable by the EU logbook system being in force for brown shrimp fisheries as well.

Historie und aktueller Stand des Internationalen Heringslarvensurveys in der Nordsee

Since years the International Herring Larvae Survey Program (IHLS) is an important and internationally established survey program in the North Sea. The IHLS serves the calibration of stock abundance estimates based on information from the commercial fishery and the method of Integrated Catch Analysis (ICA) which is a specific derivate of the Virtual Population Analysis (VPA). Meanwhile the IHLS database has been transferred from Aberdeen to Kiel and it has been agreed that the Institut für Meereskunde Kiel should continue to maintain this database and provide the abundance indices to be utilized by the ICES Herring Assessment Working Group as one of the means for assessing the state of the herring stock in the North Sea. For establishing the calculation procedure at Kiel, it was necessary to optimize both, the survey design and the index calculation. This article gives an overview over the survey’s history, it’s geography, the sampling design, the information content of the IHLS data base and the various methods of calculating the different indices necessary for the calibration.

Fischerei und fischereibiologische Untersuchungen im Nordost-Atlantik im 1. Halbjahr 1996

Biological investigations were carried out onboard the commercial freezing trawler "KIEL" off the Norwegian coast in February/March and in the Bear Island area in May 1996. Data will be used as German contribution to the assessments of the ICES "Arctie Fisheries Working Group". Informations about the fishery and the concentrations of cod, haddock, saithe and redfish in the areas between Röst-, Nordvest-, Fuglöy-Bank and Bear Island are given. Length - and age distributions as well as preliminary results of stomach- and gonad investigations are represented.
