Tutkielman tavoitteena oli antaa yleiskuva corporate governance -aiheen ympärillä käydystä kansallisesta ja kansainvälisestä keskustelusta ja siitä syntyneistä normistoista. Tavoitteena oli myös esimerkkiyrityksen kautta tarkastella suomalaisen keskustelun perusteella syntyneen normiston kolmea suositusta (liittyen hallintoneuvoston, hallituksen ja toimitusjohtajan päätöksenteolliseen asemaan). Mainittujen aihepiirien suosituksia on tutkimuksessa selvitetty laajemmin ja mukaan tarkasteluun on otettu kansallisella tasolla asioihin merkittävästi vaikuttava lainsäädäntö. Tutkimuksen case osuudessa tarkasteltiin valtio-omistajan antamia corporate governance suosituksia ja niiden toteutumista esimerkkiyrityksessä, Finnvera Oyj:ssa. Tutkielman yhteenvetona voidaan todeta, että kansainvälinen keskustelu eroaa aihepiireiltään jonkin verran suomalaisen keskustelun mielenkiinnon kohteista, joskin yhtymäkohtiakin on. Eroavaisuuteen vaikuttaa ainakin historialliset, kulttuurilliset ja institutionaaliset erot eri maiden kesken. Suomessa olemassa oleva yhtiölainsäädäntö on huomattavan kattava ja se osaltaan hoitaa sääntelyä ja siten poistaa tarvetta erillisille suosituksille ja pelisäännöille. Tutkimuksen case-yrityksessä Finnvera Oyj:ssa omistajan antamat toimenpidesuositukset corporate governance kysymysten käsittelystä on hoidettu asianmukaisesti, ja sillä tavoin kuin ne sovellettavuutensa perusteella on ollut tarkoituksenmukaista hoitaa.

Tutkimuksessa muodostetaan osakeyhtiön corporate governance - viitekehys lähtien sen taustateorioista ja -malleista sekä käsitteistä. Tutkimuksessa tarkastellaan osakeyhtiön yhtiöoikeudellisia toimielimiä sekä niiden tehtäviä ja keskinäisiä suhteita. Tutkimusmetodina käytetään oikeustaloustieteellistä lainoppia. Erityisenä tutkimuskohteena ovat valtioenemmistöiset yhtiöt ja valtion osakkuusyhtiöt. Julkisen sektorin uudelleenorganisoinnin ja tehokkuusvaatimuksien vuoksi valtion omistamien yhtiöiden merkitys tullenee jatkossa kasvamaan. Osakkeenomistajien residuaalisen vaateen perusteella yhtiökokouksella on osakeyhtiön ylin päätösvalta. Yhtiökokous voi kuitenkin lähtökohtaisesti päättää vain sille lain tai yhtiöjärjestyksen mukaan kuuluvista tehtävistä. Hallituksella on yleistoimivalta, jonka perusteella hallitus vastaa kaikista niistä hallinnon tehtävistä, joita ei ole osoitettu muille toimielimille. Toimitusjohtaja vastaa juoksevan hallinnon hoitamisesta sekä kirjanpidon lainmukaisuudesta ja varainhoidon järjestämisestä luotettavalla tavalla. Hallintoneuvoston tehtävät rajoittuvat nykyisin lähinnä yhtiön muun johdon valvontaan. Useimmissa osakeyhtiöissä on oltava myös tilintarkastaja, jonka on tarkastettava yhtiön kirjanpito, tilinpäätös, toimintakertomus ja hallinto. Valtioenemmistöisten yhtiöiden ja valtion osakkuusyhtiöiden yhtiöoikeudellisten toimielinten asema ei lainsäädännön tai corporate governance - suositusten perusteella poikkea muista yhtiöistä. Vaikka yhtiön toimielinten vastuuketju on aiempaa selkeämpi, niin yhtiökäytännössä toimielinten tehtävien tosiasialliset rajat vaihtelevat suuresti riippuen erityisesti yhtiön toiminnan laajuudesta, omistusrakenteesta ja toimialasta.

Tutkielman tavoitteena on kuvata valtio-omistajan vaikutusmahdollisuudet ja vaikuttamiskeinot valtioenemmistöisen osakeyhtiön hallintoon voimassa olevan osakeyhtiölain mukaisesti. Tutkielmassa paneudutaan osakeyhtiön johdon tehtävien ja velvollisuuksien lisäksi valtion rooliin ja asemaan yhtiön omistajana sekä selvitetään valtion omistajavallan jakautumista valtiollisten toimijoiden välillä. Tutkimusmetodina on käytetty oikeusdogmatiikkaa. Tutkielman pääasiallisena lähdeaineistona on voimassa oleva lainsäädäntö valmisteluaineistoineen. Lisäksi lähteinä on käytetty kotimaista oikeuskirjallisuutta, viranomaisten ohjeistuksia ja kannanottoja sekä ajankohtaisia asiantuntija-artikkeleita. Osakeyhtiö on nykyisin tyypillisin yritysmuoto liiketoiminnan harjoittamiseen myös valtion omistamana. Valtio omistaa merkittävästi osakkeita hyvin erityyppisissä yhtiöissä ja hyvin erisuuruisin osuuksin. Enemmistöosakkeenomistajuus tuo käytännössä valtiolle päätösvallan yhtiökokouksessa yhtiön merkittävistä ja laajakantoisista asioista strategisista linjauksista ja hallituksen jäsenten valinnasta päätettäessä. Jo yhtiötä perustettaessa valtio enemmistöosakkaana voi määrätä yhtiöjärjestyksessä melko vapaasti yhtiön tarkoituksesta ja hallinnon järjestämisestä. Hallitus ja toimitusjohtaja toimivat omistajan tahdon ja yhtiön tarkoituksen mukaisesti, mutta kuitenkin itsenäisesti yhtiön edun parhaaksi. Valtio-omistajuus ei tarkoita osakeyhtiön hallinnon ja toiminnan erilaisuutta muihin yhtiöihin nähden, vaan yhtiö toimii hyvän hallintotavan mukaisesti liiketoimintaperiaattein, johon myös valtion omistajaohjauksella pyritään.

The Swedish State is a large owner of enterprises. The Swedish Government Office administers 54 companies/groups, of which 40 are wholly-owned and 14 partly-owned by the State. A total of approximately 180,000 people are employed in these enterprises. The State is moreover one of the largest owners of the Stockholm Stock Exchange. The total value of the enterprises is assessed at around SEK 750 billion. This study focuses on the key reasons why the Swedish State has had ownership in a wide range of companies. The study provides, with the help of earlier research, an historical review of government involvement in business. A deeper analysis of the Swedish situation is presented for the period 1980-2007. Concrete reasons are identified, along with explanations of the development of the state–owned sector, with respect to turnover, employment, industrial structure, results and investment. The development of the rules for Corporate Governance in the State sector is explained. This study also includes a look at the creation of State-owned subsidiaries as the means to develop and expand business. In addition, this examination presents a systematization of important reasons why new State-owned companies will be created. A creation which must be considered as a dynamic process over time.

The environmental aspect of corporate social responsibility (CSR) expressed through the process of the EMS implementation in the oil and gas companies is identified as the main subject of this research. In the theoretical part, the basic attention is paid to justification of a link between CSR and environmental management. The achievement of sustainable competitive advantage as a result of environmental capital growth and inclusion of the socially responsible activities in the corporate strategy is another issue that is of special significance here. Besides, two basic forms of environmental management systems (environmental decision support systems and environmental information management systems) are explored and their role in effective stakeholder interaction is tackled. The most crucial benefits of EMS are also analyzed to underline its importance as a source of sustainable development. Further research is based on the survey of 51 sampled oil and gas companies (both publicly owned and state owned ones) originated from different countries all over the world and providing reports on sustainability issues in the open access. To analyze their approach to sustainable development, a specifically designed evaluation matrix with 37 indicators developed in accordance with the General Reporting Initiative (GRI) guidelines for non-financial reporting was prepared. Additionally, the quality of environmental information disclosure was measured on the basis of a quality – quantity matrix. According to results of research, oil and gas companies prefer implementing reactive measures to the costly and knowledge-intensive proactive techniques for elimination of the negative environmental impacts. Besides, it was identified that the environmental performance disclosure is mostly rather limited, so that the quality of non-financial reporting can be judged as quite insufficient. In spite of the fact that most of the oil and gas companies in the sample claim the EMS to be embedded currently in their structure, they often do not provide any details for the process of their implementation. As a potential for the further development of EMS, author mentions possible integration of their different forms in a single entity, extension of existing structure on the basis of consolidation of the structural and strategic precautions as well as development of a unified certification standard instead of several ones that exist today in order to enhance control on the EMS implementation.

Roughly speaking, Enron has done for reflection on corporate governance what AIDS did for research on the immune system. So far, however, virtually all of this reflection on and subsequent reform of governance has come from those with a stake in the success of modern capitalism. This paper identifies a number of governance challenges for critics of capitalism, and in particular for those who urge corporations to voluntarily adopt missions of broader social responsibility and equal treatment for all stakeholder groups. I argue that by generally neglecting the governance relation between shareholders and senior managers, stakeholder theorists have underestimated the way in which shareholder-focused governance can be in the interests of all stakeholder groups. The enemy, if you will, is not capitalists (shareholders), but greedy, corrupt or incompetent managers. A second set of governance challenges for stakeholder theorists concerns their largely untested proposals for governance reforms that would require managers to act in the interests of all stakeholders and not just shareholders; in other words to treat shareholders as just another stakeholder group. I suggest that in such a governance regime it may be almost impossible to hold managers accountable to anyone – just as it was when state-owned enterprises were given “multi-stakeholder” mandates in the 1960s and 1970s.

Comme une grande partie des îles de la Caraïbe, pour des raisons économiques basées sur le mercantilisme, justifiées par une législation, la Martinique, née il y a trois siècles, a connu un emmêlement massif de diverses ethnies. Suite à l’abolition de l’esclavage en 1848 et à la crise agricole qui en découla, c’est un brassage de coutumes qui s’opéra avec l’immigration des Hindous, des Africains, des Chinois et des Indochinois. Ce faisant, ces coutumes ont conservé leurs traditions et croyances propres, expliquant ainsi la fusion d'éléments de ces cultures, encore présente aujourd’hui. En abolissant l’esclavage, la « Loi » abolit également la réification, rétablissant ainsi l’humanité de l’homme, puisque l’esclave noir était considéré comme un bien meuble . Il en résulte la création d’un nouveau monde, modifiant la vie culturelle, déployant des habitus, ainsi qu’une manière de penser et d’agir. Aussi, un nouveau langage se structure progressivement. En 1946, la Martinique est reconnue département français d’Amérique. Aujourd’hui, elle se trouve dans une dépendance économique et sociale. De cet état de fait, un conflit s’impose à l’Afro-Martiniquais quant à la question de l’identité. Il se trouve partagé entre le contexte franco-européen et le milieu afro-antillais. Cette contradiction émane aussi de situations de confrontation, d’où se dégage souvent un ressenti de « fatalité » voire de « malédiction » entraînant « un sentiment de culpabilité collective » d’oser défier l’ordre social en place. Notre recherche vise à analyser ce dilemme de la dépendance à partir de l’énoncé des malédictions puis des considérations historiques suivies d'une perspective psychanalytique.

Telmex es una organización que inicia su operación como empresa estatal mexicana con bajos niveles de eficiencia, posterior a su privatización tomó un nuevo rumbo en sus procesos internos, llevándola a generar modelos de negocio diferenciados y enfocados a la prestación de servicios de telecomunicación a la vanguardia. A partir de la búsqueda de nuevos horizontes la compañía logra tener presencia en la mayoría de los países del continente americano operando bajo la marca de “Telmex Internacional”, y a su vez, con sus respectivas subsidiarias en cada uno de los diferentes países, con el objetivo de satisfacer las necesidades locales con mayor efectividad. Con el apoyo de los diferentes acercamientos teóricos se busca identificar los patrones que le permitieron a Telmex llegar a posicionarse como una compañía líder en el sector de las telecomunicaciones en Latinoamérica y específicamente en Colombia, manteniéndose en un mercado competitivo mediante la oferta de servicios de empaquetamiento ajustados a las necesidades de los clientes

La devolución del IVA consiste en un régimen tributario especial que se aplica en función de consideraciones específicas y en atención a la calidad que ostentan los sujetos pasivos que se benefician del mismo. Para que esta devolución proceda –en el caso de empresas públicas–, es indispensable que estas se encuentren constituidas de conformidad con las disposiciones de la Ley orgánica de Empresas Públicas o, en su defecto, hayan cumplido con las disposiciones específicas del régimen de transición contemplado para que las empresas públicas o estatales existen tes, las sociedades anónimas en las que el Estado es accionista, las empresas subsidiarias y las empresas de las Fuerzas armadas y de la Policía Nacional se conviertan en nuevas empresas públicas. En este contexto, el presente trabajo pretende analizar, de conformidad con el contenido de la Ley Orgánica de Empresas Públicas, el momento a partir del cual se genera el derecho a la devolución del Impuesto al valor agregado, para las empresas públicas, así como cuestionar ciertas inconsistencias que se desprenden de esta Ley.

The shamba system involves farmers tending tree saplings on state-owned forest land in return for being permitted to intercrop perennial food crops until canopy closure. At one time the system was used throughout all state-owned forest lands in Kenya, accounting for a large proportion of some 160,000 ha. The system should theoretically be mutually beneficial to both local people and the government. However the system has had a chequered past in Kenya due to widespread malpractice and associated environmental degradation. It was last banned in 2003 but in early 2008 field trials were initiated for its reintroduction. This study aimed to: assess the benefits and limitations of the shamba system in Kenya; assess the main influences on the extent to which the limitations and benefits are realised and; consider the management and policy requirements for the system's successful and sustainable operation. Information was obtained from 133 questionnaires using mainly open ended questions and six participatory workshops carried out in forest-adjacent communities on the western slopes of Mount Kenya in Nyeri district. In addition interviews were conducted with key informants from communities and organisations. There was strong desire amongst local people for the system's reintroduction given that it had provided significant food, income and employment. Local perceptions of the failings of the system included firstly mismanagement by government or forest authorities and secondly abuse of the system by shamba farmers and outsiders. Improvements local people considered necessary for the shamba system to work included more accountability and transparency in administration and better rules with respect to plot allocation and stewardship. Ninety-seven percent of respondents said they would like to be more involved in management of the forest and 80% that they were willing to pay for the use of a plot. The study concludes that the structural framework laid down by the 2005 Forests Act, which includes provision for the reimplementation of the shamba system under the new plantation establishment and livelihood improvement scheme (PELIS) [It should be noted that whilst the shamba system was re-branded in 2008 under the acronym PELIS, for the sake of simplicity the authors continue to refer to the 'shamba system' and 'shamba farmers' throughout this paper.], is weakened because insufficient power is likely to be devolved to local people, casting them merely as 'forest users' and the shamba system as a 'forest user right'. In so doing the system's potential to both facilitate and embody the participation of local people in forest management is limited and the long-term sustainability of the new system is questionable. Suggested instruments to address this include some degree of sharing of profits from forest timber, performance related guarantees for farmers to gain a new plot and use of joint committees consisting of local people and the forest authorities for long term management of forests.

Proposals have been made for a common currency for East Asia, but the countries preparing to participate need to be in a state of economic convergence. We show that at least six countries of East Asia already satisfy this condition. There also needs to be a mechanism by which the new currency relates to other reserve currencies. We demonstrate that a numéraire could be defined solely from the actual worldwide consumption of food and energy per capita, linked to fiat currencies via world market prices. We show that real resource prices are stable in real terms, and likely to remain so. Furthermore, the link from energy prices to food commodity prices is permanent, arising from energy inputs in agriculture, food processing and distribu-tion. Calibration of currency value using a yardstick such as our SI numéraire offers an unbiased measure of the con-sistently stable cost of subsistence in the face of volatile currency exchange rates. This has the advantage that the par-ticipating countries need only agree to currency governance based on a common standards institution, a much less on-erous form of agreement than would be required in the creation of a common central bank.

O projeto destina-se a analisar a gestão dos bens patrimonias na empresa pública. Procurar-se-á obter um diagnóstico de como as empresas públicas, em especial empresas situadas no município de São Paulo, conduzem a gestão o seu patrimônio, relativamente a eficiência e produtividade, diante de uma economia globalizada e da privatização emergente.A pesquisa será fundamentada em levantamentos de conceitos e práticas da gestão pública, comparando-a com a gestão da empresa privada. Será realizado também, um inquérito (pesquisa) através de entrevistas pessoais, em algumas empresas públicas, para se levantar e avaliar as dificuldades, e as práticas reais conduzidas.Torna-se oportuno ressaltar que este não será um trabalho que focará os aspectos contábeis e de legislação que a empresa pública está submetida, ainda que tais aspectos estão contemplados no estudo.

Esta obra pretende demonstrar como evoluem os índices de produtividade da mão-de-obra e do capital investido na PETROBRAS, investigando a relação mantida com o dimensionamento quantitativo e qualitativo da força de trabalho da estatal. índice de produtividade é o resultado da divisão das quantidades produzidas por um trabalho pelos insumos utilizados na consecução desse trabalho, em relação a um determinado período de tempo. A produtividade expressa, portanto, a razão output / input. O aumento da produtividade pode ser causado pela substituição da mão-de-obra por tecnologia aplicada via capital investido, afetando por conseguinte o dimensionamento da força de trabalho. No caso da Petróleo Brasileiro S.A. - PETROBRAS, o autor identificou cinco períodos evolutivos correlatos às curvas de produtividade da estatal: de 1958 a 1964, de 1964 a 1973, de 1973 a 1979, de 1979 a 1991, e após 1991. De 1980 a 1995, a área de Exploração & Produção da companhia triplicou suas produtividades relativas - tanto da mão-de-obra quando do capital investido-, o mesmo não acontecendo nem com a área de Refinação nem com a PETROBRAS holding, que não viram crescer substancialmente suas produtividades relativas da mão-de-obra entre 1980 e 1995, enquanto caíam suas produtividades relativas do capital investido. Quanto às possibilidades futuras de dimensionamento quantitativo e qualitativo do contingente de pessoal, entrevistas realizadas com doze gerentes da empresa revelaram a tendência que aponta para a redução do número de empregados e mudança de seus perfis profissionais, e para a instituição de políticas de concentração e manutenção de pessoal qualificado por treinamento nas atividades-fim da companhia.

The purpose of this dissertation is to identify the main historical and institutional facts that have led to the present corporate governance policy adopted by Banco do Brasil S.A. (BB). The good practices of corporate governance aim to increase corporate value and facilitate the funding of capital and contribute to company¿s duration over the time. Besides, ensure to the shareholders some governance principles such as disclosure", "compliance", "accountability", "fairness" and ¿corporate responsability¿ By the time BB has been shown its concern about disclosure especially for its close relationship with principal shareholder. ¿ the Brazilian Government, other equity partners and the Brazilian society. Banco do Brasil was founded in 1808 by the Portuguese emperor Dom João VI and today is the oldest bank operating in the local market. BB also was the first company listed on Brazilian stock exchange since 1906. In 1996, after some net losses, the Brazilian Government raised the bank¿s authorized capital in R$ 8 billion. This fact established the first attempts to develop bank¿s corporate governance through the years. Banco do Brasil currently has more than 24.4 million customers, served by a network of 15,113 points of service with R$ 296.4 billion in total assets2. The purpose of this work is to demonstrate the principal measures adopted by Banco do Brasil to reach the top level of corporate governance in the Brazilian stock exchange ¿ the New Market of Bovespa. This top position was reached in June 2006. Banco do Brasil was the first state owned company to reach this level of governance in Brazil. This dissertation was based on Yin's taxonomy methodology as a single case study. This research has used documents and file records as sources of evidence, including longitudinally research to demonstrate the evolution facts through time."
