Purpose – This paper seeks to make the case for new research into the perceived fairness and impact of executive pay. Design/methodology/approach – The paper reviews the literature regarding executive compensation and corporate performance and examines the evidence that a more egalitarian approach to pay could be justified in terms of long-term shareholder value. Findings – There would appear to be no evidence to suggest that the growing gap between the pay of executives and that of the average employee generates long-term enterprise value, and it may even be detrimental to firms, if not the liberal capitalist consensus on which the corporate licence to operate is based. Research limitations/implications – The paper outlines a new approach to tracking income differentials with corporate performance through the development of a corporate Gini coefficient “league table”. Social implications – The proposed research is expected to point towards better practice in executive remuneration, and support the growing momentum for a sustainable and enlightened approach to business, in which the key goal is long-term enterprise value based on a fair distribution of the rewards of business. Originality/value – In producing a deeper understanding of the impact of widening income differentials, the paper should be of interest to senior executives in publicly quoted companies as well as press commentators, government officials and academics.

Purpose – This paper aims to examine how to further embed CSR thinking and practice into corporations, particularly in emerging markets, by reviewing and drawing similarities between key issues faced by all senior managers, namely ethics, leadership, personal responsibility and trust. Design/methodology/approach – This paper presents a conceptual exploration of global CSR practices using social psychology and overlays this concept with strategic and institutional theory in order to encourage new ways of thinking about CSR adoption, especially in emerging markets. Findings – The paper reveals the importance of shareholder needs on global corporate decision making and applies alternative conceptual models to help businesses to devise better CSR practices and individuals to align their actions to their own values. Originality/value – This paper strongly argues for blending different theoretical foundations from the management and organization literature in order to draw comparisons between current global CSR practice and the potential for its further adoption in emerging markets.

This paper seeks to chronicle the roots of corporate governance form its narrow shareholder perspective to the current bourgeoning stakeholder approach while giving cognizance to institutional investors and their effective role in ESG in light of the King Report III of South Africa. It is aimed at a critical review of the extant literature from the shareholder Cadbury epoch to the present day King Report novelty. We aim to: (i) offer an analytical state of corporate governance in the Anglo-Saxon world, Middle East and North Africa (MENA), Far East Asia and Africa; and (ii) illuminate the lead role the king Report of South Africa is playing as the bellwether of the stakeholder approach to corporate governance as well as guiding the role of institutional investors in ESG.

This paper examines the effects of liquidity during the 2007–09 crisis, focussing on the Senior Tranche of the CDX.NA.IG Index and on Moody's AAA Corporate Bond Index. It aims to understand whether the sharp increase in the credit spreads of these AAA-rated credit indices can be explained by worse credit fundamentals alone or whether it also reflects a lack of depth in the relevant markets, the scarcity of risk-capital, and the liquidity preference exhibited by investors. Using cointegration analysis and error correction models, the paper shows that during the crisis lower market and funding liquidity are important drivers of the increase in the credit spread of the AAA-rated structured product, whilst they are less significant in explaining credit spread changes for a portfolio of unstructured credit instruments. Looking at the experience of the subprime crisis, the study shows that when the conditions under which securitisation can work properly (liquidity, transparency and tradability) suddenly disappear, investors are left highly exposed to systemic risk.

No Brasil, estudos sobre remuneração de executivos ainda são recentes e, em sua maioria, voltados a pesquisas qualitativas. Geralmente, a razão apontada para justificar a ausência de estudos sobre o tema é a falta de informações disponíveis e, quando existentes, a qualidade e clareza das mesmas. Este estudo analisa a relação entre as práticas de governança e a transparência na divulgação da remuneração executiva das empresas brasileiras. Uma das contribuições desse estudo à literatura é a construção de um índice de transparência de remuneração executiva, que permite quantificar, de forma objetiva, o grau de divulgação das informações sobre diferentes tipos de remuneração. Utilizando como proxy para boas práticas de governança a listagem de ADRs nos Estados Unidos e no Nível 2 ou Novo Mercado da BM&FBovespa, os resultados indicam que empresas com ADRs tendem a ser mais transparentes no que se refere à remuneração de seus executivos. Por outro lado, não existe relação entre transparência de remuneração executiva e listagem no Novo Mercado da BM&FBovespa. Portanto, os diferenciais de governança corporativa da BM&FBovespa não se traduzem em maior transparência sobre a remuneração executiva, diferentemente das empresas cujos papéis são negociados no exterior. Esse resultado faz sentido, dado que a lei norteamericana exige um grau de detalhamento da remuneração executiva, enquanto o Novo Mercado da BM&FBovespa não possui regra específica sobre divulgação de remuneração executiva.

Os conceitos de Governança Corporativa não são novos, mas a gravidade de impactos financeiros gerados por escândalos corporativos estimula as empresas a adotarem melhores níveis de governança. Investidores profissionais se dispõem a pagar um ágio para investir em empresas com altos padrões de governança e que garantam um ambiente corporativo favorável ao retorno do seu investimento. A liquidez na qual o mundo viveu nos últimos anos propiciou um volume cada vez maior de recursos; não apenas para o Brasil, mas para grande parte dos mercados emergentes; para os mercados de capitais locais e em investimentos diretos. Esse capital, em grande parte externo, necessita de transparência, regulamentação e outros requerimentos de modo a reduzir os riscos relacionados às empresas alvo. Com base nas expectativas de mercado de indicadores macroeconômicos disponibilizadas pelo Sistema de Expectativas de Mercado do Banco Central do Brasil e nas informações fornecidas pela Bovespa e seus índices de mercado Ibovespa e IGC, este trabalho buscou uma associação entre variações nestas expectativas e valorização ou desvalorização da média de capitalização bursátil e índice de bolsa - Ibovespa e IGC. Observou-se que tanto o Ibovespa quanto o IGC e a média de capitalização bursátil da Bovespa e Ibovespa estão sujeitos as mesmas influências de variáveis macroeconômicas nacionais, mas em magnitudes diferentes. Entretanto, fez-se como exceção a média de capitalização bursátil do IGC, que sofreu influência de expectativas macroeconômicas diferentes dos demais. 6

Este trabalho transita por duas áreas de conhecimento, gestão contábil-financeira e sustentabilidade, que precisam se aproximar na troca de conceitos e práticas para que se viabilize a contribuição das empresas para o desenvolvimento sustentável. O propósito do estudo é verificar se o crescimento equilibrado está associado ao desempenho sustentável das empresas. Partindo do pressuposto que o crescimento desequilibrado é um fator de risco para a empresa e para todos os que se relacionam com ela (stakeholders), podendo gerar impactos econômico-financeiros, sociais e ambientais, é de se esperar que as empresas sustentáveis apresentem um crescimento mais equilibrado, medido pelo indicador equilíbrio do crescimento, que reflete se há preocupação com a pressão sobre o uso de todos os tipos de recursos e a sua forma de financiamento. O desempenho sustentável das empresas deve ser avaliado de forma ampla, com base no conceito do Triple Bottom Line, buscando atender às necessidades de vários stakeholders; neste trabalho o desempenho sustentável será operacionalizado de duas maneiras: pela adesão aos segmentos diferenciados de governança corporativa da Bovespa e pela participação na carteira do Índice de Sustentabilidade Empresarial da Bovespa (ISE-Bovespa). Os objetivos do trabalho são: verificar se as empresas consideradas sustentáveis, pelos critérios separados e depois em conjunto, apresentam menor variabilidade no indicador equilíbrio do crescimento do que as empresas não consideradas sustentáveis pelos mesmos critérios; verificar se as empresas apresentam menor variabilidade no indicador equilíbrio do crescimento no segundo período da análise do que no primeiro, períodos estes separados pela divulgação da primeira carteira do ISE-Bovespa, em 2005. Foram utilizados dados de empresas de capital aberto no período de dezembro de 1999 a dezembro de 2009; as empresas foram divididas em grupos e o estudo se concentrou na variabilidade do equilíbrio do crescimento nos grupos, medida pelo desvio padrão, considerando-se que todos os grupos apresentam médias próximas da unidade. Um grupo com baixa variabilidade no equilíbrio do crescimento mostra uma maior preocupação com o uso de recursos de forma equilibrada, refletindo uma postura compatível com a contribuição das empresas para o desenvolvimento sustentável. A confirmação de dez em doze hipóteses de pesquisa permite interpretar que, no conjunto, o resultado é fortemente aderente à hipótese de associação entre o crescimento equilibrado e o desempenho sustentável

Este estudo traça a evolução das práticas de governança corporativa das empresas brasileiras entre os anos de 2010 e 2014 e investiga elementos operacionais e mercadológicos que precedem as decisões das empresas em adotarem melhores ou piores práticas. Para isso, foram levantados dados de fontes primárias que deram origem ao Índice de Qualidade de Governança Corporativa (IQGC), composto por quatro sub elementos: Estrutura do Conselho de Administração; Procedimentos do Conselho de Administração; Direito dos Acionistas Minoritários e; Transparência. Os resultados evidenciam uma constante evolução nas práticas de governança corporativa das empresas ao longo do tempo. Há evidências de que as companhias reconhecem os benefícios de adotarem boas práticas, uma vez que se observa uma evolução de maior amplitude entre as empresas dos segmentos Novo Mercado, Nível 2 e Bovespa Mais. Neste período a maior evolução acontece nas práticas relativas a Estrutura e Procedimentos do Conselho. Entre os elementos operacionais e mercadológicos, destaca-se que empresas mais lucrativas procuram adotar melhores práticas de governança e melhores práticas relacionadas a Transparência nas suas informações. Empresas listadas nos segmentos Nível 1 e Tradicional, onde há maior tangibilidade de suas operações, apresentam melhores práticas relacionadas a Estrutura e Procedimentos do Conselho. Um maior risco das ações leva estas empresas a adotarem melhores práticas relacionadas aos Direitos dos Acionistas Minoritários.

Corporate governance can be understood like a management model that aims to build a good relationship between managers, controllers, minority shareholders and other stakeholders. Implement corporate governance in an organization often requires a cultural change. Corporate governance as an organizational model needs reinforce cultural behaviors of its members so as which support the principles and values that increment the relationship between the organization and its stakeholders. The process of corporate structuring of an organization is largely determined by culture. Being the culture a set of organizational values that distinguishes one organization of other, it is natural that these organizations find adjustment difficulties during the implementation of international values. The organizations in the context of corporate governance can t think and act over themselves, but instead must think and take action on a set of actors who are strongly linked with them in order to achieve the same goals and objectives planned.

The strategic management of information plays a fundamental role in the organizational management process since the decision-making process depend on the need for survival in a highly competitive market. Companies are constantly concerned about information transparency and good practices of corporate governance (CG) which, in turn, directs relations between the controlling power of the company and investors. In this context, this article presents the relationship between the disclosing of information of joint-stock companies by means of using XBRL, the open data model adopted by the Brazilian government, a model that boosted the publication of Information Access Law (Lei de Acesso à Informação), nº 12,527 of 18 November 2011. Information access should be permeated by a mediation policy in order to subsidize the knowledge construction and decision-making of investors. The XBRL is the main model for the publishing of financial information. The use of XBRL by means of new semantic standard created for Linked Data, strengthens the information dissemination, as well as creates analysis mechanisms and cross-referencing of data with different open databases available on the Internet, providing added value to the data/information accessed by civil society.

The dissertation contains five parts: An introduction, three major chapters, and a short conclusion. The First Chapter starts from a survey and discussion of the studies on corporate law and financial development literature. The commonly used methods in these cross-sectional analyses are biased as legal origins are no longer valid instruments. Hence, the model uncertainty becomes a salient problem. The Bayesian Model Averaging algorithm is applied to test the robustness of empirical results in Djankov et al. (2008). The analysis finds that their constructed legal index is not robustly correlated with most of the various stock market outcome variables. The second Chapter looks into the effects of minority shareholders protection in corporate governance regime on entrepreneurs' ex ante incentives to undertake IPO. Most of the current literature focuses on the beneficial part of minority shareholder protection on valuation, while overlooks its private costs on entrepreneur's control. As a result, the entrepreneur trade-offs the costs of monitoring with the benefits of cheap sources of finance when minority shareholder protection improves. The theoretical predictions are empirically tested using panel data and GMM-sys estimator. The third Chapter investigates the corporate law and corporate governance reform in China. The corporate law in China regards shareholder control as the means to the ends of pursuing the interests of stakeholders, which is inefficient. The Chapter combines the recent development of theories of the firm, i.e., the team production theory and the property rights theory, to solve such problem. The enlightened shareholder value, which emphasizes on the long term valuation of the firm, should be adopted as objectives of listed firms. In addition, a move from the mandatory division of power between shareholder meeting and board meeting to the default regime, is proposed.

This paper analyzes the links between corporate tax avoidance, the growth of highpowered incentives for managers, and the structure of corporate governance. We develop and test a simple model that highlights the role of complementarities between tax sheltering and managerial diversion in determining how high-powered incentives influence tax sheltering decisions. The model generates the testable hypothesis that firm governance characteristics determine how incentive compensation changes sheltering decisions. In order to test the model, we construct an empirical measure of corporate tax avoidance - the component of the book-tax gap not attributable to accounting accruals - and investigate the link between this measure of tax avoidance and incentive compensation. We find that, for the full sample of firms, increases in incentive compensation tend to reduce the level of tax sheltering, suggesting a complementary relationship between diversion and sheltering. As predicted by the model, the relationship between incentive compensation and tax sheltering is a function of a firm.s corporate governance. Our results may help explain the growing cross-sectional variation among firms in their levels of tax avoidance, the .undersheltering puzzle,. and why large book-tax gaps are associated with subsequent negative abnormal returns.

This paper focuses on identifying and analysing the elements of Strategic Management for infrastructure and engineering assets. These elements are contended to involve an understanding of governance, corporate policy, corporate objectives, corporate strategy and interagency collaboration and will in turn, allow the ability determine a broader and more comprehensive framework for engineering asset management, ie a ‘staged approach’ to understanding how assets are managed within organisations. While the assets themselves have often been the sole concern for good management practices, other social and contextual elements have come into the mix in order to promote strategic asset management. The development of an integrated approach to asset management is at the base of the research question. What are the considerations and implications for adopting and implementing an integrated strategic asset management (ISAM) framework? While operational matters have been given prominence, a subset of corporate governance, Asset Governance, details the policies and processes needed to acquire, utilise, maintain and account for an organisation’s assets. Asset governance stems from the organisation’s overarching corporate governance principles; as a result it defines the management context in which engineering asset management is implemented. This aspect will be examined to determine the appropriate relationship between organisational strategic management and strategic asset management to further the theoretical engagement with the maturity of strategy,policy and governance for infrastructure and engineered assets. The research proceeds by a document analysis of corporate reports and policy recommendations in terms of infrastructure and engineered assets. The paper concludes that incorporating an integrated asset management framework can promote a more robust conceptualisation of public assets and how they combine to provide a comprehensive system of service outcomes.
