The adequacy and efficiency of existing legal and regulatory frameworks dealing with corporate phoenix activity have been repeatedly called into question over the past two decades through various reviews, inquiries, targeted regulatory operations and the implementation of piecemeal legislative reform. Despite these efforts, phoenix activity does not appear to have abated. While there is no law in Australia that declares ‘phoenix activity’ to be illegal, the behaviour that tends to manifest in phoenix activity can be capable of transgressing a vast array of law, including for example, corporate law, tax law, and employment law. This paper explores the notion that the persistence of phoenix activity despite the sheer extent of this law suggests that the law is not acting as powerfully as it might as a deterrent. Economic theories of entrepreneurship and innovation can to some extent explain why this is the case and also offer a sound basis for the evaluation and reconsideration of the existing law. The challenges facing key regulators are significant. Phoenix activity is not limited to particular corporate demographic: it occurs in SMEs, large companies and in corporate groups. The range of behaviour that can amount to phoenix activity is so broad, that not all phoenix activity is illegal. This paper will consider regulatory approaches to these challenges via analysis of approaches to detection and enforcement of the underlying law capturing illegal phoenix activity. Remedying the mischief of phoenix activity is of practical importance. The benefits include continued confidence in our economy, law that inspires best practice among directors, and law that is articulated in a manner such that penalties act as a sufficient deterrent and the regulatory system is able to detect offenders and bring them to account. Any further reforms must accommodate and tolerate legal phoenix activity, at least to some extent. Even then, phoenix activity pushes tolerance of repeated entrepreneurial failure to its absolute limit. The more limited liability is misused and abused, the stronger the argument to place some restrictions on access to limited liability. This paper proposes that such an approach is a legitimate next step for a robust and mature capitalist economy.

Changes in energy-related CO2 emissions aggregate intensity, total CO2 emissions and per-capita CO2 emissions in Australia are decomposed by using a Logarithmic Mean Divisia Index (LMDI) method for the period 1978-2010. Results indicate improvements in energy efficiency played a dominant role in the measured 17% reduction in CO2 emissions aggregate intensity in Australia over the period. Structural changes in the economy, such as changes in the relative importance of the services sector vis-à-vis manufacturing, have also played a major role in achieving this outcome. Results also suggest that, without these mitigating factors, income per capita and population effects could well have produced an increase in total emissions of more than 50% higher than actually occurred over the period. Perhaps most starkly, the results indicate that, without these mitigating factors, the growth in CO2 emissions per capita could have been over 150% higher than actually observed. Notwithstanding this, the study suggests that, for Australia to meet its Copenhagen commitment, the relative average per annum effectiveness of these mitigating factors during 2010-2020 probably needs to be almost three times what it was in the 2005-2010 period-a very daunting challenge indeed for Australia's policymakers.

This issue marks the beginning of a new editorial cycle. In the seventh volume of the journal the editorial team will continue collating novel scientific and social developments in the broader field of ‘knowledge-based development’ to report to our readers. In this perspective, the first issue of the volume focuses on different dimensions of knowledge-based urban development. As Gabe et al. (2012, p.1179) indicate, “[i]t would be an understatement to suggest that knowledge plays a key role in today’s economy; for much of the developed world, it might be more accurate to assert that knowledge is today’s economy”. Thus, knowledge generation has been a priority for global city administrations, and there is a growing consensus amongst scholars, planners, politicians and industrialists in identifying knowledge-based urban development as a panacea to the burgeoning economic problems (Knight, 1995; Kunzmann, 2009; Yigitcanlar, 2010, 2011; Huggins and Strakova, 2012; Lönnqvist et al., 2014). Although, in the era of global knowledge economy, knowledge-based urban development is a critical factor for economic success (Pratt, 2000; Sheppard, 2002), it is not solely an economic policy. For many, knowledge-based urban development is a policy that targets building an urban setting to form perfect climates for business, people, and governance in an environmentally friendly atmosphere (Carrillo, 2006; Ergazakis et al., 2006; Angelidou et al., 2012). Each of these climates correspond to a dimension or domain of knowledge-based urban development – namely, economy, society, space, and governance (Carrillo et al., 2014). Each paper of this issue corresponds to at least one of these domains, or policy areas.

The aim of this paper is to provide a Bayesian formulation of the so-called magnitude-based inference approach to quantifying and interpreting effects, and in a case study example provide accurate probabilistic statements that correspond to the intended magnitude-based inferences. The model is described in the context of a published small-scale athlete study which employed a magnitude-based inference approach to compare the effect of two altitude training regimens (live high-train low (LHTL), and intermittent hypoxic exposure (IHE)) on running performance and blood measurements of elite triathletes. The posterior distributions, and corresponding point and interval estimates, for the parameters and associated effects and comparisons of interest, were estimated using Markov chain Monte Carlo simulations. The Bayesian analysis was shown to provide more direct probabilistic comparisons of treatments and able to identify small effects of interest. The approach avoided asymptotic assumptions and overcame issues such as multiple testing. Bayesian analysis of unscaled effects showed a probability of 0.96 that LHTL yields a substantially greater increase in hemoglobin mass than IHE, a 0.93 probability of a substantially greater improvement in running economy and a greater than 0.96 probability that both IHE and LHTL yield a substantially greater improvement in maximum blood lactate concentration compared to a Placebo. The conclusions are consistent with those obtained using a ‘magnitude-based inference’ approach that has been promoted in the field. The paper demonstrates that a fully Bayesian analysis is a simple and effective way of analysing small effects, providing a rich set of results that are straightforward to interpret in terms of probabilistic statements.

The present collection of articles is based on international conference that was held in Seinäjoki, Finland in February 2009. The topic of the conference was Effective Rural and Urban Policies and it was organised in co-operation between University Consortium of Seinäjoki, Seinäjoki Technology Centre and City of Seinäjoki. The presented papers approached the drivers of regional development from several aspects and in different kind of regional contexts across various countries. As a whole the different contributions formed a comprehensive story of those factors that are shaping the development of both rural and urban regions in global economy. The role of local innovation environment and dynamic of social processes that are ‘oiling’ the interaction between individuals within networks inspired several scholars. Also development of physical infrastructure as well as the recent development of economical models that can predict the regional impacts of large scale investments was discussed in many presentations. Clear focus with cultural and disciplinary diversity formed a fruitful basis for the conference and it was easy to learn something new. On the behalf of all organisers I would like to thank all participants of the conference and especially our foreign colleges who had travelled from distances to spend some winter days in Seinäjoki. As we all know this kind of publication does not appear automatically. All authors have done great job by finding time for writing from their busy schedules. Terttu Poranen and Jaana Huhtala have taken care of the technical editing of this publication. Sari Soini was the main organiser of conference and she has also as a editor kept the required pressure to finalize this book. In addition to University of Helsinki, conference was financially supported by the University of Vaasa, City of Seinäjoki, Lähivakuutus and Regional Centre Programme. Banks are important as they have a central role in the financial system, where funds are channelled either through financial intermediaries, such as banks, or through financial markets, hence promoting growth in any economy. Recently, we have been reminded of the drawbacks of the central role of banks. The current financial crisis, which started out as a sub-prime mortgage crisis in the US, has become a global financial crisis with substantial impact on the real economy in many countries. Some of the roots to the current financial crisis can be sought in the changing role of banks and in bank corporate governance. Moreover, the substantial revitalising measures taken have been justified by the central role of banks. Not only are banks important, they are also very special. The fact that banks are regulated in conjunction with greater opacity, make bank corporate governance different from corporate governance in non-bank companies. Surprisingly little is, however, known about bank corporate governance, in particularly, in a European setting. Hence, the objective of this doctoral thesis is to provide new insights in this research area by examining banks from 37 different European countries. Each of the three essays included in the doctoral thesis examines a particular aspect of bank corporate governance. In the first essay the interaction between the regulatory environment a bank operates in and its ownership structure is explored. Indicators of the severity of the moral hazard problem induced by the deposit insurance system and implicit too-big-to-fail government guarantee, particular features of deposit insurance systems as well as legal protection of shareholders, legal origin of a country and level of integration to the European community are used in the analysis. The empirical findings confirm previous findings on the link between legal protection of shareholders and ownership structure. Moreover, they show that differences in deposit insurance system features can explain some of the differences in ownership structure across European banks. In the second essay the impact of management and board ownership on the profitability of banks with different strategy is examined. The empirical findings suggest that the efficiency of these two particular corporate governance mechanisms varies with the characteristics of the agency problem faced by the bank. More specifically, management ownership is important in opaque non-traditional banks, whereas board ownership is important in traditional banks, where deposit insurance reduces the monitoring incentives of outsiders. The higher profitability does, however, go together with higher risk. In the third essay the profitability and risk of commercial, savings and cooperative banks are compared. The empirical findings suggest that distinct operational and ownership characteristics rather than only the mere fact that a bank is a commercial, savings or cooperative bank explain the profitability and risk differences. The main insight from the three essays is that a number of different aspects should be addressed simultaneously in order to give the complexity of bank corporate governance justice.

The handloom sector constitutes a distinct feature of the rich cultural heritage of India and plays a vital role in the economy and cultural identity of the country. It is an ancient industry and is source of livelihood for many villages in India. Its spread varies in style, practice and scale throughout the country - in certain regions it is has a proficient industry, while in others its establishment is localized, where it is a family-based activity. While, hand-woven fabrics are well-sought after both nationally and globally, weavers currently remain marginalized and often impoverished. The well-set power loom industry has further added to their woes. Given the progressive failure of centralized production and distribution ideologies, handlooms represent a decentralized distributed means of livelihood security, environmental consonance, employment generation, skill enhancement, cultural (diversity, identity and) integrity and sustainability. The fabrics and dyes used in the handloom industry are environment-friendly and often unique to a region (based on available skill and resources). The paper comprehensively evaluates and forecasts sustainability in the context of traditional handlooms in India. Results of the study and recommendations are presented in this paper.

[EN] The aim of this paper is to study systematic liquidity at the Euronext Lisbon Stock Exchange. The motivation for this research is provided by the growing interest in financial literature about stock liquidity and the implications of commonality in liquidity for asset pricing since it could represent a source of non-diversifiable risk. Namely, it is analysed whether there exist common factors that drive the variation in individual stock liquidity and the causes of the inter-temporal variation of aggregate liquidity. Monthly data for the period between January 1988 and December 2011 is used to compute some of the most used proxies for liquidity: bid-ask spreads, turnover rate, trading volume, proportion of zero returns and the illiquidity ratio. Following Chordia et al. (2000) methodology, some evidence of commonality in liquidity is found in the Portuguese stock market when the proportion of zero returns is used as a measure of liquidity. In relation to the factors that drive the inter-temporal variation of the Portuguese stock market liquidity, the results obtained within a VAR framework suggest that changes in real economy activity, monetary policy (proxied by changes in monetary aggregate M1) and stock market returns play an important role as determinants of commonality in liquidity.

A presente dissertação versa sobre limites para a intervenção do Estado na economia sob a forma empresarial e os controles a ela aplicáveis. Além de abordar o papel do Estado como acionista de sociedades privadas e a compatibilidade dessa forma de intervenção com o ordenamento jurídico brasileiro, promove-se uma releitura da doutrina e jurisprudência sobre as sociedades de economia mista e sobre as empresas públicas. Estuda-se as razões que levam o Estado a intervir na economia de uma maneira geral, seja de forma direta ou indireta, a partir das teorias econômicas normativas e descritivas sobre a intervenção estatal na economia. Discorre-se sobre os fundamentos constitucionais à intervenção do Estado na economia e os possíveis motivos para a criação de empresas estatais e participação minoritária em sociedades privadas, bem como sobre os condicionamentos impostos pelo princípio da livre iniciativa à intervenção do Estado na economia, em especial à luz da jurisprudência dos Tribunais Superiores. Foram abordados, ainda, os princípios da eficiência, da livre concorrência e da proporcionalidade, que também constituem fundamentos e limites gerais à intervenção do Estado na economia, além da necessidade de autorização legal. Além de apresentarmos um breve resumo da discussão histórica sobre a criação das empresas estatais no Brasil e os motivos para a escolha de um ou outro tipo de sociedade estatal, analisa-se o regime jurídico aplicável a essas entidades, à luz dos dispositivos constitucionais e da jurisprudência sobre o tema, incluindo-se o estudo do seu regime de pessoal, de bens, tributário, licitações, contratual, responsabilidade civil e falência. Estudaremos, ainda, as formas de controle incidentes sobre essas entidades. Por fim, a dissertação também abrange o estudo da intervenção do Estado como acionista minoritário em sociedades privadas, abordando os motivos para essa participação societária, bem como a natureza dessa intervenção. Trata-se de empresas controladas pela iniciativa privada, mas que têm algum grau de participação estatal em seu capital. São muitos os motivos que podem levar o Poder Público a participar sem poder de controle em empresas privadas. A participação minoritária pode visar a permitir um maior controle do Estado sobre a empresa participada, ou mesmo a tomada de controle gradual de determinada companhia, mas também pode constituir uma forma de parceria entre a iniciativa estatal e a privada, como forma mais eficiente de fomento de atividades consideradas de interesse público ou de compartilhamento de riscos e custos envolvidos em determinada atividade explorada pelo Poder Público e pela iniciativa privada. Aborda-se a relação das sociedades meramente participadas com a Administração pública, bem como os condicionamentos constitucionais à participação minoritária estatal sem controle em sociedades privadas (proporcionalidade, eficiência, necessidade de autorização legal, realização de procedimento licitatório com vista à escolha do parceiro privado, e controle do Tribunal de Contas da União).

A presente dissertação é sobre a atuação do Estado na economia como acionista minoritário, focando, em especial, no caso do Brasil. Em um primeiro momento, tratamos das possibilidades do uso das participações minoritárias, apontando que, embora estejamos falando de propriedade pública sobre parcelas do capital social de empresas privadas, essas participações não configuram, somente, forma de exploração direta da atividade econômica, devendo ser compreendidas como uma técnica jurídica ou uma ferramenta da qual o Estado pode se valer para realizar as diferentes modalidades de atuação na economia. Nesse sentido, mostramos como as participações minoritárias possibilitam a atuação do Estado como empresário, regulador, fomentador e investidor. Em seguida, falamos dos mecanismos societários que a Administração Pública pode utilizar para que, mesmo como acionista minoritária, possa influenciar a direção das empresas público-privadas, tais como os acordos de acionistas e as golden-shares. Após cuidarmos da natureza jurídica e das vantagens comparativas da atuação estatal na economia por meio de participações minoritárias, passamos a analisar os limites dessa atuação. Desse modo, deve-se distinguir entre o uso das participações públicas como opção legítima de atuação na economia versus sua aplicação como burla ao regime jurídico aplicável às empresas estatais mediante o controle societário disfarçado e a simulação de contratações administrativas. Por fim, tratamos da questão da escolha de parceiros privados pela Administração Pública, bem como dos controles públicos que incidem sobre as empresas participadas.

Após centenas de anos de exploração dos recursos naturais, a Terra começa a mostrar as consequências de seu uso descontrolado. Nas últimas quatro décadas o homem tem voltado seus olhos para a causa ambiental de forma mais intensa e conciliadora. Como resultado dessa nova maneira de pensar, a sociedade e a indústria, que se veem obrigadas a se adaptar às novas tendências de mercado e novas formas de produção. Produzindo melhor e consumindo menos, fecha-se uma cadeia de produção estruturada. Mas, por mais que se invista em tecnologia, um problema sempre existirá: o resíduo, incluindo-se nesta categoria, também os rejeitos produzidos pelas atividades humanas. O tratamento de resíduos é uma questão de difícil solução mesmo à longo prazo. As cooperativas de reciclagem se apresentam como uma nova forma de empreendimento, inserido em moldes mais modernos, baseados nos princípios da Economia Solidária, existente em países da Europa e América Latina, com destaque para o Brasil. É nesse cenário que se encontra o objeto de estudo da pesquisa: a mulher catadora/recicladora. Estatísticas apontam que em muitos estados do país elas chegam a 65% dos trabalhadores. Muitas dessas cooperativas são administradas por mulheres, quando não, frequentadas majoritariamente por elas. O objetivo geral desta pesquisa é analisar como se configuram as relações de gênero e divisão sexual do trabalho, partindo da visão das dirigentes das cooperativas. Questões semiestruturadas, com abordagem qualitativa foram elaboradas e aplicadas à nove líderes de associação de catadores da região metropolitana do Rio de Janeiro e do Vale do Paraíba Fluminense (Resende). As entrevistas foram filmadas para a elaboração de um documentário acadêmico, também produto desta pesquisa. Foram encontradas na pesquisa, convergências em relação à divisão sexual do trabalho, partindo de princípios sexistas onde os homens deveriam se encarregar do trabalho mais pesado e as mulheres do trabalho mais fino, como a triagem. No entanto, a realidade apontada pelas entrevistadas nos remete à naturalização do trabalho multitarefa, onde elas se incubem de realizar todos os procedimentos, estando ou não na presença de homens na cooperativa.

Fisheries employ a number of people and fisheries industry is truly an amalgamation of various disparate sectors. Fisheries play an important role in Indian economy and it provides employment to a number of people. For planning of integrated development of fisheries industry and resource management, a considerable amount of information is required. In this paper a study of the disparate sectors with regards to the nature of work, number of workers, sex-wise participation, earning type and earning in Indian Rupees in the year 1991-92, 1992-93, 1993-94 and 1999-2000 has been done in a selected fishing village. The geographical locale where the study has been done is Versova fishing village which is a major fish landing centre in Mumbai. The study has revealed that there are a number of disparate sectors in fisheries and in this fishing village on an average, a boat owner provided employment to 30-60 people in the year 1994 and to 19-25 people in 1999. Though this number has shown a decreasing trend with the advancement of years, it is however, seen that a number of people are employed in various disparate sectors in fisheries. It is necessary to highlight this and in any developmental planning, all these sectors should be given equal importance.

The creative industries sector faces a constantly changing context characterised by the speed of the development and deployment of digital information systems and Information Communications Technologies (ICT) on a global scale. This continuous digital disruption has had significant impact on the whole value chain of the sector: creation and production; discovery and distribution; and consumption of cultural goods and services. As a result, creative enterprises must evolve business and operational models and practices to be sustainable. Enterprises of all scales, type, and operational model are affected, and all sectors face ongoing digital disruption. Management consultancy practitioners and business strategy academics have called for new strategy development frameworks and toolkits, fit for a continuously changing world. This thesis investigates a novel approach to organisational change appropriate to the digital age, in the context of the creative sector in Scotland. A set of concepts, methods, tools, and processes to generate theoretical learning and practical knowing was created to support enterprises to digitally adapt through undertaking journeys of change and organisational development. The framework is called The AmbITion Approach. It was developed by blending participatory action research (PAR) methods and modern management consultancy, design, and creative practices. Empirical work also introduced to the framework Coghlan and Rashford’s change categories. These enabled the definition and description of the extent to which organisations developed: whether they experienced first order (change), second order (adaptation) or third order (transformation) change. Digital research tools for inquiry were tested by a pilot study, and then embedded in a longitudinal study over two years of twentyone participant organisations from Scotland’s creative sector. The author applied and investigated the novel approach in a national digital development programme for Scotland’s creative industries. The programme was designed and delivered by the author and ran nationally between 2012-14. Detailed grounded thematic analysis of the data corpus was undertaken, along with analysis of rich media case studies produced by the organisations about their change journeys. The results of studies on participants, and validation criteria applied to the results, demonstrated that the framework triggers second (adaptation) and third order change (transformation) in creative industry enterprises. The AmbITion Approach framework is suitable for the continuing landscape of digital disruption within the creative sector. The thesis contributes to practice the concepts, methods, tools, and processes of The AmbITion Approach, which have been empirically tested in the field, and validated as a new framework for business transformation in a digital age. The thesis contributes to knowledge a theoretical and conceptual framework with a specific set of constructs and criteria that define first, second, and third order change in creative enterprises, and a robust research and action framework for the analysis of the quality, validity and change achieved by action research based development programmes. The thesis additionally contributes to the practice of research, adding to our understanding of the value of PAR and design thinking approaches and creative practices as methods for change.
