Artigo comissionado ao Centro de Tecnologia e Sociedade (CTS), da Escola de Direito da Fundação Getulio Vargas, pela RITS – Rede de Informação para o Terceiro Setor, com o intuito de colaborar com as reflexões sobre o processo do Internet Governance Forum, principalmente no que diz respeito à segunda edição do fórum, realizada no Rio de Janeiro, nos dias 12 a 15 de novembro de 2007, e suas repercussões.

O objetivo deste relatório é estudar a relação entre proteção ao consumidor, regulação e defesa da concorrência em três setores de infra-estrutura no Brasil: telecomunicações, energia elétrica e saneamento básico. A Seção I deste relatório apresenta uma descrição sintética dos três segmentos selecionados. A Seção II discute aspectos teóricos da relação entre proteção ao consumidor, de um lado, e regulação e defesa da concorrência, de outro, a partir da experiência brasileira e internacional. A Seção III apresenta a experiência brasileira de regulação dos três setores. A Seção IV apresenta algumas estatísticas recentes de reclamações dos consumidores, ainda não suficientemente exploradas pela pesquisa acadêmica. A Seção V discute possíveis configurações institucionais entre proteção ao consumidor, regulação e defesa da concorrência, sugerindo uma explicação para a configuração atual dessas áreas nos três segmentos de infra-estrutura selecionados.

Examinamos as diferenças de preço entre diferentes classes de ações em companhias abertas no Brasil com particular ênfase a empresas privatizadas, e discutimos o papel do controlador, liquidez, e problemas de governanças que influenciam esta diferença ao longo do tempo. Nos incluímos uma breve discussão sobre o sistema societário brasileiro, e seus efeitos sobre os acionistas, e as características do processo de privatização, antes de passar a análise econométrica. Encontramos evidência empírica que suporta a hipótese de que a razão ação sem direito a voto sobre a participação acionária total, liquidez, e tipo de controle majoritário, e mudanças na regulamentação são significativas na determinação das diferenças de preço entre ações.

Este estudo investiga as possibilidades de generalização das práticas de governança corporativa a organizações operando em ambientes não mercantilistas. Os limites da teoria da agência, referencial teórico predominante no desenvolvimento dessas práticas, são analisados no ambiente dos fundos de pensão brasileiros a partir da verificação da aplicação dos mecanismos de monitoramento, controle e incentivos, previstos por essa teoria, por patrocinadores e participantes, e a percepção dos gestores quanto à importância desses mecanismos na conformação de seu comportamento. Alternativamente, é examinada a extensão da busca de legitimidade pelos gestores, segundo o referencial da teoria institucional. São comparados os resultados obtidos para fundos com perfis diversos quanto a variáveis como tipo de plano, origem do patrocinador e maturidade. Os resultados indicam uma diferença no uso e percepção daqueles mecanismos, em virtude principalmente da natureza do patrocinador, volume de ativos de investimento, tempo de existência e maturidade do fundo. Não foram obtidas diferenças estatísticas significativas para a percepção dos fatores institucionais, sugerindo a existência de elevada coesão no campo organizacional constituído pelos fundos de pensão.

The Brazilian energetic sector is passing through deep transformations. The restructure is mainly characterized by the passage from a vertical and centrally coordinated system, in hands of the State, to a more horizontal one, with characteristics of a network, in which organizations, such as the National Agency of Electric Energy (ANEEL), the new regulator entity, the Wholesaler Market of Electric Energy (MAE), the National Operator of Electric System (ONS), Eletrobrás and the National Bank of Economic and Social Development (BNDES) are designated as the principals integrators of the system. The objective of the present work was to analyze the influence of the privatization and restructuring processes in the integration of the Brazilian system of electric energy. The analysis was based on the instruments offered by the network approach. The results of the research show that the Brazilian sector of electric energy cannot be considered as a highly integrated network. In this new horizontal configuration, the social actors are affirming its roles, functions and objectives, while the key-organization like ANEEL, ONS, MAE, Eletrobrás, and BNDES are being structured to strengthen its integrative role.

This study tried to describe the State reform in the Brazilian energetic sector and how the energetic crises of 2001 influenced this process. With this purpose, two kinds of research were done: a bibliographic and some interviews. Many authors were studied to find out the construction of the State role in the Brazilian energetic sector. The interviews were done with nine specialists trying to confirm some positive and negative characteristics of the two models (1998 and 2004) and the causes of the crises studied in the bibliographic research. In addition, the specialists were consulted to tell their opinion about the State role in the sector. Then this study found out that the State must find an optimal size: not too small like in the first model (1998) that lacked a planning agent for the sector; nor too large as the State doesn't have enough money for the required investments of this sector.

This thesis analyzes the governance in public institutions management, taking the Niteroi's Cityzenship Council as the reasearch object. In order to accomplish this goal, this thesis has been split into two parts. The first one introduces the discussion about management, manager's action and administration, differentiating the private approach from the public one. The characteristics of the public service and its models were defined, as they were incorporated in the last decades in parallel with the institutionalism and governance theories. In the second part a description is presented on the Brazilian's politician space construction, with emphasis in the cities and in the functioning of the public institutions according to the reality of the Brazilian's partisan system. The concept of accountability and the relation between repuplican powers were also discussed, followed by a case study. The analyses show the reality of the governance at the chamber of the councilmen of Niteroi in accordance with the methodology chosen to accomplishment the research. The conclusion points out the findings that were obtained during the research.

Esta dissertação de mestrado faz uma construção teórica do desenvolvimento sustentável com base nas dimensões da sustentabilidade - ecológica, econômica, social, espacial, cultural, tecnológica e política - e no papel da administração pública e da sociedade civil. No âmbito de um estudo de caso, as dimensões da ustentabilidade são utilizadas como parâmetros para analisar o Projeto de Energia Eólica do Ceará, com o propósito de avaliar a viabilidade desse projeto alternativo, que visa contribuir para a superação dos atuais problemas de abastecimento do setor energético brasileiro. Ao final, este trabalho de pesquisa estabelece um novo discernimento sobre administração pública e suas relações com a sociedade civil, o Estado e o mercado, no contexto do desenvolvimento sustentável, apresentando as bases de uma nova estrutura de administração pública orientada para o desenvolvimento sustentável, na tentativa de somar esforços para o surgimento de novas formas de administração pública que promovam um desenvolvimento mais equilibrado, justo e inclusivo da sociedade em harmonia com o meio ambiente.

This research had the objective to verify if the current organization design of the Comissão Nacional de Energia Nuclear (CNEN) facilitates or makes it difficult the reach of the organization performance. In order to make the analysis, the used ways had been bibliographic, documental and field researches. The bibliographical survey allowed to conclude that it has a necessity of searching a balance between the objectivist and subjectivist approaches of the theory of the organization design. The documental survey supplied elements that they make possible to understand the main phases of the development of the CNEN in elapsing of the time and that they explain the current organization design. Finally, the research of field, carried through with the main managers of the institution, made possible the data-collecting that contributed to ratify the initial assumption of the research of that the current organization design of the CNEN makes it difficult the performance of the organization.

The scene prevalecente, in this work was to analyze the capacity of BANRISUL - Bank of the State of the Rio Grande Do Sul, as bank of public control, was assumen of the continued increase of the profitability of the Brazilian banking sector, remaining itself as a brought up to date financial institution tecnologicamente and managemental structuralized by mechanisms of brought up to date taking of decision and permanently revised in compatibility with the increasing instabilidades imposed for the incited competition of the banking sector in adequacy with the macroeconomic volatillidades. On the basis of the extremely positive performance in the analyzed period enters 1997 the 2007, the commercial strategy remains focada in the constant improvement of the rendering of services and in the growth of the credit average small the physical people and the e companies. The abrangência of the attendance points and the ample base of customers are aggregate advantages to an exclusive differential: the Banricompras, the biggest card of proper mark of Latin America. Since electric power is an essential element in modern society, this paper analyzes the historic and institutional factors that have contributed to the formation and organization of the Brazilian electric sector, from the time when it started to be used in this country until the end of year 2002. This analysis is based on a linear description of historic facts, giving emphasis to crucial events ¿ or critical incidents, as they were called for the purpose of this paper. As to these happenings, the social actors who played an important role in the development of the Brazilian electric power sector were analyzed. An analytical model based on the theoretical references offered by the Institutional Theory was used. The study also highlights the elements that comprehend the development of the phenomenon in face of the ambivalence existing in a developing country, which is the case of the Brazilian electric power sector. The organizational fields that were established at the time determined by the main crucial incidents presented throughout the length of time covered by this study. The resources that the main social actors involved in the electric power sector may use by are also identified, as well as their main interests and level of influence these actors may have. Several documents were analyzed. The qualitative methodology was used. Also, many semi-structured in-depth interviews of the people who have made the history of this sector for reliability were conducted. Finally, this study includes the main elements that have shaped the institutional model of the Brazilian electric sector. It also characterizes the external environment as the element which has most influenced the sector and has also led its way throughout the different developmental phases, especially with respect to funding. The growing rates of power consumption indicate the need for a constant increase in the supply of electric power to meet the needs of society and economic development. This requires constant investment. Lack of investment is a limiting factor. Not only does it hinder the development of the country but it may also result in very unfortunate mishaps such as electric power rationing, such as the kind we had to endure a while ago.

The purpose of this dissertation is to identify the main historical and institutional facts that have led to the present corporate governance policy adopted by Banco do Brasil S.A. (BB). The good practices of corporate governance aim to increase corporate value and facilitate the funding of capital and contribute to company¿s duration over the time. Besides, ensure to the shareholders some governance principles such as disclosure", "compliance", "accountability", "fairness" and ¿corporate responsability¿ By the time BB has been shown its concern about disclosure especially for its close relationship with principal shareholder. ¿ the Brazilian Government, other equity partners and the Brazilian society. Banco do Brasil was founded in 1808 by the Portuguese emperor Dom João VI and today is the oldest bank operating in the local market. BB also was the first company listed on Brazilian stock exchange since 1906. In 1996, after some net losses, the Brazilian Government raised the bank¿s authorized capital in R$ 8 billion. This fact established the first attempts to develop bank¿s corporate governance through the years. Banco do Brasil currently has more than 24.4 million customers, served by a network of 15,113 points of service with R$ 296.4 billion in total assets2. The purpose of this work is to demonstrate the principal measures adopted by Banco do Brasil to reach the top level of corporate governance in the Brazilian stock exchange ¿ the New Market of Bovespa. This top position was reached in June 2006. Banco do Brasil was the first state owned company to reach this level of governance in Brazil. This dissertation was based on Yin's taxonomy methodology as a single case study. This research has used documents and file records as sources of evidence, including longitudinally research to demonstrate the evolution facts through time."

This dissertation seeks to recognize the impacts that outsourcing of the call center brings to firms of electrical energy in Brazil. For this research, two existing cases in the brazilian sector electric: i) case of Cemig, firm mineira of electrical energy; ii) case Light, firm carioca of electrical energy. The framework of this dissertation is based of the methodology of multiple study cases described by Robert Yin (2003). This work analyzed separately each of the cases and compared the results obtained in each analysis. In this way, this research aimed at analyzing the impacts that firms sufering in outsource the call center, despite the citys are diferents, like the factors of the environment. The obtained results suggest that the firms adopt the mixed call center, with the greatest part of outsources employees and with less proper. The importants impacts seeks in this research are the lost of the image, quality and the control of the process of answering. The aim impacts of a outsourcing the call center find in this research are the lost of the image of the firm and the reduction of the control of the process of customer service, impacting directly on the quality of the customer service.

This academic work describes the interfirm technological learning processes behavior at a thermo plant throughout the years 2001 till 2007. Its former ownership structure was composed by two foreigners companies. This structure was changed by the acquisition of the company control by a Brazilian state owned company on April 2006. The company is a Natural Gas Fired Power Plant placed at Macaé City, at Rio de Janeiro State, Brazil generating electric power right to National Integrated System (SIN). The goal of this research is verify how the technological knowledge had been acquired by the firm and how it had been spread out throughout the organization before and after the change of the ownership structure. The taxonomy applied to determining of ownership structure take in account three parameters: type, specific characteristic and the ownership structure itself. Technological Learning Interfirm Processes have been examined from a model of systemic approach that establishes four key characteristics: ¿variety, intensity, functioning and interaction¿. During 2001 until 2006, till the change of owner structure, the firm developed its own learning processes in its own operational routines. The main learning processes have been identified from empirical evidences. It has been adopted the cut line at year of 2006 for the comparison among the technological learning processes behavior, when the change of ownership structure took place. The data capture occurred within April and August 2007 covering since 2001. Verified the behavior of these learning processes before and after the ownership structure changed from private property to state owned property. The conclusion of this case study suggests that interfirm processes of technological learning identified by the research had their dynamical behavior promptly affected by a change from private to ownerstate ownership structure, exposing the company to a poor performance in its industry, due to the lack of 51% of the technological intrafirm learning processes and reduction of the acquisition of new technical knowledge and its conversion throughout the organization.
