Markku Ikävalko Hakusanat: hallitus, pk-yritys, asiantuntijuus Pk-yrityksen hallitustyö on yksi keskeisimmistä johtamisen välineistä, jonka avulla yritys voi mahdollistaa kasvunsa ja tuottaa omistajien sijoittamalle pääomalle parempaa tuottoa. Tämän tutkimuksen tavoitteena oli tarkastella asiantuntijuuden käyttöä pk-yritysten hallitustyöskentelyssä. Tutkimuksella etsittiin vastauksia kysymyksiin, missä yrityksen kehitysvaiheissa asiantuntijuutta lisätään hallituksessa, mitä sillä halutaan saavuttaa ja miten prosessiin valmistaudutaan. Tavoitteena oli täydentää tietämystä pk-yrityksen hallitustyön muuttumisen ja hallituksen laajenemisen mahdollisuuksista ja syistä. Tutkimus toteutettiin haastattelututkimuksena. Tutkimuksen kohdeorganisaatioiksi valittiin viisi teollisuudenalan koneiden, laitteiden ja tuotteiden toimittajayritystä Päijät-Hämeen alueelta. Tutkimusaineisto kerättiin keväällä 2014 teemahaastatteluina. Tutkimus vahvisti resurssiperustaisen näkökulman nousevan vahvasti esiin pk-yrityksien muutosvaiheista. Hallitustyö ja hallituksen jäsenten osaaminen korostui kasvuhakuisuuden lisääntyessä. Agenttiteoria sai vahvistusta omistajajäsenten valvonnan tarpeen painottuessa ja stewardship -teorian mukaisesti hallitusammattilaiset katsoivat osaamisensa hyödyntämisen olevan palkitsemista tärkeämpää.

Adm.) professor, Markku Ikävalko Key Words: board of directors, SME, expertise The SME’s board of directors is one of the most important management tools, which enables the company to grow, and by growth it can generate better returns for capital invested by shareholders. The objective of this study was to construct a view how companies use the expertise of SMEs on the board. This study searched for answers to the questions, which are the company's stages when the change is needed, when and how the expertise will be searched to the board, what is aimed to achieve by the expertise and how the firms prepare themselves for the process. The aim was to complement the knowledge of the SMEs board, when its work and members are changing, what kind of reasons and possibilities drive it towards that change. The material for this study was collected using personal interviews by theme. To this study were selected five companies from machinery, equipment and supplier industries from Lahti Region area. The data were collected in the spring of 2014. The study confirmed the resource based view perspective to raise strongly in the SMEs boards stages of change. The boards work and its member´s capabilities emphasized when growth orientation increased. Agency theory was confirmed in the study, when boards grew, the need to control raise among the owners. In accordance of Stewardship theory, the experienced expert members of the board felt that the common benefit for all in the company was more rewarding for them than concrete rewards.
