The moral arguments associated with justice, fairness and communitarianism have rejected the exclusivity of cost‐benefit analysis in corporate governance. Particularly, the percepts of new governance (NG) have included distributive aspects in efficiency models focused on maximizing profits. While corporate directors were only assigned to look after the return of investment within the traditional framework of corporate governance (CG), NG has created the scope for them to look beyond the set of contractual liabilities. This article explores how and how far NG notions have contributed to the devolution of CG to create internal strategies focusing on actors, ethics and accountability in corporate self-regulation.

Ao longo das últimas três décadas, o envolvimento das comunidades na formulação de políticas locais tem vindo a ganhar cada vez mais atenção como uma abordagem sustentável para o desenvolvimento rural na União Europeia (UE) e no mundo. Emergendo da globalização, novas estruturas de governação têm desafiado a base territorial restricta da autoridade do Estado soberano através do envolvimento de uma rede complexa e de autoorganização de atores governamentais e não-governamentais na tomada de decisões coletivas. A reestruturação territorial e institucional das zonas rurais, associada à expansão da governança rural, ganhou atenção considerável na literatura. No entanto, o potencial de empregar princípios de governança como fatores que determinam as direções de desenvolvimento rural através de desempenho organizacional e apoio no turismo não tem sido amplamente explorado na literatura. Deste modo, o principal objetivo desta tese consiste no emprego de ‘integração’, ‘participação’ e ‘empowerment’ como fatores críticos que influenciam os rumos do desenvolvimento rural (1) através do desempenho organizacional das organizações de governança rural e (2) apoio no turismo de organizações de desenvolvimento rural tendo em vista a validação da abordagem de governança para o turismo integrado. Ao longo deste duplo objectivo geral, a tese é dividida numa componente qualitativa de ‘desempenho’ e numa componente quantitativa de ‘apoio’. Seguindo uma abordagem sistemática baseada num sistema conceptual, foram realizadas 38 entrevistas em profundidade com pessoas chave envolvendo gestores do programa LEADER da UE na Hungria (34% do número total de Grupos de Ação Local [GAL]), seguido por um levantamento de campo transversal realizado através de um sistema de recolha de dados na Internet, tendo resultado em 662 questionários válidos para uma taxa de resposta de 63.6%. Os resultados da componente “desempenho” revelaram padrões na implementação dos princípios de governança, que por sua vez permitiram a identificação de fatores que permitem e restringem o desempenho organizacional. Os resultados da componente “apoio” permitiram destacar que o ponto de vista de redes de desenvolvimento local nos princípios de governança não é homogéneo. Diferenças significativas foram encontradas entre organizações responsáveis pelo planeamento e os grupos de aconselhamento. Contudo, os resultados sugeriram que a dimensão sustentável de turismo rural integrado é um prognosticador da contribuição do turismo para o desenvolvimento global da comunicade e para o apoio do turismo ao longo das redes de desenvolvimento local. Este estudo responde a uma necessidade crescente de investigação, que resulta da proliferação à escala mundial de formações de governança em sistemas de administração pública, tanto no lado dos investigadores como no lado dos praticantes.

Cities have become a focal point for efforts to transition towards a more sustainable, low-carbon society, with many municipal agencies championing ‘eco city’ initiatives of one kind or another. And yet, national policy initiatives frequently play an important – if sometimes overlooked – role, too. This chapters provides comparative perspectives on four recent national sustainable city programmes from France, India, Japan, and the United Kingdom. The analysis reveals two key insights: first, national policy is found to exercise a strong shaping role in what sustainable development for future cities is understood to be, which helps explain the considerable differences in priorities and approaches across countries. Second, beyond articulating strategic priorities, national policy may exercise a ‘soft’ governance function by incentivising and facilitating wider, voluntary governance networks in the effort to implement sustainable city projects locally. This innovative role, however, depends on the ability of national policy to produce resonance among societal actors and on its effective interaction with formal planning processes.

La délégation du pouvoir de gestion aux administrateurs et aux gestionnaires, une caractéristique intrinsèque à la gestion efficace de grandes entreprises dans un contexte de capitalisme, confère une grande discrétion à l’équipe de direction. Cette discrétion, si elle n’est pas surveillée, peut mener à des comportements opportunistes envers la corporation, les actionnaires et les autres fournisseurs de capital qui n’ont pas de pouvoir de gestion. Les conflits entre ces deux classes d’agents peuvent émerger à la fois de décisions de gouvernance générale ou de transactions particulières (ie. offre publique d’achat). Dans les cas extrêmes, ces conflits peuvent mener à la faillite de la firme. Dans les cas plus typiques, ils mènent l’extraction de bénéfices privés pour les administrateurs et gestionnaires, l’expropriation des actionnaires, et des réductions de valeur pour la firme. Nous prenons le point de vue d’un petit actionnaire minoritaire pour explorer les méchanismes de gouvernance disponibles au Canada et aux États‐Unis. Après une synthèse dans la Partie 1 des théories sous‐jacentes à l’étude du pouvoir dans la corporation (séparation de la propriété et du contrôle et les conflits d’agence), nous concentrons notre analyse dans la Partie 2 sur les différents types de méchanismes (1) de gouvernance interne, (2) juridiques et (3) marchands, qui confèrent du pouvoir aux deux classes d’agents. Nous examinons comment les intérêts de ces deux classes peuvent être réalignés afin de prévenir et résoudre les conflits au sein de la firme. La Partie 3 explore un équilibre dynamique de pouvoir corporatif qui cherche à minimiser le potentiel d’opportunisme toute en préservant une quantité de discrétion suffisante pour la gestion efficace de la firme. Nous analysons des moyens pour renforcer les protections des actionnaires minoritaires et proposons un survol des pistes de réforme possibles.

As organisations strive to improve their capabilities in the areas of Service Management and Service-oriented Architectures (SOA), SOA Governance is becoming an increasingly important success factor. However, the concept of SOA Governance is complex and not well-understood, and the adoption of an adequate SOA Governance approach in an organisation can be difficult. Tools that support SOA Governance mostly have a technical bias and rarely address organisational aspects. In this paper, we contribute to the field by specifying a conceptual meta model for SOA Governance that integrates the structure of major IT and SOA Governance frameworks into one consolidated view. By presenting this conceptualisation and a corresponding prototypical implementation of a tool that supports SOA Governance maturity assessment, reference framework exploration and company-specific tailoring of SOA Governance, we provide insights into the first step of a Design Science research project, i.e. the development of an important IT artefact.

Although the lack of elaborate governance mechanisms is often seen as the main reason for failures of SOA projects, SOA governance is still very low in maturity. In this paper, we follow a design science approach to address this drawback by presenting a framework that can guide organisations in implementing a governance approach for SOA more successfully. We have reviewed the highly advanced IT governance frameworks Cobit and ITIL and mapped them to the SOA domain. The resulting blueprint for an SOA governance framework was refined based on a detailed literature review, expert interviews and a practical application in a government organisation. The proposed framework stresses the need for business representatives to get involved in SOA decisions and to define benefits ownership for services.

Forest policy and forestry management in Tasmania have undergone a number of changes in the last thirty years, many explicitly aimed at improving industry sustainability, job security, and forest biodiversity conservation. Yet forestry remains a contentious issue in Tasmania, due to a number of interacting factors, most significant of which is the prevalence of a ‘command and control’ governance approach by policymakers and managers. New approaches such as multiple-stakeholder decision-making, adaptive management, and direct public participation in policymaking are needed. Such an approach has been attempted in Canada in the last decade, through the Canadian Model Forest Program, and may be suitable for Tasmania. This paper seeks to describe what the Canadian Model Forest approach is, how it may be implemented in Tasmania, and what role it may play in the shift to a new forestry paradigm. Until such a paradigm shift occurs contentions and confrontations are likely to continue.

New governance (NG) denotes a new approach in the governance strategies. This approach comes with a conceptual background explaining how the hardcore corporate decision-making and people-friendly business strategies have started to converge, relying on executive fiduciary duties, stakeholder engagement, and economic analysis of management incentives. It also addresses how companies incorporate stakeholder-friendly business strategies, examines the role of shareholder and board activism in pushing for social responsibility, and provides quantitative assessments of reporting practices, indexes, and ratings that link governance with responsibility (Kolk 2008; Statman 2005; Deegan 2002). Achieving sustainable consumption patterns is a crucial step on the way towards sustainability. The scientific knowledge used to decide which priorities to set and how to enforce them has to converge with societal, political, and economic initiatives on various levels: from individual household decision-making to agreements and commitments in global policy processes. The aim of this thesis is to draw a comprehensive and systematic picture of sustainable consumption and to do this it develops the concept of Strong Sustainable Consumption Governance. In this concept, consumption is understood as resource consumption. This includes consumption by industries, public consumption, and household consumption. Next to the availability of resources (including the available sink capacity of the ecosystem) and their use and distribution among the Earth’s population, the thesis also considers their contribution to human well-being. This implies giving specific attention to the levels and patterns of consumption. Methods: The thesis introduces the terminology and various concepts of Sustainable Consumption and of Governance. It briefly elaborates on the methodology of Critical Realism and its potential for analysing Sustainable Consumption. It describes the various methods on which the research is based and sets out the political implications a governance approach towards Strong Sustainable Consumption may have. Two models are developed: one for the assessment of the environmental relevance of consumption activities, another to identify the influences of globalisation on the determinants of consumption opportunities. Results: One of the major challenges for Strong Sustainable Consumption is that it is not in line with the current political mainstream: that is, the belief that economic growth can cure all our problems. So, the proponents have to battle against a strong headwind. Their motivation however is the conviction that there is no alternative. Efforts have to be taken on multiple levels by multiple actors. And all of them are needed as they constitute the individual strings that together make up the rope. However, everyone must ensure that they are pulling in the same direction. It might be useful to apply a carrot and stick strategy to stimulate public debate. The stick in this case is to create a sense of urgency. The carrot would be to articulate better the message to the public that a shrinking of the economy is not as much of a disaster as mainstream economics tends to suggest. In parallel to this it is necessary to demand that governments take responsibility for governance. The dominant strategy is still information provision. But there is ample evidence that hard policies like regulatory instruments and economic instruments are most effective. As for Civil Society Organizations it is recommended that they overcome the habit of promoting Sustainable (in fact green) Consumption by using marketing strategies and instead foster public debate in values and well-being. This includes appreciating the potential of social innovation. A countless number of such initiatives are on the way but their potential is still insufficiently explored. Beyond the question of how to multiply such approaches, it is also necessary to establish political macro structures to foster them.

Esta tese tem como principal objectivo compreender o papel dos indicadores de sustentabilidade na governação local em Portugal, bem como perceber o seu potencial para transformar práticas institucionais correntes para o desenvolvimento sustentável. As duas últimas décadas têm testemunhado um crescente debate em torno dos indicadores de sustentabilidade e três abordagens específicas da literatura ganharam corpo: a ‘técnica’, a ‘participativa’ e a de ‘governação’. Esta tese pretende contribuir para a abordagem mais recente e menos explorada da ‘governação’, através do estudo da realidade local portuguesa. Considera crucial perceber como e em que circunstâncias e contextos o papel destes indicadores pode ser diminuído ou potenciado. Desta forma, pretende avaliar se e de que forma é que os indicadores de sustentabilidade têm contribuído para alterar e desafiar contextos de governação locais para o desenvolvimento sustentável no nosso país e se e de que forma estes indicadores têm sido usados. Foram seleccionados e analisados em detalhe sete casos-de-estudo na tentativa de compreender cada um e de construir uma grelha comparativa entre eles utilizando como suporte normativo um conjunto de critérios ‘ideais’ de boa governação. Assim, a tese identifica os principais obstáculos da construção destes indicadores em Portugal, bem como os seus principais contributos positivos e usos. Enquadra igualmente as suas conclusões no contexto de outras experiências locais Europeias e tenta formular algumas recomendações para reforçar o potencial contributo e a utilização destes indicadores. Através dos casos-de-estudo, foi possível verificar que a sua implementação não tem contribuído para fortalecer o diálogo entre os diferentes níveis de governo, para promover a participação de mais actores nas redes de governação, ou mesmo para melhorar mecanismos de participação e comunicação entre governos, cidadãos e actores locais. De qualquer forma, é importante acrescentar que as experiências mais bem sucedidas permitiram efectivamente mudar as capacidades dos governos locais na coordenação horizontal de políticas sectoriais, nomeadamente através de novas relações entre departamentos, novas rotinas de trabalho, novas culturas de recolha e tratamento de dados locais, novos estímulos de aprendizagem, entre muitas outras. O maior desafio coloca-se agora na transposição destes efeitos positivos para fora da esfera governamental. Esperamos que a tese possa contribuir para que decisores políticos, técnicos, académicos e comunidades locais encarem os indicadores de sustentabilidade como processos de aprendizagem que melhoram a capacidade das cidades enfrentarem os complexos desafios e as incertezas do desenvolvimento sustentável.

Over the past seventeen years Canada has decentralized many social programmes, moving responsibility from the federal government to 13 provinces and territories through bilateral federal-provincial agreements. In contrast, the European Union (EU) has moved in the opposite direction, building pan-European approaches and establishing new processes to facilitate multilateral collaboration among the 28 EU member states. This has been done through a new governance approach called the Open Method of Coordination (OMC). Using a detailed case study − employment policy − this paper explores whether Canada could learn from OMC governance ideas to re-build a pan-Canadian dimension to employment policy and improve the performance of its intergovernmental relations system. Concrete lessons for Canada to improve decentralized governance are suggested: consolidating the different bilateral agreements; using benchmarking instead of controls in fiscal transfers; undertaking research, analysis, and comparisons in order to facilitate mutual learning; revitalizing intergovernmental structures in light of devolution; and engaging social partners, civil society and other stakeholders. Post-devolution Canada is not doing badly in managing employment policy, but could do better. Looking to the EU for ideas on new ways to collaborate provides a chance for setting a forward looking agenda that could ultimately result not only in better labour market outcomes, but also improvements to one small part of Canada’s often fractious federation.

Az abduktivitás fogalmának körüljárása után öt hüvelykujjszabályt fogalmaz meg a szerző az abdukció működéséről, majd összekapcsolja azt a vezetői munkával, tudáskormányzási kontextusban. Ebből kiindulva a globális munkatérelmélet (Global Workspace Theory) alkalmazásával a vezetők vagy az organizmusként felfogott szervezetek abduktív kapacitásának fejlesztési lehetőségeit vizsgálja. Befejezésül egy hatlépéses, a szervezeti szintű abduktivitásra rákérdező speciális tudásaudit-módszertan rövid kifejtésére vállalkozik, két esettanulmány vázlatos bemutatásával. _____ How to make right decisions without any inferences, thanks to interiorized, deep knowledge on the given field (micro verse)? After defining the concept of abductivity, the author presents five thumbnail-like rules about the nature of abductivity, combining it with leadership aspects and knowledge governance approach. He introduces a method supporting the development of abductive capability of a leader or an organization as a whole, using the Global Works pace Theory. Finally, the author tries to briefly formulate six steps of an organization-level knowledge governance audit framework, illustrating its relevance with two short case studies.

Notre thèse a pour objectif de déterminer la nature des liens entre la multiplication des processus de macro-régionalisation, dans un contexte de mondialisation, et le renouvellement des politiques d’aménagement du territoire à travers la mise en place de nouvelles formes de coopération décentralisée entre villes et territoires. Notre projet de recherche cherche ainsi à établir comment la régionalisation permet la mise en place d’une gouvernance à niveaux multiples mettant en relation des acteurs territoriaux, à différents échelons de décision (supranational, national et infranational) dans le but de faire face à la complexité grandissante des problèmes actuels à l’échelle mondiale. Parmi ces projets régionaux qui émergent dans plusieurs parties du monde, nous avons choisi le Partenariat euro-méditerranéen comme cas d'étude en s'intéressant de manière particulière aux projets et programmes de coopération décentralisée et transfrontalière qui se mettent en place autour de la Méditerranée et qui mettent en relation plusieurs villes et régions riveraines. Afin de répondre à ces questions, nous avons décliné notre argumentation en plusieurs axes de réflexion. Un premier axe de réflexion tourne autour de la nature du projet régional euro-méditerranéen et de son implication au niveau des stratégies territoriales principales. Un deuxième axe concerne le contenu et les processus de mise en œuvre des programmes et projets de coopération décentralisée et transfrontalière et leur pertinence au niveau du développement local des territoires du Sud. Un troisième axe s’intéresse au rôle de l’État central en face du développement de ces initiatives qui le contourne. Enfin, un quatrième axe de réflexion concerne l’attitude de l’échelon local par rapport à ces initiatives qui l’interpellent et le sollicitent en tous sens.

São Paulo State, in Brazil, is getting increasingly crowded, like in other third world countries around the world, so should give great importance to city development. This work considered the phenomenon of closed neighbourhoods (CN) as an important factor to city planning, papers report many impacts of this model of neighbourhoods in other countries, but in Brazil its impacts are not yet well listed in the literature. The aim of this work was to determine indicators to achieve the social and environmental performances and verify their applicability on three different closed neighbourhoods in São Paulo state, Brazil. The indicators were condensed on indexes: water management, waste management, energy and emissions, legal compliance, environment and buildings, risk management, health and education and governance. The preliminary results indicated several social and environmental problems in all indexes. © 2013 WIT Press.
