This study revisits the capital structure theory and test Pecking Order Hypothesis (POH) and Static Order Trade-off theory (STOT) using Malaysian Listed firms over a period from 1999 to 2002. The evidence from pecking order model suggests that the internal fund deficiency is the most important determinant that possibly explains the issuance of new debt in Malaysian capital market despite the lower predicting power.  While static trade off-model is not fit to explain the issuance of new debt issue in Malaysian capital market. This is an interesting findings that confirm the fact that Malaysian firms do not too much care about tax-shield benefit derive from employ both debt and non-debt tax-shield. The finn's size, which is used to neutralize the size effect, appears to provide some explanation for the variation in its capital structure policy choice; however asset structure and growth no evidence of static-order-trade-off is observed in Malaysian capital market.

Este trabalho tem por objetivo, essencialmente, estudar um dos modelos que procuram explicar as políticas de concepção de estrutura de capital. Embora já usado em 1961 por Donaldson, o termo pecking order rotula um modelo criado em 1984 por stwart Myers e Nicholas Majluf, segundo o qual as empresas, procuram financiar seus novos investimentos dando prioridade aos recursos internamente gerados e, uma vez esgotados estes, aderem ao uso de instrumentos de financiamento externo segundo uma ordem determinada pelo risco inerente a cada um deles.

This article discusses property rights, corporate governance frameworks and privatisation outcomes in the Central–Eastern Europe and Central Asia (CEECA) region. We argue that while CEECA still suffers from deficient ‘higher order’ institutions, this is not attracting sufficient attention from international institutions like EBRD and the World Bank, which focus on ‘lower order’ indicators. We discuss factors that may alleviate the negative impact of the weakness in institutional environment and argue for the pecking order of privatisation, where equivalent privatisation is given a priority but speed is not compromised.

Research question- This thesis investigates the determinants of capital structure of the Swedish companies. In order to do so, the two dominant theories of the corporate structure are studied and their assumptions are tested. Thus, the study researches which one of the two theories is more appealing for the Swedish market. Methodology-The study follows a purely quantitative study, by conducting an econometric analysis. The data are collected from a secondary source and more particularly the "Retriever" database, which contains financial data of the Swedish companies. Findings- The findings indicate that the determinants of the corporate structure for the Swedish market do not differ from other studies which have been conducted in other countries. However, there is a difference when it comes to tax and non-tax shields. The results suggest that in most cases the Pecking Order Theory appears to be more representative for the Swedish market, since most of the coefficient appear to be in favour of it. Moreover, the significance of the effect of the industry for the financial leverage is confirmed.

Foram examinadas as determinantes do nível de liquidez das firmas brasileiras, em um estudo de dados em painel com 295 firmas de capital aberto no período entre 1994 e 2004. Neste estudo, a liquidez foi definida como o estoque de caixa e títulos com liquidez dividido pelo total de ativos da firma. A análise empírica sugere que a liquidez das firmas brasileiras não é determinada por políticas específicas, sendo uma variável endógena, resultante das componentes do fluxo de caixa. Os principais resultados do modelo sugerem que o nível de liquidez é crescente em função do tamanho, do endividamento de curto prazo, e da lucratividade (tanto em termos de fluxo de caixa quanto lucro contábil), enquanto é decrescente em função do risco Brasil e do nível de capital de giro. A teoria do pecking order parece prevalecer nas decisões de financiamento das firmas. Alguns destes resultados, assim como a insignificância de outras variáveis testadas, contrariam as expectativas teóricas de como as firmas deveriam se comportar em relação ao nível de liquidez, com o objetivo de maximizar o valor da firma. O excedente de caixa ocorre nas grandes firmas com alta geração de caixa, e estas firmas podem estar incorrendo elevados custos de agência/expropriação, com prejuízo principalmente para os acionistas minoritários.

This study aims to investigate the influence of the asset class and the breakdown of tangibility as determinant factors of the capital structure of companies listed on the BM & FBOVESPA in the period of 2008-2012. Two current assets classes were composed and once they were grouped by liquidity, they were also analyzed by the financial institutions for credit granting: current resources (Cash, Bank and Financial Applications) and operations with duplicates (Stocks and Receivables). The breakdown of the tangible assets was made based on its main components provided as warrantees for loans like Machinery & Equipment and Land & Buildings. For an analysis extension, three metrics for leverage (accounting, financial and market) were applied and the sample was divided into economic sectors, adopted by BM&FBOVESPA. The data model in dynamic panel estimated by a systemic GMM of two levels was used in this study due its strength to problems of endogenous relationship as well as the omitted variables bias. The found results suggest that current resources are determinants of the capital structure possibly because they re characterized as proxies for financial solvency, being its relationship with debt positive. The sectorial analysis confirmed the results for current resources. The tangibility of assets has inverse proportional relationship with the leverage. As it is disintegrated in its main components, the significant and negative influence of machinery & equipment was more marked in the Industrial Goods sector. This result shows that, on average, the most specific assets from operating activities of a company compete for a less use of third party resources. As complementary results, it was observed that the leverage has persistence, which is linked with the static trade-off theory. Specifically for financial leverage, it was observed that the persistence is relevant when it is controlled for the lagged current assets classes variables. The proxy variable for growth opportunities, measured by the Market -to -Book, has the sign of its contradictory coefficient. The company size has a positive relationship with debt, in favor of static trade-off theory. Profitability is the most consistent variable in all the performed estimations, showing strong negative and significant relationship with leverage, as the pecking order theory predicts

O objetivo principal deste trabalho é analisar se a presença de importantes fatores institucionais brasileiros, como o acesso a fontes e linhas diferenciadas de financiamento, afeta a significância estatística e econômica da assimetria informacional, principal pressuposto da teoria de pecking order, na determinação da estrutura de capital de empresas brasileiras. Para tanto, foram utilizadas variáveis de controle, variáveis representativas de fatores institucionais e de assimetria informacional num painel de dados referente a empresas brasileiras de setores industriais, cujas ações foram negociadas na Bovespa, no período 1997-2007. Como principais resultados encontra-se que as variáveis tamanho, tangibilidade, rentabilidade e risco são importantes determinantes da estrutura de capital das empresas analisadas, sendo também significativa a participação de linhas diferenciadas no endividamento dessas empresas. Em resposta ao objetivo da pesquisa, verifica-se que a assimetria informacional não perde significância estatística e econômica no modelo proposto, após a inclusão de variáveis representativas de fatores institucionais, o que evidencia a importância da assimetria informacional na determinação da estrutura de capital de empresas brasileiras. O sinal negativo encontrado apoia a teoria de pecking order, na qual essas empresas seriam menos endividadas devido à possibilidade de captarem recursos por meio da emissão de ações. Ressalta-se que as proxies utilizadas para representar o atributo assimetria informacional constituem uma limitação da pesquisa. Em razão disso, sugere-se, para trabalhos futuros, a utilização de outras variáveis, com o propósito de verificar a consistência dos resultados aqui encontrados, bem como a análise da influência da assimetria informacional sobre o custo de capital de empresas brasileiras, com o intuito de verificar se empresas consideradas com menor assimetria informacional conseguem captar recursos a taxas de juros mais atrativas.
