A constatação de grande indeterminação acerca da interpretação da Lei 6.404/76 em conjunto com o Código Civil suscitou o interesse em se discutir, através de um instituto específico da Lei Societária, o acordo de acionistas, contextualizado através de um caso concreto, a aplicação de princípios gerais dos contratos civis à referida lei específica. A separação dos diplomas trouxe uma série de questionamentos quanto à aplicação de princípios, como por exemplo, a boa-fé objetiva, na interpretação da norma societária. Portanto, a natureza contratual do acordo de acionistas, analisado na hipótese em que este não se encontra arquivado na sede da companhia, e sua inteira regulação pela legislação societária, constitui um exemplo paradigmático para emoldurar a referida discussão, promovida também na doutrina e na jurisprudência.

A utilização da cláusula de melhores esforços, ou best efforts, é prática comum do empresariado e advogados nacionais. Este trabalho realiza um levantamento a fim de demonstrar a alta incidência em acordos sofisticados entre acionistas de companhias abertas brasileiras. Tal inclusão tem fortes motivos econômicos, a justificar o reconhecimento e interpretação pelo aplicador do direito nacional. O padrão de conduta dessa obrigação de meio deve ser analisado por critérios distintos, por meio de elementos subjetivos e objetivos, bem como à luz do contexto social e usos e costumes relacionados, baseados em normas e princípios de direito privado amplamente aceitos. A escassa jurisprudência sobre o tema bem como a já consolidada jurisprudência norte-americana contribuem para o melhor entendimento sobre a natureza jurídica e o modelo de interpretação de conduta a ser aplicado, diferenciando a obrigação de melhores esforços dos deveres decorrentes da boa-fé objetiva. Entre as conclusões, pode-se mencionar que a cláusula de melhores esforços não deve ser igualada aos deveres de boa-fé ou a um mero dever moral. Seu reconhecimento legal como padrão de conduta distinto, apurado conforme cada caso, deve ser amparado pelo ordenamento jurídico nacional

Identity-based cryptography has become extremely fashionable in the last few years. As a consequence many proposals for identity-based key establishment have emerged, the majority in the two party case. We survey the currently proposed protocols of this type, examining their security and efficiency. Problems with some published protocols are noted.

Objective: To assess extent of coder agreement for external causes of injury using ICD-10-AM for injury-related hospitalisations in Australian public hospitals. Methods: A random sample of 4850 discharges from 2002 to 2004 was obtained from a stratified random sample of 50 hospitals across four states in Australia. On-site medical record reviews were conducted and external cause codes were assigned blinded to the original coded data. Code agreement levels were grouped into the following agreement categories: block level, 3-character level, 4-character level, 5th-character level, and complete code level. Results: At a broad block level, code agreement was found in over 90% of cases for most mechanisms (eg, transport, fall). Percentage disagreement was 26.0% at the 3-character level; agreement for the complete external cause code was 67.6%. For activity codes, the percentage of disagreement at the 3-character level was 7.3% and agreement for the complete activity code was 68.0%. For place of occurrence codes, the percentage of disagreement at the 4-character level was 22.0%; agreement for the complete place code was 75.4%. Conclusions: With 68% agreement for complete codes and 74% agreement for 3-character codes, as well as variability in agreement levels across different code blocks, place and activity codes, researchers need to be aware of the reliability of their specific data of interest when they wish to undertake trend analyses or case selection for specific causes of interest.

This feasibility study was established to investigate the application of the concept of ‘best value’ in construction procurement in Australia. In the case of ‘best value’ in the business enterprise, ‘best value’ is that which returns greatest value to the business enterprise’s shareholders. However, in the case of the public sector, ‘best value’ is more complex. For that reason, this research project focuses mainly on public sector construction project procurement.

We introduce a formal model for certificateless authenticated key exchange (CL-AKE) protocols. Contrary to what might be expected, we show that the natural combination of an ID-based AKE protocol with a public key based AKE protocol cannot provide strong security. We provide the first one-round CL-AKE scheme proven secure in the random oracle model. We introduce two variants of the Diffie-Hellman trapdoor the introduced by \cite{DBLP:conf/eurocrypt/CashKS08}. The proposed key agreement scheme is secure as long as each party has at least one uncompromised secret. Thus, our scheme is secure even if the key generation centre learns the ephemeral secrets of both parties.

This article rebuts the still-common assumption that managers of capitalist entities have a duty, principally or even exclusively, to maximise the monetary return to investors on their investments. It argues that this view is based on a misleadingly simplistic conception of human values and motivation. Not only is acting solely to maximise long-term shareholder value difficult, it displays, at best, banal single-mindedness and, at worst, sociopathy. In fact, real investors and managers have rich constellations of values that should be taken account of in all their decisions, including their business decisions. Awareness of our values, and public expression of our commitment to exemplify them, make for healthier investment and, in the long term, a healthier corporate world. Individuals and funds investing on the basis of such values, in companies that express their own, display humanity rather than pathology. Preamble I always enjoyed the discussions that Michael Whincop and I had about the interaction of ethics and economics. Each of us could see an important role for these disciplines, as well as our common discipline of law. We also shared an appreciation of the institutional context within which much of the drama of life is played out. In understanding the behaviour of individuals and the choices they make, it seemed axiomatic to each of us that ethics and economics have a lot to say. This was also true of the institutions in which they operate. Michael ·had a strong interest in 'the new institutional economics' I and I had a strong interest in 'institutionalising ethics' right through the 1990s.' This formed the basis of some fascinating and fruitful discussions. We show how to construct a certificateless key agreement protocol from the certificateless key encapsulation mechanism introduced by \cite{lippold-ICISC_2009} in ICISC 2009 using the \cite{DBLP:conf/acisp/BoydCNP08} protocol from ACISP 2008. We introduce the Canetti-Krawczyk (CK) model for certificateless cryptography, give security notions for Type I and Type II adversaries in the CK model, and highlight the differences to the existing e$^2$CK model discussed by \cite{DBLP:conf/pairing/LippoldBN09}. The resulting CK model is more relaxed thus giving more power to the adversary than the original CK model.

The article considers the interests of company members as stakeholders in the event of a company entering voluntary administration and suggests that while shareholders hold a residual interest, they nonetheless have an interest in ensuring that that the company is rescued and perhaps therefore have a role to play in the rescue of the company’s business. In doing so it argues that there is some inconsistency in recent changes in Ch 5 regarding the role of shareholders with some changes recognising their role while others have sought to downplay it.
