Takeovers are one-off events, altering control and strategy within an organisation. But the chances of becoming the target of a bid, even where remote, daily influence corporate decision-making. Takeover rules are therefore central to company law and the balance of power among managers, shareholders and stakeholders alike. This study analyses the corporate governance drivers underpinning takeover bid regulations and assesses the implementation of the EU Directive on takeover bids and compares it with the legal framework of nine other major jurisdictions, including the US. It finds that similar rules have different effects depending on company-level and country-level characteristics and considers the use of modular legislation and optional provisions to cater for them.

This paper anticipates the 2012 revision of the European Insolvency Regulation, which is the sole Union legislation on the subject of cross border insolvency proceedings. The paper first describes the historical background of the Regulation. The salient point of the historical discussion is that the Regulation is the product of forty years of negotiation and arises from a historical context that is no longer applicable to current economic realities, i.e. it provides for liquidation, not reorganization, it doesn’t deal with cross border groups of companies, and it lacks an effective mechanism for transparency and creditor participation. The paper then reviews the unique hybrid jurisdictional system of concurrent universal and territorial proceedings that the Regulation imposes. It looks at this scheme from a practical viewpoint, i.e. what issues arise with concurrent proceedings in two states, involving the same assets, the same creditors, and the same company. The paper then focuses on a significant issue raised by the European Court of Justice in the Eurofoods case, i.e. the need to comply with fundamental due process principles that, while not articulated in the Regulation, lie at the core of Union law. Specifically, the paper considers the ramifications of the Court’s holding that “a Member State may refuse to recognize insolvency proceedings opened in another Member State where the decision to open the proceedings was taken in flagrant breach of the fundamental right to be heard.” In response to the Court’s direction, this paper proposes a package of due process rights, consisting principally of an accessible, efficient and useful insolvency database, the infrastructure of which already exists, but the content and use of which has not yet been developed. As part of a cohesive three part due process package, the paper also proposes the formation of cross border creditors' committees and the establishment of a European Insolvency Administrator. Finally, on the institutional level, this paper proposes that the revision of the Regulation and the development of the insolvency database not only need to be coordinated, but need to be conceptualized, managed and undertaken, not as the separate efforts of diverse institutions, but as a single, unified endeavor.

Les « dispositions successorales spéciales » de la lex situs apportent une exception particulière au système unitaire de la loi applicable à la succession. Leur reconnaissance dans le récent Règlement du Parlement européen et du Conseil relatif à la compétence, la loi applicable, la reconnaissance et l'exécution des décisions, et l'acceptation et l'exécution des actes authentiques en matière de successions et à la création d'un certificat successoral européen du 4 juillet 2012 témoigne de l’importance et de l’actualité de cette prévision normative. L’exception trouve sa source dans l’article 15 de la Convention du 1er août 1989 sur la loi applicable aux successions à cause de mort, formule qui fut suivi par l’article 3099 al. 2 du Code civil du Québec. La conception originaire de la règle se situe à l’article 28 de la Loi d’introduction au Code civil allemand de 1896. Ces législations reconnaissent la nécessité de respecter certaines dérogations aux règles successorales ordinaires dont le contenu matériel justifie une rupture exceptionnelle de l’unité de la succession internationale. Ainsi, l’opposition traditionnelle entre le système scissionniste qui divise la loi applicable à la succession en fonction de la nature mobilière ou immobilière des biens et celui qui postule l’unité législative trouve dans le respect des « dispositions spéciales » de la lex rei sitae régissant certains biens de la succession un facteur conciliateur. Il s’agit de respecter un minimum normatif de la loi de l’État où sont situés certains biens de la succession malgré la compétence générale d’une lex successionis étrangère. Ce bloc normatif irréductible se présente comme un pont qui relie les deux solutions extrêmes dans une position intermédiaire où il n’y a plus de scission au sens classique du terme mais où l’unité est néanmoins brisée en raison de certaines considérations substantielles tirées de la destination des biens.

RESUMO: Introdução: A hipótese colocada nesta tese é a de que poderia haver um número bastante mais elevado de ensaios clínicos na medicina familiar portuguesa se os obstáculos fossem removidos e as oportunidades exploradas de modo adequado. Contexto: Em Portugal existe uma nova geração de Médicos de Família que está a assumir postos de trabalho um pouco por todo o país e que é aceite como sendo a mais bem preparada geração de sempre. Métodos: Busca na MEDLINE. Leitura de artigos na única publicação científica dedicada à Medicina Geral e Familiar – RPMGF. Consulta em livros portugueses de política da saúde e acerca do Plano Nacional de Saúde. O INFARMED foi contactado e relatórios seus sobre ensaios clínicos foram analisados. Os Médicos de Família portugueses foram contactados e convidados a responder a questionários. Além disso, quinze personalidades da Medicina Portuguesa foram chamadas a sugerir soluções. Resultados: De acordo com dados do INFARMED, de 2006 a 2011 houve apenas quatro centros de saúde envolvidos em ensaios clínicos. Em Portugal: Existe um número pouco significativo de ensaios académicos; Praticamente não há infraestruturas de suporte ou treino; Os registos clínicos eletrónicos são usados de forma ineficiente; a investigação é fracamente ligada às carreiras médicas; há isolamento interno e externo; a já complexa regulamentação da União Europeia é complicada ainda mais; há um subfinanciamento da Investigação Clínica. Os Médicos de Família portugueses estão disponíveis para participar ativamente numa mudança. Discussão: Com os presentes resultados o diagnóstico para a presente situação é claramente negativo. Felizmente existem muito boas oportunidades para melhorar. Conclusão/Recomendações: Tempo, dinheiro e apoio têm de ser fornecidos aos Médicos de Família portugueses. É nesse sentido que são fornecidas vinte recomendações para obter uma verdadeira mudança no panorama dos Ensaios Clínicos na Medicina Familiar portuguesa.-------------ABSTRACT: Introduction: The hypothesis of this thesis is that there could be a much greater number of Clinical Trials in Portuguese Family Medicine if obstacles were removed and opportunities explored properly. Background: In Portugal there is a new generation of Family Doctors that is assuming permanent positions all over the country and is accepted to be the most well prepared generation ever. Methods: Search on MEDLINE. Relevant articles were also identified in the only jornal dedicated to Portuguese Family Medicine, RPMGF. A search was made on Portuguese health policy textbooks and national health plan policy. INFARMED was also contacted and their reports about Clinical Trials were analysed. Portuguese Family Doctors themselves were contacted and invited to answer questionnaires. Besides that, fifteen key opinion leaders related to Portuguese Medicine were approached for solutions. Results: According to INFARMED data, from 2006 to 2011 there were only four health centres involved in clinical trials. In Portugal there is: A negligible number of academic trials; almost no support infrastructures or training; inefficiently used electronic health records; a research weakly linked to medical careers; an uninformed isolation internally and externally; an already complex European Union regulation that is compounded even more; Scarce funding for clinical research. Portuguese Family Doctors are keen to actively participate in a change. Discussion: With the present results the diagnosis for the current situation is clearly negative. Fortunately there are very good opportunities to improve. Conclusion/Recommendations: Time, money and support must be given to Portuguese Family Doctors. In this context, twenty recommendations are provided intending to promote a true change in Portuguese Family Medicine Clinical Trials panorama.

A crescente preocupação com aspectos ambientais tornou-se uma questão incontornável para as empresas. Assim, a legislação aplicável obriga a maior controlo de qualquer tipo de perigo que ponha em causa a saúde humana ou o ambiente. Deste modo, a Swedwood Portugal é obrigada a implementar algumas medidas de controlo dos produtos químicos. Assim, os objectivos deste estágio curricular fundamentamse em identificar, avaliar e substituir ou minimizar os impactos dos produtos químicos (PQ’s) que, de acordo com especificações REACH (Regulamento da Comissão Europeia, relativo a Registo, Avaliação, Autorização e restrição de substâncias Químicas) e da Swedwood Internacional não podem ser utilizados. Como tal, o trabalho descrito nesta dissertação foi dividido em várias etapas. A primeira etapa consistiu em identificar todos os PQ’s utilizados no sector Board On Frame (BOF) da Swedwood Portugal. Feito este inventário, foi então criada uma base de dados em formato Microsoft Office Access que permitiu compilar a informação mais relevante dos PQ’s, para uma consulta mais simples e expedita, substituindo a já existente e desactualizada base de dados de PQ’s em formato Microsoft Office Excel. No total foram inventariados 243 PQ’s. Contudo, não foi possível obter as Fichas de Segurança de todos e, por isso, apenas 185 foram registados na base de dados. Estes 185 PQ’s existentes no sector BOF da Swedwood Portugal, foram submetidos a uma avaliação das substâncias que os compõem de acordo com uma ferramenta informática criada pela Swedwood Internacional – Substitution Evaluation Key (SEK). Esta ferramenta usa três listas europeias de substâncias químicas que permitem a avaliação de produtos químicos indirectos: Substances of Very High Concern (SVHC) da Agência Europeia de Produtos Químicos (ECHA), Substitute It Now (SIN) da ChemSec (Organização sueca dedicada ao ambiente) e PRIO da Agência Sueca de Produtos Químicos (Kemi). As três listas incluem substâncias de carácter de tal forma perigoso que a sua utilização deve ser restringida ou até eliminada. Logo, os PQ’s indirectos que contenham substâncias presentes em, pelo menos, uma destas listas devem ser imediatamente substituídos por outros cuja avaliação seja positiva. Por outro lado, para produtos químicos directos, as restrições encontram-se numa especificação imposta pela IKEA, IOS-MAT-0066. Concluída a avaliação, foi então necessário encontrar alternativas viáveis aos PQ’s avaliados negativamente. Como tal, a primeira abordagem consistiu em contactar os fabricantes dos PQ’s a substituir de modo a que estes pudessem apresentar as suas próprias alternativas. Caso estes não apresentassem alternativas viáveis, então contactarse- iam novos fornecedores. Dos 185 PQ’s registados na base de dados e avaliados, 30 produtos químicos indirectos existentes nas fábricas não obedeciam aos critérios impostos pela SEK, estando os produtos químicos directos todos de acordo com as imposições da IOS-MAT-0066. Os 30 PQ’s indirectos do Sector BOF da Swedwood Portugal que incluem as substâncias químicas com carácter perigoso apresentam características Cancerígenas, Mutagénicas e tóxicas para a Reprodução (CMR), irritantes e/ou sensibilizantes e perigosas, a longo prazo, para o ambiente. Para estes PQ’s foram apresentadas alternativas viáveis no que concerne a impactos para a saúde ou para o ambiente e os respectivos custos associados (admitindo quantidades mínimas vendidas). Contudo, não foi possível em tempo útil testar estas alternativas no funcionamento da empresa de modo a avaliar a sua eficiência técnica.

Three commonly consumed and commercially valuable fish species (sardine, chub and horse mackerel) were collected from the Northeast and Eastern Central Atlantic Ocean in Portuguese waters during one year. Mercury, cadmium, lead and arsenic amounts were determined in muscles using graphite furnace and cold vapour atomic absorption spectrometry. Maximum mean levels of mercury (0.1715 ± 0.0857 mg/kg, ww) and arsenic (1.139 ± 0.350 mg/kg, ww) were detected in horse mackerel. The higher mean amounts of cadmium (0.0084 ± 0.0036 mg/kg, ww) and lead (0.0379 ± 0.0303 mg/kg, ww) were determined in chub mackerel and in sardine, respectively. Intra- and inter-specific variability of metals bioaccumulation was statistically assessed and species and length revealed to be the major influencing biometric factors, in particular for mercury and arsenic. Muscles present metal concentrations below the tolerable limits considered by European Commission Regulation and Food and Agriculture Organization of the United Nations/World Health Organization (FAO/WHO). However, estimation of non-carcinogenic and carcinogenic health risks by the target hazard quotient and target carcinogenic risk, established by the US Environmental Protection Agency, suggests that these species must be eaten in moderation due to possible hazard and carcinogenic risks derived from arsenic (in all analyzed species) and mercury ingestion (in horse and chub mackerel species).

From the beginning of January 2005 publicly traded companies in the European Union have to comply with the International Financial Reporting Standards (IFRS) for their consolidated accounts, as required by 1606/2002 European Commission Regulation. It had been suggested that the new accounting rules will facilitate not only the process of international harmonization of financial statements, but also efficient performance of financial markets and capital flows worldwide. This study analyzes the first results of IFRS implementation by Spanish non-financial listed companies.

The aim of this paper is to describe the process and challenges in building exposure scenarios for engineered nanomaterials (ENM), using an exposure scenario format similar to that used for the European Chemicals regulation (REACH). Over 60 exposure scenarios were developed based on information from publicly available sources (literature, books, and reports), publicly available exposure estimation models, occupational sampling campaign data from partnering institutions, and industrial partners regarding their own facilities. The primary focus was on carbon-based nanomaterials, nano-silver (nano-Ag) and nano-titanium dioxide (nano-TiO2), and included occupational and consumer uses of these materials with consideration of the associated environmental release. The process of building exposure scenarios illustrated the availability and limitations of existing information and exposure assessment tools for characterizing exposure to ENM, particularly as it relates to risk assessment. This article describes the gaps in the information reviewed, recommends future areas of ENM exposure research, and proposes types of information that should, at a minimum, be included when reporting the results of such research, so that the information is useful in a wider context.

Entro l’approccio concettuale e metodologico transdisciplinare della Scienza della Sostenibilità, la presente tesi elabora un background teorico per concettualizzare una definizione di sostenibilità sulla cui base proporre un modello di sviluppo alternativo a quello dominante, declinato in termini di proposte concrete entro il caso-studio di regolazione europea in materia di risparmio energetico. La ricerca, attraverso un’analisi transdisciplinare, identifica una crisi strutturale del modello di sviluppo dominante basato sulla crescita economica quale (unico) indicatore di benessere e una crisi valoriale. L’attenzione si concentra quindi sull’individuazione di un paradigma idoneo a rispondere alle criticità emerse dall’analisi. A tal fine vengono esaminati i concetti di sviluppo sostenibile e di sostenibilità, arrivando a proporre un nuovo paradigma (la “sostenibilità ecosistemica”) che dia conto dell’impossibilità di una crescita infinita su un sistema caratterizzato da risorse limitate. Vengono poi presentate delle proposte per un modello di sviluppo sostenibile alternativo a quello dominante. Siffatta elaborazione teorica viene declinata in termini concreti mediante l’elaborazione di un caso-studio. A tal fine, viene innanzitutto analizzata la funzione della regolazione come strumento per garantire l’applicazione pratica del modello teorico. L’attenzione è concentrata sul caso-studio rappresentato dalla politica e regolazione dell’Unione Europea in materia di risparmio ed efficienza energetica. Dall’analisi emerge una progressiva commistione tra i due concetti di risparmio energetico ed efficienza energetica, per la quale vengono avanzate delle motivazioni e individuati dei rischi in termini di effetti rebound. Per rispondere alle incongruenze tra obiettivo proclamato dall’Unione Europea di riduzione dei consumi energetici e politica effettivamente perseguita, viene proposta una forma di “regolazione per la sostenibilità” in ambito abitativo residenziale che, promuovendo la condivisione dei servizi energetici, recuperi il significato proprio di risparmio energetico come riduzione del consumo mediante cambiamenti di comportamento, arricchendolo di una nuova connotazione come “bene relazionale” per la promozione del benessere relazionale ed individuale.

The Atlantic Rain Forest, an important biodiversity hot spot, has faced severe habitat loss since the last century which has resulted in a highly fragmented landscape with a large number of small forest patches (<100 ha). For conservation planning it is essential to understand how current and future forest regeneration depends on ecological processes, fragment size and the connection to the regional seed pool. We have investigated the following questions by applying the forest growth simulation model FORMIND to the situation of the Atlantic Forest in the state of Sao Paulo, SE Brazil: (1) which set of parameters describing the local regeneration and level of density regulation can reproduce the biomass distribution and stem density of an old growth forest in a reserve? (2) Which additional processes apart from those describing the dynamics of an old growth forest, drive forest succession of small isolated fragments? (3) Which role does external seed input play during succession? Therefore, more than 300 tree species have been classified into nine plant functional types (PFTs), which are characterized by maximum potential height and shade tolerance. We differentiate between two seed dispersal modes: (i) local dispersal, i.e. all seedlings originated from fertile trees within the simulated area and (ii) external seed rain. Local seed dispersal has been parameterized following the pattern oriented approach, using biomass estimates of old growth forest. We have found that moderate density regulation is essential to achieve coexistence for a broad range of regeneration parameters. Considering the expected uncertainty and variability in the regeneration processes it is important that the forest dynamics are robust to variations in the regeneration parameters. Furthermore, edge effects such as increased mortality at the border and external seed rain have been necessary to reproduce the patterns for small isolated fragments. Overall, simulated biomass is much lower in the fragments compared to the continuous forest, whereas shade tolerant species are affected most strongly by fragmentation. Our simulations can supplement empirical studies by extrapolating local knowledge on edge effects of fragments to larger temporal and spatial scales. In particular our results show the importance of external seed rain and therefore highlight the importance of structural connectivity between regenerating fragments and mature forest stands. Adiponectin serum concentrations are an important biomarker in cardiovascular epidemiology with heritability etimates of 30-70%. However, known genetic variants in the adiponectin gene locus (ADIPOQ) account for only 2%-8% of its variance. As transcription factors are thought to play an under-acknowledged role in carrying functional variants, we hypothesized that genetic polymorphisms in genes coding for the main transcription factors for the ADIPOQ promoter influence adiponectin levels. Single nucleotide polymorphisms (SNPs) at these genes were selected based on the haplotype block structure and previously published evidence to be associated with adiponectin levels. We performed association analyses of the 24 selected SNPs at forkhead box O1 (FOXO1), sterol-regulatory-element-binding transcription factor 1 (SREBF1), sirtuin 1 (SIRT1), peroxisome-proliferator-activated receptor gamma (PPARG) and transcription factor activating enhancer binding protein 2 beta (TFAP2B) gene loci with adiponectin levels in three different European cohorts: SAPHIR (n = 1742), KORA F3 (n = 1636) and CoLaus (n = 5355). In each study population, the association of SNPs with adiponectin levels on log-scale was tested using linear regression adjusted for age, sex and body mass index, applying both an additive and a recessive genetic model. A pooled effect size was obtained by meta-analysis assuming a fixed effects model. We applied a significance threshold of 0.0033 accounting for the multiple testing situation. A significant association was only found for variants within SREBF1 applying an additive genetic model (smallest p-value for rs1889018 on log(adiponectin) = 0.002, β on original scale = -0.217 µg/ml), explaining ∼0.4% of variation of adiponectin levels. Recessive genetic models or haplotype analyses of the FOXO1, SREBF1, SIRT1, TFAPB2B genes or sex-stratified analyses did not reveal additional information on the regulation of adiponectin levels. The role of genetic variations at the SREBF1 gene in regulating adiponectin needs further investigation by functional studies.
