El presente documento de carácter informativo recoge una serie de entrevistas, análisis y elementos teóricos encaminados al desarrollo de un estudio de caso sobre morbilidad empresarial. El propósito del estudio aquí planteado es analizar las estrategias gerenciales trazadas y ejecutadas por la dirección del Club Campestre de Bucaramanga S.A. ante la crisis que experimentó esta organización a finales de los años noventa, en el contexto de los malogrados acercamientos de paz entre el gobierno y las FARC que lo único que dejaron fue un ambiente de desconfianza e incertidumbre entre empresarios, trabajadores y público consumidor en general. El análisis de las estrategias aplicadas por el Club contribuirán a la compilación de una serie de lecciones empresariales que estarán enriquecidas por la experiencia de los dirigentes que colaboraron en la misión de sacar a la empresa de esa profunda crisis, y por los análisis de tipo cuantitativo y cualitativo que se hagan de los instrumentos aplicados (entrevistas, estadísticas, análisis financieros, etc.). La meta es consolidar una serie de pautas que tanto empresarios como profesionales de la administración o emprendedores puedan consultar para ejecutar acciones que los lleven a un alto desempeño empresarial y puedan evitar la morbilidad de sus empresas, o en caso extremo, sepan como rescatarlas de la quiebra. Finalmente se verá cómo esta empresa se enfrenta a la toma desesperada e imprudente de decisiones que le generarán un exorbitante desfalco financiero además del ya generado por la crisis, y a su vez como con una gestión empresarial inteligente y hábil, la empresa resurge rápidamente apegada a auxilios gubernamentales (Ley 550 de 1999) y a una serie de jugadas que determinaron su reflotamiento, a través de la creación y el mejoramiento de productos y servicios, su diferenciación, la creación de divisiones especializadas dentro de la compañía, la disminución de gastos, etc., para convertirse en los últimos años, en una de las empresas más representativas del oriente colombiano tanto por su reflotamiento financiero y administrativo como por su responsabilidad social para con sus socios y trabajadores, que se ve reflejada en la inauguración de su propia fundación con miras a erradicar el analfabetismo, por lo pronto, entre su personal.

Dentro de este estudio de caso se busca identificar las posibles causas por las cuales una empresa de alto prestigio y reconocimiento por los consumidores colombianos, como lo era Jeans and Jackets, luego de treinta (30) años de funcionamiento se vio en la necesidad de acogerse a la Ley de Reestructuración Económica (Ley 550 de 1999) con el fin de reestructurar sus pasivos en un momento de crisis global que fue impredecible para muchas compañías. Desde el principio, el “Core Business” de Jeans and Jackets era la venta de prendas sofisticadas y de alta calidad a los jóvenes, especialmente en la capital de la República, con el fin de convertirse en la marca líder de este segmento de la industria. Este estudio de caso pretende identificar cuáles fueron las decisiones estratégicas implementadas por parte de la alta gerencia de la compañía en el contexto mencionado anteriormente que llevaron a la empresa a una crisis de liquidez. La metodología utilizada para el desarrollo de este estudio de caso se basa en variables cualitativas que permitan realizar un análisis profundo y la indagación sobre el fenómeno de morbilidad empresarial; De la misma manera se utilizan variables cuantitativas para observar la situación de la empresa financieramente y el desempeño económico de la misma.

In the year 1999 approves the Law of Construction Building (LOE, in Spanish) to regulate a sector such as construction, which contained some shortcomings from the legal point of view. Currently, the LOE has been in force 12 years, changing the spanish world of the construction, due to influenced by internationalization. Within the LOE, there regulating the different actors involved in the construction building, as the Projects design, the Director of Construction, the developer, The builder, Director of execution of the construction (actor only in Spain, similar as construcion engineer and abroad in), control entities and the users, but lacks figure Project manager will assume the delegation of the promoter helping and you organize, direct and management the process. This figure assumes that the market and contracts are not legally regulated in Spain, then should define and establish its regulation in the LOE. (Spain Construction Law) The translation in spanish of the words "Project Manager is owed to Professor Rafael de Heredia in his book Integrated Project Management, as agent acting on behalf of the organization and promoter assuming control of the project, ie Integraded Project Management . Already exist in Spain, AEDIP (Spanish Association Integrated of Project Construction management) which comprises the major companies in “Project Management” in Spain, and MeDIP (Master in Integrated Construction Project) the largest and most advanced studies at the Polytechnic University of Madrid, in "Construction Project Management" they teach which is also in Argentina. The Integrated Project ("Project Management") applied to the construction process is a methodological technique that helps to organize, control and manage the resources of the promoters in the building process. When resources are limited (which is usually most situations) to manage them efficiently becomes very important. Well, we find that in this situation, the resources are not only limited, but it is limited, so a comprehensive control and monitoring of them becomes not only important if not crucial. The alternative of starting from scratch with a team that specializes in developing these follow directly intervening to ensure that scarce resources are used in the best possible way requires the use of a specific methodology (Manual DIP, Matrix Foreign EDR breakdown structure EDP Project, Risk Management and Control, Design Management, et ..), that is the methodology used by "Projects managers" to ensure that the initial objectives of the promoters or investors are met and all actors in process, from design to construction company have the mind aim of the project will do, trying to get their interests do not prevail over the interests of the project. Introduction. The present overview covers the period starting from 2000 until the end of 2005.1 This is the follow-up to our overview covering the 1995-1999 period.2 The first striking feature of the present contribution is that it has to deal with almost 3,5 times as many cases as the previous one. Hence, the ECJ has gone from deciding 40 cases in the five year period between 1995- 1999 to deciding over 140 cases based on Art 49 between 2000-2005. This confirms, beyond any doubt, the tendency already observed in our previous overview, that a “third generation” case law on services is being developed at a very rapid pace by the ECJ. This third generation case law is based on the idea that Article 49 EC is not limited to striking down discriminatory measures but extends to the elimination of all hindrances to the free provision of services. This idea was first expressed in the Tourist Guide cases, the Greek and Dutch TV cases and most importantly in the Säger case.3 It has been confirmed ever since. As was to be expected, this broad brush approach of the Court’s has led to an ever-increasing amount of litigation reaching Luxemburg. It is clear that, if indicators were used to weight the importance of the Court’s case law during the relevant period, services would score much higher than goods, both from a quantitative and from a qualitative perspective.4 Hence, contrary to the previous overview, this one cannot deal in detail with any of the judgments delivered during the reference period. The aim of the present contribution is restricted to presenting the basic trends of the Court’s case law in the field of services Therefore, the analysis follows a fundamentally horizontal approach, fleetingly considering the facts of individual cases, with a view to identifying the conceptual premises of the Court’s approach to the free movement of services. Nonetheless, the substantial solutions adopted by the Court in some key topics, such as concession contracts, healthcare services, posted workers and gambling, are also presented as case studies. In this regard, the analysis is organized in four sections. First we explore the (ever expanding) scope of the freedom to provide services (Section 2), then we go on to identify the nature of the violations and of justifications thereto (Section 3), before carrying out some case studies to concretely illustrate the above (Section 4). Then, for the sake of completeness, we try to deduce the general principles running through the totality of the relevant case law (Section 5). Inevitably, some concluding remarks follow (Section 6).5

This book examines the principles and practice of real estate mortgages in an easily accessible text referenced to all the Australian States. It specifically deals with the major theoretical and practical aspects of the land mortgage including vitiating factors in formation, mortgagees powers and duties and mortgagors’ rights both statutory and other, assignment, insurance and discharge. As a successor to Mortgages Law in Australia, this book adopts an exclusive focus on real estate mortgages in Australia and provides a thorough account of the law through analysis of the plethora of court decisions and statutory provisions in this area. Duncan and Dixon analyse the substance of the mortgage transaction from creation through to rights of enforcement. This analysis includes detailed consideration of the rights and obligations of both mortgagors and mortgagees covering topics such as priorities and tacking, insurance, variation and assignment, rights of discharge, entry into possession, foreclosure and power of sale. This article examines, from both within and outside the context of compulsory third party motor vehicle insurance, the different academic and judicial perspectives regarding the relevance of insurance to the imposition of negligence liability via the formulation of legal principle. In particular, the utility of insurance in setting the standard of care held owing by a learner driver to an instructor in Imbree v McNeilly is analysed and the implications of this High Court decision, in light of current jurisprudential argument and for other principles of negligence liability, namely claimant vulnerability, are considered. It concludes that ultimately one’s stance as to the relevance, or otherwise, of insurance to the development of the common law of negligence will be predominately influenced by normative views of torts’ function as an instrument of corrective or distributive justice.
