The benefits of diversification from international real estate securities are generally well established. However, the drivers of international real estate securities returns are insufficiently understood. We jointly examine the empirical implications of three major international asset pricing models that account for broad macroeconomic risk factors. In addition, we develop the hypothesis that an indicator of mispriced credit is significant in explaining the time series variation in international real estate securities returns. We employ the returns generated by a large sample of firms from 20 countries over the period 1999 to 2011 to test our hypothesis. We find support for the predictions of the major international asset pricing models. We also find evidence in favour of our hypothesised link between local credit conditions and the performance of international real estate securities.

Con los comportamientos del mercado financiero, las comisionistas de bolsa deben tener un modelo de valoración ajustado a la evolución del riesgo crediticio para las inversiones en títulos valores no tradicionales y de esta manera cumplir con los requerimientos emitidos por la Superintendencia Financiera de Colombia. En particular, se diseña el modelo sugerido por el regulador para la comisionista Global Securities de la ciudad de Medellín, para la cartera colectiva Credit Opportunities Fund - Compartimiento Facturas. El estudio de tipo descriptivo, analiza y diseña a partir del método CreditMetrics desarrollado por J.P Morgan, una valoración completa de la cartera teniendo en cuenta las pérdidas y ganancias por modificaciones de calidad crediticia.

This paper explores ethnic and religious minority youth perspectives of security and nationalism in Scotland during the independence campaign in 2014. We discuss how young people co-construct narratives of Scottish nationalism alongside minority ethnic and faith identities in order to feel secure. By critically combining literatures from feminist geopolitics, international relations (IR) and children’s emotional geographies, we employ the concept of ‘ontological security’. The paper departs from state-centric approaches to security to explore the relational entanglements between geopolitical discourses and the ontological security of young people living through a moment of political change. We examine how everyday encounters with difference can reflect broader geopolitical narratives of security and insecurity, which subsequently trouble notions of ‘multicultural nationalism’ in Scotland and demonstrate ways that youth ‘securitize the self’ (Kinnvall, 2004). The paper responds to calls for empirical analyses of youth perspectives on nationalism and security (Benwell, 2016) and on the nexus between security and emotional subjectivity in critical geopolitics (Pain, 2009; Shaw et al., 2014). Funded by the Arts and Humanities Research Council (AHRC), this paper draws on focus group and interview data from 382 ethnic and religious minority young people in Scotland collected over the 12-month period of the campaign. Banks are often excluded in corporate finance research mainly because of the regulatory concerns. Compares to non-bank firms, banks are heavily regulated due to its special economic role of money and the uncertainty. Heavy regulation on banks could reduce the information asymmetry between the managers and investor by limiting the behaviour of banks at the time of the Seasoned Equity Offering (SEO), and by increasing the incentive for banks to avoid excessive risk-taking. Therefore, the market may be less likely to assume that bank issued securities signal information that the bank is overvalued compared to their non-bank counterparts. The objective of this thesis is therefore to examine commercial banks issued securities announcement effect. Three interrelated research questions are addressed in this thesis: 1) What is the difference in convertible bond announcement effect between banks and non-banks firm? 2) What is the difference in SEO announcement effect between banks and non-banks? 3) How do the stringency levels of bank regulation impact on the announcement effects of bank issued SEO? By using the U.S. convertible bond and SEO data from 1982 to 2012, I find that the bank issued a convertible bond and SEO announcement experience higher cumulative abnormal return than non-bank. This is consistent with the view that bank regulation reveals positive information about banks. Since banks are heavily regulated, the market is less likely to assume that the issuance of the convertible bond and SEO by banks signals information that is overvalued. These results are robust after controlling for a number of firm-, issue-, and market-specific characteristics. These results are robust by considering the different categories of non-bank industries by undertaking tests in relation to the differences in the CARS upon convertible bond/ SEO across industries, as well as the unbalanced sample between banks and non-banks by using the matched sample analysis. However, the relation between the stringency level of bank regulation and bank issued securities announcement effect may be nonlinear. As hypothesised, I find that bank regulation has an inverted U-shaped relation with the announcement effect of bank SEO by using the SEO data across 21 countries from 2001 to 2012. Under a less bank regulation environment, the market reacts more positively to the bank SEO announcement for an increase in the level of bank regulation. However, the bank SEO announcement effects become more negative if the bank regulation becomes too stringent. This inverted U-shaped relationship is robust after I use the exogenous cross-country, cross-year variation in the timing of the Basel II adoption as the instrument to assess the causal impact of bank regulation on SEO announcement effects. However, the stringency of regulation does not have a significant impact on the announcement effects of involuntary bank equity issuance.

Distributed argumentation technology is a computational approach incorporating argumentation reasoning mechanisms within multi-agent systems. For the formal foundations of distributed argumentation technology, in this thesis we conduct a principle-based analysis of structured argumentation as well as abstract multi-agent and abstract bipolar argumentation. The results of the principle-based approach of these theories provide an overview and guideline for further applications of the theories. Moreover, in this thesis we explore distributed argumentation technology using distributed ledgers. We envision an Intelligent Human-input-based Blockchain Oracle (IHiBO), an artificial intelligence tool for storing argumentation reasoning. We propose a decentralized and secure architecture for conducting decision-making, addressing key concerns of trust, transparency, and immutability. We model fund management with agent argumentation in IHiBO and analyze its compliance with European fund management legal frameworks. We illustrate how bipolar argumentation balances pros and cons in legal reasoning in a legal divorce case, and how the strength of arguments in natural language can be represented in structured arguments. Finally, we discuss how distributed argumentation technology can be used to advance risk management, regulatory compliance of distributed ledgers for financial securities, and dialogue techniques.

To attend and obtain the systems and. internal controls mechanisms proposed by Sarbanes-Oxley certifications is actually a big challenge,for most of the multinational companies registered in SEC (US Securities and Exchange Commission). This work has the objective of contributing to the analysis of this methodology, not only to attend the law but to reduce cost and generate value through the strengthen of the internal control systems, turning them into animating value generation process mechanisms. So, the idea is to identify the main gaps in the theory through the literature revision and a case study in order to put a question to the main deficiencies, strong points or contributions through the evaluation of the noticed practices. Finally, we can say that a a result of the research and the analyses made in. this case, the vast majority of executives and other employees recognize the benefit that Sarbanes-Oxley Act has brought to the company searched. Also recognize that, although there is still necessity for systemic adequacy and infrastructure, it helps and reinforce reducing and controlling the risks. the system of internal controls in all areas of expertise. They approach and understand that there is the need for a change in the other employees` culture to be inserted in the day-today routine as internal controls, attention to Sarbanes-Oxley and Corporate Governance, making the control cost smaller when compared to the benefits generated.

Authorised trustee status is a legal concept which has economic implications; one of the major implications is that it assists in the direction of investment funds into particular securities and areas of the economy. The concept of authorised trustee status, while attempting to achieve specific outcomes for the beneficiaries of trusts cannot be relied upon to secure these results. Economic analysis of the role of the trustee maintains that this role is one of portfolio manager; a role which is complex but which is explicable in terms of definable procedures and practices. The role of trustee as portfolio manager is one which requires greater financial knowledge than can be assumed is possessed by all trustees. The trustee as portfolio manager is required to maintain a review of decisions make under powers to invest trust assets. A solution to the problem of authorised trustee status is proposed. The solution takes two parts: the first is the adoption of the prudent person approach but with the codification of duties of the trustee and the explicit listing of the factors that a trustee should consider in using the investment powers. The second part of the proposed solution is to link the investment powers of trustees to the best practice features of securities advisers who are now licensed by a regulatory body, the Australian Securities and Investment Commission.

Esta dissertação foi desenvolvida com o objetivo de investigar os efeitos da instalação e das características do Conselho Fiscal e do Comitê de Auditoria sobre a qualidade das informações contábeis no Brasil. As características estudadas foram à independência e a qualificação dos membros. As proxies da qualidade da informação contábil foram relevância, tempestividade e conservadorismo condicional. A amostra utilizada foi composta por empresas brasileiras, listadas na Bolsa de Valores, Mercadorias e Futuros de São Paulo (BM&FBovespa), com liquidez anual superior a 0,001, no período de 2010 a 2013. Os dados foram coletados na base de dados Comdinheiro e nos Formulários de Referência das empresas, disponíveis no sítio eletrônico da Comissão de Valores Mobiliários (CVM) ou BM&FBovespa. Os modelos de qualidade da informação foram adaptados ao recorte metodológico e estimados pelo método dos mínimos quadrados ordinários (MQO), com erros-padrão robustos clusterizados por firma. Os resultados revelaram efeitos da instalação dos órgãos analisados sobre as proxies de qualidade da informação contábil. A instalação do Conselho Fiscal impactou positivamente a relevância do patrimônio líquido, enquanto a instalação do Comitê de Auditoria, a relevância do lucro. Esses resultados podem indicar diferenças no direcionamento da atenção desses órgãos: em proteger o patrimônio da entidade para os acionistas (Conselho Fiscal) ou em assegurar números mais confiáveis sobre o desempenho dos administradores (Comitê de Auditoria). Paralelamente, os resultados para a instalação do Conselho Fiscal de forma permanente inferiu força desse órgão como mecanismo de controle, ao invés da instalação somente a pedido dos acionistas. Já, a implementação do Conselho Fiscal Turbinado se mostrou ineficiente no controle da qualidade das informações contábeis. Na análise das características, a independência dos membros do Comitê de Auditoria impactou a relevância do lucro. Ao passo que a independência do Conselho Fiscal impactou a relevância do patrimônio líquido e o conservadorismo condicional (reconhecimento oportuno de perdas econômicas). Essas associações foram mais significantes quando os membros do Conselho Fiscal eram independentes dos acionistas controladores. Na análise da qualificação dos membros, foram encontradas evidências positivas na relação entre a relevância do patrimônio líquido e a maior proporção de membros do Conselho Fiscal com qualificação em Business (Contabilidade, Administração e Economia). O conservadorismo condicional foi maior na medida em que a qualificação dos membros do Conselho Fiscal convergia para a Contabilidade. Os resultados da qualificação dos membros do Comitê de Auditoria demonstraram relevância do lucro na presença de, ao menos, um Contador e na maior proporção de membros com qualificação tanto em Contabilidade como em Business; sendo mais significante conforme a qualificação dos membros do Comitê de Auditoria convergia para a Contabilidade.
