We study the effect of bank loans on Chinese publicly listed firms' investment decisions based on the underinvestment and overinvestment theories of leverage. Evidence from China is of particular importance because China is the world's largest emerging and transitional economy. At first we show that there is a negative relationship between bank loan ratios and investment for Chinese publicly listed firms. And this negative relationship is much stronger for firms with low growth than firms with high growth. Secondly, we find that both short-term and long-term loan ratios are negatively correlated with investment. However, the higher the long-term loan ratios are, the weaker the negative relationship between long-term loan ratios and investment is. Thirdly, firm ownership only matters to the effect of short-term bank loans on investment in our sample. That is, the negative relationship between short-term loan ratios and investment is weaker for SOEs than for non-SOEs. Lastly, we show that the reform of China's banking system in 2003 has not strengthened the negative relationship between bank loans and investment. Our findings suggest that although Chinese state-owned banks are severely intervened by government policies, they still have a disciplining role on firms' investment, especially in firms with low growth.

In a world where the companies are trying to compete on a global scale, the positioning strategies direct them to go beyond the geographical boundaries of their base countries, seeking for other markets, as a way to keep globally competitive. These conditions make crucial the roles performed by their managers, exposed to different contexts, mainly economical, political, social and cultural and to face the task to manage enterprises like a challenge, probably bigger than the one found on their base countries. This speech tries to examine how much expatriated Brazilian managers feel the influence of local cultural factors in their decisional processes, taking into consideration that they are embedded in their cultural home countries, and they can suffer an impact by the culture of other countries. With this research it is intended to gather empirical material that will supply clues and allow to advance on studies that will make a relationship between decisional process and local culture, through a case study in a Brazilian state-owned energy company and its subsidiaries in South American countries, hoping that the mentioned studies will somehow contribute to a better understanding of the problems that have been stressed in the last decades. Also considering that the vast majority of the theoretical and empirical material about this matter has its own source on the western developed countries and are, in this way, culture-bounded, we hope to increase the production of studies and researches applied to the Latin American reality, mainly the Brazilian one.

This academic work describes the interfirm technological learning processes behavior at a thermo plant throughout the years 2001 till 2007. Its former ownership structure was composed by two foreigners companies. This structure was changed by the acquisition of the company control by a Brazilian state owned company on April 2006. The company is a Natural Gas Fired Power Plant placed at Macaé City, at Rio de Janeiro State, Brazil generating electric power right to National Integrated System (SIN). The goal of this research is verify how the technological knowledge had been acquired by the firm and how it had been spread out throughout the organization before and after the change of the ownership structure. The taxonomy applied to determining of ownership structure take in account three parameters: type, specific characteristic and the ownership structure itself. Technological Learning Interfirm Processes have been examined from a model of systemic approach that establishes four key characteristics: ¿variety, intensity, functioning and interaction¿. During 2001 until 2006, till the change of owner structure, the firm developed its own learning processes in its own operational routines. The main learning processes have been identified from empirical evidences. It has been adopted the cut line at year of 2006 for the comparison among the technological learning processes behavior, when the change of ownership structure took place. The data capture occurred within April and August 2007 covering since 2001. Verified the behavior of these learning processes before and after the ownership structure changed from private property to state owned property. The conclusion of this case study suggests that interfirm processes of technological learning identified by the research had their dynamical behavior promptly affected by a change from private to ownerstate ownership structure, exposing the company to a poor performance in its industry, due to the lack of 51% of the technological intrafirm learning processes and reduction of the acquisition of new technical knowledge and its conversion throughout the organization.

Esta dissertação é um estudo de caso exploratório sobre a atuação do Departamento de Coordenação e Governança das Empresas Estatais (DEST), vinculado à Secretaria-Executiva do Ministério do Planejamento, Orçamento e Gestão, na análise e na aprovação das propostas de participação nos lucros ou resultados (PLR) dos empregados das empresas estatais em que a União é acionista majoritária. Quatro empresas estatais que apresentaram propostas de PLR para o exercício de 2008 foram selecionadas qualitativamente. As informações coletadas a partir das propostas das empresas, de documentos oficiais do DEST se manifestando sobre o assunto, do marco legal existente e das entrevistas com representantes do órgão foram analisadas criticamente com base na teoria da agência, da literatura sobre mensuração de desempenho no setor público, das reformas administrativas no Brasil e dos pressupostos do novo institucionalismo. Com isso, foi possível: (i) analisar o DEST e o marco legal da PLR enquanto as instituições intermediando o processo entre as propostas e as aprovações; (ii) caracterizar as preferências do DEST em relação aos programas de PLR; (iii) caracterizar as propostas de PLR das empresas estatais; (iv) caracterizar os resultados que as instituições em consideração estão produzindo; (v) analisar os fatores limitantes e/ou facilitadores para o funcionamento das instituições; e (vi) levantar as percepções de ex- e atuais envolvidos no processo de análise e aprovação das propostas no DEST acerca da PLR nas empresas estatais enquanto instrumento de incentivo à produtividade. Como resultado, verificou-se (i) que as aprovações do DEST refletem apenas parcialmente as preferências do órgão com relação ao formato dos programas e (ii) que a atuação do DEST varia de intensidade entre os eixos que compõem os programas (seleção de indicadores, estabelecimento de metas, definição do montante e forma de sua distribuição).

Este estudo buscou analisar o efeito das conexões políticas das empresas no nível do Conselho de Administração sobre o desempenho, após o processo de aquisição. Estudos anteriores já identificaram esta relação apontando efeitos, de positivos a neutros das conexões políticas sobre o desempenho, além de influenciar a frequência e o tamanho das operações (BROCKMAN; RUI; ZOU, 2013; LIU; WANG; ZHANG, 2013). Esta pesquisa estende tais análises aplicando o modelo para as empresas brasileiras além de incluir informações sobre o tipo de conexão política para avaliar diferentes impactos. Este estudo foi conduzido dentro do âmbito das empresas compradoras listadas na BM&Bovespa entre os anos de 1999 e 2014, utilizando modelos econométricos de Propensity Score Matching e dados em painel. Partindo da análise de currículos dos conselheiros, foram codificados os diferentes tipos de conexão, como instituições financeiras públicas e de desenvolvimento e agências reguladoras além das formas tradicionais de conexões políticas (FACCIO, 2006). Com base nos resultados foi encontrada uma associação entre as conexões com agências reguladoras e o desempenho pós-aquisição das empresas adquirentes, bem como indícios de uma relação entre os efeitos das conexões com bancos públicos e de desenvolvimento. The Oil industry in Brazil has gone through several stages during the economical, political and social historical process. However, the significative changes have happened in the last fifteen years, due to market opening arising from the relaxation of the state monopoly over the Oil deposits and its derivatives. The edition of the Constitutional Amendment #9, changing the first paragraph of the 177th item of the Federal Constitution, marked the end of a stiffness about the monopoly that the Brazilian state kept in relation to the exploration and research of Oil and Gas. The economical order was fundamental to actualize the idea contained in the #9 Amendment, since its contents has the power to set up measures to be adopted by public power in order to organize the economical relations from a social viewpoint. The new brazilian Oil scenery, called pre-salt, presents itself in a way to amaze the economical markets, in addition to creating a new perspective to the social sector. This work will identify, in this new scenario, the need for change in the legal system. Nevertheless, this subject must not be treated in a thoughtless way: being an exhaustible good, we shall not forget that the future generations also must benefit from the exploration of natural resources recently discovered. The settlement of a new regulatory mark, including the change in the concession contract model to production and sharing is one of the suggested solutions as a bill in the National Congress, in an attempt to ensure the sovereignty of the nation. The constitutionality of a new regulatory mark is questioned, starting from an analysis of the state monopoly, grounding the comprehnsions in the brazilian constitutions, the relevance of the creation of Petrobras for self-assertion of the state about the monopoly of Oil and derivatives, and its posture after the Constitutional Amendment nº 9 (1995), when a company stops having control of the state monopoly, beginning to compete in a fairly way with other companies. The market opening and private initiative are emphasized from the viewpoint of the Constitutional Principles of the Economical and Social Order. The relaxation of the monopoly regarding the exploratory activity in the Federal Constitution doesn't deprive from the Union the ownerships of underground goods, enabling to this federal entity to contract, directly or by concession of exploration of goods, to state-owned or private companies. The existing oil in the pre-salt layer transforms the scenario from very high risk to low risk, which gives the Union the possibility of defining another way of exploring this resources in the best interests of the Public Administration

Every port is unique. Although all ports exist for the same basic purpose (to act as an interface in the transfer from one mode of transport to another), no two are ever organized in the same way.Ports may be classified according to: Physical conditions: location (geographical position, man-made or natural harbour, estuary location, difficult weather conditions, tides, etc.) and size (large, small or medium-sized). Use: commercial (general cargo, bulk solids, bulk liquids, oil, break bulk, mixed), passenger, sport and leisure, fishing, mixed, etc. Ownership: private, municipal, regional or State-owned. The Port Authority's role in management of the port: Overall control, i.e. the Port Authority plans, sets up and operates the whole range of services. Facilitator, i.e. the Port Authority plans and sets up the infrastructure and the superstructure, but services are provided by private companies. Landlord, i.e. the Port Authority allows private companies to be responsible for the superstructure and provide port services. Different combinations of port types will therefore give rise to different kinds of organization and different information flows, which means that the associated information systems may differ significantly from port to port. Since this paper relates to the port of Barcelona, with its own specific characteristics, the contents may not always be applicable to other ports.

This research is based on a unique and extensive database which tracks the employment, payroll and sales of individual Polish firms for the period 1990 to 1995. This allowed the authors to calculate the birth, survival and growth rates for different categories of enterprises (state-owned, cooperative, private, foreign-owned and privatised after 1990) and regions. These data match data collected in the United States, making it possible to compare the Polish situation with that of the state of Michigan. Analysis of the data and lessons from the Poland-Michigan comparisons provide a solid basis for the formulation of new policy recommendations for Poland. Allowing for certain important differences, Poland would still seem to need a higher rate of births of new companies. New small private companies and companies with foreign capital can be seen as the main source of job creation and economic revitalisation. To strengthen positive trends in the economy, Poland should create a model of institutional support for both potential entrepreneurs and foreign investors.

The Role of the State in Investor-State Arbitration is a collection of contributions from lawyers, arbitrators and political scientists on the development of the concept of the “State” in a field that currently presents an increasing number of controversial disputes: Investor-State Arbitration. The book analyzes the limits of the host State as a regulator, studying issues such as attribution and the role of State-Owned Enterprises and sub-State entities; the changing role of the home State in Investor-State disputes, including its direct participation in Investor-State arbitration and State to State dispute settlement; and the overall role that both home and host States can play in the improvement of Investor-State Dispute Settlement.

Small and medium enterprises (SMEs) engaged in sugar processing in Myanmar appeared in the last decade of the socialist era. An acute sugar deficit, restricted trade in white sugar, and high demand from the conventional dairy business led to the growth of sugar SMEs by appropriate blending of semi-finished products (syrup) in the fields, which were then processed in vacuum pans and centrifugals to obtain white sugar. This became a tradable commodity and sugar SMEs grew in clusters in big cities. They are family-owned businesses. However, they lack the bagasse-based power generation. In recent years, large modern sugar factories operated by private and military companies have emerged as key players. The current shortage of fuel feedstock and competition for raw materials have become driving forces that shift sugar SMEs from market-oriented to raw material-oriented locations. Internal competition among key players made sugar price highly volatile, too. Being placed on a level playing field, the whole industry should be upgraded in terms of price and quality to become export-oriented.

A pesquisa teve como objetivo geral analisar as principais razões pelas quais as empresas públicas paulistas utilizam coaching e mentoring como práticas de compartilhamento de conhecimento. No ano de 2009, foi instituído pelo governador do Estado de São Paulo, o decreto nº 53.963 que instituiu a Política de Gestão do Conhecimento e Inovação para as empresas públicas. Kuniyoshi e Santos (2007) realizaram uma pesquisa, na qual identificaram práticas e iniciativas de gestão do conhecimento adotadas por algumas empresas, dentre elas, coaching e mentoring. As práticas são processos que necessitam de investimento não somente financeiro, mas de tempo e pessoas adequadas, por serem processos mais complexos, instigam a investigação de ações no contexto organizacional de empresas públicas. Este estudo busca contribuir para o desenvolvimento de estudos na área pública. O método utilizado neste estudo de abordagem qualitativa é do tipo exploratória. O objeto desta pesquisa foram as empresas públicas paulistas, que, atualmente, somam 21. Foi realizado estudo de caso, com entrevista e análise documental em duas destas empresas, A Sabesp, empresa do segmento de saneamento de água e esgoto, teve como objetivo analisar a prática de coaching e, o Instituto de Pesquisa Tecnológicas (IPT), referência nacional em metrologia, teve como objetivo analisar a prática de mentoring. Uma vez que não existem práticas exclusivas à Gestão do Conhecimento, e o sucesso de uma prática está relacionado ao contexto na qual está inserida. No caso da Sabesp, a prática de coaching é utilizada como uma das atividades dentro de dois programas, visando desenvolver o capital humano como força competitiva. O IPT teve como objetivo da aplicação do programa de mentoring, especificamente, o compartilhar conhecimento tácito. Foi constatado que as práticas de coaching e mentoring podem ser utilizadas como recurso capaz de tornar a empresa singular perante as demais, mesmo empresas públicas não tendo foco em competitividade, mas utilizam o conhecimento de forma estratégica para melhorar a qualidade de atendimento à sociedade.

Com as transformações ocorridas nas últimas décadas do século XX, notadamente a expansão financeira pela qual passou o capitalismo, o enfraquecimento fiscal dos Estados nacionais e o questionamento aos sistemas de previdência pública por repartição, ganham importância em todo o mundo os fundos de pensão. Estes fundos, ao lado de outros investidores institucionais, como seguradoras e fundos de investimentos, passam a cumprir papel central no mercado acionário e também no mercado de títulos públicos e privados. Com o objetivo de realizar lucros para pagar benefícios de aposentadoria para os seus participantes, os fundos de pensão arrecadam e concentram poupança privada pulverizada, transformando-a em um ativo poderoso. No Brasil, as Entidades Fechadas de Previdência Complementar nomenclatura jurídica dos fundos de pensão possuem um total de 702 bilhões de reais em ativos, que se concentram nas três maiores entidades do país: Previ, Petros e Funcef. Em comum, estes três fundos têm o fato de serem patrocinados por empresas estatais, o que, pela legislação vigente, dá ao Poder Executivo a competência de indicar metade de seus dirigentes, incluindo o seu presidente que possui voto de desempate. O presente trabalho pesquisou o papel que estas três EFPCs cumprem enquanto instrumento de atuação do Estado no domínio econômico, especialmente para o provimento de fundos para o desenvolvimento. Para isso, primeiramente, o estudo explora o movimento de expansão financeira do capitalismo e a crise no padrão de desenvolvimento brasileiro. Depois, investiga de maneira sistemática o arcabouço jurídico que regula os fundos de pensão; e, por fim, analisa a alocação dos seus investimentos e o perfil dos seus dirigentes.
