This chapter outlines the most important ways in which intellectual property is protected in Australia, and also the factors which affect the rights of joint venture participants in the absence of specific agreement between such participants. It then examines particular issues which may be considered in preparing appropriate documentation for any joint venture which involves the utilisation or generation of intellectual property to ensure that the joint venture participants achieve their desired result in terms of the allocation of ownership and control of such rights. The analysis includes and explanation of the special considerations which affect co-operation in research between industry and a university or government research institution. Finally, the rights of the joint venturers to intellectual property upon termination of the joint ventures are considered.

This article examines two instances of media policy involving satellite transmission and Indigenous television: the introduction of the Viewer Access Satellite Television (VAST) platform in 2010 and the introduction of AUSSAT in the mid-1980s. The government’s failure to provide community and Indigenous broadcasters with an access regime at the time of AUSSAT resulted in Australia’s first and only Indigenous commercial television licensee, Imparja. Over a quarter of a century later, Imparja now forms part of the joint-venture company that runs VAST, a key component of Australia’s digital switchover planning. During the passage of the legislative amendments required to establish VAST, the issue of access resurfaced – this time in relation to Australia’s national and community Indigenous television channels. The article recounts the events leading up to the 2010 Bill, and examines the intended and unintended consequences of satellite policy in relation to Indigenous media, including equalisation and transparency of government funding programs.

Construction projects are a high risk business activity. When undertaking projects in an international context, it is further complicated by the risk of fluctuations in the foreign exchange rates (FOREX). Construction business performance is affected by these fluctuations. They affect progress and cause delays, which in turn create problems for subcontractors, namely cost overruns, disputes, arbitration, total abandonment and litigation. FOREX fluctuations also cause the price of raw materials to increase, leading the cost overruns. Managing FOREX risk is critical and past research have focused on the need for adequate insurance, careful planning and management, and foreign exchange futures hedging to overcome issues that have been caused by the FOREX risk. Analysis of FOREX risk in international construction business usually focused only on issues at the project level. There is currently lack of understanding of Organisational Capabilities (OC) to manage the impacts of FOREX risk, which when examined, are seen in isolation. This paper attempts to bridge the gap by discussing the impacts of FOREX fluctuations on the international construction business. The focus is on the OC perspective and the need to develop OC framework to mitigate the risk in sustaining construction business performance.

Joint ventures are formed and dissolved regularly in the mining industry. What impact do such changes have on the viability of mineral exploration projects? The Australian Centre for Entrepreneurship Research (ACE) has taken 9 years' worth of data (2002-2011) on 1,025 joint ventures in the Australasian mining industry and studied trends in fomentation, dissolution, and reconfiguration and how they impact project outcomes. This research is generously sponsored by the Queensland Exploration Council (QEC) and the Australian Research Council (ARC).

This article considers whether the granting of patents in respect of biomedical genetic research should be conditional upon the informed consent of research participants. It focuses upon several case studies. In Moore v the Regents of the University Of California, a patient sued his physician for breach of fiduciary duty and lack of informed consent, because the doctor had obtained a patent on the patient's cell line, without the patient's authorisation. In Greenberg v Miami Children's Hospital, the research participants, the Greenbergs, the National Tay Sachs and Allied Diseases Association, and Dor Yeshorim brought a legal action against the geneticist Reubon Matalon and the Miami Children's Hospital over a patent obtained on a gene related to the Canavan disease and accompany genetic diagnostic test. PXE International entered into a joint venture with Charles Boyd and the University of Hawaii, and obtained a patent together for ‘methods for diagnosing Pseudoxanthoma elasticum’. In light of such case studies, it is contended that there is a need to reform patent law, so as to recognise the bioethical principles of informed consent and benefit-sharing. The 2005 UNESCO Declaration on Bioethics and Human Rights provides a model for future case law and policy-making.

Growers working together have proven to be a successful method for improving the utilization of farm resources and accelerating the adoption of the Sugar Yield Decline Joint Venture principles (SYDJV). The Pinnacle Precision Farming Group was formed in 2004 with the aim to bring together the ideas, knowledge and resources of growers in the Herbert region. Along with their common interest in controlled traffic, minimal tillage and crop rotations, the grower group utilize a farm machinery contractor to provide some of their major farming operations. This paper provides an insight into the changes made by the Pinnacle Precision Farming Group and their journey to adopt the new farming system practices. This paper also details the changes made by the group machinery contractor and a comparison of the old and new farming systems used by a group member. A focus point of the document is the impact of the new farming system on the economic, social and environmental components of the farming business. Analysis of the new farming system with a legume crop rotation revealed an increase in the farm gross margin by AU$22 024 and, in addition, a reduction in tractor operation time by 38% across the whole farm. This represents a return on marginal capital of 14.68 times the original capital outlay required by the group member. Using the new farming system without a legume crop will still improve the group members whole of farm gross margin by AU$6 839 and reduce tractor operation time by 43% across the whole farm. The Pinnacle Precision Farming group recognize the need to continually improve their farming businesses and believe that the new farming system principles are critical for the long term viability of the industry. This thesis has investigated the risk preferences of the Chinese company managers in kinds of simulated decision situations and their perceptions of risk concerning types of business decisions. Four studies are conducted: Study I is utility analysis. 214 company managers and 46 middle - school headmasters have responded to Utility Measurement Survey. The results indicate: (1) The risk preferences of the managers vary in the different decision situations. In most of the situations, most of the managers are risk aversion; In few situations, they are risk-seeking. (2) In some of the decision situations, there are significant differences on risk preference between business managers and school headmasters, male managers and female managers, senior managers and junior managers, managers with high qualifications and managers with low qualifications, non-state-owned firms' managers and state-owned firms' managers, medium-small sized firms' managers and large-sized firms' managers. In the other situations there aren't significant differences between them. (3) In all of the decision situations, so significant differences on risk preference are found among managers with different marriage, experience, age and education. Study II is risky decision simulation. The Risky Decision Situations Simulation Survey is administered to 82 company managers. The result indicates that firm culture, business condition, survival limit and risk preference of the superior influence the managers' risk decision-making behavior. Study III is perceptions of business decision risks. 68 company managers have filled in Decision Cases Risk Perception Inventory. The results indicate: (1) Inaccurate market analysis and prediction, instable politics and the changes of economic policy are the more risky elements to strategy decision. (2) Erroneous market analysis and prediction, appearance of new technology and the changes of market demands are the more risky elements to investment decision. (3) Poor quality control, backward technology and too large stocks are the more risky elements to production decision. (4) Shortage of development fund, wrong choice in development project and limitation of the development ability are the more risky elements to new production development decision. (5) No payment of the foreign partner's capital, the changes of national relevant policy, difficulty in marketing, too high selling prices of foreign partner's equipments are the more risky elements to joint-venture decision. (6) Unfamilarity with oneself and misjudgement in qualification of oneself are the more risky elements to personnel decision. (7) Bad market of the product, defects in product quality and the changes of consumers demands are the more risky elements to marketing decision. (8) Wrong strategy and ambiguous goals are the more risky elements to public relation decision. (9) Violation of the law, ambiguous goals and poor creation are the more risky elements to advertisement decision. (10) Deterioration of diplomatic relations, unsuitable products for foreign consumers and unfamilarity with foreign market are the more risky elements to international business decision. Study IV is structured interview. 5 company managers have answered all questions of the Interview Questionnaire. The results indicate: (1) The managers think that risks are the possible unfavourable consequences of decisions; (2) The self-ratings of the managers coordinate with the results of utility measurement; (3) The managers admit that risks always accompany bussiness decision; (4) Individual difference is found among managers on risk perception. This thesis has also pointed out the important implications of the research and discussed several further questions.

Transparency in nonprofit sector and foundations, as an element to enhance the confidence of stakeholders in the organization, is a fact shown by several studies in recent decades. Transparency can be considered in various fields and through different channels. In our study we focused on the analysis of the organizational and economic transparency of foundations, shown through the voluntary information on their Website. We review the theoretical previous studies published to put to the foundations within the framework of the social economy. This theoretical framework has focused on accountability that make foundations in relation to its social function and its management, especially since the most recent focus of information transparency across the Website.In this theoretical framework was made an index to quantify the voluntary information which is shown on its website. This index has been developed ad hoc for this study and applied to a group of large corporate foundations.With the application of these data are obtained two kind of results, to a descriptive level and to a inferential level.We analyzed the statistical correlation between economic transparency and organizational transparency offered in the Website through quantified variables by a multiple linear regression. This empirical analysis allows us to draw conclusions about the level of transparency offered by these organizations in relation to their organizational and financial information, as well as explain the relation between them.

Construction on the Thorold tunnel began in 1965 and was completed in 1967. It was designed by H. G. Acres & Company Ltd. and built by Pitts-Atlas, a joint venture of C.A. Pitts, General Contractor Ltd., and Atlas Construction Company Ltd. The tunnel replaced two lift bridges (Bridge 9 at Ontario Paper Co. and Bridge 7) that carried traffic over the Welland Canal. The majority of the construction occurred during the winter months, when the canal was closed to shipping. The water was drained and concrete sections shaped liked tubes were poured, creating the tunnel. During the summer months, the end sections of the tunnel were constructed so that shipping could continue uninterrupted. The 24 million dollar project was financed jointly by the Department of Highways and the St. Lawrence Seaway Authority. The tunnel was officially opened on September 18, 1968.

Les arrêts sur l’affaire Beaudoin c. Université de Sherbrooke (Cour Supérieure et Cour d’Appel du Québec 2008-2010) ont porté sur l’intensité de l’obligation de consultation insérée dans l’accord de partenariat de recherche. Ce type de partenariat est souvent créé par un accord et peut prendre plusieurs formes. La plupart d’entre elles sont méconnues par le droit, c’est pourquoi la doctrine les considère comme étant des entreprises complexes puisque le choix des partenaires est souvent guidé par le souci d’échapper au formalisme qu’imposent les règles étatiques. Cependant, les pratiques connues dans le secteur d’activité des associés et les accords qui les lient sont souvent les seules règles qu’ils suivent. En cas de conflit, ils recourent généralement à un tiers expert pour régler leur litige, la saisine des tribunaux ne se faisant qu’exceptionnellement. Dans cette cause, les contractions entre les deux décisions ont soulevé quelques interrogations : d’une part, sur la capacité des tribunaux à trancher des conflits qui peuvent naître au cours de l’exécution de ce type de contrat, et d’autre part sur la compatibilité des règles matérielles applicables au fond par les juges lorsque les parties ne sont liées que par la lex contractus et les usages reconnus dans leur secteur d’activité. Cette étude tente donc d’identifier la forme de partenariat en cause afin de mesurer l’étendue de la compétence ratione materiae du juge dans la résolution des conflits nés d’un contrat complexe (PARTIE I), et d’examiner l’opportunité de recourir aux modes alternatifs de résolution des litiges (PARTIE II).

Globalization and liberalization, with the entry of many prominent foreign manufacturers, changed the automobile scenario in India, since early 1990’s. World Leaders in automobile manufacturing such as Ford, General Motors, Honda, Toyota, Suzuki, Hyundai, Renault, Mitsubishi, Benz, BMW, Volkswagen and Nissan set up their manufacturing units in India in joint venture with their Indian counterpart companies, by making use of the Foreign Direct Investment policy of the Government of India, These manufacturers started capturing the hearts of Indian car customers with their choice of technological and innovative product features, with quality and reliability. With the multiplicity of choices available to the Indian passenger car buyers, it drastically changed the way the car purchase scenario in India and particularly in the State of Kerala. This transformed the automobile scene from a sellers’ market to buyers’ market. Car customers started developing their own personal preferences and purchasing patterns, which were hitherto unknown in the Indian automobile segment. The main purpose of this paper is to come up with the identification of possible parameters and a framework development, that influence the consumer purchase behaviour patterns of passenger car owners in the State of Kerala, so that further research could be done, based on the framework and the identified parameters.

El concepto de organización saludable cada vez toma más fuerza en el ámbito empresarial y académico, a razón de su enfoque integral y al impacto generado en distintos grupos de interés. Debido a su reciente consolidación como concepto, existe un limitado cuerpo de investigación en torno al tema. Para contribuir a la generación de conocimiento en este sentido, se desarrolló un estudio exploratorio el cual tenía como objetivo identificar la relación existente entre la implementación de prácticas saludables en las organizaciones y los valores culturales. En el estudio participaron 66 sujetos a quienes se les administró un cuestionario compuesto por nueve variables, cinco provenientes del modelo de Hofstede (1980) y cuatro más que evaluaban la implementación de prácticas organizacionales saludables. Los resultados obtenidos muestran que los valores culturales predicen la implementación de prácticas saludables.

China es el cuarto país más extenso del mundo así como el más densamente poblado. En la actualidad, se ha caracterizado por ser una economía con un papel importante en el comercio mundial. Es por este motivo, que en el año 2010 se convirtió en el país con más exportaciones en el mundo, ubicándose en las primeras economías después de los Estados Unidos. Por otro lado, China considera a Colombia como un país influyente en América Latina, lo que posibilita que en un futuro se puedan convertir en socios comerciales. Sin embargo, se debe resaltar que por su extensión, China es un país de diversas culturas por lo que el trabajo “Estrategias de internacionalización de la industria de panadería en Colombia hacia la provincia de Shanxi, China”, se centrara únicamente en la provincia de Shanxi. Dicha provincia es reconocida por su gran abundancia de recursos minerales, adicionalmente, juega un papel decisivo en la red eléctrica del Norte de China y planea convertirse en la base industrial del país por lo que promete un futuro próspero para su población convirtiéndose en un lugar potencial para centrar el trabajo. También, se debe resaltar el auge y crecimiento de la industria de panadería en Colombia ya que no solamente es perteneciente a la canasta familiar sino que es necesario y rentable para los empresarios. Además es una industria que genera productos de alta calidad y con valor agregado. Como toda industria colombiana esta también tienen ciertas falencias entre ellas se debe resaltar la falta de asociación; problemática en la cual se basara este trabajo ya que, como dice Anónimo 2011, “La importancia de su creación radica en que asociados, los panaderos podrían llegar fácilmente a encontrar soluciones a ese bajo consumo o incluso lograr alianzas para una mayor capacitación” y así facilitar la entrada a mercados internacionales. Para mostrar lo anterior, se analizaran 3 casos de empresas Colombianas, que muestran las diferentes etapas para entrar a un mercado internacional. La primera de ella Noel, con su trayectoria en el mercado Colombia, en este momento cuenta con presencia en varios países de Latinoamérica y Norteamérica. La segunda Pan Pa Ya que a través de su técnica de ultracongelación ha logrado conquistar países en Latinoamérica, Europa, Japón, Canadá entre otros. Finalmente se encuentra Ramo, empresa que aún no ha logrado entrar en mercados internacionales, pero se encuentra mejorando sus procesos para internacionalizarse y para llegar a aquellos colombianos que viven en el exterior. Como complemento se busca resaltar la importancia de la asociación y la creación de clústeres de las empresas colombianas para la generación de productos de alta calidad que satisfagan las condiciones requeridas para entrar en nuevos mercados, teniendo en cuenta las pautas necesarias para generar ventajas competitivas y estrategias de internacionalización

Contracts are put to a wide variety of uses. Those who draft construction contracts in the UK rarely consider all of the potential uses and therefore may produce documents that are less than ideal. The various uses are considered in their theoretical background before turning to the practical difficulties often encountered in trying to fulfil such diverse aims. The question of standardisation is examined within this context. Existing standard forms of contract in the UK are found to do little to overcome these difficulties, and this encourages either a significant level of amendment to the standards or experienced clients to draft their own forms. The solution is an approach to contract drafting which is designed to offer a compromise; better standard forms, based on the lessons learned from the drafting of non-standard forms and a pooling of experience, including that of lawyers, in the drafting process. Although this paper is based upon the experience of the UK, these conclusions are relevant for contract-drafting practice in general.
