Aineettoman omaisuuden kassavirtaperusteinen arvonmääritys siirtohinnoittelussa

Konsernin sisäinen siirtohinnoittelu perustuu verotuksessa markkinaehtoperiaatteeseen, jonka mukaan konsernin sisäisissä transaktioissa tulee käyttää hintoja, joita vastaavissa olosuhteissa käytettäisiin riippumattomien yhtiöiden välillä. Aineettoman omaisuuden kassavirtaperusteisen arvonmäärityksen suurin ongelma on laskelmiin sisältyvä suuri epävarmuus. Laskelmat ovat aina subjektiivinen näkemys tietystä tilanteesta, joka saattaa mahdollistaa tarkoituksenmukaista hinnoittelua ja lisätä verosuunnittelumahdollisuuksia. Tämän tutkielman tarkoitus oli tutkia miten aineettoman omaisuuden markkinaehtoinen hinta käytännössä määritetään kassavirtaperusteista arvonmääritystä hyödyntäen. Tutkielmassa käytiin läpi arvonmäärityslaskelmissa tarvittavat keskeiset komponentit aineettoman omaisuuden erityispiirteet huomioiden. Lisäksi tarkoitus oli tutkia miten ostajalle ja myyjälle transaktion seurauksena syntyvät verohyödyt ja –kustannukset tulisi huomioida markkinaehtoisen kauppahinnan määrittämisessä. Tutkimuksen keskeisenä aineistona oli neljä teemahaastattelua. Lisäksi tutkielmassa hyödynnettiin Helsingin hallinto-oikeuden päätöksiä ja kirjallisuutta. Tutkimusta varten haastateltiin kolmea suurten konsulttitoimistojen edustajaa ja yhtä Verohallinnon asiantuntijaa. Aiheesta ei valinnut täydellistä yksimielisyyttä ja joidenkin aiheiden kohdalla näkökulmaerot haastateltavien välillä olivat huomattavan suuria. Laskentakorkokannan määrittämisen osalta yleinen mielipide oli, että hienovaraiset analyysit, joissa koko yhtiön tase pilkotaan osiin, jonka jälkeen määritetään yksilöllinen tuotto-odotus aineettomalle omaisuudelle, on ainakin teoriassa erittäin käyttökelpoinen menetelmä. Menetelmä on kuitenkin raskas toteuttaa, koska se vaatii luotettavuuden turvaamiseksi erittäin paljon taustadataa. Verotuskäytännössä onkin vakiintunut tapa, että aineettoman omaisuuden arvonmäärityksessä laskentakorkokanta tarkastetaan yhtiön oman pääoman tuottovaatimusta vasten. Oman pääoman tuottovaatimukseen voidaan tehdä lisäksi riskikorjauksia aineettoman omaisuuden erityispiirteiden huomioimiseksi. Jäännösarvon käyttämiseen arvostuslaskelmissa Verohallinnon edustaja suhtautui myöntyväisemmin kuin konsultit. Konsulttien mielestä jäännösarvoa tulisi hyödyntää vain erittäin harvoin, käytännössä vain erittäin vakiintuneiden brändien arvoa määritettäessä. Verohallinnon edustajan mielestä jäännösarvoa tulisi hyödyntää silloin, kun erän todellista taloudellista pitoaikaa ei voida luotettavasti määrittää. Verohyötyjen ja –kustannusten huomioimiseen siirtohinnoittelussa ei ole vakiintuneita käytäntöjä. Näyttää kuitenkin siltä, että myyjän verokustannuksen huomioiminen kauppahintaa määritettäessä on muodostumassa yleiseksi käytännöksi. OECD:n siirtohinnoittelua koskevat ohjeistukset uudistuvat jatkuvasti ja on toivottavaa, että tulevaisuudessa menetelmät ja toimintatavat vakiintuvat siten, että yhtiöt välttyvät raskailta ja kalliilta oikeusprosesseilta ja verot maksetaan jo lähtökohtaisesti oikeisiin valtioihin oikean määräisinä

Käyttöpääoman hallinta ja taloudellinen suorituskyky valmistavissa teollisuuden alan yrityksissä talouden laskusuhdanteen aikana

Tämän Pro gradu – tutkielman aiheena on tutkia kahden valmistavan teollisuudenalan käyttöpääomassa ja käyttöpääoman hallinnassa tapahtuneita muutoksia talouden laskusuhdanteen aikana vuosina 2007–2013. Käyttöpääoman kuuluvien varojen ja velkojen perusteella tutkimuksessa selvitetään, ovatko yritykset toteuttaneet aggressiivista, kohtalaista vai konservatiivista käyttöpääoman hallintastrategiaa ja kuinka käyttöpääoman hallinta on muuttunut laskusuhdanteen aikana. Käyttöpääoman hallinnassa tapahtuneita muutoksia verrataan toimialojen kannattavuudessa ja maksuvalmiudessa tapahtuneisiin muutoksiin. Tutkimus on rajattu koskemaan metsä- ja metalliteollisuuden keskisuuria yrityksiä. Tutkimusaineisto kerättiin Voitto + -tietokannasta satunnaisotannalla. Yrityksien valintakriteerinä käytettiin 10 - 50 miljoonan euron vuosiliikevaihdon väliä, jonka tuli täyttyä yritysten osalta vuonna 2007. Tutkimusotokseen valittiin molemmilta toimialoilta yhteensä 31 yrityksen tilinpäätösaineistoja vuosilta 2007 –2013. Tutkimuksen perusteella sekä metsä- että metalliteollisuuden yritysten käyttöpääoman on lisääntynyt laskusuhdanteen aikana. Käyttöpääoman hallinta on molemmilla toimialoilla muuttunut konservatiivisemmaksi, myyntisaamisten ja vaihto-omaisuuden lisääntymisen ja ostovelkojen vähenemisen seurauksena. Käyttöpääoman kasvu kuitenkin paransi toimialojen maksuvalmiutta. Toimialojen kannattavuus heikkeni laskusuhdanteen aikana, johtuen heikentyneestä liikevaihdosta. Metalliteollisuuden toimialalla käyttöpääomaprosentti kasvoi ajanjaksolla kannattavuuden heikentyessä, johon vaikutti liikevaihdon lasku ajanjaksolla. Metsäteollisuuden alalla käyttöpääomaprosentti seurasi kannattavuuden muutoksia, ja kääntyi viimeisinä vuosina laskuun liikevaihdon kasvun seurauksena.

Internal structure of chlorosomes from brown-colored Chlorobium species and the role of carotenoids in their assembly

Chlorosomes are the main light harvesting complexes of green photosynthetic bacteria. Recently, a lamellar model was proposed for the arrangement of pigment aggregates in Chlorobium tepidum chlorosomes, which contain bacteriochlorophyll (BChl) c as the main pigment. Here we demonstrate that the lamellar organization is also found in chlorosomes from two brown-colored species (Chl. phaeovibrioides and Chl. phaeobacteroides) containing BChl e as the main pigment. This suggests that the lamellar model is universal among green sulfur bacteria. In contrast to green-colored Chl. tepidum, chlorosomes from the brown-colored species often contain domains of lamellar aggregates that may help them to survive in extremely low light conditions. We suggest that carotenoids are localized between the lamellar planes and drive lamellar assembly by augmenting hydrophobic interactions. Representaciones de los Kamëntsá en el Archivo Fotográfico de la Diócesis Mocoa-Sibundoy a principios del siglo XX

El pueblo Kamëntsá del valle de Sibundoy (Suroccidente de Colombia) ha enfrentado distintas formas de sometimiento anclados a la conquista, colonización y colonialidad dentro de su territorio. Entre otros factores la presencia de la evangelización como fórmula de progreso, soberanía, civilización a principios del siglo XX influyó para que de manera incisiva sus prácticas culturales se vieran transformadas. Esta investigación se fundamenta en la lectura de un legado visual constituido por una serie de fotografías que hacen parte del archivo de la Diócesis Mocoa Sibundoy ADMS y en las cuales la presencia los indígenas es visible; tomando como base la metodología propuesta por Javier Marzal y las lecturas de un conjunto de observadores que hacen parte de la comunidad en mención. La fotografía en este caso es asumida como práctica cultural y social que visibiliza una serie de construcciones sobre la etnia, la clase, el género y el territorio.

Hcp2, a secreted protein of the phytopathogen Pseudomonas syringae pv. tomato DC3000, is required for competitive fitness against bacteria and yeasts

When analysing the secretome of the plant pathogen Pseudomonas syringae pv. tomato (Pst) DC3000, we identified hemolysin co-regulated protein (Hcp) as one of the secreted proteins. Hcp is assumed to be an extracellular component of the type VI secretion system (T6SS). Two copies of hcp genes are present in the Pst DC3000 genome, hcp1 (PSPTO_2539) and hcp2 (PSPTO_5435). We studied the expression patterns of hcp genes and tested the fitness of hcp knock-out mutants in host plant colonization and in inter-microbial competition. We found that the hcp2 gene is expressed, most actively at the stationary growth phase, and that the Hcp2 protein is secreted via T6SS and appears in the culture medium as covalently linked dimers. Expression of hcp2 is not induced in planta and it does not contribute to virulence or colonisation in tomato or Arabidopsis plants. Instead, hcp2 is required for survival in competition with enterobacteria and yeasts, and its function is associated with suppression of the growth of these competitors. This is the first report on bacterial T6SS-associated genes functioning in competition against yeast. Our results suggest that the T6SS of P. syringae may play an important role in bacterial fitness, allowing this plant pathogen to survive in conditions where it has to compete with other micro-organisms for resources.

Structural Characterization of Photopolymerizable Binary Liposomes Containing Diacetylenic and Saturated Phospholipids

The use of liposomes to encapsulate materials has received widespread attention for drug delivery, transfection, diagnostic reagent, and as immunoadjuvants. Phospholipid polymers form a new class of biomaterials with many potential applications in medicine and research. Of interest are polymeric phospholipids containing a diacetylene moiety along their acyl chain since these kinds of lipids can be polymerized by Ultra-Violet (UV) irradiation to form chains of covalently linked lipids in the bilayer. In particular the diacetylenic phosphatidylcholine 1,2-bis(10,12-tricosadiynoyl)- sn-glycero-3-phosphocholine (DC8,9PC) can form intermolecular cross-linking through the diacetylenic group to produce a conjugated polymer within the hydrocarbon region of the bilayer. As knowledge of liposome structures is certainly fundamental for system design improvement for new and better applications, this work focuses on the structural properties of polymerized DC8,9PC:1,2-dimyristoyl-sn-glycero-3-phusphocholine (DMPC) liposomes. Liposomes containing mixtures of DC8,9PC and DMPC, at different molar ratios, and exposed to different polymerization cycles, were studied through the analysis of the electron spin resonance (ESR) spectra of a spin label incorporated into the bilayer, and the calorimetric data obtained from differential scanning calorimetry (DSC) studies. Upon irradiation, if all lipids had been polymerized, no gel-fluid transition would be expected. However, even samples that went through 20 cycles of UV irradiation presented a DSC band, showing that around 80% of the DC8,9PC molecules were not polymerized. Both DSC and ESR indicated that the two different lipids scarcely mix at low temperatures, however few molecules of DMPC are present in DC8,9PC rich domains and vice versa. UV irradiation was found to affect the gel fluid transition of both DMPC and DC8,9PC rich regions, indicating the presence of polymeric units of DC8,9PC in both areas, A model explaining lipids rearrangement is proposed for this partially polymerized system.

Influência do investidor estrangeiro no ambiente de informação das ações listadas na América Latina

É notável o crescente volume de investimento estrangeiro em ações da América Latina. Nos últimos 10 anos, esta quantidade cresceu em mais de 16 vezes . O objetivo deste artigo é avaliar o impacto do investimento estrangeiro no ambiente de informação nesta região. Utilizando regressão em painel, mostra-se que o investimento estrangeiro tem um impacto positivo no ambiente informacional, isto é, o investidor estrangeiro está melhor provido de informação que o investidor local. Esse efeito é ainda mais acentuado quando a análise é feita apenas para emissões no Brasil. A amostra contém 1365 ações de 2000 a 2011. Froot e Ramodarai (2008) chegam à mesma conclusão utilizando uma metodologia com vetores auto-regressivos.

Quality of life profile and correlated factors in chronic leg ulcer patients in the mid-west of São Paulo State, Brazil

BACKGROUND: Chronic leg ulcer may have an impact on patients' quality of life.OBJECTIVES:This study aimed to identify the impact of leg ulcers on patient's quality of life using the Dermatology Life Quality Index and to define the main factors correlated with this perception.METHOD:Cross-sectional, non-probabilistic sampling study. We included patients with chronic leg ulcers being treated for at least 3 months. A sociodemographic and clinical survey was conducted to assess the profile of the ulcers. We administered a screening for depressive symptoms and the Dermatology Life Quality Index. We performed a descriptive statistical analysis, chi-square test and Mann-Whitney test for categorical data, Pearson for numeric variables, and multiple regression for categorical data.RESULTS:Forty-one patients were assessed. Their mean age was 61.78 years. Venous ulcers (48.8%) were the most prevalent. Seventy-three percent of the sample perceived no impact/low impact on quality of life in the past week, and 26.8% perceived moderate/high impact. A multiple regression analysis identified the causes of lesion, pain related to the ulcers, time of onset, and severity of the depressive symptoms as the variables that had an influence on quality of life.CONCLUSIONS:The majority of the sample perceived low or no impact of the condition on the quality of the life. The variables etiology of the lesion (p<0.001), pain related to the ulcers (p=0.001), time of onset (p=0.006), and severity of the depressive symptoms (p<0.001) had an influence on the quality of life, suggesting the need for further studies with more robust designs to confirm the causal relationship between these characteristics and quality of life.

L’audit, c’est un outil de gestion très important pour que les organisations puissent accomplir la réussite. Selon le fait qu’il n’y a pas des modèles d’aide à l’audit, il existe une opportunité de recherche. En considerant les Méthodes d’Aide à la Décision, il y a des plusieurs type d’applications. L’objectif de la recherche c’est la proposition d’un modèle capable de sélectionner des processus pour faire l’audit dans une distributeur de carburant en considerant la prise de décision en groupe. La modélisation normative empirique c’est la méthode de recherche utilisée. Un modèle qui utilise l’Analytic Hierarchy Process (AHP) et la prise de décision en groupe a été proposé face aux difficultés d’un département d’Audit Interne. Le modèle proposé présente les poids des processus et permet leur priorisations dans un scénario determiné. Pour l’application de ce modèle présenté, on a utilisé cinq critères et 26 alternative (processus). L’information de jugement a été bien founi par trois spécialistes du département. Quelques rendez-vous avec les participants ont été pris pour obtenir et réviser les donnés ainsi que discuter les résultats. Les résultats obtenus par le modèle permettent d’identifier les processus qu’il faut plus d’attention. L’équipe a considéré le modèle comme une proposition d’aide à la prise de décision très pertinent pour le département d’Audit Interne

Leishmania sp. amastigotes identification in canine transmissible venereal tumor

Leishmaniasis is a vector-borne disease with Leishmania chagasi being the etiological agent of canine visceral leishmaniasis in South America. Canine venereal tumor is a transplantable round cell tumor of histiocytic origin which is mostly observed in sexually active male and female intact dogs. It has been shown that Leishmania amastigotes have higher tropism for the canine male genital tract tissues and venereal leishmaniasis transmission has been documented in dogs but, to date, a canine venereal tumor-dependent transmission route has not been fully demonstrated. In this report, a 10-year-old, mixed breed, intact female dog presented a vaginal venereal transmissible tumor but no other clinical abnormalities otherwise. Unexpectedly, tumor tissue imprint smears examination revealed Leishmania sp. amastigotes within infiltrating macrophages. In addition to the cytological direct identification, the protozoan was confirmed within the neoplastic tissue by means of immunohistochemistry and polymerase chain reaction. This report illustrates an asymptomatic Leishmania sp. infection that may have started on or from the canine venereal tumor tissue, the latter option further supporting previous evidence of such an alternative vector-independent route of transmission for canine visceral leishmaniasis in areas where these diseases coexist.

Children’s Play in Cross-Cultural Perspective: A New Look at the Six Cultures Study

A qualitative and quantitative reanalysis of the Six Cultures data on children’s play, collected in the 1950s, was performed to revisit worlds of childhood during a time when sample communities were more isolated from mass markets and media than they are today. A count was performed of children aged 3 to 10 in each community sample scored as engaging in creative-constructive play, fantasy play, role play, and games with rules. Children from Nyansongo and Khalapur scored lowest overall, those from Tarong and Juxtlahuaca scored intermediate, and those from Taira and Orchard Town scored highest. Cultural norms and opportunities determined how the kinds of play were stimulated by the physical and social environments (e.g., whether adults encouraged work versus play, whether children had freedom for exploration and motivation to practice adult roles through play, and whether the environment provided easy access to models and materials for creative and constructive play).

Rationale, study design, and analysis plan of the Alveolar Recruitment for ARDS Trial (ART): Study protocol for a randomized controlled trial

Background: Acute respiratory distress syndrome (ARDS) is associated with high in-hospital mortality. Alveolar recruitment followed by ventilation at optimal titrated PEEP may reduce ventilator-induced lung injury and improve oxygenation in patients with ARDS, but the effects on mortality and other clinical outcomes remain unknown. This article reports the rationale, study design, and analysis plan of the Alveolar Recruitment for ARDS Trial (ART). Methods/Design: ART is a pragmatic, multicenter, randomized (concealed), controlled trial, which aims to determine if maximum stepwise alveolar recruitment associated with PEEP titration is able to increase 28-day survival in patients with ARDS compared to conventional treatment (ARDSNet strategy). We will enroll adult patients with ARDS of less than 72 h duration. The intervention group will receive an alveolar recruitment maneuver, with stepwise increases of PEEP achieving 45 cmH(2)O and peak pressure of 60 cmH2O, followed by ventilation with optimal PEEP titrated according to the static compliance of the respiratory system. In the control group, mechanical ventilation will follow a conventional protocol (ARDSNet). In both groups, we will use controlled volume mode with low tidal volumes (4 to 6 mL/kg of predicted body weight) and targeting plateau pressure <= 30 cmH2O. The primary outcome is 28-day survival, and the secondary outcomes are: length of ICU stay; length of hospital stay; pneumothorax requiring chest tube during first 7 days; barotrauma during first 7 days; mechanical ventilation-free days from days 1 to 28; ICU, in-hospital, and 6-month survival. ART is an event-guided trial planned to last until 520 events (deaths within 28 days) are observed. These events allow detection of a hazard ratio of 0.75, with 90% power and two-tailed type I error of 5%. All analysis will follow the intention-to-treat principle. Discussion: If the ART strategy with maximum recruitment and PEEP titration improves 28-day survival, this will represent a notable advance to the care of ARDS patients. Conversely, if the ART strategy is similar or inferior to the current evidence-based strategy (ARDSNet), this should also change current practice as many institutions routinely employ recruitment maneuvers and set PEEP levels according to some titration method.
