One important metaphor, referred to biological theories, used to investigate on organizational and business strategy issues is the metaphor about heredity; an area requiring further investigation is the extent to which the characteristics of blueprints inherited from the parent, helps in explaining subsequent development of the spawned ventures. In order to shed a light on the tension between inherited patterns and the new trajectory that may characterize spawned ventures’ development we propose a model aimed at investigating which blueprints elements might exert an effect on business model design choices and to which extent their persistence (or abandonment) determines subsequent business model innovation. Under the assumption that academic and corporate institutions transmit different genes to their spin-offs, we hence expect to have heterogeneity in elements that affect business model design choices and its subsequent evolution. This is the reason why we carry on a twofold analysis in the biotech (meta)industry: under a multiple-case research design, business model and especially its fundamental design elements and themes scholars individuated to decompose the construct, have been thoroughly analysed. Our purpose is to isolate the dimensions of business model that may have been the object of legacy and the ones along which an experimentation and learning process is more likely to happen, bearing in mind that differences between academic and corporate might not be that evident as expected, especially considering that business model innovation may occur.

This research work focuses on the factors which lead investors to finance university spin-outs. The achieved results related to spin-out companies in the United Kingdom are based on empirical evidence from Imperial College London. The characteristics of a sample of 557 university spin-outs have been examined in order to understand the investors’ attitude towards financing this typology of companies. The outputs of this study demonstrate that official spin-out companies supported by Imperial College are more likely to receive an investment. Furthermore, it is also shown that investors are not inclined to finance academic spin-outs in which the board of directors includes academics who are mainly involved in researching and teaching activities.

There are two main ways in which the knowledge created in universities has been transferred to firms: licensing agreements and the creation of spin-offs. In this paper, we describe the main steps in the transfer of university innovations, the main incentive issues that appear in this process, and the contractual solutions proposed to address them.

O objetivo neste artigo é investigar a trajetória de duas empresas startups brasileiras dedicadas a pesquisa e desenvolvimento (P&D) no setor de biotecnologia: a Alellyx e a CanaVialis. São dois casos de spin-offs acadêmicos e de bioemprendimentos germinados na esfera do Projeto Genoma, da Fundação de Amparo à Pesquisa do Estado de São Paulo (Fapesp), maturadas na Votorantim Novos Negócios (VNN), área de novos negócios de um dos maiores grupos industriais brasileiros que atua no segmento de commodities, o Grupo Votorantim S/A, e depois vendidas para a Monsanto. Neste estudo, tentou-se compreender a racionalidade e as virtudes das ações de investimentos corporativos e das políticas públicas destinadas à biotecnologia focada em genômica aplicada para a agricultura no Brasil. A metodologia utilizada é a de estudo de caso, mais especificamente de análise dos dois casos de empresas comentados acima. Os resultados demonstraram que, apesar de o principal objetivo do grupo econômico ser a célere valorização do capital investido e seu retorno financeiro, a afiliação corporativa dessas empresas estimulou a aceleração de um conjunto de capacitações para a gestão empresarial da Alellyx e da CanaVialis, que foram críticas para o amadurecimento do negócio. Evidenciou-se, ainda, que foi fundamental o significativo aporte de recursos por meio dos mecanismos de apoio do sistema nacional à inovação.

Which projects should be financed through separate non-recourse loans (or limited- liability companies) and which should be bundled into a single loan? In the pres- ence of bankruptcy costs, this conglomeration decision trades off the benefit of co- insurance with the cost of risk contamination. This paper characterize this tradeoff for projects with binary returns, depending on the mean, variability, and skewness of returns, the bankruptcy recovery rate, the correlation across projects, the number of projects, and their heterogeneous characteristics. In some cases, separate financing dominates joint financing, even though it increases the interest rate or the probability of bankruptcy.

I show that intellectual property rights yield static efficiency gains, irrespective oftheir dynamic role in fostering innovation. I develop a property-rights model of firmorganization with two dimensions of non-contractible investment. In equilibrium, thefirst best is attained if and only if ownership of tangible and intangible assets is equallyprotected. If IP rights are weaker, firm structure is distorted and efficiency declines:the entrepreneur must either integrate her suppliers, which prompts a decline in theirinvestment; or else risk their defection, which entails a waste of her human capital. Mymodel predicts greater prevalence of vertical integration where IP rights are weaker,and a switch from integration to outsourcing over the product cycle. Both empiricalpredictions are consistent with evidence on multinational companies. As a normativeimplication, I find that IP rights should be strong but narrowly defined, to protect abusiness without holding up its potential spin-offs.

The paper analyzes the determinants of the optimal scope of incorporation in the presenceof bankruptcy costs. Bankruptcy costs alone generate a non-trivial tradeoff between thebenefit of coinsurance and the cost of risk contamination associated to joint financing corporate projects through debt. This tradeoff is characterized for projects with binary returns,depending on the distributional characteristics of returns (mean, variability, skewness, heterogeneity, correlation, and number of projects), the bankruptcy recovery rate, and the taxrate advantage of debt relative to equity. Our testable predictions are broadly consistentwith existing empirical evidence on conglomerate mergers, spin-offs, project finance, andsecuritization.

The aim of the study is to consider the technology potential in Finnish basic industry and the factors affecting it. Especially the need of research and development investments and their relation to different growth scenarios are evaluated. In basic industry the expected technological change is slow, as compared to the advancement in growth firms. On the other hand, it is possible for the basic industry to utilize progress of information technology and biotechnology when developing its own products and processes. The increase of energy intensiveness is essential trend with an impact on the nature of industrial development in the longrun. The integration process to global markets requires companies to find better investment projects. The adaptation happens partly throught specialization, which means that mergers and spin-offs will continue. On the other hand, better return for capital can be sought by shifting the focus towards research and development investments. This naturally means also a higher risk level.

Tässä tutkielmassa perehdyttiin julkisen tutkimuksen kaupallistamiseen tutkimusorganisaatio VTT:n tapauksen kautta. Tutkimuksen tavoitteena oli selvittää, kuinka julkista tutkimusta voidaan yleensä kaupallistaa, mitkä ovat kaupallistamisprosessin vaiheet, haasteet sekä kriittiset onnistumistekijät. Tutkimus on luonteeltaan laadullinen ja se toteutettiin henkilöhaastatteluina, joita täydennettiin kirjallisilla lähteillä. Tutkimuksessa ilmeni, että VTT:llä julkisrahoitteisen tutkimuksen tuloksia kaupallistetaan lisensoimalla, toimeksianto- eli sopimustutkimuksen kautta, spin-off toimilla, allianssien ja erilaisten palvelujen, kuten valmistus-, testaus-, ja analyysipalvelujen kautta. VTT:n näkökulmasta katsottuna merkittävin kaupallistamiskanava on sopimus- eli toimeksiantotutkimus, jota seuraavat lisensointi sekä spin-off toiminta. Kaupallistamistavan valinta riippuu lukuisista tekijöistä, kuten organisaation kaupallistamisstrategiasta, innovaatiotyypistä, teknologian kypsyydestä, tiedon luonteesta, toimialojen ja markkinoiden ominaisuuksista, innovaation hyödynnettävyydestä ja suojauksesta, arvonmuodostuspotentiaalista kuin yksittäisten henkilöiden motivaatiostakin.Valinta onkin tehtävä tapauskohtaisesti. Julkisesta tutkimuksesta lähtöisin olevien teknologioiden tie markkinoille voi olla haastava, sillä teknologiat ovat kehitetty ei-kaupallisessa ympäristössä. Tutkimuksessa kävi ilmi, että kriittisimmiksi koetut kaupallistamisen onnistumistekijät liittyivät organisaatioon, teknologiaan, markkina- ja asiakastarpeeseen, aineettoman omaisuuden suojaukseen sekä markkinoille menon nopeuteen.
