This paper develops a theoretical framework and a number of propositions for systematically studying the role of trust in the control and performance of Joint Ventures, a prominent form of inter-firm alliance. The proposed framework is more complete than the frameworks available in the extant literature because it incorporates both transaction related risks and the partner related risks which are likely to impact on the reliance on particular control patterns. Partner-related risks in joint ventures are represented by the level of inter-partner trust, while transaction-related risks are represented by the Transaction Cost Economics (TCE) variables of asset specificity, task complexity, performance measurability, and environmental uncertainty.

The framework also links one of the established management control typologies (i.e., behaviour, outcome, and social) to two of the alliance control patterns (bureaucratic-based pattern, and trust-based pattern) identified in the literature on alliance control.

Em um mundo de intensa competição global, as alianças estratégicas tornam-se essenciais na busca por uma eficiência nos negócios. Aquelas empresas que conseguirem tirar proveito das parcerias podem alcançar o sucesso, pois podem alcançar um desempenho competitivo superior. Porém, a dificuldade está em gerir este negócio em conjunto, visto que, um elevado percentual de parcerias fracassam. Um sistema eficiente de monitoramento das questões mais importantes podem auxiliar em uma melhor gestão. O objetivo deste trabalho é avaliar o desempenho e as características de uma aliança estratégica entre empresa argentina e brasileira. Para tanto, foi utilizado um método de monitoramento da parceria, envolvendo sete variáveis: tecnologia, mercado, finanças, recursos humanos e planejamento geral, produção e cultura. A presente investigação ocorreu entre os meses de março e maio de 2001. O estudo apresenta resultados individuais e comparativos da empresa argentina Vesubio, da brasileira Industrias Integradas e da Joint Venture Vesubio do Brasil. Por fim são apresentadas implicações do estudo que poderiam ser aprofundadas em novas pesquisas na área de relacionamentos em mercados internacionais.

This paper contends that a range of questions arising from the geographical and organizational dynamics of international retail joint ventures have been bypassed by studies in the international retail field. It argues that, despite its importance as a corporate growth strategy, comparatively less is known about the way in which retailers have employed joint ventures in international markets. Based on a review of the literature and illustrated with examples of international retail joint venturing activity, this paper reveals several gaps in our understanding of the internationalization process of retail firms. Suggestions for further research are made throughout the paper on the basis of gaps in the retailer internationalization literature.

Where retail entry mode decision-making is examined in the literature, it has almost exclusively focused upon international store acquisitions and franchising growth and expansion. In contrast, international joint venture decision-making processes are visibly absent in the international retail literature. This article explores three retail multinationals' international retail joint venturing experiences, extracting some of the salient lessons learned at each stage of the joint venture development process and their concurrent impact on the whole internationalisation process. Suggestions for further research are made on the basis of gaps in the international retail literature and the lessons extracted from the cases under investigation. © 2006 Taylor & Francis.
