O trabalho está inserido na grande área do direito societário, especificamente sob a temática dos conflitos de interesses nas deliberações de S.A.´s listadas em Bolsa de Valores. O objetivo assumido foi o de percorrer criticamente as propostas teóricas empregadas na interpretação do problema jurídico resultante destes conflitos, para depois realizar um estudo empírico sobre uma modalidade negocial potencialmente conflitiva, as transações entre partes relacionadas. Após o estudo da lógica norteadora das propostas doutrinárias, sustenta-se a hipótese de que as explicações da literatura jurídica brasileira variam na razão do conceito aberto de “interesse da companhia”, articulado de acordo com a posição da parte representada pelo advogado. Arbitrariamente concebidas como formais ou substancias, tais interpretações cuidam do momento de violação do interesse da companhia, respectivamente, visando proibir ou garantir o exercício de voto do interessado por meio de entendimentos convenientes ao tempo do litígio. Diante deste comprometimento do raciocínio abstrato com a prática da advocacia, sugere-se a abordagem do tema por outra proposta teórica, vinculada a uma noção específica do Direito. Compreendido como um provedor de informações relevantes aos interessados nas operações das empresas, ele atua na regulação dos dados exigidos destas sociedades e na confecção das informações produzidas individualmente por elas. Tal transparência, junto das regras que vinculam o mercado, forma o conteúdo conceitual da expressão governança corporativa, desenvolvido em torno da proposta chamada de “sistema de governança corporativa”. A interpretação das informações dos diversos possíveis sistemas deve oferecer ao tomador de decisão a chance de conhecer os seus poderes, prerrogativas, incentivos, competências, limitações e proibições, de modo a avaliar se a sua escolha é uma boa prática de governo da empresa, segundo o sistema no qual ela opera. Aos terceiros interessados, deve servir para verificar se o processo decisório segue o esperado pelo ambiente negocial que o sistema de governança delineia. No tema do conflito de interesses, a sugestão de pensar o problema por esta noção do Direito visa respaldar a criação e divulgação de regras próprias pelas empresas listadas, as quais alimentem o aludido sistema de governança e sirvam à tomada de decisões que orientem o alinhamento dos objetivos dissonantes envolvidos na companhia, sem que haja a necessidade de recorrer ao arbitramento externo. O trabalho empírico se debruça então nos estudos destas regras particulares aplicáveis às transações entre partes relacionadas, tais mecanismos são colhidos nos formulários de referência das 100 companhias mais líquidas da BM&FBovespa no ano de 2011. Os resultados mostram que apenas 6% das empresas possuem procedimentos para identificar as relações conflituosas decorrentes da modalidade negocial estudada e 29% para tratar o problema. Os números relativos às sociedades que estabelecem regras para a administração dos conflitos de interesses nas deliberações de assembleia geral e conselho de administração também são baixos, respectivamente, 7% e 13% apresentam mecanismos de identificação, 4% e 11% para o seu tratamento. A baixa frequência mostrada pelos resultados à luz da proposta teórica construída identifica uma oportunidade, qual seja, a de pensar a mitigação do problema por esta via particular e extrajudicial.

O Brasil adota o sistema hibrido de controle de constitucionalidade, englobando tanto a modalidade difusa como a concentrada. O objeto do trabalho é o controle concentrado, que se caracteriza por um processo objetivo onde inexistem partes em sentido formal e conflito de interesses subjetivos. Aprioristicamente, a objetividade dá a entender que institutos que dizem respeito à subjetividade do julgador, como o impedimento e a suspeição, não seriam aplicáveis. O posicionamento do Supremo Tribunal Federal se aproxima desta concepção, aceitando hipóteses muito restritas de aplicação do impedimento e rechaçando a incidência da suspeição. Esta posição reclama urgente revisão por parte da Corte pelas razões expostas e estudos de julgados apresentados no trabalho.

O parágrafo primeiro do artigo 115 da Lei n. 6.404/76 dispõe que o acionista não poderá votar, entre outras, quando possuir interesse conflitante com o da companhia. Contudo, a legislação não estabelece o critério de avaliação do conflito, restando à doutrina e à jurisprudência fazê-lo. Dessa maneira surgiram os critérios formal e substancial. A Comissão de Valores Mobiliários – CVM, autarquia responsável pela regulação e fiscalização das sociedades anônimas, já adotou ambos os critérios e nos autos do Caso Tractebel consolidou seu novo entendimento, qual seja, pela adoção do critério formal de verificação do conflito. Assim, esse trabalho tem como objetivo analisar jurisprudências anteriores ao Caso Tractebel para entender a argumentação utilizada em cada um desses casos para, ao final, analisar a argumentação trazida pela CVM para fundamentar seu novo entendimento.

O presente estudo objetiva analisar, sob o ponto de vista doutrinário e jurisprudencial, a redação da disposição legal do art. 156, contida na Lei 6.404, de 1976, “Lei das Sociedades Anônimas, acerca do conflito de interesses de administrador que, por conter um conceito jurídico indeterminado ainda não aclarado por lei nem pela Comissão de Valores Mobiliários, é objeto de decisões divergentes quanto a sua aplicação fática, gerando impactos em sua eficácia jurídica. Inicialmente serão explicitadas as teorias doutrinárias que referendam o tema e cuja aplicação encontram terreno na jurisprudência. Em seguida, será contextualizado historicamente o surgimento do conflito de interesses de administrador no direito pátrio. Após esta exposição, tratar-se-á do conceito de eficácia jurídica a ser utilizado nesta análise, para que se possa alcançar sua verificação no art. 156.

Decisões são tomadas de diversas formas e em todos os momentos, mas foi o francês Henry Fayol que propôs um modelo estruturado para essa tomada de decisão, definindo o papel dos dirigentes e suas responsabilidades na administração da empresa. No desenvolvimento do trabalho, foram estudados diversos modelos de processo decisório, como o modelo clássico racionalista, o modelo da racionalidade limitada, o modelo político, as coalizões envolvidas no processo, teorias de responsabilidade social corporativa, teorias de governança corporativa, entre outros. À luz destes modelos e baseado na missão da Petrobras, de ser uma empresa segura e rentável, o autor faz uma suposição e enquadra o processo decisório da empresa no modelo clássico racionalista, focado na maximização dos lucros e resultados. Devido ao tamanho da empresa e à diversidade de assuntos para a tomada de decisão, o autor foca seus estudos na área de Abastecimento da Petrobras e analisa o processo de tomada de decisão para o aumento dos preços dos combustíveis, com o objetivo de avaliar a veracidade da sua suposição. A metodologia de pesquisa é baseada em uma pesquisa bibliográfica e investigação documental para avaliar se o modelo de tomada de decisão é realmente racional, ou se existem influências ou fatores externos que levam a um novo modelo de processo decisório. Após comparar o modelo racional com os dados e realizações da empresa, o autor faz uma triangulação de métodos, incluindo uma pesquisa de campo para avaliar a percepção dos gestores e stakeholders sobre o modelo de tomada de decisão da empresa. O autor entrevista 11 funcionários da Petrobras e 10 stakeholders externos com o intuito de coletar percepções sobre o processo decisório da Cia., finalizando com uma análise qualitativa dos dados baseada na técnica de análise de conteúdo. Com os resultados da pesquisa, o autor comprova, por meio de documentos da empresa, que a Diretoria Executiva da Petrobras é a responsável pela aprovação da política de preços da Cia. Dentre os fatores de influência no processo decisório da empresa, a inflação foi a de maior destaque, mostrando o viés político na relação entre o governo e a empresa. A política de preços da Cia. continua sendo de médio e longo prazo, acarretando em prejuízos no curto prazo para a área de Abastecimento da Petrobras. Após alcançar todos os objetivos intermediários do trabalho, o autor conclui que a suposição inicial é falsa e que o processo decisório para o aumento dos preços dos combustíveis na Petrobras se aproxima muito mais dos modelos de racionalidade limitada e político, com enfoque nos stakeholders e na competitividade do que do modelo clássico racionalista.

O presente trabalho tem como objetivo analisar o tratamento que vem sendo conferido pelo Direito Societário brasileiro ao voto proferido em conflito de interesses nas assembleias de acionistas das Sociedades Anônimas. Nesse sentido, foi analisado o tratamento dado pela legislação vigente e a interpretação tanto da jurisprudência como da doutrina relacionada. Duas correntes interpretativas predominam, quais sejam a do conflito formal e substancial de interesses. Elas propõem consequências práticas distintas: a primeira prevê a vedação ex ante do exercício de voto e a segunda o controle ex post do voto. Observa-se predominância na doutrina da interpretação materialista do conflito de interesses, e na jurisprudência da Comissão de Valores Mobiliários por interpretações formalistas. Diante desse panorama, será feito uma análise crítica dos principais argumentos trazidos pelas duas correntes que se destacam na doutrina e nas decisões da Comissão de Valores Mobiliários.

It is very relevant, for academic or for society purposes as a whole the subject "corruption", a recurring problem that plagues companies and Governments in various parts of the world. Many recent cases draw attention to this topic, but one in particular, the case of corruption of the company Siemens AG, that resulted in the payment of the largest fines in the history on your model, based on the terms of the FCPA since it became law in 1977. This event caters specifically to the objective of this work which is to make an analysis based on agency theory and the codes of good practices of corporate governance on how large companies revising their corporate management systems and practices aiming at the recovery of its institutional image after significant impact on the company, such as the corruption scandal in which Siemens was involved. For this study, we opted for qualitative research as a methodological path contemplating the single case study. In the process of data collection were used data obtained through documentary research about the corruption scandal on public collection available in the internet. Open conversations were made with 3 compliance Department officials of Siemens for the purposes of understanding the case with. At the end of this work, it was observed in the Siemens turnaround process a correlation between what was proposed by the Agency Theory about internal control Systems based on what was accomplished by the company when promoted an extensive restructuring of the Department of compliance and corporate governance system, the improvement of internal controls, as well as the creation of detection tools , control, analysis and prevention of fraud, which were used to minimize the effects generated by the conflict of interest covered by the theory of Agency. The managing Conselho of public politics constitute one of the main experiences of democracy in Brazil contemporary representing a conquest for construction of a democratic institutionalism. The historical newness consists of the intensification and the institutionalization of the dialogue between government and society - in public and plural canals - as condition for an allocation more efficient joust and of the public resources. In this context the present study it objectified to understand from readings of the performance of represented group of bencheses the dynamics of functioning of the Tourist Conselho Pólo Costa das Dunas while space of participation and social control. The bibliographical research contemplated diverse sources in order to compile knowledge of credential authors in the quarrel of inherent subjects to the civil society and the public sphere to the construction of the citizenship to the conception formation and dynamics of the social control through Conselho of public politics. A qualitative perspective the case study was adopted as research method and for attainment of the data interviews with the members of the Conselho had been carried through beyond consultation the referring documents the dynamics of functioning of the Conselho. The profiles capacities and limitations of the members of the Conselho had been identified constitution social and dynamic organization of functioning of the Conselho and the readings of the members of the Conselho concerning the power to decide instances and participation. The results had shown that the allotment of being able in the Conselho does not occur of equal form. The functions of coordination of the activities of the Conselho are assumed by the representatives of the public agencies. Level of qualification of council members also if presents as difficulty to development of activities of Conselho since the majority of the interviewed ones disclosed unreliability and unfamiliarity when thematic specific that runs away from its organizacional reality they are boarded in the assemblies. Of this form the Conselho if presents more as half of institutional legitimation of what half of characterization of the creation of a public sphere properly said. Finally he could himself be concluded that a democratic culture inexists that inside crosses practical the institutional ones of the Conselho thus limiting the possibility to reach the effective social control of the public politics of tourism in the Rio Grande do Norte

This piece of work consists in a study case of Crediamigo Comunidade, a product from the portfolio of Crediamigo Program of Banco do Nordeste, that uses the methodology of the Comunitary Banks in the concession of low amount loan to poor communities. The main question consists to understand how the Crediamigo Comunidade is characterized faced to the conflict of emancipatory versus liberal paradigms, that exists in the microcredit area. The main objective will analyze how the mechanisms: social capital, empowerment, formation to credit education and better conditions for economic and social issues promoted in the specific objectives of this product, before the dipute between these paradigms. The method adopted analyzed, in a longitudinal perspective, the three years of the product s existence (jun/2005 to jul 2008). Primary and secondary data made possible to identify qualitatively, emancipatory and non emancipatory attributes in the actions and results of Crediamigo Comunidade. It is concluded that the Crediamigo Comunidade works in a liberal logic of the Crediamigo Program, consequently, his focus is not in the emancipation of the poorest clients. The empowerment is individual and not communitary or Freiriano ; the social capital relations enlarges itself in its bounding and bridging ties, but not in its linkage ties, to have access to politic actors and consequently communitary strengthen. All the formation in the Crediamigo is strictly commercial. These characteristics happen by the liberal paradigm in the Crediamigo management and of all of its products, including the Crediamigo Comunidade

The organizations are characterized as dynamic spaces, they are being revisited and redefined, because they constitute structural human spaces and new vain outlines won expression. As it begins, of the non consensus in its conception, it is explicit the complexity degree that is identified in the plurality and diversity, brought by the people that compose them, characterizing it as accomplishment space, of happiness and also of conflict, of relationships of power and organizational limits and from birth and burial of faiths, values, norms, symbols, knowledge and rituals, therefore, deeply human. In that way, to know the administration of the organization is preponderant condition for the format of the human relationships to be delineated in its living. Like this the work makes an option in knowing the social administration, this work tries to know and analyze the values and beginnings of the social administration; revealling characteristics and specificities of the organizational performance of UNIPOP that contribute to the formation of the conception of Social Administration, it tends as source of the information the managers of the institution; to identify the formative values of UNIPOP that contribute to the youths' partner-political action in the community, tends for reference the current students of the organization and last to evaluate values structurates and supporting that interconnection between the organizational Administration, formation youth's program, participation and autonomy and attendance, starting from the existences gained by the exits, of that program. This dissertation focuses on the theme of urban revitalization in historical centers. It starts from a survey of international and national concepts and experiences about the subject, in special, the historical center of Ribeira, in Natal, Brazil. It gives more attention to local management and it is dedicated to the study of objectives and actions developed, basically, by two segments that manage works in the district. Companhia Docas do Rio Grande do Norte aims at the economical development of the state and it implies the enlargement of capacity of loading and unloading of the harbor of Natal and the Natal city counsil aims at urban preservation and revitalization. It was analysed speeches ans projects related to Ribeira and it was discovered that Natal has done very little to revitalize its historical center in the last two dacades. It analyses what seemed, or at least, should be a conflict of interests between incompatible projects, revealing both conciliatory proceedings and connivance between the participants in decision making. The conclusion directs attentions to the threat to historical building in the city and the importance of enhancing discussion about the future of our historical sites

The railroad, from 1870 and on, becomes an usual complaining in the press s and politician elite s speeches, especially because of Natal s geographic isolation. The implantation of two railroads in the capital territory Estrada de Ferro de Natal a Nova Cruz, afterwards part of Great Western Railway Company network, and Estrada de Ferro Central do Rio Grande do Norte had serious implications in the urban environment. While railroad s structures were already consolidated, other transportation mechanisms were being implanted in the first decades of the 20th century, such as trams lines, which, by the way, was a transport modal that also used rails as a dislocation meaning. Considering these questions, we may ask: how come railroads and tramways demands, roads and buildings had influenced the internal organization of Natal? We work with the general hypothesis that the influence of technical networks, composed by tramways and railroads, over Natal s urban space happened in a diversified way, sometimes consolidating social aspects in certain areas, sometimes improving the occupation of others. The impact over the city s territory also happens in a diversified way between the buildings/railroad s complexes and the pathways. The different scale of the train in comparison to the trams velocity, size, noise level, flow, among others is also a cause to the different consequences in urban environment. The main objective of this work is to understand the role of circulation technical networks in the construction process of urban space in Natal, as a way to contribute to the urban historiography about the subject. The time frame adopted, between 1881 and 1937, marks the time path of railroads and tramways in Rio Grande do Norte: 1881 is the year of railroad s first section inauguration from Natal to São José do Mipibu as well of the railroad complex in the Republic Square in Natal; the year of 1937 marks the beginning of tramways declination process in the city. At this time railroads and tramways had to face more intensively the competition of motor vehicles. The theory reference adopted is based on concepts and analysis of authors, such as Flávio Villaça and Roberto Lobato Corrêa references to the concepts of urban structure , localization and accessibility and Gabriel Dupuy to explain the concept of urban technical networks . These references reveal the conflict of different realities in the urban universe interests and values which is an important factor about the construction of urban space. The information sources used were from two distinctive natures: primary, journals of the time studied and official government reports, and secondary, based on other works about the subject. It was also used by this study iconographic source, especially images from the data base of the research group História da Cidade, do Território e do Urbanismo .

This work aims to study the material conflict of jurisdiction as to the ownership of public water supply, between the municipalities and the Member States, in metropolitan areas. One of the important points of analysis is the realization of the fundamental right of access to water, a right that is implicit in the Constitution of 1988, being prevented from having their achievement considering the lack of definition of the ownership of the service. Knowing discussed the essential public service, in all its stages, it will realize it is a complex activity that depends for its operation, joint activities of federal entities and the society. In its pursuit of development (understood as better conditions of life), that in view of the Federal Law nº 11.445 of 2007 is the universal access to service, require the adoption of popular participation and the positive benefits of the state, such as planning. The purpose of this dissertation is whether the demand for manpower trained in technical school for the sector of Oil and Gas (O&G) is in balance with the offer of that training in the Brazilian education system. The methodology used to obtain such information was based on School Census 2000 and 2008 where data were worked out in order to clarify the numbers of enrollments in secondary technical level demanded by the sector of O&G. The demand for manpower with that qualification as a data source was the 2010-2014 Business Plan Program for Mobilization of the National Oil and Natural Gas (PROMINP). This Program identified the future demand for manpower for the Sector of the O&G until 2014 where the occupational categories are mapped prerequisite training and experience. In order to better understand the object of this study was dome a review of the literature with regard to technical education in Brazil but also the importance of the education to economic growth and the peculiarities of the oil economy in different countries possessors of those mines, or that is, developed and underdeveloped countries. Analysis showed that enrollment in technical education in Brazil had a significant increase between the dates 2000 and 2008. It also don´t bring balance with the characteristic of the dynamics of the productive sectors of the economy mainly due to heating of the economy before the global growth especially in the Construction Industry as well as in the Oil and Natural Gas Engineering and a Naval account of the discovery of oil in the Pre-Salt. Another important aspect is that one of the major problems of qualification of manpower in Brazil is due to a bad quality of the student´s school and high school which makes difficult a good performance in office work and also this ability to learn new functions. The rapprochement between the supply of the education system and the demand for manpower with training mid-level technical support for the sector O&G showed that most technical courses demanded or had no enrollment in 2008, had few enrollment in 15 states with demand expect to occur and those enrollment were unevenly distributed among states. The analysis therefore signalize the needed of a public policy that enables the adequacy of the education system (Secondary Technical Education) to Sector of O&G in terms of enrollment and its distribution between the oil producing states and in relation to technical expertise offered
