The present volume is the fruit of a research initiative on Access to Knowledge begun in 2004 by Yochai Benkler, Eddan Katz, and myself. Access to Knowledge is both a social movement and an approach to international and domestic policy. In the present era of globalization, intellectual property and information and communications technology are major determinants of wealth and power. The principle of access to knowledge argues that we best serve both human rights and economic development through policies that make knowledge, knowledge-creating tools, and nowledgeembedded goods as widely available as possible for decentralized innovation and use. Open technological standards, a balanced approach to intellectual property rights, and expansion of an open telecommunications infrastructure enable ordinary people around the world to benefit from the technological advances of the information age and allow them to generate a vibrant, participatory and democratic culture. Law plays a crucial role in securing access to knowledge, determining whether knowledge and knowledge goods are shared widely for the benefit of all, or controlled and monopolized for the benefit of a few.

Nos últimos anos, a indústria elétrica brasileira passou, basicamente, por duas reestruturações setoriais, implantadas segundo políticas e ideologias divergentes, mas que convergiram para o mesmo objetivo final: a busca por investimentos privados para dar suporte à expansão do sistema. Esse é o grande desafio do novo modelo institucional de 2004, que surge em um ambiente conturbado, de forte percepção de riscos e incertezas. A própria instabilidade regulatória é a grande responsável pelo recuo e ponderação na hora de investir. Contudo, a pergunta que se faz na presente pesquisa objetiva identificar os fatores motivadores da nova reestruturação setorial. Só assim, pode-se correlacionar os fatos do passado com a recente reforma, identificando possíveis deficiências e fatores críticos de sucesso. Para tanto, o presente estudo recorreu à literatura existente, assim como a entrevistas semi-estruturadas com especialistas do setor elétrico brasileiro. Os dados foram analisados qualitativamente, por meio de categorias estabelecidas a posteriori, buscando-se aceitar ou refutar suposições. As evidências sugerem que, apesar de a nova reforma institucional ter realizado avanços, ao introduzir mecanismos absorvidos, principalmente, a partir das experiências regulatórias dos últimos anos, dificuldades ainda permanecem e devem ser enfrentadas, especialmente no que tange à mitigação dos riscos ambientais e regulatórios, este último, percebido com maior intensidade a partir de 2004. Sendo assim, cabe ao governo federal, representado pelo Ministério de Minas e Energia (MME), conseguir atrair investimentos e proporcionar estabilidade regulatória, a fim de afastar o “fantasma” do racionamento.

This study will collaborate by bringing some detailed analysis and findings on a special case study of a discontinuous product development process, trying to answer how the discontinuous product development process takes place and the main factors that influence this process. Additionally, it tried to explore some explanations for the difficulties generally faced by the companies to sustain innovation. The case is about the Motorola cell phone RAZR V3, launched in 2004. RAZR V3 was noted by industry experts as game-changing feat of design and engineering, selling more than 110 million units by end of 2008 and recognized as one of the fastest selling products in the industry. The study uses a single case methodology, which is appropriate given the access to a phenomenon that happened inside corporate dominium and it is not easily accessed for academic studies, besides being a rare case of success in the cellular phone industry. In order to magnify the understanding of the phenomenon, the exploration was extended to contrast the RAZR development process and the standard product development process in Motorola. Additionally, it was integrated a longitudinal reflection of the company product development evolution until the next breakthrough product hitting the cellular phone industry. The result of the analysis shows that discontinuous products do not fit well traditional product development process (in this case, stage-gate). This result reinforces the results obtained on previous studies of discontinuous product development conducted by other authors. Therefore, it is clear that the dynamics of discontinuous product development are different from the continuous product development, requiring different treatment to succeed. Moreover, this study highlighted the importance of the management influence in all the phases of the process as one of the most important factors, suggesting a key component to be carefully observed in future researches. Some other findings of the study that were considered very important for a discontinuous product development process: have champions (who believe and protect the project) and not only one champion; create a right atmosphere to make flow the creative process; question paradigms to create discontinuous products; simple guiding light to focus the team; company culture that accepts and knows how to deal with risks; and undoubtedly, have a company strategy that understands the different dynamics of continuous and discontinuous product development processes and treat them accordingly.

O mercado brasileiro de ofertas públicas iniciais a partir de 2004 passou por um reaquecimento. O período até 2008, segundo a Agência Brasileira de Desenvolvimento Industrial – ABDI (2009) foi marcado pela aceleração das saídas de investidores em Private Equity e Venture Capital (PE/VC) via mercado de ações. Esses fundos são bem ativos nas empresas investidas e buscam ter acesso e influenciar as decisões dos administradores, exigem um volume grande de informações gerenciais, se preocupam com a profissionalização da gestão da empresa além de impor práticas de governança e transparência. Por serem investidores ativos espera-se que as empresas que tiveram participação desses veículos de investimento no momento anterior a abertura do capital apresentem retornos melhores do que outras sem essa participação. Assim objetivo desse estudo é verificar se há evidencias de que a presença de fundos de private equitiy ou venture capital no capital social da empresa antes de seu lançamento afeta o desempenho de longo prazo de suas ações, no presente estudo estabelecido como até 3 anos. Foi utilizada a metodologia de estudo de eventos para a investigação dos retornos de uma amostra de 126 IPOs ocorridos entre 2004 e 2011 no Brasil. A metodologia empregada tem como base o trabalho de Ritter (1991) com as recomendações de Khotari e Warner (2006), Ahern (2009) e Mackinlay (1997). Para o cálculo dos retronos anormais acumulados, ou cummulative abnormal returns – CAR utilizou-se o retorno ajustado pelo mercado, ou Market Adjusted Returns Equaly Wheighted, MAREW, utilizando como benchmark o Ibovespa e tendo como base um portifólio com pesos iguais. Verificou-se que há um retorno anormal médio de 3,47% no dia do lançamento que com o passar do tempo o retorno se torna negativo, sendo -15,27% no final do primeiro ano, -37,32% no final do segundo ano e chegando a -36,20% no final do terceiro ano. Para verificar o que influencia o CAR no longo prazo, foram relizadas regressões para os períodos de 1, 6, 12, 24 e 36 com as variáveis de controle Tamanho da Empresa, Tamanho da Oferta, Proporção da Oferta Primária, Idade, Quantidade de Investidores e Underprice para medir qual a influência de um fundo de Private Equity no retorno excedente acumulado das ações. A presença de um fundo de Private Equity ou Venture Capital se mostrou significativa apenas depois de seis meses do lançamento.

Private-Public Partnerships (P.P.P.) is a new contractual model institutionalized in 2004 that could be used to remedy to the infrastructure deficit in Brazil. In a context of a principal and agent relation, the public partner goal is to give incentives to the private partner in the contract so that their interests are aligned. This qualitative research presents the findings of an empirical study examining the performance of incentive PPP contracts in Brazil in the highway sector. The goal is to explain how the contracting parties can align their interests in an environment of asymmetric information. Literature identified the factors that can influence PPP design and efficient incentive contracts. The study assesses the contribution of these factors in the building of PPP contracts by focusing on the case of the first and only PPP signed in the highway sector in Brazil which is the MG-050. The first step is to describe the condition of the highway network and the level of compliance of the private partner with the contract PPP MG-050. The second step is to explain the performance of the private partner and conclude if the interests of both partners were aligned in contractual aspects. On the basis of these findings and the analysis of the contract, the study formulates suggestions to improve the draft of PPP contracts from the perspective of the incentive theory of contracts.

This paper has two purposes. First, to construct efficiency scores in tax collection for Brazilian municipalities in 2004, taking into consideration two outputs: amount of per capita local tax collected -tax revenue- and the size of local informal economy- tax base. This methodology eliminates the price- effect of tax collection. Second, using the rules established on the Brazilian Constitution in 1988 to transfer unconditional funds among municipalities as instrument, to estimate the relationship between intergovernmental transfers and efficiency in tax collection. We conclude that transfers affect negatively the efficiency in tax collection, leading to a reinterpretation of the flypaper effect.
