The purpose of this dissertation is to identify the main historical and institutional facts that have led to the present corporate governance policy adopted by Banco do Brasil S.A. (BB). The good practices of corporate governance aim to increase corporate value and facilitate the funding of capital and contribute to company¿s duration over the time. Besides, ensure to the shareholders some governance principles such as disclosure", "compliance", "accountability", "fairness" and ¿corporate responsability¿ By the time BB has been shown its concern about disclosure especially for its close relationship with principal shareholder. ¿ the Brazilian Government, other equity partners and the Brazilian society. Banco do Brasil was founded in 1808 by the Portuguese emperor Dom João VI and today is the oldest bank operating in the local market. BB also was the first company listed on Brazilian stock exchange since 1906. In 1996, after some net losses, the Brazilian Government raised the bank¿s authorized capital in R$ 8 billion. This fact established the first attempts to develop bank¿s corporate governance through the years. Banco do Brasil currently has more than 24.4 million customers, served by a network of 15,113 points of service with R$ 296.4 billion in total assets2. The purpose of this work is to demonstrate the principal measures adopted by Banco do Brasil to reach the top level of corporate governance in the Brazilian stock exchange ¿ the New Market of Bovespa. This top position was reached in June 2006. Banco do Brasil was the first state owned company to reach this level of governance in Brazil. This dissertation was based on Yin's taxonomy methodology as a single case study. This research has used documents and file records as sources of evidence, including longitudinally research to demonstrate the evolution facts through time."

This study has as objective to present a proposal to analyze the politics of the Human Resource of the Bank of Brazil utilizing the Theory of sign" (semiotic) as a theory tool, connecting to the organizational usages that had been historically stable and a new speech from the directory body that search for excellence and modernity. It¿s necessary to identify the adequate strategies to manage human resources in a businesses considered excellent and that the Bank search to utilize (benchmarking), doing a semiotic cut, in other words, isolating the communicative aspect, to find how she produces the understanding of what really need to be done at the company. If the purpose of the Bank of Brazil is to reunite an associated team, guided to results progressively better, that makes it even more competitive, and achieve its mission "to be the solution to services and the finance intermediation, to attend the expectation of clients and shareholders, to fortify the liability between the public functionary and the company and to be useful to society", should implement a model weaved in the daily one of organization to start from the creation of adequate institutional channels rewards (promotions, direct or indirect salaries, training) that privilege the aptitude an constant learning. Through the bibliographical research, will be looked to select illustrious representative texts of the specialized literature that corroborates the idea that the Bank of Brazil possess the necessary management tools to a good management of Human Resources, lacking adjust them, through the acquisition of abilities. For in such a way one will search in internal documents, data on the management of the company, interpreting them to the light of the bibliographical research. Finally it will be included participant comment as link between the theory and the practical one, the speech and the action."

Why did house prices fall in 2007‐2009? This is the fundamental question to most Americans, and to those who lent them money. Most homeowners did not care why residential real estate prices rose. They assumed prices always rose, and they should simply enjoy their good fortune. It was not until prices began to fall that people were left searching for answers. How much did regulation or lack thereof play in the role of the devastation? To what degree did greed and unrealistic consumer expectation have on the real estate bubble? Using existing literature as well as face to face interviews of experienced leaders within the real estate industry in California who experienced both the up and down of the real estate cycle, the overarching purpose of this study is to investigate the opinions and beliefs of the leaders and drivers within the real estate industry about the cause of the real estate bubble that occurred sharply in 2008 . Specifically, this project will focus on the opinions of real estate industry leaders who worked in the center of the subprime universe located in Irvine, California, during 2004‐2008. Comparing the mainstream beliefs with the interviewees it is fair to say that the main finding in the mainstream beliefs are reflected very well with the finding of the subject’s opinion. The thesis is divided into 6 chapters starting with “introduction”, followed by chapter 2 “Literature Review”. Chapter 3 is “Research Methodology” followed by chapter 4 “Data Presentation”. Finally, the results are discussed in chapter 5 “Analysis and Discussion” and conclusions in Chapter 6.

Esta dissertação investiga a efetividade das práticas de governança corporativa contidas no Regulamento do Novo Mercado (RNM), segmento especial de listagem da BM&FBOVESPA criado em 2000. Em tese, tais práticas deveriam assegurar a proteção efetiva dos direitos dos investidores de companhias desse segmento. Contudo, alguns casos ocorridos ao longo da primeira década do Novo Mercado lançaram dúvida sobre o respeito aos direitos dos acionistas de suas companhias. Entre eles, dois casos se destacam: Cosan, em 2007, e Tenda, em 2008. Especificamente, a presente pesquisa analisa qualitativamente e em profundidade ambos os casos a fim de verificar se as regras do RNM e as instituições responsáveis por sua aplicabilidade foram suficientes para proteger os investidores. Metodologicamente, utilizou-se a abordagem de estudo de caso de “crise corporativa” e “autopsia institucional” baseada em MILHAUPT e PISTOR (2008). Observou-se que o Novo Mercado foi resultado de um transplante jurídico e que a mera adoção de regras do segmento não foi suficiente para garantir a proteção efetiva aos investidores. Como resultado principal, concluiu-se que as operações societárias lideradas pelos controladores das companhias não só contrariaram regras do segmento (e princípios de governança que nortearam sua criação) como também podem ter infringido a regulação. Com isso, evidencia-se a falta de fiscalização do cumprimento das regras e de punição por parte da BM&FBOVESPA, bem como uma atitude insuficiente da CVM quando de potenciais infrações a dispositivos do ambiente regulatório brasileiro. Por outro lado, o Novo Mercado foi, no mínimo, indiretamente responsável pelo aprimoramento do arcabouço regulatório brasileiro na incorporação de novos instrumentos de proteção aos investidores. Os resultados deste trabalho podem auxiliar na elaboração de reformas na regulação e autorregulação a fim de facilitar a executoriedade das normas já existentes, a qual pode proporcionar maior credibilidade ao mercado de valores mobiliários e fomentar, em última instância, o desenvolvimento do mercado de capitais brasileiro. Trata-se de discussão fundamental, haja vista que a credibilidade do segmento mais exigente quanto às práticas de governança da Bolsa depende da proteção efetiva aos investidores, razão de criação do Novo Mercado.

The present paper aspires to join two different debates: (i) what is the State’s best organizational model to promote distinctive public services; and (ii) what role Law should perform in the promotion of a nation’s economic and social development. More specifically, this study examines whether the institutions created by the Brazilian normative system are able to balance the antagonist interests of the State and minority shareholders in a Government-Controlled Corporation. In this pursuit, this paper analyzes the changes that occurred in SABESP S.A. during the period between the years of 2000 – 2010, of major transformations in the Brazilian Water and Sewage sector. At that time, the company was introduced to the Novo Mercado of BM&FBovespa, was forced to execute agreements with conceding authorities and started to be monitored by ARSESP, an independent regulatory agency. Initial findings suggest that these institutions were able to create incentives for the company to strive for a more efficient performance, often succeeding in aligning the contrasting interests of the State and minority shareholders. Final conclusions are that: (i) Government-Controlled Corporations can be powerful public policy promotion instruments in sectors that are complex and capital intensive; and (ii) Law can and should perform a much more active role in sponsoring economic and social development than merely acting to diminish transaction costs to allow for the adequate functioning of markets.

Best corporate governance practices published in the primers of Brazilian Securities and Exchange Commission and the Brazilian Corporate Governance Institute promote board independence as much as possible, as a way to increase the effectiveness of governance mechanism (Sanzovo, 2010). Therefore, this paper aims at understanding if what the managerial literature portraits as being self-evident - stricter governance, better performance - can be observed in actual evidence. The question answered is: do companies with a stricter control and monitoring system perform better than others? The method applied in this paper consists on comparing 116 companies in respect to the their independence level between top management team and board directors– being that measured by four parameters, namely, the percentage of independent outsiders in the board, the separation of CEO and chairman, the adoption of contingent compensation and the percentage of institutional investors in the ownership structure – and their financial return measured in terms return on assets (ROA) from the latest Quarterly Earnings release of 2012. From the 534 companies listed in the Stock Exchange of Sao Paulo – Bovespa – 116 were selected due to their level of corporate governance. The title “Novo Mercado” refers to the superior level of governance level within companies listed in Bovespa, as they have to follow specific criteria to assure shareholders ´protection (BM&F, 2011). Regression analyses were conducted in order to reveal the correlation level between two selected variables. The results from the regression analysis were the following: the correlation between each parameter and ROA was 10.26%; the second regression analysis conducted measured the correlation between the independence level of top management team vis-à-vis board directors – namely, CEO relative power - and ROA, leading to a multiple R of 5.45%. Understanding that the scale is a simplification of the reality, the second part of the analysis transforms all the four parameters into dummy variables, excluding what could be called as an arbitrary scale. The ultimate result from this paper led to a multiple R of 28.44%, which implies that the combination of the variables are still not enough to translate the complex reality of organizations. Nonetheless, an important finding can be taken from this paper: two variables (percentage of outside directors and percentage of institutional investor ownership) are significant in the regression, with p-value lower than 10% and with negative coefficients. In other words, counter affirming what the literature very often portraits as being self-evident – stricter governance leads to higher performance – this paper has provided evidences to believe that the increase in the formal governance structure trough outside directors in the board and ownership by institutional investor might actually lead to worse performance. The section limitations and suggestions for future researches presents some reasons explaining why, although supported by strong theoretical background, this paper faced some challenging methodological assumptions, precluding categorical statements about the level of governance – measured by four selected parameters – and the financial return in terms of financial on assets.

Esta tese investiga se a composição do endividamento dos bancos afeta sua política de dividendos. Identificou-se que investidores sensíveis a informações (investidores institucionais) são alvos de sinalização através de dividendos por parte dos bancos. Utilizando uma base de dados exclusiva de bancos brasileiros, foi possível identificar vários tipos de credores, especificamente, investidores institucionais, empresas não financeiras e pessoas físicas, que são alvos potenciais de sinalização por dividendos. Adicionalmente, a existência de vários bancos de capital fechado, controlados e geridos por um pequeno grupo de acionistas, em que a sinalização direcionada a acionistas é implausível, permite inferir que bancos que utilizam mais fundos de investidores sensíveis a informações (institucionais) pagam mais dividendos, controlando por diversas características. Durante a crise financeira, este comportamento foi ainda mais pronunciado. Esta relação reforça o papel dos dividendos como uma forma custosa e crível de comunicar sobre a qualidade dos ativos dos bancos. A hipótese de que os dividendos podem ser utilizados como uma forma de expropriação dos depositantes por parte dos acionistas é refutada, uma vez que, se fosse esse o caso, observar-se-ia esse maiores dividendos em bancos com depositantes menos sensíveis a informação. Além disso, foi verificada uma relação negativa entre o pagamento de dividendos e o custo de captação (juros pagos em certificados de depósito bancário) e uma relação positiva de dividendos com o tamanho e com os lucros passados, e que os bancos de capital fechado pagam mais dividendos do que os de capital aberto, uma descoberta que também se alinha com a ideia de que os depositantes seriam os alvos da sinalização por dividendos. Finalmente, encontrou-se também uma relação negativa entre dividendos e adequação de capital do bancos, o que indica que pressões regulatórias podem induzir os bancos a pagar menos dividendos e que o pagamento de dividendos é negativamente relacionado com o crescimento da carteira de crédito, o que é consistente com a ideia de que os bancos com maiores oportunidades de investimento retêm seus lucros para aumentar seu patrimônio líquido e sua capacidade de conceder crédito.

This article analyzes the institutional drivers of Brazil’s alarmingly high levels of litigation between clients and financial institutions. Most of the policy oriented literature that explores that phenomenon discusses the impacts of a perceived debtor-friendly bias of Brazilian courts on generating feedback loops of litigation that further increases interest rates and creates adverse selection within the pool of potential debtors. This literature therefore addresses the way courts behave once disputes reach their doorstep; conversely, we take a step back to understand the underlying reasons for why such a large number of disputes end up in courts in the first place. We accordingly attribute endemic litigation in Brazilian financial markets to a framework of political, economic and legal institutions and circumstances, which this article aims to unbound and explain.

Apos uma década de rápido crescimento econômico na primeira década do século 21, Brasil e Turquia foram considerados duas das economias emergentes mais dinâmicas e promissoras. No entanto, vários sinais de dificuldades econômicas e tensões políticas reapareceram recentemente e simultaneamente nos dois países. Acreditamos que esses sinais e a sua simultaneidade podem ser entendidos melhor com um olhar retrospectivo sobre a história econômica dos dois países, que revela ser surpreendentemente paralela. Numa primeira parte, empreendemos uma comparação abrangente da história econômica brasileira e turca para mostrar as numerosas similaridades entre os desafios de política econômica que os dois países enfrentaram, assim como entre as respostas que eles lhes deram desde a virada da Grande Depressão até a primeira década do século 21. Essas escolhas de política econômica comuns dão forma a uma trajetória de desenvolvimento notavelmente análoga, caracterizada primeiro pela adoção do modelo de industrialização por substituição das importações (ISI) no contexto da recessão mundial dos anos 1930; depois pela intensificação e crise final desse modelo nos anos 1980; e finalmente por duas décadas de estabilização e transição para um modelo econômico mais liberal. Numa segunda parte, o desenvolvimento das instituições econômicas e políticas, assim como da economia política subjacente nos dois países, são analisados comparativamente a fim de prover alguns elementos de explicação do paralelo observado na primeira parte. Sustentamos que o marco institucional estabelecido nos dois países durante esse período também têm varias características fundamentais em comum e contribui a explicar as escolhas de política econômica e as performances econômicas comparáveis, detalhadas na primeira parte. Este estudo aborda elementos do contexto histórico úteis para compreender a situação econômica e política atual nos dois países. Potencialmente também constitui uma tentativa de considerar as economias emergentes numa perspectiva histórica e comparativa mais ampla para entender melhor as suas fraquezas institucionais e adotar um olhar mais equilibrado sobre seu potencial econômico.

Large shareholders of firms with majority bIocks are often at the heIm of their companies and do not necessarily have the same interests as minority shareholders. We show that bargaining problems Ied by the presence of muItipIe controlling shareholders protect minority shareholders. The same bargaining problems, however, prevent efficient decisions. By solving this trade-off we find that i) muItipIe controlling shareholders should be present in firms with Iarge costs of diIuting minority shareholders and in firms with Iarge financing requirements, ii) an optimal ownership structure requires the presence of a dass of shareholders - the minority shareholders - with no control over corporate decisions. Evidence on the ownership structure of dose corporations in the V.S. is consistent with our model.
