Corporate governance has been in the spotlight for the past two decades, being subject of numerous researches all over the world. Governance is pictured as a broad and diverse theme, evolving through different routes to form distinct systems. This scenario together with 2 types of agency problems (investor vs. management and minorities vs. controlling shareholders) produce different definitions for governance. Usually, studies investigate whether corporate governance structures influence firm performance, and company valuation. This approach implies investors can identify those impacts and later take them into consideration when making investment decisions. However, behavioral finance theory shows that not always investors take rational decisions, and therefore the modus operandi of those professionals needs to be understood. So, this research aimed to investigate to what extent Brazilian corporate governance standards and practices influence the investment decision-making process of equity markets' professionals from the sell-side and buy-side. This exploratory study was carried out through qualitative and quantitative approaches. In the qualitative phase, 8 practitioners were interviewed and 3 dimensions emerged: understanding, pertinence and practice. Based on the interviews’ findings, a questionnaire was formulated and distributed to buy-siders and sell-siders that cover Brazilian stocks. 117 respondents from all over the world contributed to the study. The data obtained were analyzed through structural equation modeling and descriptive statistics. The 3 dimensions became 5 constructs: definition (institutionalized governance, informal governance), pertinence (relevance), practice (valuation process, structured governance assessment) The results of this thesis suggest there is no definitive answer, as the extent to which governance will influence an investment decision process will depend on a number of circumstances which compose the context. The only certainty is the need to present a “corporate governance behavior”, rather than simply establishing rules and regulations at firm and country level.

Aiming at success in the currently challenging Brazilian market, luxury firms must consider a number of factors. Not only the adaptation to certain economic and political conditions but also the understanding of Brazilian luxury consumers’ characteristics as well as their value perceptions towards luxury are crucial in order to create an effective marketing strategy. This study investigated the value perceptions and purchasing motives of 428 Brazilian consumers. Brazilians purchase luxury goods in order to conspicuously put them on show to certain social reference group or to the general public. Thus, they display their wealth, income and social status. Social groups therefore play a distinct role in the purchasing decision process. Moreover, Brazilians are found to be hedonic consumers, seeking pleasurable moments and the reduction of stress when consuming luxury products. In addition to that, they use luxurious products to express their own personality. Brazilians hence place a much higher importance on self-expressive, emotional product benefits rather than on rational, functional product benefits. Marketers of luxury goods are advised to make use of this knowledge in order to adequately address consumers’ needs, wants and beliefs. The study focuses on consumers living in Rio de Janeiro and does not take into account different value perceptions on different luxury product categories. Therefore, suggestions for further research include replicating the study in different Brazilian regions and probing for differences among product categories.

This paper is a theoretica1 and empirica1 study of the re1ationship between indexing po1icy and feedback mechanisms in the inflationary adjustment process in Brazil. The focus of our study is on two policy issues: (1) did the Brazilian system of indexing of interest rates, the exchange rate, and wages make inflation so dependent on its own past values that it created a significant feedback process and inertia in the behaviour of inflation in and (2) was the feedback effect of past inf1ation upon itself so strong that dominated the effect of monetary/fiscal variables upon current inflation? This paper develops a simple model designed to capture several "stylized facts" of Brazi1ian indexing po1icy. Separate ru1es of "backward indexing" for interest rates, the exchange rate, and wages, reflecting the evolution of po1icy changes in Brazil, are incorporated in a two-sector model of industrial and agricultural prices. A transfer function derived irom this mode1 shows inflation depending on three factors: (1) past values of inflation, (2) monetary and fiscal variables, and (3) supply- .shock variables. The indexing rules for interest rates, the exchange rate, and wages place restrictions on the coefficients of the transfer function. Variations in the policy-determined parameters of the indexing rules imply changes in the coefficients of the transfer function for inflation. One implication of this model, in contrast to previous results derived in analytically simpler models of indexing, is that a higher degree of indexing does not make current inflation more responsive to current monetary shocks. The empirical section of this paper studies the central hypotheses of this model through estimation of the inflation transfer function with time-varying parameters. The results show a systematic non-random variation of the transfer function coefficients closely synchronized with changes in the observed values of the wage-indexing parameters. Non-parametric tests show the variation of the transfer function coefficients to be statistically significant at the time of the changes in wage indexing rules in Brazil. As the degree of indexing increased, the inflation feadback coefficients increased, while the effect of external price and agricultura shocs progressively increased and monetary effects progressively decreased.

Is the capital structure choice of a foreign subsidiary different from the choice of a comparable company controlled by nationals? If so, what are the differences? In this paper we shed some light on these questions by looking at a sample of foreign subsidiaries in Brazil over the period 1985 to 1994. We find that the foreign subsidiaries in our sample are more levered than their Brazilian counterparts. This difference, however, has declined over time. The evidence is consistent with the hypothesis that foreign subsidiaries increase leverage as a hedge against an expropriation of assets in a nationalization process.

This paper reviews part of the political economy literature on exchange rate policy relevant to understanding the political motivations behind the Brazilian exchange rate policy. We shall first examine the distributive role of the exchange rate, and the way it unfolds in terms of the desired political goals. We will follow by analyzing exchange policy as indicative of government effciency prior to elections. Finally, we discuss fiscal policy from the point of view of political economy, in which the exchange rate results from the macroeconomic equilibrium. Over this review, the Brazilian exchange rate policy is discussed in light of the theories presented.

The Real Plan has succeeded in stabilizing the Brazilian inflation. The consumer price inflation has been reduced from 11260 percent per year, in June 1994, to an estimate of 8 percent in 1997. The lower inflation resulted in a remarkable income distribution, and in an increased private consumption. The plan managed to control the inflationary effects of the increased demand with some traditional measures: A more liberalized economy, a moving (and overvalued) exchange rate band, high interest rate differentials, and a tight domestic credit policy. The government has, so far failed to accomplish the fiscal adjustment. The price stabilization has largely depended on the current account deficit. However, macroeconomic indicators do not present reasons for concern about the current account sustainability, in the medium-run. The economy may be trapped in a low-growth vicious cycle, represented by a stop-and-go trend, due to the two-way endogencity between domestic saving and growth. Economic growth depends on policies in increase the public sector saving, to secure the privatization of the State enterprises, and to promote investments. The major problem for the government action is, as always, in the political sphere. Approximately 80 percent of the Central Government net revenue are allocated to the social sectors. Consequently, the fiscal reform will hue to deal with the problem of re-designing the public sector’s intervention in the social area. Most probably, it will be inevitable to cut the social area budget. This is politically unpleasant.

As to many Latin american countries, the impacts of the recent economic globalization on the Brazilian economy have revealed a diversified tendency in spatial development when regional economic indicators are observed. This is due to the specificities or each region, as regard their sector structure, the availability of human resources and the degree of technological innovation undertaken by local enterprises. From a situation of regional inequalities observed in lhe socio-economic levels of development at the beginning of the eighties the dynamics of the Brazilian regional evolution has presented different speeds and intensities in the several spaees. This paper aims to evaluate the dynamics of Brazilian regional development during the 1985-95 period and the impacts over the working population and regional disparities in order to offer some elements to assist social and economic policy. For this purpose Dispersion Quotients and Dispersion lntensity Coefficients were calculated based on two variables, the Regional Gross Domestic Product anel the Working Population. The results of the analysis confirm the existence of considerable regional disparities and it was observed that thc sector and regional redistribution of the GDP indicate that in a general way, no remarkable changes occurred in the regional development in the period. The results show that although the economic policies did stimulate a global convergence process of the per capita product among regions, those policies did not attenuate economic dynamism concentration to the desired extent.

This paper aims to evaluate the dynamics of Brazilian regional development during the 1985-95 period. First, regional inequalities indexes were calculated for the whole country’s economy based on the per capita regional income (Williamson Inequality Index), in order to test the convergence or divergence. After this, the analysis aimed to verify the sector and regional dynamics in a more detailed exam, and for this purpose Dispersion Quotients and Dispersion Intensity Coefficients were calculated based on two variables, the Regional Gross Domestic Product and the Working Population. The results of the analysis confirm the existence of considerable regional disparities and it was verified that the sector and regional redistribution of the GDP indicate that, in a general way, no remarkable changes occurred in the regional productive structures in the period. It is also inferred that the economic policy at that period, in spite of resulting in a global regional convergence process of the per capita product, did not avoid the continuation of the concentration of greater economic dynamism in the most advanced regions, nor did it diminish in any considerable way the difference in the degree of development of the Northeast region.

O principal objetivo dessa dissertação é analisar, através de um estudo caso, como a questão do “preconceito intergrupal” pode ser percebida no desenvolvimento histórico de pequenos municípios brasileiros. Escolhendo a história da memória da cidade de Cachoeira da Prata como objeto central, buscamos discutir como ocorreu o processo de diferenciação social da pequena comunidade formada pelos descendentes do ex-escravo Nicolau Teixeira do restante da cidade. Para tanto, dividimos a dissertação em duas partes. A primeira é formada pelos três primeiros capítulos, nos quais apresentamos a vila fabril de Cachoeira de Macacos como o cenário, no qual o cel. Américo Teixeira é identificado como o líder maior de um projeto de domínio político e industrial que deixou marcas duradouras na memória da população mais antiga da cidade. Nesse contexto, buscamos discutir como o fenômeno do pós-emancipação da escravidão se manifestou na localidade, analisando parte da trajetória de vida do ex-escravo Nicolau Teixeira, um leal apoiador do projeto político do cel. Américo, que se tornou, na primeira metade do século XX, o patriarca de uma comunidade criada nas imediações da antiga vila fabril. Na segunda parte, composta exclusivamente pelo quarto capítulo, discutimos de maneira conjugada, a história da diferenciação social da comunidade e diferentes posicionamentos políticos e metodológicos que adotamos ao longo da pesquisa. Após essa análise, concluímos que só é possível entender os meandros do processo que levou os descendentes de Nicolau Teixeira à condição de exclusão social após percebê-los como atores capazes de elaborar narrativas e representações que auxiliam a população de Cachoeira da Prata a conhecer um “outro lado” da história local.

This research analyses the process of academic and practical formation of a particular group of political elite in Brazil, the economists. So, one characterizes the graduate programs of economics, in terms of their theoretical approach, their relationships with the government and private enterprises. The study also takes into account the role played by the applied research and economic planning agencies in the process of legitimation of the economists as ruling elites in Brazil.

Desde o início dos anos oitenta, o governo federal brasileiro passou a substituir a receitas de impostos tradicionais por receita de contribuições sociais (cumulativas) na composição da sua receita total (mudança de gestão). Alega-se que este procedimento é uma conseqüência das regras de compartilhamento estabelecidas (receitas de impostos do governo federal são compartilhadas com estados e municípios enquanto que receitas de contribuição não o são).Existem argumentos na literatura mostrando que este processo de descentralização das receitas teve sua origem na mudança de regime político (militar para democrático), outros com a nova Constituição de 1988 e, por último, outros afirmando que ele só foi possível porque a ineficiência das contribuições foi encoberta pela ineficiência alocativa da inflação. Por outro lado, fatos ocorridos no mesmo período, embora não citados na literatura, poderiam explicar ou ajudar na explicação deste comportamento. Entre eles, a fragmentação do poder executivo a partir de 1989 com a primeira eleição presidencial e/ou o processo de abertura da economia a partir dos anos noventa. Usando a técnica de OLS, observou-se que a Nova Constituição e a abertura da economia explicariam esta mudança de gestão. De qualquer forma, independente do que esteja explicando esta mudança, ela é apontada como altamente prejudicial a competitividade das exportações brasileiras. Existem várias proxies tentando medir este efeito, nenhuma delas considerando uma medida de gestão. Resolvemos realizar esta tentativa. Como tínhamos desconfiança da exogeneidade da variável representativa da abertura da economia no teste anterior, tratamos a questão com o instrumental de séries de tempo. No longo prazo, descobrimos que a mudança de gestão afeta negativamente as exportações e positivamente a abertura da economia por ser menos punitiva com as importações em termos de competitividade (as contribuições incidem apenas na comercialização dos produtos importados). Este relatório apresenta os resultados iniciais de uma pesquisa de longo prazo sobre a presidência Brasileira e os outros poderes da federação. Várias pesquisas realizadas separadamente enfatizam a crescente importância do executivo, legislativo, e judiciário na política Brasileira desde a Constituição de 1988. Este relatório argumenta que, tomadas como um todo, estas pesquisas mostram um processo decisório mais complexo mais contestado, e mais democrático. Uma resenha das bibliografias recentes sobre as relações entre os três poderes no Brasil e nos Estados Unidos mostra a necessidade de mais pesquisa comparada sobre a separação dos poderes nestes dois países. O relatório também comunica os passos iniciais na organização de um banco de dados sobre sobre tendências de gastos entre os poderes da união a partir de dados oficiais sobre o Orçamento federal de 1995-2002.

Os processos de negociação sobre poluição transfronteiriça na América Latina têm sido pouco analisados. Esta tese examina o caso das negociações, os acordos assinados entre Brasil e Uruguai pelo risco de contaminação transfronteiriça produzida pela Usina Termelétrica Presidente Médici (UTPM) e a implementação dos acordos. O processo é analisado desde o seu início em 1988, estendendo-se até 2002. Em primeiro lugar, a tese explica porque o processo de negociação tornou-se possível. A explicação está baseada em três fatores: a existência de uma relação de confiança mútua e de cooperação desenvolvida através do tempo entre ambos Estados; o interesse dos órgãos brasileiros de controle ambiental em melhorar os controles sobre a UTPM; e a falta de alternativas melhores para as partes. Fatores de contexto – como o processo de integração regional, através do Mercosul, e a mudança na política ambiental brasileira – também contribuíram para que o país se interessasse em resolver o problema. O resultado foi positivo para ambas as partes, que decidiram assinar um acordo para a implementação de um monitoramento conjunto. Este monitoramento não comprovou a existência de chuva ácida no Uruguai. Em segundo lugar, a tese revela que a “fraqueza” institucional dos acordos não foi impedimento para que fossem implementados. Ao contrário, permitiu que as autoridades brasileiras cooperassem com Uruguai na realização de um monitoramento sobre a região. Em terceiro lugar, é mostrado que o processo de implementação dos acordos (1991-2002) favoreceu o aumento da capacidade institucional do órgão de controle ambiental do Uruguai e da FEPAM (Brasil), aperfeiçoou o sistema de controle do comportamento ambiental da empresa, e forçou a UTPM a tomar medidas de melhorias ambientais. Por último, a tese deixa claro que o processo de implementação não foi concluído porque o interesse político pelo tema diminuiu em ambos os países, vindo a se tornar um debate meramente técnico

The major purpose of this thesis is to verify, from a Brazilian perspective, how global and contextual issues influence the management learning in Multinationals. The management learning derived from the interaction of holding and sidiaries/colligates of Multinational corporation is supposed to be subject to convergent and divergent forces, the former related to global and standardized organizational practices, and the latter, is seen as a social practice subject to cultural and organizational singularities. A model was constructed to relate the dichotomy between the universality of the management practices and technologies and the particularity of the contexts where they operate, to the dichotomy between the singularities in organization and national level. This model is composed of the international, global, managerial and inter-organizational dimensions related, respectively, to the cultural and political diversity; to the universal forces of practices and values; to the managerial capabilities and resources in the organization, consolidated as best practices and to the interaction between holding and subsidiaries and the resulted learning. The combined result of these dimensions influences the knowledge flow and the learning derived from it. The field research was constituted of five cases of internationalized Brazilian firms, with a solid experience in their management systems. The main subjects of this study were executives and ofessionals/managers who respond to the management development. The data were first collected in the headquarters and complemented with visits to subsidiaries/joint ventures in other countries, in loco or with expatriated people who return to Brazil. The central supposition was validated. So, the management learning ¿ is driven by the global capitalism practices and by the global culture where they are immersed, reproducing a hegemonic vision and a common language (global dimension); ¿ incorporates the more propagated and dominant managerial values, although there are some variations when they are applied in the subsidiaries/joint ventures; is the product of the assimilation of international recognized and planned managerial practices, with the acculturation power, although not completely; is the result mainly of the managerial practice in work; is impacted not only by cross-cultural and managerial factors, but also by the business environment of the firm; is given according to the capabilities and resources in the organization, guiding the form of assimilation of practices and technologies, with global application or not (managerial dimension); ¿ is affected by the cross-cultural diversity involving the countries of the holding and the subsidiaries/joint ventures where the firm is and is given as a reproduction of the political context of the holding and subsidiaries countries (international dimension); ¿ faces aligned concurrent institutional pressures between corporate or global systems, practices of other subsidiaries/joint ventures and local practices; is more difficult to reach when there is not permeability between organizational cultures and identities of a Multinational firm; is affected by how much the relationship process across these unities is self-referenced; is facilitated by the construction and improvement of the knowledge network (interorganizational dimension). Finally some contributions of this study are exposed, including extensions of the proposed model and suggestions, recommendations for future research.
