Resumo:
A utilização da cláusula de melhores esforços, ou best efforts, é prática comum do empresariado e advogados nacionais. Este trabalho realiza um levantamento a fim de demonstrar a alta incidência em acordos sofisticados entre acionistas de companhias abertas brasileiras. Tal inclusão tem fortes motivos econômicos, a justificar o reconhecimento e interpretação pelo aplicador do direito nacional. O padrão de conduta dessa obrigação de meio deve ser analisado por critérios distintos, por meio de elementos subjetivos e objetivos, bem como à luz do contexto social e usos e costumes relacionados, baseados em normas e princípios de direito privado amplamente aceitos. A escassa jurisprudência sobre o tema bem como a já consolidada jurisprudência norte-americana contribuem para o melhor entendimento sobre a natureza jurídica e o modelo de interpretação de conduta a ser aplicado, diferenciando a obrigação de melhores esforços dos deveres decorrentes da boa-fé objetiva. Entre as conclusões, pode-se mencionar que a cláusula de melhores esforços não deve ser igualada aos deveres de boa-fé ou a um mero dever moral. Seu reconhecimento legal como padrão de conduta distinto, apurado conforme cada caso, deve ser amparado pelo ordenamento jurídico nacional

Over the last decades, there is an increasing concern around what should be the role played by the World Trade Organization before the proliferation of preferential and plurilateral trade agreements (PTAs). Moreover, the expansion of the trade agenda through issues not encompassed by the WTO agreements, such as sustainability and global value chains led to a process of fragmentation of international trade law, strengthening the false idea that there would be a complete antagonism between preferentialism and multilateralism. As tariff preferences have diminished in importance, non-tariff measures as domestic regulation have become relatively more significant as determinants of market access and the conditions of competition. Given this equation, and regarding the importance to safeguard the progress achieved by the multilateral trade system, the present article seeks to elucidate some points considered relevant to the regulatory barriers subject and, therefore, address the role that can be attributed to the WTO as a key to effective governance of trade regulatory cooperation

The debate on the link between trade rules and rules on exchange rates is raising the attention of experts on international trade law and economics. The main purpose of this paper is to analyze the impacts of exchange rate misalignments on tariffs as applied by the WTO – World Trade Organization. It is divided into five sections: the first one explains the methodology used to determine exchange rate misalignments and also presents its results for Brazil, US and China; the second summarizes the methodology applied to calculate the impacts of exchange rate misalignments on the level of tariff protection through an exercise of “misalignment tariffication”; the third examines the effects of exchange rate variations on tariffs and their consequences for the multilateral trading system; the fourth one creates a methodology to estimate exchange rates against a currency of the World and a proposal to deal with persistent and significant misalignments related to trade rules. The relationship between Islamic Law and other legal systems (basically western type domestic legal orders and international law) is often thought of in terms of compatibility or incompatibility. Concerning certain subject matters of choice, the compatibility of Islamic (legal) principles with the values embedded in legal systems that are regarded as characteristic of the Modern Age is tested by sets of questions: is democracy possible in Islam? Does Islam recognize human rights and are those rights equivalent to a more universal conception? Does Islam recognize or condone more extreme acts of violence and does it justify violence differently? Etc. Such questions and many more presuppose the existence of an ensemble of rules or principles which, as any other set of rules and principles, purport to regulate social behavior. This ensemble is generically referred to as Islamic Law. However, one set of questions is usually left unanswered: is Islamic Law a legal system? If it is a legal system, what are its specific characteristics? How does it work? Where does it apply? It is this paper`s argument that the relationship between Islamic Law and domestic and international law can only be understood if looked upon as a relationship between distinct legal systems or legal orders.

How to deal with the impacts of the exchange rate on the trade balance of Brazil? There is not a single answer to such question. In order to find out some legal approaches for this matter, this paper aims to describe and analyze the role of the IMF, WTO and the governments of Brazil and the United States on the currency misalignments, especially the extraterritorial effects of such misalignment on the Brazil’s bilateral trade with the United States. The article concludes that the Currency Swap Agreements and other bilateral solutions may minimize the distortions that the Brazilian balance of payment against the USA is carrying, due to the lack of legal solutions for the problem of the exchange rate misalignments that Brazil is facing.

This paper presents the result of a qualitative empirical research about the “Criatec Fund”, a venture capital fund, privately managed and directed to innovative firms, that was created in 2007 by the Brazilian Development Bank (BNDES). The paper discusses the role of law in the implementation of the Criatec Fund in three different legal dimensions: structural, regulatory and contractual. Based on interviews, this paper tries to test some hypothesis previously formulated by some scholars that studied new financial policies created by the BNDES. This study explains the institutional arrangements of this seed capital policy and the role of flexible legal instruments in the execution of this peculiar type of publicprivate partnership. It also poses some questions to the “law and development agenda” based on some insights from the economic sociology of law.

Este artigo consiste em uma resenha crítica sobre a reflexão de Anne-Marie Slaughter para uma aproximação interdisciplinar entre Direito Internacional e Relações Internacionais. Slaughter tem sido apontada, internacionalmente, como uma das protagonistas neste debate acadêmico, e sua obra é indicada como uma das mais influentes na academia dos Estados Unidos da América, no século XX. Em tempos de aproximação entre juristas e internacionalistas no Brasil, o artigo procura contribuir com a contextualização da produção da autora, bem como elucidar os momentos de influência das suas atividades em outros centros de discussão e produção. A proposta principal deste artigo é, assim, favorecer um mapeamento histórico e contextualizado da chamada para o debate interdisciplinar entre Direito Internacional e Relações Internacionais, a partir dos trabalhos de um de seus pivôs na academia nos Estados Unidos.
