this paper is about EU “soft policies” on immigrant integration. It analyzes the “Common Basic Principles” (CBPs) and the “European Integration Fund” (EIF), two devices that have been recently established within this framework. It adopts the theoretical perspective of the “anthropology of policy” and “governmentality studies”. It shows the context of birth of the aforementioned devices, as well as their functioning and the assessment done by the actors implied in the elaboration/implementation/evaluation of the related policies. It is based both on documentary research as well as direct observation and interviews done to the actors implied. It concludes that the PBC and the EIF should be considered as a “technology of government”, that strives to align the conduct of the actors with the governmental aims, as well as it produces specific practices and knowledge. It also underlines an intrinsic feature of many policies: their “congenital failure”, since they are (often) disputed and resignified by situated actors, who are embedded in asymmetrical power relations.

Among the duties of the government bodies’ members of the different entities, which are connected to the good government, the duty of loyalty must be underlined. This duty, derived from the good-faith duty, obliges to act in the interest of the entity in case of conflict of interest, and to subordinate one’s own interests, except when there is an authorisation. Loyalty duty is applicable both to managers, who must manage the entity’s interest, and to partners, according to the common purpose derived from the company contract. This duty, at the same time, includes some particular rules, referred to transparency, remuneration, prohibition of competition, self-contracting... This essay compares the regulation of the duty of loyalty and its realizations in the different Cooperative Laws in Spain, both referring to the managers and to the partners, comparing this, at the same time, with the regulation of these aspects in companies’ general legislation, an in the Spanish Corporate Enterprises Act in particular, in order to obtain a general view of the issue, a necessary basis to go more deeply into it, and suggesting some preliminary conclusions or assessments.

La igualdad ante la ley es uno de los derechos fundamentales de las Constituciones modernas. Sin embargo, hay algo más. De hecho podría decirse que los modernos sistemas jurídicos se han ido formando alrededor de la idea de igualdad. El valor de la igualdad parece expresar una manera común de entender las relaciones humanas, especialmente en el caso de la igualdad de género, expresamente mencionado por el artículo de las Constituciones democráticas modernas que se refiere al principio de igualdad ante la ley. El presente estudio trata esa forma específica de igualdad que se caracteriza por la paradoja de querer tratar como igual lo que es diferente, o sea, de hacer distinciones sin discriminar. Con este fin nos referimos al enfoque jurídico y al enfoque político del tema como se encuentran en la reforma del derecho de familia. No es un problema de una específica legislación nacional, sino más bien una versión específica de un problema de nivel general. Se trata de la imposibilidad de construir como indistinguible lo que es diferente. El intento político de reformar el derecho de familia para implementar el principio constitucional de igualdad no consigue resolver el problema. Éste vuelve a aparecer por la imposibilidad que el derecho funcione sin crear diferencias. Al mismo tiempo, surgen problemas nuevos relacionado con formas nuevas de organizar la vida familiar.
