L’alerte éthique : vers une gouvernance omnicanal ?

Is the creation of a whistleblowing mechanism likely to strengthen corporate governance? This will be the subject of this legal study which first seeks to identify the existing legal instruments in French law, while briefly comparing them with those that exist abroad to map these mechanisms and identify structural features. Then the vocation of whistleblowing as corporate governance lever will be examined, including by questioning the effectiveness of the device.

La création de l’alerte éthique est-elle de nature à renforcer la gouvernance d’entreprise ? Ce sera l’objet de cette étude juridique qui vise tout d’abord à identifier les instruments légaux existant en droit français, tout en les comparant brièvement avec ceux qui existent à l’étranger afin de cartographier ces mécanismes et en identifier les caractéristiques structurelles. Ensuite, la vocation de l’alerte éthique en tant que levier de la gouvernance d’entreprise sera examinée, notamment en questionnant l’efficacité du dispositif.
