The forces of globalisation over the last few decades have created opportunities for intemational business as never before, whilst leaving no organisation immune to competition. With the Global Financial Crisis impacting the world economy, the BRIC economies as a group - Brazil, Russia, India and China, have steadily benefited from continuing growth in 2008 and 2009 (Bhattacharya, Hemerling and Waltermann,2010). Despite China being a key international trading partner for Australia, the number of successful joint ventures and negotiations between the two countries remains limited. A closer examination of the international business interactions between Australia and China is thus urgently needed. When negotiating with the Chinese, Western managers may not always be aware of what they are really negotiating for. To be successful, they have to be equipped with the 'specialised knowledge', a form of 'tacit or implicit knowledge', which comes with experience (Nonaka, 1994, Pavesi, 2003) in communicating and negotiating with their Chinese counterparts. The Chinese way of business negotiation can challenge the logic of Western business thinking. This, coupled with possible generational differences or changes in the Chinese business counterpart's way of doing business, means we must try to understand the business communication and negotiation process from not only the Western but also the Chinese perspective. In particular, in addition to the contextual (Phatak, & Habib, 1996; Risberg, 1997), social (Ghauri, & Fang, 2001), and cognitive factors (George, Gareth, & Gonzalez, 1998) focused on by past researchers, the intangible aspects of negotiation must also be considered. These include trust, reputation, relationship quality (guanxi in the case of the Chinese), and the moods and emotions that shape the processes and outcomes of communication and negotiation (Griffith, 2002; Hartel & Ma, 2006; Ma & Hartel 2005; and Zhao & Krohmer, 2006). This paper reports on a qualitative investigation of the communication processes occurring in negotiations between Australian and Chinese managers and entrepreneurs. The examination is based on a theoretical framework looking at emotions and culture from an affective events theory (AET) perspective. Both interview and focus groups techniques were used. Findings identified guanxi, core to relationship development and maintenance in Chinese culture, together with emotions as major determining factors of negotiation outcomes. Findings also suggest there are generational differences in attitudes among Chinese managers with Gen. X and Gen. Y placing a different emphasis on guanxi in business. These findings suggest that the popular advice to people doing business in China is out of date.

The location of FDI activities by MNEs is of interest to international business researchers, especially in light of the rapidly changing economic landscapes in many regions of the world. This paper adds to the literature on MNEs' location choices, focusing on how business characteristics are related to location, in a sample of 6430 foreign equity joint ventures (EJVs) in China during 1984–1996. The results show that the duration of the EJV agreement, the origin of the foreign investor, and the type of business activity are related to the location of the EJVs' business activities within China. Significant differences are noted in the locations of ventures in the manufacturing and service sectors, and there is evidence of an increasing preference for MNEs to locate their activities in China's large, metropolitan cities. These findings reflect the dynamic nature of government policies toward FDI in China and their impact on the location choices of MNEs.

This paper focuses on the alignment of students' views on project-oriented design-based learning (PODBL) with today's industrial needs. A Collaborative relationship between academic institutions and industrial expectations is a significant process towards analytical thinking (linking the theory and practice). Improving students' knowledge as well as the students' transition into industry, requires efficient joint ventures by both learning institutions and industry partners. Project-based learning (PBL) is well developed and implemented in most engineering schools and departments around the world. What requires closer attention is the focus on design within this project-based learning framework. Today design projects have been used to motivate and teach science in elementary, middle, and high school classrooms. They are also used to assist students with possible science and engineering careers. For these reasons, design-based learning (DBL) is intended to be an effective approach to learning that is centered on a design problem-solving structure adopted for a problem-oriented project-based education. Based on an industry design forum, which the authors conducted in Melbourne, Australia in 2012, a research study was performed to investigate the industry and academic requirements for students focusing on achieving design skills. To transform the present situation in the academic teaching and learning environment and to fulfill industry needs, this research study also investigated the students' views on design skills.

This paper is about assessing the practice of Project-Based Joint Ventures formed between local and international contractors in the UAE construction industry. This common practice nowadays, provides the means for contractors to quickly add resources to enhance project acquisition. Studies indicate that JVs are among the tools that contractors will need to get together in the face of increasing market demands. Specifically, Project-Based JVs are often used in the UAE Construction industry with an exceptional growth in an attempt to diversify from Oil and Gas. The UAE is very business friendly which makes it attractive for such kind of alliance or partnership for local contractors to get the necessary experience and for international contractors to minimize the risks associated with entering new markets. In this context, studies that evaluate this alliance phenomenon in the UAE construction industry are limited. The few industry-related studies have primarily focused on large, international JVs; yet, many JVs are formed on small and medium-sized projects within the UAE. The paper aims to assess the current practices and understand the many factors involved with forming, managing, and controlling JV partnerships. The research methodology adopted a mix of quantitative and qualitative approaches. First, a closed question survey was disseminated to construction professionals in the UAE in light of the literature findings. Second, two case studies were demonstrated and analysed, then triangulated with the literature and survey findings to remove possible bias and improve the confidence in the collected data. The paper concluded that the JV in the UAE construction industry is mostly formed on project-basis rather than continuous collaboration. The management control mostly used in the UAE construction industry is shared management of activities in a venture with the operations shared between parents. The paper addressed major factors that lead to successful JV in the construction projects of the UAE which are namely trust, correct structure, communication, and partner’s commitment. Partners’ common objectives do not affect the JV success or failure. Willingness to adapt eliminates conflicts and enhances the JV success prospect.

The major purpose of this thesis is to verify, from a Brazilian perspective, how global and contextual issues influence the management learning in Multinationals. The management learning derived from the interaction of holding and sidiaries/colligates of Multinational corporation is supposed to be subject to convergent and divergent forces, the former related to global and standardized organizational practices, and the latter, is seen as a social practice subject to cultural and organizational singularities. A model was constructed to relate the dichotomy between the universality of the management practices and technologies and the particularity of the contexts where they operate, to the dichotomy between the singularities in organization and national level. This model is composed of the international, global, managerial and inter-organizational dimensions related, respectively, to the cultural and political diversity; to the universal forces of practices and values; to the managerial capabilities and resources in the organization, consolidated as best practices and to the interaction between holding and subsidiaries and the resulted learning. The combined result of these dimensions influences the knowledge flow and the learning derived from it. The field research was constituted of five cases of internationalized Brazilian firms, with a solid experience in their management systems. The main subjects of this study were executives and ofessionals/managers who respond to the management development. The data were first collected in the headquarters and complemented with visits to subsidiaries/joint ventures in other countries, in loco or with expatriated people who return to Brazil. The central supposition was validated. So, the management learning ¿ is driven by the global capitalism practices and by the global culture where they are immersed, reproducing a hegemonic vision and a common language (global dimension); ¿ incorporates the more propagated and dominant managerial values, although there are some variations when they are applied in the subsidiaries/joint ventures; is the product of the assimilation of international recognized and planned managerial practices, with the acculturation power, although not completely; is the result mainly of the managerial practice in work; is impacted not only by cross-cultural and managerial factors, but also by the business environment of the firm; is given according to the capabilities and resources in the organization, guiding the form of assimilation of practices and technologies, with global application or not (managerial dimension); ¿ is affected by the cross-cultural diversity involving the countries of the holding and the subsidiaries/joint ventures where the firm is and is given as a reproduction of the political context of the holding and subsidiaries countries (international dimension); ¿ faces aligned concurrent institutional pressures between corporate or global systems, practices of other subsidiaries/joint ventures and local practices; is more difficult to reach when there is not permeability between organizational cultures and identities of a Multinational firm; is affected by how much the relationship process across these unities is self-referenced; is facilitated by the construction and improvement of the knowledge network (interorganizational dimension). Finally some contributions of this study are exposed, including extensions of the proposed model and suggestions, recommendations for future research.

O tema parceria vem sendo objeto de estudo em todo o mundo. Ganhando força, com as Joint-venture Internacionais, nas áreas de telecomunicações, informática, automobilística, aeroespacial etc., o elemento inovador passou a ser a constituição de alianças estratégicas com potenciais concorrentes, seja na exploração de novos nichos de mercado, seja em atividades de pesquisa e desenvolvimento de novos serviços e produtos. Considerando como normal esta troca ou sinergia entre parceiros, o trabalho apresenta e analisa os dados relativos ao estudo de campo realizado (pesquisa seletiva) junto a profissionais envolvidos com o dia-a-dia do processo de parceria de empresas líderes dos setores de Telecomunicações (Empresa Estatal) e do setor de serviços de Rede e Informática ( Empresa Privada). As considerações estão estruturadas nas seguintes partes: a caracterização e segmentação da amostra utilizada (caracterização dos respondentes); a análise descritiva e avaliação das variáveis representativas dos fatores inibidores e facilitadores; as percepções diferenciadas face aos elementos dependendo da experiência profissional e grau de envolvimento com os processos da parceria; os elementos inibidores e facilitadores apontados como de maior relevância; e os resultados obtidos a partir do uso da técnica de análise fatorial.

There is a intensity change within financial services industry: deregulation, technology, joint ventures and, in Brazil, privatization, increase of foreign competitors and fall of industry participating from 31 per cent to 5,4 per cent in Brazilian GDP.In this context financial institutions are working very hard to improve their market share, besides promoting customer retention and creating customer loyalty.In this paper we are presenting the scenario of industry in the 90's, opportunity to use segmentation and relationship strategies used by banks through distribution channels.The purpose of this study is to examine the relationship between customer satisfaction and segmentation. To ascertain whether such a link exists, a primary study of 3.378 individuals was conducted in two branches at Rio de Janeiro in March 2001. The results suggest that there is little relationship between customer satisfaction and segmentation, besides other qualitative findings.

This exploratory study, with the aim of bringing mediation and arbitration - which have been so far mainly discussed under the legal point of view - to the context of business management, tries to identify up to which point these services can be recognized as a valid alternative to manage conflicts in the inter-organizational strategic relationships. This kind of relationship is present in strategic alliances, joint ventures and in existing supply chains and distributions channels¿ partnerships. Analyzing the theoretical reference framework three knowledge areas were associated and integrated: conflict management and negotiation; mediation and arbitration, as the most common Alternative Dispute Resolutions-ADRs; and strategic alliances, supply chains and distribution channels. This review of literature and documents was complemented with a research among two target groups: the potential consumers of mediation and arbitration services in the organizational field; and the potential suppliers for those services. The objectives of the research were, on one side, to evaluate if the two institutes can be recognized as efficient to manage conflict between business partners, meaning, if there is an actual demand for them; and on the other hand, research also investigated if there is a concrete availability of specialized services to attend that demand. The study showed that, although incipient there is a market potential for the use of mediation and arbitration services as conflict management tools within inter-organizational strategic relationships.

As organizações estão se conscientizando que a mudança decorrente da transição de estruturas tradicionais para funcionais, da implementação de estruturas, assim como da união de culturas organizacionais, está repleta de riscos. Esta mudança vem em decorrência de downsizing, fusões, incorporações, cisões, joint ventures, entre outras alternativas administrativas, societárias e comerciais praticadas. Com a necessidade de adaptar rapidamente o negócio às exigências externas, os riscos, muitas vezes, não são analisados ou o são superficial ou parcialmente, resultando na elevação dos mesmos e expondo os processos de negócios a potenciais fraudes. O ambiente de controle do negócio tem se mostrado uma área de preocupação, principalmente nos momentos de transição estrutural e organizacional, pelo desconhecimento conceitual do risco e da importância do controle, como também pela forma de implementação das mudanças. Verifica-se também que há empresas, normalmente as grandes, que possuem um sistema estruturado de controles implementado e outras, normalmente as médias e pequenas, que não o possuem, onde, de acordo com pesquisas realizadas, encontra-se um maior número de fraudes, que, proporcionalmente ao seu patrimônio, representa uma perda substancial aos seus negócios. Este estudo objetiva abordar a evidência de contribuição de um sistema estruturado de controle para a minimização de ocorrência de fraudes nas organizações.

Nos Estados Unidos, o mercado de “Venture Capital” se desenvolveu como um importante intermediário nos mercados financeiros, provendo capital para empresas que em outra situação teriam dificuldades na atração de financiamento. Essas empresas são tipicamente pequenas e jovens, cercadas por altos níveis de incerteza e grandes diferenças de conhecimento entre os empreendedores e os investidores. Diante dessa realidade, o mercado de “Venture Capital” desenvolveu procedimentos contratuais que estão bastante adaptados aos ambientes caracterizados por incertezas e assimetria de informações entre principais e agentes. O ponto central nesse conflito está em como se desenhar um contrato financeiro que seja capaz de separar os direitos de controle e os direitos sobre os fluxos de caixa entre empreendedores e gestores de fundos. Nos Estados Unidos o instrumento financeiro que desempenha com sucesso essa separação entre os direitos de controle e os direitos sobre os fluxos de caixa é a Ação Preferencial Conversível. O propósito desta dissertação é entender e analisar os aspectos contratuais envolvidos nas operações de “Venture Capital” e “Private Equity” nos Estados Unidos e confrontá-los com a realidade brasileira através da análise de investimentos dessa natureza ocorridos no Brasil. Pretende-se analisar como se dá o processo de contratação financeira no Brasil e os instrumentos financeiros utilizados para separar os direitos de controle e os direitos sobre os fluxos de caixa.

O objetivo desta dissertação é analisar algumas das principais teorias de internacionalização de empresas, comparando-as com a prática observada em duas empresas multinacionais brasileiras de grande porte. A busca por conhecimentos mais profundos sobre a expansão internacional das atividades empresariais tornouse muito importante a partir do final do século XX, considerando-se o crescente volume de fusões, aquisições, parcerias e joint-ventures realizadas entre empresas de diferentes países e estudadas por pesquisadores internacionais. Esses últimos começaram a desenvolver teorias em uma tentativa de explicar o comportamento internacionalizante de tais empresas. Ao longo dos anos, estas teorias se sofisticaram e começaram a dividir-se de acordo com condições pré-estabelecidas, como o volume de vendas, o grau de experiência no exterior, a presença de mercados culturalmente próximos e a localização geográfica. Uma vez que a maioria histórica das empresas internacionalmente expressivas é composta por corporações norte-americanas, européias e asiáticas, observou-se apenas um pequeno volume de estudos voltados à empresas oriundas de países emergentes. Assim, esta dissertação se baseia em exemplos brasileiros, representados pelas empresas Odebrecht e Petrobras, como forma de avaliar a aplicabilidade destas teorias frente a realidade de um expressivo mercado emergente.

The purpose of the literature on Research Joint Ventures (RJV), pioneered by DíAspremont and Jacquemin (1988) and Kamien, Muller, and Zang (1992), has been to combine the best of two worlds: to appropriately deal with R&D spillovers while preserving competition in the product market. Moreover, RJVs eliminate duplication of R&D. Thus, at least in theory, RJVs dominate other solutions such as subsidies. If, however, we are concerned about risks of cartelization, then Spenceís (1984) subsidy-based solution for independently acting firms, is a viable alternative that cannot be dismissed. Indeed, in contrast to the previous literature, we find that in the presence of R&D subsidies, market performance may unambiguously improve with the number of firms in the market.

A Dissertação procura demonstrar a viabilidade de capacitação das organizações empresarias dos países em desenvolvimento - notadamente as brasileiras - para atuar sob o padrão de competitividade econômica intensivo em conhecimento, a despeito das defasagens estruturaís das economias desses países. A partir da estratégia de potencialização da capacidade tecnológica nas organizações, tal proposição é comprovada através da aplicação da teoria da gestão contemporânea, combinada com as experiências de "practitioners" organizacionais e com as evidências empíricas colhidas junto a dirigentes da amostra de 28 empresas. Inicialmente, é esboçado o significado atual de tecnologia, sob a perspectiva organizacional, e analisadas as principais transformações da ambiência externa que interferem na gestão da capacidade tecnológica das empresas. Em seguida, o estudo define duas estratégias consideradas viáveis à capacitação tecnológica empresarial, quais sejam: a) aprendizagem tecnológica e capacitação organizacional e b) modalidades de cooperação tecnológica inter-empresarial, com ênfase na gestão das "joint-ventures" internacionais. O estudo conclui que apesar da crise do Estado e da instabilidade, vigentes na economia brasileira, identifica-se, em seu setor produtivo nichos de empresas engajadas em processos de capacitação tecnológica, através das estratégias aqui abordadas. aptas a competir no mercado global do próximo milênio. Essas evidências confirmam a viabilidade de tais estratégias, tornando-as úteis às empresas que desejam atualizar-se frente as atuais tendências de gestão tecnológica.
